T&m CONFIDENTIALITY AGREEMENT. The contents of this document are private and for internal use and shall not be disclosed to any person outside of Long View Systems or City of Ft Collins. STATEMENT OF WORK OVERVIEW City of Fort Collins is looking to reserve a bulk of hours for consultative services involving active directory expertise. These IT support services will be provided in compliance to the defined project outline and billed against this reserved amount as completed. Time used for this support can be provided on site as well as remote and will be billed on an hourly basis at the appropriate rate. OBJECTIVES AND SCOPE Active Directory Project Augmentation 1) Augment areas of AD services as outlined in project plan defined by Nestor Ramirez and the City of Ft Collins. 2) Provide additional technical support services in multi disciplines of IT management as needed 3) Provide for Architectural discussion and professional design opinions as required 4) Bill only for time used OUT OF SCOPE Work that is not included in the Scope section is considered to be out of scope. Any out of scope work must be verified and pre -authorized by City of Fort Collins prior to commencement through the Change Request process. Out of scope work will be billed on a time and material basis. Out of Scope work includes the following • Upgrades to any server or network component requiring engineering review and a written SOW. Typically any work requiring more than 1 to 3 hours • Implementation of net new applications ASSUMPTIONS The following assumptions have been made in order to proceed with this project in its current state. Any deviation from these assumptions may add to the complexity of this project thus adding work that is out of scope. The assumptions for this project are: • City of Fort Collins will provide the Software licenses required for all aspects of the project in the assessment • All necessary hardware for physical server and SAN storage functionality has been acquired and is configured and ready for use at the beginning of the project. • All necessary firmware updates have been applied to the systems • Long View consultants will be granted access to all resources required to complete this project (including physical and security access). • City of Fort Collins employees are available and ready to assist in the project deployment if required. • City of Fort Collins has Executive commitment to undertake this project. A reserved bulk of Active Directory consulting and intearation services hours Page 1 1 STATEMENT OF WORK • City of Fort Collins will communicate the implications of this project to any user who may experience impact as a result of work performed by Long View Systems. • City of Fort Collins will extend appropriate authority to Long View Systems to execute this project as described in this document. • City of Fort Collins will provide any necessary safety training to Long View consultants. • Media, Licensing and documentation are available for the software in the scope of the project. • Unless otherwise stated, project hours are estimated to be contiguous. • The project will take place within 65 miles of the Long View Denver office only. If travel to any other office is required by City of Fort Collins, this will be considered out of scope and charged accordingly (i.e. travel and time). A reserved bulk of Active Directory consultina and integration services hours Page12 STATEMENT OF WORK PRELIMINARY BUDGET AND EFFORT The reserved amount of billable time will be no more than $9,975.00 Rates will be charged accordingly Server Systems Administrator Senior Resource $175 / hr This is equivalent to 57 hours of work CONFIDENTIALITY AGREEMENT All the information reviewed, gathered and the subsequent analyses are property of City of Fort Collins and will not be used for any other purpose than that required for the completion of this project. Long View Systems agrees not to reuse any of the data or analysis from this project without prior consent from City of Fort Collins. CONSULTANT NO -HIRE CLAUSE City of Fort Collins agrees that former Long View employees or contractors shall not be allowed to work indirectly or directly for City of Fort Collins until a period of six months after termination of this contract, except where Long View has terminated the employment or contract of the individual. Without limiting the generality of the foregoing, it shall include, but not be limited to, employment by City of Fort Collins, employment by another party who contracts with City of Fort Collins, contracting, sub -contracting, agency, partnership, or any other association - where City of Fort Collins or the party is contracting the individual to City of Fort Collins in an IT role similar to the role previously contracted through Long View. Should City of Fort Collins breach this covenant (which covenant shall survive the termination of the Contract), City of Fort Collins shall pay to Long View as liquidated damages and not a penalty, an amount equal to 50% of any fees or gross income earned by the individual during the six month period following the termination of this contract, which amount shall be due and payable on demand. Additionally, it is agreed that Long View may enforce this covenant by an injunction or otherwise. REFERENCE AND SURVEY REQUESTS Long View may ask City of Fort Collins to use this project as a reference. Long View creates practice and project outline documents for prospective clients and is often requested to quote past project experience in Request for Proposal (RFP) and Request for Information (RFI) inquiries responses. Also, we are required to provide project information about completed projects in order for Long View to attain and maintain certain manufacturer certifications. In some cases, clients are asked to complete a survey on the success of a project. Manufacturer partners often follow up on these surveys to ensure accuracy and customer satisfaction. Long View will always request the use of the information when it is required and will not submit any information on this project or City of Fort Collins without prior consent. Initial Here: Page 13 A reserved bulk of Active Directory consultina and intearation services hours STATEMENT OF WORK SIGNATURE AND ACCEPTANCE The signatures below indicate that the undersigned have read and agreed to the contents of this Statement of Work and have thus given approval to proceed with this project. SOW Expiry and Timing This Statement of Work is only valid if signatures of both parties are received within 10 business days of this documents creation date, unless otherwise noted and authorized below by an authorized representative of Long View Systems. This SOW will no longer be valid as of August 30"' 2009. A Project Closure Report is used to document acceptance of the work being done under this Statement of Work. City of Fort Collins shall indicate its acceptance of the service or deliverable by signing the Project Closure Report within five business days from presentation of the completed service or deliverable. Services and deliverables will be deemed accepted if City of Fort Collins fails to respond within this five-day period. This SOW will automatically expire if work under this agreement does not commence WthirY90 / days of the SOW creation date.
