Electrical
1. All associated electrical design services including, but not limited to:
a. Building lighting/power with integrated design.
b. Fire alarm system.
c. Security system (card access to match Utilities existing system).
2. Coordination of data/voice communication system with the City's MIS.Department.
Cost Estimating Services
1. Detailed cost estimate of proposed improvements, including Construction Administration fee.
Traffic Engineer
1. Provide as required a "transportation impact study" under the direction of City's Traffic
Engineer.
Commissioninq
The Design Team will coordinate with the City's Commissioning agent.
Construction Contactor
The Design Team will coordinate closely with the City's General Contractor
PROPOSALFEES
The Architectural/Engineering Design Services Agreement will be awarded based upon the Review
and Assessment, which includes a proposed not to exceed hourly rate.
Each Proposer should provide a rough order -of -magnitude estimate of design fees for Utilities
Services Center Addition and Remodel upon the services enumerated in this proposal and an
assumed project schedule.
Upon selection of the final firm, the final fee will be negotiated for each project work order. These
negotiations will be based upon a more detailed Scope of Work and input from the successful firm
as to how they foresee the overall project.

REVIEW AND ASSESSMENT
Professional firms will be evaluated on the following criteria. These criteria will be the basis for review of
the written proposals and interview session.
The rating scale shall be from 1 to 5, with 1 being a poor rating, 3 being an average rating, and 5 being an
outstanding rating.

PROFESSIONAL SERVICES AGREEMENT
WORK ORDER TYPE
THIS AGREEMENT made and entered into the day and year set forth below by and
between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter
referred to as the "City" and hereinafter referred to as "Professional".
WITNESSETH:
In consideration of the mutual covenants and obligations herein expressed, it is agreed
by and between the parties hereto as follows:
1. Scope of Services. The Professional agrees to provide. services in accordance
with any project Work Orders for , issued by the City. A blank sample of a work order is
attached hereto as Exhibit "A", consisting of ( ) pages and is incorporated herein by
this reference. The City reserves the right to independently bid any project rather than issuing a
Work Order to the Professional for the same pursuant to this Agreement.
2. The Work Schedule. The services to be performed pursuant to this Agreement
shall be performed in accordance with the Work Schedule stated on each Work Order.
3. Time of Commencement and Completion of Services. The services to be
performed pursuant to this Agreement shall be initiated as specified on each Work Order. _Time
is of the essence. Any extensions of any time limit must be agreed upon in writing by the
parties hereto.
4. Contract Period. [Option 1] This Agreement shall commence , 200 ,
and shall continue in full force and effect until , 200 , unless sooner terminated as
herein provided. In addition, at the option of the City, the Agreement may be extended for
additional one year periods not to exceed ( ) additional one year periods. Renewals
and pricing changes shall be negotiated by and agreed to by both parties. The Denver Boulder

Greeley CPIU published by the Colorado State Planning and Budget Office will be used as a
guide. Written notice of renewal shall be provided to the Professional and mailed no later than
ninety (90) days prior to contract end.
5. Early Termination by City/Notice. Notwithstanding the time periods contained
herein, the City may terminate this Agreement at any time without cause by providing written
notice of termination to the Professional. Such notice shall be delivered at least fifteen (15)
days prior to the termination date contained in said notice unless otherwise agreed in writing by
the parties. All notices provided under this agreement shall be effective when mailed, postage
prepaid and sent to the following address:

In the event of any such early termination by the City, the Professional shall be paid for
services rendered prior to the date of termination subject only to the satisfactory
performance of the Professional's obligations under this Agreement. Such payment
shall be the Professional's sole right and remedy for such termination.
6. Design, Project Insurance and Insurance Responsibility. The Professional shall
be responsible for the professional quality, technical accuracy, timely completion and the
coordination of all services rendered by the Professional, including but not limited to designs,
plans, reports, specifications, and drawings and shall, without additional compensation,
promptly remedy and correct any errors, omissions, or other deficiencies. The Professional
shall indemnify, save and hold harmless the City its officers and employees, in accordance with
Colorado law, from all damages whatsoever claimed by third parties against the City and for the
City's costs and reasonable attorney's fees arising directly or indirectly out of the Professional's
negligent performance of any of the services furnished under this Agreement. The Professional

shall maintain commercial general liability insurance in the amount of $ combined single

7. Compensation. In consideration of services to be performed pursuant to this
Agreement, the City agrees to pay Professional on a time and reimbursable direct cost basis
designated in Exhibit "B", consisting of ( ) page(s), attached hereto and incorporated
herein by this reference. At the election of the City, each Work Order may contain a maximum
fee, which shall be negotiated by the parties hereto for each such Work Order. Monthly partial
payments based upon the Professional's billings and itemized statements are permissible. The
amounts of all such partial payments shall be based upon the Professional's City -verified
progress in completing the services to be performed pursuant to the Work Order and upon
approval of the Professional's direct reimbursable expenses. Final payment shall be made
following acceptance of the work by the City. Upon final payment, all designs, plans, reports,
specifications, drawings, and other services rendered by the Professional shall become the sole
property of the City.
8. City Representative. The City will designate, prior to commencement of work, its
project representative who shall make, within the scope of his or her authority, all necessary and
proper decisions with reference to the project. All requests for contract interpretations, change
orders, and other clarification or instruction shall be directed to the City Representative.
9. Project Drawings. Upon conclusion of the project and before final payment, the
Professional shall provide the City with reproducible drawings of the project containing accurate
information on the project as constructed. Drawings shall be of archival, prepared on stable
mylar base material using a non -fading process to provide for long storage and high quality
reproduction. "CD" disc of the as -built drawings shall also be submitted to the owner in and
AutoCAD version no older then the established city standard.
10. Monthly Report. Commencing thirty (30) days after Notice to Proceed is given on
any Work Order and every thirty days thereafter, Professional is required to provide the City

Representative with a written report of the status of the work with respect to the Work Order,
Work Schedule and other material information. Failure to provide any required monthly report
may, at the option of the City, suspend the processing of any partial payment request.
11. Independent Contractor. The services to be performed by Professional are those
of an independent contractor and not of an employee of the City of Fort Collins. The City shall
not be responsible for withholding any portion of Professional's compensation hereunder for the
payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose.
12. Personal Services. It is understood that the City enters into this Agreement
based on the special abilities of the Professional and that this Agreement shall be considered as
an agreement for personal services. Accordingly, the Professional shall neither assign any
responsibilities nor delegate any duties arising under this Agreement without the prior written
consent of the City.
13. Acceptance Not Waiver. The City's approval of drawings, designs, plans,
specifications, reports, and incidental work or materials furnished hereunder shall not in any way
relieve the Professional of responsibility for the quality or technical accuracy of the work. The
City's approval or acceptance of, or payment for, any of the services shall not be construed to
operate as a waiver of any rights or benefits provided to the City under this Agreement.
14. Default. Each and every term and condition hereof shall be deemed to be a
material element of this Agreement. In the event either party should fail or refuse to perform
according to the terms of this agreement, such party may be declared in default.
15. Remedies. In the event a party has been declared in default, such defaulting
party shall be allowed a period of ten (10) days within which to cure said default. In the event
the default remains uncorrected, the party declaring default may elect to (a) terminate the
Agreement and seek damages; (b) treat the Agreement as continuing and require specific
performance; or (c) avail himself of any other remedy at law or equity. If the non -defaulting
party commences legal or equitable actions against the defaulting party, the defaulting party

shall be liable to the non -defaulting party for the non -defaulting party's reasonable attorney fees
and costs incurred because of the default.
16. Binding Effect. This writing, together with the exhibits hereto, constitutes the
entire agreement between the parties and shall be binding upon said parties, their officers,
employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs,
personal representatives, successors and assigns of said parties.
17. Law/Severability. The laws of the State of Colorado shall govern the
construction, interpretation, execution and enforcement of this Agreement. In the event any
provision of this Agreement shall be held invalid or unenforceable by any court of competent
jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this
Agreement.
18. Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101,
C.R.S., et. seq., Professional represents and agrees that:
a. As of the date of this Agreement:
1. Professional does not knowingly employ or contract with an illegal alien
who will perform work under this Agreement; and
2. Professional will participate in either the e-Verify program created in
Public Law 208, 104th Congress, as amended, and expanded in Public Law 156,
108th Congress, as amended, administered by the United States Department of
Homeland Security (the "e-Verify Program") or the Department Program (the
"Department Program"), an employment verification program established
pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment
eligibility of all newly hired employees to perform work under this Agreement.
b. Professional shall not knowingly employ or contract with an illegal alien to
perform work under this Agreement or knowingly enter into a contract with a
subcontractor that knowingly employs or contracts with an illegal alien to perform work
under this Agreement.
C. Professional is prohibited from using the e-Verify Program or Department
Program procedures to undertake pre -employment screening of job applicants while this
Agreement is being performed.

d. If Professional obtains actual knowledge that a subcontractor performing work
under this Agreement knowingly employs or contracts with an illegal alien, Professional
shall:
Notify such subcontractor and the City within three days that Professional
has actual knowledge that the subcontractor is employing or contracting with an
illegal alien; and
2. Terminate the subcontract with the subcontractor if within three days of
receiving the notice required pursuant to this section the subcontractor does not
cease employing or contracting with the illegal alien; except that Professional
shall not terminate the contract with the subcontractor if during such three days
the subcontractor provides information to establish that the subcontractor has not
knowingly employed or contracted with an illegal alien.
e. Professional shall comply with any reasonable request by the Colorado
Department of Labor and Employment (the "Department") made in the course of an
investigation that the Department undertakes or is undertaking pursuant to the authority
established in Subsection 8-17.5-102 (5), C.R.S.
f. If Professional violates any provision of this Agreement pertaining to the duties
imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this
Agreement is so terminated, Professional shall be liable for actual and consequential
damages to the City arising out of Professional's violation of Subsection 8-17.5-102,
C.R.S.
g. The City will notify the Office of the Secretary. of State if Professional violates this
provision of this Agreement and the City terminates the Agreement for such breach.
19. Special Provisions. Special provisions or conditions relating to the services to
be performed pursuant to this Agreement are set forth in Exhibit "C", consisting of ( )
page(s), attached hereto and incorporated herein by this reference.

Utility Services Additions and Remodels Projects
At the Utilities Service Center Site
The City of Fort Collins is seeking proposals from qualified Architectural/Engineering firms for
Design Services for Utility Services Additions and Remodels for projects at the Utilities Service
Center Site.
The selected consultant may be retained by the City of Fort Collins Utilities annually for up to
five years to provide studies, engineering design, bidding, surveying and construction
management services for projects as they are required.
Written proposals, seven(7) copies will be received at the City of Fort Collins' Purchasing
Division, 215 North Mason St., 2nd floor, Fort Collins, Colorado 80524. Proposals will be
received before 3:00 p.m. (our clock), February 17, 2009 Proposal No. 7010.
Architectural/Engineering Firms for Design Services — Utilities Service Center Site. If delivered,
they are to be sent to 215 North Mason Street, 2"d Floor, Fort Collins, Colorado 80524. If
mailed, the address is P.O. Box 580, Fort Collins, 80522-0580.

The City of Fort Collins is subject to public information laws, which permit access to most
records and documents. Proprietary information in your response must be clearly identified and
will be protected to the extent legally permissible. Proposals may not be marked 'Proprietary' in
their entirety. Information considered proprietary is limited to material treated as confidential in
the normal conduct of business, trade secrets, discount information, and individual product or
service pricing. Summary price information may not be designated as proprietary as such
information may be carried forward into other public documents. All provisions of any contract
resulting from this request for proposal will be public information.
Sales Prohibited/Conflict of Interest: No officer, employee, or member of City Council, shall have
a financial interest in the sale to the City of any real or personal property, equipment, material,
supplies or services where such officer or employee exercises directly or indirectly any'decision-
making authority concerning such sale or any supervisory authority over the services to be
rendered. This rule also applies to subcontracts with the City. Soliciting or accepting any gift,

GENERAL INFORMATION
The City of Fort Collins, Colorado, is requesting proposals from experienced firms for Professional
Architectural/Engineering Services for design services for the Utilities Services Center Additions and
Remodels.
The Architectural/Engineering Services will, in general, consist of providing the Conceptual
(Schematic), Preliminary (Design Development) and Final Design (Construction Drawings), as well
as the construction support services during the construction of said improvements.

2. In the event it becomes necessary to revise any part of this Request for Proposal or if additional
information is necessary to enable the Proposer to make an adequate interpretation of the provisions
of this Request for Proposal, the Proposer shall forward any questions in writing to the City's Project
Manager. Any questions received after seven (7) days prior to the proposal opening date will not be
addressed. Written addenda will be provided to each Proposer that is on file with the City's
Purchasing Department.
3. The City of Fort Collins retains the right to reject any or all proposals and re -solicit, if deemed to be
in the best interests of the City of Fort Collins.
4. Cost of Proposal Preparation. No reimbursement will be made by the City of Fort Collins for any
costs incurred prior to a formal Notice to Proceed.
5. Proposals to be in Effect. Each proposal shall state it is valid for a period of not less than ninety (90)
days from the date of receipt.
6. The City of Fort Collins has adopted and uses the Capital Projects Procedures Manual . This can be
viewed at:

TAL+PROJECTS:
The detailed Scope of Work for this project will relate to this manual. This manual correlates very
closely to the phases of work sequence by the American Institute of Architects. It includes site
analysis, schematic design, design development, construction documents, bidding, construction
administration and project close-out. This manual will be available for use to the selected firm.
7. The City of Fort Collins has developed a Building Design Standards Manual. This manual is
available on line at fcgov.com for use by the selected firm.
The City of Fort Collins is exempt from all state taxation including state sales and use taxes.
It is the City's desire that at least one principal participant of the project team has earned a LEED
Accredited Professional Certificate.
10. It is the intent of the City of Fort Collins to award this RFP based upon the hourly rates of consultant
personnel, plus reimbursable costs for the design work of Utilities Services Center Addition &
Remodel from conceptual to final design documents and construction support services. Also,
additional projects may be awarded at the 700 Wood Street Site.
11. Firms submitting proposals shall submit with the proposal the following information:
a. Company history and experience in professional architectural services for commercial and office
buildings, as described in the Background and Scope of Work.
b. State the team's commitment to and experience with integrated, high-performance buildings and
sustainable design. List projects completed within the past 4 years that feature workable, cost-
effective, sustainable design strategies. Include:

• Description of the targets set forth by project owners, or developed by the design team in
conjunction with the owner.
• Description of the sustainable design features of each project.
• Description of the energy analysis technique(s) used.
• Description of the cost/benefit analysis used for systems and materials selections.
• Design team organization.
c. Describe the team's experience with the US Green Building Council's LEEDTm Green Building
Rating System. List the projects completed within the last 4 years that the team has submitted
to the US Green Building Council for LEEDTM certification and the certification level achieved.
d. References from three or more organizations or municipalities, which have used your firm for
similar services within the past four years. Provide the following information:
• Name and address of referenced user or client.
• Name, title and telephone number of contact person for referenced user or client.
• A description of services provided for the referenced user or client.
• Dates/time-frame in which services were provided for the referenced user or client.
e. A written description of the proposed services including a description of the proposed approach
to the project.
f. Provide limits of liability for: (a) General Liability and (b) Errors and Omissions insurance
coverage.

SUSTAINABLE DESIGN
Definition of Sustainable Design: "Meeting the needs as a society today without compromising the
ability of future generations to meet their needs."
It should not be a surprise to know that 35-50% of the total energy produced in this country is
consumed by the built environment. The resources required to create, operate and replenish this level of
infrastructure and income are enormous and diminishing. U.S. consumers utilize greater resources per
capita than any other people worldwide. We consume about 20,000 pounds per person per year of
construction -related materials. These include virgin forest products, fuels, steel, glass, cement and plastics.
20-30% of the waste being delivered to landfills across the country is building demolition/construction waste.
We cannot continue this trend without severely impacting future generations.
Integrated, innovative, sustainable building techniques minimize energy usage and damage to the
environment while providing benefits for people using the building. Sustainable development ideally results

promotion of recycling, better indoor air quality (reducing risk and possible litigation), enhanced occupant
comfort (resulting in increased occupant productivity and performance), enhanced building durability, and
reduced maintenance costs.
High environmental quality, outdoors as well as indoors, is essential for the City's employees long-
term health and welfare. The objective of every project is to provide City of Fort Collins employees and
customers with environmentally sound facilities, within the project budgets, while providing the city as a
whole with a model for the energy, environmental, and economic benefits of sustainable development.
Balancing initial construction costs and long-term operational costs of every project will be an important
challenge. The design team will be expected to use an integrated "whole building" design approach to take
into consideration the effect the design elements, energy and resource constraints, building systems, and
building function have on one another. Use of an integrated approach is required to address building
orientation, daylighting opportunities, building envelope, and building system choices. Use of a
multidisciplinary team approach is encouraged that allows all team members to share specialized expertise
and coordinate their individual design efforts to achieve a synergistic, environmentally responsible building.
Where the typical energy costs for a building that meets today's codes is approximately $1.00 per square
foot per year, integrated whole building design can result in energy costs one quarter to one third of that.
The Architect, as the leader of the design team and process, shall be responsible for maintaining the
focus on and commitment to the integrated energy/high performance goals of the project. Commitment to
continuous refinement and design optimization is essential to the creation of an energy efficient, high
performance building. All team members must be encouraged to evaluate the benefits of innovative high
efficiency design ideas in a cooperative, creative atmosphere. Design teams are requested to utilize "whole
building" analysis to optimize the entire,building systems and their interactive relationships. The impacts of
changes in any one system shall be evaluated in relation to the impacts on the whole building capital cost,
operating cost, and effect on the objectives and targets of the project. Utilize computer modeling as part of
the whole building optimization process.
Operating and maintenance costs over the typical life span of a City facility (40 plus years) can be
many times the initial capital cost of the equipment. Utilize lifecycle economic analysis to guide the design
team to the options that will produce the greatest savings over the life of the building. Functional and easily
maintained building systems with low life cycle operating costs is fundamental to effective and efficient
operation of the finished facility.
INDOOR AIR QUALITY
• Avoid products and materials that contain carcinogens, volatile organic compounds, and other known
toxins.
• Avoid design of mechanical systems that encourage the growth of molds, fungi, and bacteria.
HUMAN PERFORMANCE
Project design should create a workplace for City employees and customers that is safe, healthy, and
comfortable. Avoid factors that introduce glare, temperature extremes, odors, and noise into the building.
• Design high quality lighting utilizing daylighting and quality electric lighting.
• Provide high quality indoor air.
• Maximize visible connections to the outdoor, without negatively impacting energy use.
• Investigate the use of individual temperature and ventilation controls within employee workstations.
• Minimize HVAC and other equipment noise.

SUSTAINABLE DESIGN RATING SYSTEM
It is the intent of the City of Fort Collins that every project earns enough credits using the US Green
Building Council's (USGBC) LEEDTm Green Building Rating System to earn a "Gold" certification. The most
current version of LEEDTm at the time of project design shall be used. At least 6 points must come from
Credit 1 — Optimize Energy Performance in the Energy and Atmosphere category.
Objectives of special concern to be addressed as part of every project are:
ENERGY EFFICIENCY
• Maximize energy performance.
• Reduce the use of non-renewable energy sources.
• Incorporate daylighting as an integral part of the design.
• Design, construct and commission a continuous air barrier system.
• Use analysis to identify challenges, evaluate solutions, and quantify energy and economic benefits.
• Energy efficiency target: A 30%, or greater, reduction in annual energy costs compared to a "base
building" that meets the City of Fort Collins "Energy Code for Commercial, Industrial, and High -Rise
Residential Buildings.
WATER CONSERVATION
• Reduce treated water use
• Reduce run-off and impact on the storm water system
• Reduce amount of waste water requiring treatment

BACK GROUND
Utilities Services Center Addition and Remodel
The initial project for the City of Fort Collins Utilities Services Center is to construct an approximately
24,200 SF two story addition, remodel approximately 9,840 SF of specific areas and complete an HVAC
study of the entire facility for the Center located at 700 Wood Street.
SCOPE OF WORK
In General
The design of the addition and remodel shall be energy efficient, high-performance and sustainable.
The design team will be responsible for optimizing life cycle costs through integrated design, evaluating
the feasibility of sustainable products and materials, evaluating energy reducing strategies, and
evaluating post -occupancy operating and maintenance costs. The completed addition shall earn a
LEED "Gold" certification. The design team will be responsible for completing and submitting the design
documentation required by the US Green Building Council. The design team will assist the general
contractor for the project in completing and submitting the as -built documentation required by the US
Green Building Council. Provide copies of all documentation to the City's Project Manager. See the
"Integrated Energy Design Reference Guide for Owners and Design Professionals" for a description of
the integrated, high-performance design process.
Additional projects that have the potential, but no guarantee, of design and construction services include
5-8 remodel projects ranging from estimates of $50,000 to $1,000,000.
ANTICIPATED SERVICES
The anticipated Design Services are:
Geotechnical Investigation
1. Soils investigation and report will be responsibility of the City.
Civil
1. Site and Utilities design services, including grading, curb and gutters, sidewalks, paving,
striping, and associated site features for the addition, as required.
2. All major dimensions shall be shown on the plans.
3. All storm -drainage design.
Architectural
1. All associated architectural design services. It is the City's intent to have an architect that is
experienced with the addition and remodel of commercial buildings. The architectural
knowledge of integrated design of energy -efficient, high-performance and sustainable buildings
is required.
Structural
1. All associated structural design services.
Mechanical
1. All associated mechanical design services including, but not limited to:
a. Water and waste system with integrated design.
b. Fire protection.
c. HVAC system with integrated design.
2. HVAC study of the existing systems.
