Standard Exclusions: (Unless otherwise stated)
Manual, gas, or electric personnel lifts. Any damage caused by vandalism, acts of
nature, tampering, misuse, computer viruses, loading of non approved software, or
repairs by anyone other than Colorado Systems Group employees or its assignees.
Badging printers and/or parallel printers including any maintenance supplies associated
with printers. Batteries, fuses, power/electrical circuits, and lightning transient
protectors/supressors. All existing equipment is excluded. All software upgrades,
updates or patches are excluded.

ACCEPTANCE OF PROPOSAL: The proposed prices, specifications and our Attachment A, Project Terms
and Conditions/Alarm Industry Standard Conditions of Sale and Standard Exclusions as presented within the scope
of this proposal are satisfactory and are hereby agreed to and accepted. Colorado Systems Group, Inc. is authorized
to perform the work as specified and payment terms (as outlined in our Attachment A, Project Terms and
Conditions/Alarm Industry Standard Conditions of Sale) are agreed upon and accepted. Final authorization of project
is based on the acceptance and full execution of this proposal by a duly authorized representative, officer of
corporation or individual (as applicable) and an officer of Colorado Systems Group, Inc.

Project Terms and Conditions
Standard Conditions of Sale: Alarm Industry Standard Conditions of Sale, is hereby included as
a part of this proposal.
Performance or payment bonds, sales tax, freight/shipping charges nor permit fees are included
within the final job cost and may be due and payable with or after final project invoicing.
Progress payments: Colorado Systems Group, Inc. to bill customer for materials ordered for a
specific job. The material must be stored either at customer site or at Colorado Systems
Group, Inc. warehouse. Customer to be billed monthly for labor supplied to date. A 2% per
annum will be added to the amount due for invoices overdue by more than 15 days from the
due date. If payment in full is not received when due, CSG shall be entitled to the
reasonable costs of collection, including attorney fees and court costs.
Payment terms are net 30.
Delivery: Within 30-45 days after receipt of signed master contract and deposit, subject to
contractual conditions, availability of materials and labor.
Equipment Sales:
Shipping Guidelines: All in -stock orders are shipped within 30 days after receipt of order.
Back orders, out -of -stock and drop -shipments from other manufacturers are shipped usually
within 4-6 weeks. All orders are shipped complete unless instructions to back order or cancel
back orders are received at the time the order is placed. We will follow up on any order
approaching the scheduled due date that will not be able to ship complete. All orders are
shipped via UPS Ground unless otherwise specified. Expedited air shipments are available at
additional charges.
Return/Restocking Policy: All returns must be shipped prepaid. No collect shipments will be
accepted. All returns must be shipped in original carton and are subject to inspection to ensure
that all components are included and product is resalable. Colorado Systems Group, Inc.
reserves the right to inspect all returns and determine applicable restocking fees, if any. A
minimum fee of 15% will apply for restocking to cover the cost of inspection, packaging and
restocking. Additional charges may apply after inspection. If the customer wants a different
item, a new order must be placed. All warranty parts are available for replacement at no charge
and are shipped via UPS ground service. If upgraded service is required, the customer will be
billed the difference in freight.
Custom Manufactured or Special Product Colorado Systems Group, Inc. will always attempt
to meet our customers' requirements and may custom -build or specially configure equipment to
specifications provided by the customer. Pricing on this type of equipment is non -discountable
and may require additional cost and time to quote and/or deliver. Acceptance of order for
custom or special equipment is contingent upon receipt of a purchase order acknowledgement
and is non -cancelable and non -returnable.

Operational Guarantees and Warranty: Coverage may be negated where the client requires
Colorado Systems Group, Inc, to utilize existing equipment components, hardware, cable
or other infrastructure within the scope of systems provided. This limit of coverage also
applies specifically to client -provided computer or network type configurations where
software, hardware or support other than those provided by the company, is utilized.
Colorado Systems Group, Inc. is not responsible for PC or network configurations not
meeting requirements of specific equipment provided or due to changes made or attempted
service by others than designated authorized service representatives of Colorado Systems
Group, Inc.
Acceptance and/or utilization of any portion of the system by client or assignees, either during
system installation and/or prior project completion and full acceptance, activates the
warranty period for those products or services involved. Therefore, warranty period may
begin prior to actual project completion.
Service and Preventative Maintenance agreements commence upon completion of system
inventory and inspection by Colorado Systems Group, Inc., and where necessary, all
inoperable components identified are restored to correct functionality. Equipment found
inoperable during the inventory and inspection will not be covered under the Service and
Preventative Maintenance Agreement.
Subscriber agrees to pay Company all recurring revenue as noted and accepted on the
"Summary of System Quotation" page of the Proposal per annum for the repair services,
as indicated, prepaid for a period of 12 months, then prepaid annually as an addendum to
the existing maintenance contract, after the initial period unless either party gives to the
other at least thirty (30) days written notice, prior to the expiration date, of the initiation to
terminate this Agreement upon its original or any renewed expiration date. Time is of the
essence with regard to this paragraph.
Items not included in our price unless specifically identified:
Risers, conduit between the risers, raceways, core drilling, trenching and conduit, equipped
with draglines.
Applicable performance or payment bonds, sales taxes, freight charges, permits and/or
associated submittals for governmental authorities having jurisdiction, which will be
determined by final system configuration will be billed accordingly.
At Colorado Systems Group, Inc. designated locations - dedicated 110VAC UPS power
(regulated and free from interference) and an isolated ground.
Concrete pads and equipment protection poles.
Removal of the existing equipment, patching or painting of designated location.
Additional access control cards.
Client is responsible for providing ladders or lifts for work required to be performed at
heights over fourteen (14') feet from ground or floor unless otherwise noted.
Elimination of electromagnetic interference or RF interference, which may hinder operation
of system.
Supply and/or installation of doors, locks,, hardware and electric hardware.
Refurbishing/replacement of doors and doorjambs, which require modifications to
become/remain functional with system.

Installation and rental of appropriate telephone lines at Colorado Systems Group, Inc.
designated locations, which are to be provided by the telephone company at Customer
expense. Colorado Systems Group, Inc. will coordinate installation with the telephone
company.
Any outputs or relays necessary to monitor the fire alarm panel(s) or for supervisory alarm
signals of other equipment. Note: For accurate monitoring of conditions, customer is to
insure that these initiating devices are equipped with energized normally open dry
contact outputs that "close" upon initiation of an alarm condition or device failure.
Designated relay outputs should include one each; alarm output, trouble condition
output, and supervisory condition output. Client provided relays should be installed in a
separate work box from the main systems' cabinet with no other wiring or circuitry
present. It is the responsibility of the client's representative to test all outputs with
Colorado Systems Group, Inc. staff on -site at time of integration.

Lightning Protection: Equipment furnished and installed by Colorado Systems Group, Inc.
is provided with the equipment manufacturer's standard lightning and/or line transient
protection. No guarantee is provided against equipment and/or system damage due to
either lightning and/or line power transients.
Non-standard finishes: Colorado Systems Group, Inc. provides standard finishes for all
hardware.
Additional Materials and/or Work: Data for the preparation of the proposal is based on
existing site conditions (no asbestos or hazardous materials) and/or site plans and
blueprints available to Colorado Systems Group, Inc. at the time the proposal was
prepared. All prices set forth in the Summary Page of your proposal, and on the attached
Line Item Estimate, are good for a period of sixty days from the date on the proposal's
cover sheet.
Correction of Ground Loop Problems: Although our standard design attempts to minimize
the problems associated with video camera ground loops, there are times when we must
add electronic correction.
Access control or other specified systems' administrative computer must meet the
manufacturer's minimum specifications.
Work is to be completed during normal business hours (8am-5pm; Monday -Friday) on
consecutive business days. If necessary, CSG can provide additional labor "after hours" for
an additional price.
The proposal does include time for minor delays, however, any major or excessive delays
due to the following will be billed accordingly: waiting for access to work areas (key unlocks
etc.), or unscheduled cancellation of CSG scheduled work by the client or other trades.
The client is responsible for providing CSG staff with building information such as when and
where work can be completed, OSHA inspections, and specific area sensitivities.
Although CSG may or may not be monitoring the fire system, others are responsible for the
installation, service, inspection, and repair of all fire control equipment, fire system sensing
devices, fire suppression systems, and/or any other piece of equipment that is part of the fire
protection system.
