Attn: Kimberly Hoffman PO Box 273209 Fort Collins, CO 80527-3209 RE: Renewal, 5911 Miscellaneous Concrete Projects Dear Ms. Hoffman: The City of Fort Collins wishes to extend the agreement term for the above captioned proposal per the existing terms and conditions and the following: Prohibition Against Employing Illegal Aliens. Pursuant to Section 8-17.5-101. C.R.S., et. seq., Service Provider represents and agrees that: a. As of the date of this Agreement: 1. Service Provider does not knowingly employ or contract with an illegal alien who will perform work under this Agreement; and 2. Service Provider will participate in either the e-Verify program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the "e-Verify Program") or the Department Program (the "Department Program"), an employment verification program established pursuant to Section 8-17.5-102(5)(c) C.R.S. in order to confirm the employment eligibility of all newly hired employees to perform work under this Agreement. b. Service Provider shall not knowingly employ or contract with an illegal alien to perform work under this Agreement or knowingly enter into a contract with a subcontractor that knowingly employs or contracts with an illegal alien to perform work under this Agreement. C. Service Provider is prohibited from using the e-Verify Program or Department Program procedures to undertake pre -employment screening of job applicants while this Agreement is being performed. d. If Service Provider obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Service Provider shall: 1. Notify such subcontractor and the City within three days that Service Provider has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and 2. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien; except that Service Provider shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. e. All Rights Reserved Page 9 of 12 2009 - Confirmation of Services Additional Terms Ft Collins Parks and Recreation 1/2/09 1507 Invoice Information - All invoices are due to Skyhawks within 30 days of Organization's receipt of the invoice. A 1% per month interest charge will be imposed on all invoices over 30 days. - Scholarship and certificate participants will not be included as paid participants in your program totals. 100% of partial payments and Helping Hand donations are the property of Skyhawks and must be submitted. - Full commissions are due for all non -refunded and registered participants who do not attend. Organization Coordinator is responsible for reconciling roster information and counts with onsite Skyhawks Director during the Session week. Roster Uploads - Tracking who is registered for a Skyhawks program is critical. In an enviroment where safety is paramount Skyhawks requires hosting organizations to upload program rosters into Coordinator's Corner. Instructions for uploading can be found in Coordinator's Corner. Skyhawks will post all registrations taken through Skyhawks in Coordinator's Corner. Data ownership - Skyhawks and Organization each shall have ownership of all the names, addresses, phone numbers, email addresses and financial data. Organization agrees to provide Skyhawks and Skyhawks agrees to provide Organization, if requested, all participant data. All data must be provided to Skyhawks in a comma separated format ending in .txt or .csv format. Minimum Attendance Requirements - Skyhawks reserves the right to cancel any program with less than 15 participants. Non -Compete - Because of the time and energy Skyhawks invests in its employees, training them in how to operate a sports camp business, all Skyhawks employees have signed covenants not to compete with Skyhawks and agreements not to disclose trade secrets should their employment ever terminate with skyhawks. Upon completion of this Confirmation of Services, your Organization acknowledges the non -compete and non -disclosure agreements Skyhawks has in place with its employees. Miscellaneous Any revenue from sales to participants by Skyhawks or its Partners shall remain the properly of Skyhawks (i.e. purchase of additional balls). If your organization has a mailing list of age -appropriate contacts, it will be provided to Skyhawks by 01-30-09. This data will allow Skyhawks to distribute a direct mail piece advertising your programs. Organization's media promoting Skyhawks programs must first be approved by Skyhawks. Skyhawks will not cancel programs due to rain showers. However, in the case of extreme weather conditions, the Area Manager may cancel or postpone the program for the safety of the participants. In the rare event of a program cancellation, the onsite director will ensure that every participant is picked up by a parent, guardian or by the emergency contact. Skyhawks cannot provide refunds for cancellations or postponements that are weather -related. If Service Provider violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Agreement is so terminated, Service Provider shall be liable for actual and consequential damages to the City arising out of Service Provider's violation of Subsection 8-17.5-102, C.R.S. g. The City will notify the Office of the Secretary of State if Service Provider violates this provision of this Agreement and the City terminates the Agreement for such breach. The term will be extended for one (1) additional year, May 1, 2009 through April 30, 2010. Ft Collins Parks and Recreation 1/2/09 15:07 Depending upon the number of organizations participating, as well as the size of the lists provided, a local guide is produced by Skyhawks listing the programs available in an area. We use a bonded mailing house for our mailings. It is understood thai this activity involves an element of risk and a danger of accidents and knowing those risks I hereby assume those risks. Skyhawks Cares Description: Skyhawks Cares provides funding for underprivileged children who would like to attend one of our summer programs, but because of financial circumstances are unable to participate. If people are seeking information regarding financial help, and your organization does not already have a scholarship program in place, they may call Skyhawks at 1-800-804-3509 to receive an application. If approved, Skyhawks will mail an 'award' that they must enclose with their registration. Scholarship participants will not be included as paid participants in your program totals. 100% of partial payments should be returned to Skyhawks. Our registration forms offer a space for people to donate to this fund. If monies are donated to this fund, please include this in your totals. If your organization offers financial help and you would like that information on promotional literature, please attach.
