REQUEST FOR PROPOSAL
P1110 Operation of Intercity Bus Service
INTRODUCTION
The North Front Range Metropolitan Planning Organization (NFRMPO) seeks proposals from
qualified firms for the operation of intercity bus services between and among Greeley and
Loveland Colorado including the provision of equipment to provide the services
The North Front Range Metropolitan Planning Organization (NFRMPO) is an association of 13
local governments in Larimer and Weld Counties Colorado working together to improve
regional transportation and air quality The NFRMPO does long-range and short-range planning
and prioritizes which protects in those plans will receive state and federal funding The
NFRMPO is the public agency responsible for coordination of transit services in the two
counties and is also a recipient of federal funds for the transit services Operation of the
contract transportation services shall be conducted in accordance with the terms and conditions
contained herein and in the contract(s) governing this protect
II SERVICES TO BE PERFORMED
The services to be performed by the Contractor(s) pursuant to this proposal are (1) actual
operation (including the provision of equipment as specified in this RFP) of the intercity bus
services and (2) submission of reports and other materials to the NFRMPO as specified within
this RFP The NFRMPO shall provide the intercity bus vehicles operated by the Contractor
except that Contractor shall provide a comparable backup vehicle for use if two of the vehicles
provided by the NFRMPO are out of service (Appendix M Equipment Specification)
A Operation of Transit Services
The public transportation services included in this RFP consist of intercity transit service
on U S Highway 34 from Greeley Colorado to Loveland Colorado The Contractor shall
be responsible for operation of these services as specified in Section III All
transportation services shall be provided according to the information in this RFP and
contract(s) for service
B Maintenance of Equipment
The Contractor will be responsible for the maintenance of all equipment including the
buses and for the protection of the equipment from abuse or other damage See
Section V B 3 for further details regarding Contractors maintenance responsibilities
C Reporting Requirements
The Contractor shall be subject to reporting requirements concerning the operation and
maintenance of the all equipment and the Intercity transit service These reporting
requirements are specified in Section V D of this RFP
The services and equipment required for the contract service include but are not limited
to the following

• Accident Reporting
• Incident Reporting and follow-up
• Data Collection and Reports
• Fare Collection and Reports
• Passenger Counts
• Accounting
• Service Monitoring
• Driver Training and Evaluation
• Insurance
• Performance Bond
• Participation as needed in promotions and marketing
• Communication with other local transit operations regarding passenger transfers
These requirements are described more fully in Section V Contractor Project
Responsibilities and Section VI Requirements and General Conditions
III DESCRIPTION OF TRANSIT SERVICES
A Routes
The NFRMPO will operate regional connector bus service between the cities of Greeley
and Loveland
B Days/Hours of Operation
The NFRMPO reserves the right to modify the hours of operation and numbers of buses
based on changing conditions
Days of Service — Monday — Saturday except for the following holidays New
Years Day Memorial Day Independence Day Labor Day Thanksgiving Day
and Christmas Day
Estimated Hours of Service — 8 400 Annual Revenue Service Hours
Monday —Friday 6 00 a m— 7 00 pm Saturday 9 00 a m— 7 00 p m
Freauencv of Service — Hourly dependent upon financial resources and
demand
Service Area — Route will operate between the greeley eau and the East
Loveland Transfer Center on US Highway 34 and other streets and roads as
required Due to the limited number of stops along this route this route is
considered to be an intercity route and not a fixed route and complementary
paratransit service is not required
Expected Start Date — Between May 1 2008 and June 1 2008
The actual stops and service hours may be adjusted as a result of the final
schedule being developed by the NFRMPO in consultation with Contractor
Throughout the term of this contract the NFRMPO reserves the right to make

adjustments to the service hours and service areas For major adjustments
Contractor will be notified not less than seven (7) calendar days prior to the
effective date for minor adjustments Contractor will be given at least 24 hours
notice
C Fares
The NFRMPO will determine and set fares Contractor shall charge passengers exactly
as specified by the NFRMPO unless notified by the NFRMPO that there will be a
deviation from regular fares
Estimated Fare $1 25 for a single one-way trip
Potential Transfer Policies Extend the Transfort/Foxtrot/COLT policy so a rider could
get on in Fort Collins and transfer through to Greeley or vice -versa CSU & UNC
passes will continue the existing policies A CSU rider can get on Transfort and/or
Foxtrot & transfer to COLT then pay to get back on COLT a UNC rider could do the
same either paying to get back on whatever non -home system they are wanting to
board
The Contractor's drivers will collect fares The NFRMPO will provide standard fareboxes
(non -electronic) At a time and place arranged by the NFRMPO Contractor will deposit
fares in a bank account as specified by NFRMPO Contractor must use an agreed upon
secure counting and monetary control procedure acceptable to the NFRMPO
D Service Description
Service will operate on an hourly headway using three buses provided by the NFRMPO
See Section V B 1 for further details

IV PERIOD OF CONTRACT
A Base Term
The services shall commence between May 1 2008 and June 1 2008 for a period of
one(l)year
B Renewal
The NFRMPO shall have the option to renew the contract with Contractor for two
additional one-year terms by providing written notice to Contractor at any time on or
before sixty (60) calendar days prior to the contracts anniversary date Any such
renewal shall be at the same rates and subject to the same terms and conditions as the
original term of the contract except that the NFRMPO may allow an increase in rates
based on increased costs of labor fuel oil or other petroleum products Any increase in
labor costs must be substantiated by a valid contract between the Contractor and his
employees and/or union organization representing Contractors employees Any
increase based on increases in labor fuel oil or other petroleum products must be
substantiated by valid purchase orders or other such contracts verifying that such
increase is actual unavoidable and beyond the control of the Contractor Any such
increase will be no more than the increase of the Consumer Price Index for All Urban
Consumers (CPI-U) for the Denver -Boulder -Greeley metropolitan area as published by
the Bureau of Labor Statistics of the United States Department of Labor (the Index )
The increase if any of the Index shall be measured by comparing the most recently
published Index on the effective date of the contract against the most recently published
Index on the date that Contractor requests a price increase Nonseasonally adjusted
Index data shall be used
The Contractor shall agree upon request of the NFRMPO to submit detailed cost
breakdowns for the renewal penod(s) in order to permit verification of any increase
request Any request for an increase in proposed fees shall be made no less than thirty
(30) days of receiving written notice from the NFRMPO of its intent to renew the
contract
At the Contractor s option the Contractor may waive and forego any cost increases in the
option years by so indicating on the Proposal Cost Form This will be considered by the
NFRMPO in evaluation of proposals prior to award of contract

V CONTRACTOR PROJECT RESPONSIBILITIES
A Operation of Transportation Services
The Contractor shall be responsible for operation of public transportation services
pursuant to the terms conditions and requirements stated herein In the conduct of this
task the Contractor shall ensure at all times that vehicles used for passenger
conveyance shall be operated with due regard for the safety comfort and convenience
of the general public The Contractor will be responsible for complying with all
applicable federal state and local laws and requirements
The Contractor shall be responsible for ensuring compliance with the Americans With
Disabilities Act (ADA) Part IV 49 CFR Parts 27 37 and 38 Transportation for
Individuals with Disabilities Final Rule dated September 6 1991 The Contractor shall
also be responsible for complying with any changes in operation mandated by the FTA
The Contractor shall be responsible for establishing and maintaining a driver vehicle
and passenger safety program throughout the duration of the contract
Transportation services shall be provided pursuant to the service description in
contained in Section III of this document or any adjusted schedule established by the
NFRMPO including route modifications required as a result of a declared emergency A
copy of the existing schedule is attached to this RFP
Adherence to timetables is absolutely essential The Contractor shall be responsible for
making every effort to ensure that the subject routes operate according to their public
timetables However the Contractor shall not be held responsible for failure to provide
on -time service due to external conditions over which the Contractor has no control e g
severe weather or extraordinary traffic conditions that preclude scheduled performance
For purposes of performance evaluation on -time performance is defined as follows
1) A fixed route vehicle shall depart at a time point between zero (0) minutes
before and five (5) minutes after the scheduled departure time and the
vehicle shall not leave the time point prior to the scheduled departure
time
2) Adequate back up vehicles for all services should be available to be
dispatched from the yard within 20 minutes of the time when the original
vehicle was scheduled
The Contractor shall be responsible for ensuring that all scheduled trips are operated in
their entirety Any scheduled trip or portion thereof which is not operated pursuant to
schedule shall be reported to the NFRMPO as a missed trip pursuant to Section V D 3
of this document
Contractor shall average a 90% on -time performance record for each quarter of
operation Contractor shall at a minimum complete 99% of all scheduled trips during
every quarter of operation

B Primary Vehicles/Back-Up Vehicles
1 Vehicle Standards for Intercity Fixed Route Service
The Contractor shall utilize the three 2008 Integrated HC C Bus (PC505) vehicles
provided by the NFRMPO as the primary vehicles for this route and provide at
least one comparable back-up vehicle
2 Back-uo Vehicles
The Contractor shall at all times have at least one vehicle available for use as
back-up in the event that one of the primary vehicles is unable to be operated
Whenever a primary vehicle is disabled the Contractor shall dispatch the back-
up into service within twenty (20) minutes of the time when the disability first
occurs The Contractor shall notify the NFRMPO within thirty (30) minutes of the
deployment of any back-up vehicle The Contractor shall take necessary steps
to minimize the use of back-up vehicles by effecting repairs to the primary
vehicles as quickly as possible
The back-up vehicle(s) shall be comparable in size design features color
scheme and equipment to the primary vehicles Any back-up vehicles used by
the Contractor must be clearly identified as operating the NFRMPO service
The Contractor shall specifically identify the vehicle(s) proposed for back-up duty
Such vehicles shall be subject to approval by the NFRMPO Contract Manager
3 Vehicle Maintenance
It shall be agreed by the Contractor that a regularly scheduled program of
preventive maintenance is essential to ensuring sound and cost-effective vehicle
operation To document this the Contractor is required to submit a written
Maintenance Plan as part of this RFP with the Plan containing a detailed
description of the preventive maintenance program to be used by the Contractor
for all vehicles involved in the provision of these services The vehicle
maintenance plan should include the number and skill level of maintenance
employees preventive maintenance programs vehicle defect identification and
repair processes and vehicle cleaning schedules
Throughout the life of this contract the Contractor shall at all times and at its
sole expense cause all components of each vehicle to be maintained in safe and
proper working condition free from damage or malfunction At its expense the
Contractor shall cause any vehicle damaged by accident or otherwise to be
repaired as expeditiously as possible
Any vehicle which sustains damage or experiences failures impairing safe
mechanical operation shall be removed from service immediately and shall not
be reassigned until restored to safe operating condition

The Contractor shall at its expense maintain a stock of and provide fuel
lubricants repair parts and all other materials required for the maintenance and
operation of service vehicles
The Contractor shall maintain each vehicle in a clean condition throughout both
interior and exterior at all times the vehicle is used in service under contract
The exterior of each vehicle shall be washed at a minimum of every two days
throughout the week Additionally prior to the commencement of each service
day vehicle interiors shall be swept and vacuumed and all windows shall be
cleaned The Contractor shall ensure that vehicles are free from insects and
noxious odors
The Contractor shall inspect the cleanliness of each vehicle prior to its
assignment for service and ensure that the wheelchair lit is operational prior to
its assignment for service Vehicles that fad to meet these standards shall be
corrected prior to their assignment for service
The Contractor shall cooperate in monitoring and maintaining the operation of
the farebox equipment (driver's unit the card reader and automatic passenger
counters or other equipment) Contractor shall notify both the farebox contractor
and the NFRMPO immediately of any malfunction experienced by the Smartcard
equipment and will provide weekly reports to the NFRMPO as to the date the
farebox contractor was notified of such malfunctions and when the problem was
resolved The Contractor shall be responsible for the safe -keeping of all farebox
equipment inventory control of spare units and the diagnosis and replacement
of defective equipment
In the case of a change of vehicles the Contractor will provide the NFRMPO a
minimum of two weeks to allow for the transfer of on -board farebox equipment
C Bus Operator Personnel Standards
The Contractor shall ensure that regularly assigned drivers or back-up personnel are
available and on time each day to ensure consistent and reliable service All personnel
must be familiar with the contracted services and also with the services with which they
connect in order to provide accurate information to passengers
7 Uniforms
The Contractor(s) shall ensure that drivers wear appropriate uniforms at all times
which identify them as employees of the Contractor Drivers shall be required to
maintain a clean and neat appearance
Each vehicle operator shall have an accurate timepiece available and in clear
sight at all times during vehicle operation
Contractor shall ensure that all drivers meet the following dress code when
operating intercity buses

• Uniform shirts Clean and neatly pressed free of spots and smudges with
logo provided by Contractor
• Trousers/slacks Clean and neatly pressed free of spots and smudges
• Shoes Kept in good repair and if leather polished Shoes shall be of
such nature as to permit the driver to operate the vehicle safely
2 Trainma
The Contractor shall provide all drivers with training programs which meet State
of Colorado Department of Motor Vehicles (DMV) standards Such programs
shall include but not be limited to the following safe vehicle operating
techniques defensive driving passenger relations accommodation of disabled
passengers schedule and schedule adherence appropriate conduct during
emergency situations The Contractor shall also have in -place a training
program to comply with any applicable governmental illness and injury prevention
program (if applicable)
Drivers shall be trained on actual route operation before the first day of service
The Contractor shall review a current Department of Motor Vehicles (DMV) report
on all applicants for vehicle operator and shall reject any applicant with one or
more moving violations within the past two years or with any failure to appear in
court for driving under the influence
Any operator exceeding the Colorado DMV point system or with a revoked or
suspended license will not be allowed to operate a transit vehicle Also the
NFRMPO reserves the right to request Contractor replace any driver not
acceptable to the NFRMPO in the sole discretion of the NFRMPO
As noted above, it rmll be the responsibility of the Contractor to insure that their drivers
and support personnel participate in the appropriate farebox equipment training
provided through the NFRMPO It will also be the responsibility of the Contractor to
train or obtain training to the use of the farebox system and supporting equipment for
any drivers or appropriate support personnel hired after the initial start-up of the
service
3 Licensma (as appropriate)
All drivers shall be required to have valid Colorado licenses for operation of the
vehicles to which they are assigned All drivers must also have in their
possession at all times when operating a vehicle a valid Colorado Department of
Motor Vehicles (DMV) Medical Examiner's Certificate and valid Training Card (or
equivalent) issued by the State of Colorado DMV The Contractor shall be
responsible for monitoring Department of Motor Vehicle records for drivers to
ensure their continued qualification and suitability for public transit vehicle
operation

4 Medical/Drug/Alcohol Testma
The Contractor shall require pre -employment medical examinations including
drug testing for all prospective drivers and other safety sensitive employees of
the Contractor In addition for any prospective employee who held prior safety -
sensitive positions for another USDOT-funded employer the Contractor shall
after obtaining the required permission check with those previous employers for
any prior positive test results Any person who has not successfully passed such
an examination or who was discharged from previous employment due to a
positive test shall not be permitted to operate a vehicle in any service performed
under contract to the NFRMPO
Additionally the Contractor must have an anti -drug program established for
employees under the Congressionally Mandated Drug -Free Workplace Act The
required anti -drug program would include pre -employment testing testing after
an accident testing when there is reasonable cause random testing testing
before returning to duty to perform sensitive safety functions after a positive drug
test and periodic testing every two (2) years upon receipt or renewal of the DMV
Medical Examiner's Certificate
The Contractor shall comply with the Congressionally Mandated Drug -Free
Workplace Act of 1988 the Omnibus Transportation Employee Testing Act of
1991 and 49 CFR Parts 653 & 654 regarding Drug and Alcohol Testing
providing certification that the drug free workplace and drug/alcohol testing
actions are being/have been implemented
D Record Keeama and Reporting
1 Financial Records
The Contractor shall establish and maintain within a separate account all project
expenditures and any other relevant financial records or documents The
Contractor shall submit invoices to the NFRMPO within five working days after
the end of each month for services rendered during the reporting period
Invoices shall be prepared in such a form and supported by such documentation
as may be required by the NFRMPO to establish that the amounts are allowable
Payment to Contractor shall be made within thirty (30) days after receipt of an
acceptable invoice All invoices shall be addressed as follows

All invoices supporting documents and other financial records relevant to the
contract shall be subject to inspection and audit by representatives of the
NFRMPO the United States Department of Transportation (DOT) and Controller
General of the United States

If at any time during the term of the contract or for three years after its expiration
or termination authorized representatives of the NFRMPO may conduct an audit
of the Contractor regarding the services provided under the contract and if such
audit finds that the NFRMPOs dollar liability for such services is less than
payments made by the NFRMPO to the Contractor the Contractor shall agree
that the difference shall be either 1) repaid by the Contractor to the NFRMPO by
cash payment or 2) at the NFRMPO s option credited against any future
payments hereunder to the Contractor
If such audit finds that the NFRMPO s dollar liability for services provided is
greater than payments made by the NFRMPO to the Contractor the difference
shall be paid to the Contractor by the NFRMPO by cash payment provided that
in no event shall the NFRMPO s maximum obligation for the contract unless
amended by the NFRMPO be exceeded
2 Vehicle Maintenance and Accident Records
The Contractor shall maintain all vehicle maintenance records required under the
laws of the State of Colorado Such records include but are not limited to the
following
a) Copies of work orders for all vehicle maintenance activities
b) Preventive Maintenance Schedule report copies retained in file

c) Ongi a s f the Pre -trip Inspection/Defect reports for each vehicle
Reports containing negative driver notations shall be retained for a
minimum of thirty (30) days reports indicating a vehicle defect
shall become a permanent part of the vehicle file
d) Reports of all road call maintenance shall be retained as a
permanent part of the vehicle file
The Contractor shall maintain an individual file for each vehicle used in the
operation of services under contract to the NFRMPO In addition to the items
above this file shall include but not be limited to the following information by
date of action
a) All preventive maintenance work including parts and labor
utilized
b) All warranty work, if applicable
c) All other types of repair work including parts and labor
d) All fuel fluids and lubricants used
Vehicle maintenance records shall be subject to inspection by representatives of
the NFRMPO and by the Colorado State Patrol
The Contractor shall maintain records of any accident and incident (involving
persons and/or property) occurring in connection with the provision of services in
the contract The Contractor shall 1) immediately notify the NFRMPO of any

such accident and incident and 2) provide such records in connection therewith
as may be required by the NFRMPO A copy of the accident report shall be
placed in the individual vehicle file The NFRMPO reserves the right to inspect a
vehicle that had previously been involved in an accident before that vehicle is
placed in back in service
FTA Accident Incident Reports
The FTA requires all transit agencies report on accidents The Contractor(s) will
be required to provide the NFRMPO with the data required to complete this
cpmponent The Contractor(s) will provide the NFRMPO with the appropriate
reports These include
The Major Incident Report which provides more detailed information
regarding the most severe incidents occurring in the transit environment
Both safety and security occurrences are reported on this Report
Detailed data such as that available from an accident or police report are
used to complete the Major Incident Report A Major Incident is an
incident that involves one or more of the following a fatality a major
injury (immediate medical attention required away from the scene for
three or more persons) $25 000 or more total incident damage an
evacuation due to life safety reasons a collision at a grade crossing or a
main -line derailment One Report is completed for each incident meeting
the criteria
An Other Safety Incident (one reportable on the Summary Safety Report)
is an incident that involves one or more of the following
• Immediate medical attention required away from the scene for one
or two persons
• Total incident damage greater than $5 000 but less than $25 000
• A fire not reported on the Major Incident Report (there is no dollar
threshold for fires)
Reporting Requirement
The Contractor will provide the NFRMPO with the data regarding vehicle
operations and maintenance as well as drug and alcohol testing ADA
procedures and training safety and security procedures and training and other
activities covered by the FTA Triennial Audit requirements
The Contractor will provide the NFRMPO with appropriate Major Incident and
Other Safety Incident Reports (as with all other reports) quarterly In addition
the Contractor shall immediately inform the NFRMPO of any incident involving
fatalities or injured transported to hospitals
The Contractor will provide the NFRMPO with the data to complete the FTA
Summary Safety Report One report is completed per reporting period This
report summarizes the number of incidents that have occurred (collisions fires
vehicles leaving the roadway personal casualties etc ) that have not been
reporting by means of the Major Incident Report

Thresholds for reporting include the property damage threshold which is now
$5 000 total damage and an injury which is any incident which requires
immediate medical attention away from the scene of the incident
A copy of the FTA forms and requirements is included in Attachment M
3 Passenger and Service Operation Records
The Contractors personnel shall perform schedule adherence checks as
requested by the NFRMPO The Contractor shall also be responsible for
submission of monthly service summary reports to the NFRMPO These reports
to be submitted by the Contractor within five working days after the end of each
calendar month shall include but not be limited to the following
a) Number of service miles and service hours summarized
separately for the Monday -Friday Saturday and Sunday periods
and totaled
b) Number of passenger boardings by fare type for each day of
service summarized separately for the Monday -Friday Saturday
and Sunday periods and totaled
c) Listing of all vehicle breakdowns occurring in service with a
description of the cause and corrective actions taken and
d) Listing of all scheduled trips (or portions thereof) missed with
explanations therefore
Additionally NFRMPO representatives will occasionally board the Contractors
vehicles to record passenger activity per stop as part of the NFRMPO s data
gathering activities for FTA National Transit Database reporting requirements or
for other projects as determined by the NFRMPO
E Djsoatchjna of Operators
It is expected that the operator of each of the fixed bus services will be able to
communicate with other local bus operator(s) by using standard radio equipment and
frequencies or other means of communication e g cellular phones If this is not
feasible or other local operators are not implementing this procedure the procedures
shall be implemented to allow the operators to communicate with other systems through
the dispatch centers The bus operator shall maintain radio contact with the Contractors
dispatch center while the vehicle is in service and while it is deadheading back to the
bus yard
F Desianation of Project Manager
Management of the day-to-day operations of services performed under contract to the
NFRMPO shall be vested in a Protect Manager who shall be an experienced employee
of the Contractor The Protect Manager shall function as the primary contact person for
the service(s) and shall be knowledgeable in all areas of the protect The Protect
Manager shall be subject to approval by the NFRMPO

In addition a responsible senior employee of the Contractor shall be available at all
times during the hours in which services are operated to make decisions or provide
assistance as requested by the NFRMPO
The project manager does not have to be 100 percent dedicated to this project It is expected
that a project manager and/or senior employee with authority to address problems and/or
issues that may arise in the operation of transit will be available during operating hours
G Failure to Perform - Liquidated Damages
The NFRMPO shall assess liquidated damages against the Contractor for failure to
perform in accordance with the NFRMPO's service objectives (Section V Contractor
Project Responsibilities) The liquidated damages are not a penalty but are the best
estimates of damages suffered by the NFRMPO resulting from the following failures to
perform which cannot be ascertained with certainty at the inception of the contract
1 Two (2) or more documented instances of violation of maintenance
standards within any monthly accounting period
2 Two (2) or more documented instances of violation of cleanliness
standards within any monthly accounting period
3 Two (2) or more documented instances of failure to provide ridership and
trip sheets as required within any monthly accounting period
4 Failure to meet the on time performance standards (90%) during any
monthly service period or
5 Failure to meet the scheduled trip standard (99%) during any monthly
service period
Items 4 and 5 shall=apply during the first month of service Any violation of Section
C 4 (Medical/Drug Testing) shall be grounds for immediate termination of the contract at
the NFRMPO s sole discretion
The following liquidated damages shall be applied
Forfeiture of payment for two days worth of service hours per route per
revenue vehicle for the first violation of any service objective (Items 1 - 5
above)
Forfeiture of payment for five days worth of service hours per route per
revenue vehicle for the second and third violation of any service objective
(Items 1 5 above)
In addition the NFRMPO may terminate the contract for a fourth violation of any service
objective (Items 1 - 5 above)
If the Contractor receives an unsatisfactory terminal rating from the Colorado State
Patrol (CSP) the Contractor is expected to correct the deficiencies within thirty (30)
days The Contractor is expected to operate in the safest possible manner including
only operating road -ready equipment

H Marketing and Promotions
The Contractor will participate as needed in any appropriate NFRMPO marketing or
promotional activities intended to increase public awareness and ridership The
NFRMPO has the primary responsibility for marketing The Contractor may be called on
to assist in support activities such as distributing the bus schedules advertisements
and surreys
VI REQUIREMENTS AND GENERAL CONDITIONS
In addition to the requirements identified in other sections of the Request for Proposal (RFP)
the following requirements and conditions shall be considered an essential part of the
specifications and proposal
1) Description
Proposal packages are requested for the provision of intercity bus service
operations from Greeley CO to Loveland CO via U S 34
2) Qualifications of Proposers
A proposer must be either the principal of the firm or authorized agent of such
firm Services will be acceptable only if provided by a person firm or corporation
which has and provides documentation in the proposal of
A) Extensive knowledge of local operating conditions
B) Adequate experience in the provision of similar fixed -route public transit
services (see Appendix J for definition)
C) The equipment necessary to assure delivery of the service within the
criteria specified under the Contract
D) Adequately trained personnel to provide the service within the service
criteria specified under the Contract
3) Proposal Procedures
Proposal sheets included with the specifications and proposal request shall be signed by
the proposers authorized representative and the entire proposal (including the
requirements conditions and specifications) returned in a sealed envelope with the
name and address of proposer appearing in the upper left-hand corner of the envelope
and NFRMPO TRANSIT SERVICE in the lower left-hand corner of the proposal
envelope See Section VIII J for RFP schedule
4) Reservations
The NFRMPO reserves the right to reject any or all proposals or any item or items and to
waive any informality or technical defects as the interest of the NFRMPO may require

5) Proposer To Enter Contract
The successful proposer will be required to sign a written contract or purchase order in
accordance with the requirements conditions and specifications as stated in this RFP
with no exceptions other than those specifically listed in the written contract or purchase
order
6) Applicable Law
The laws of the State of Colorado and the United States of America shall govern all the
rights and duties of the successful proposer
7) Contract Bonds
Before execution of the contract by the NFRMPO the proposer shall file with the
NFRMPO surety bonds or a Letter of Credit in the amounts and for purposes noted
below Bonds shall be duly executed by an admitted surety insurer in the State of
Colorado acceptable to the NFRMPO in its sole discretion The proposer shall pay all
bond premiums costs and incidentals
Each bond shall incorporate by reference the contract and be signed by both the
proposer and surety and the signature of the authorized agent of the surety shall be
notarized
The proposer shall provide two good sufficient surety bonds The Payment Bond
(Material and Labor Bond) shall be for not less than 50 percent of the contract price to
satisfy claims of material suppliers and of mechanics and laborers employed by it on the
Contract The bond shall be maintained by the Contractor in full force and effect as
defined below and until all claims for materials and labor are paid and shall otherwise
comply with Colorado law and the requirements of the contract
The performance bond shall be for 25 percent of the contract price to guarantee faithful
performance of all work within the time prescribed in a manner satisfactory to the
NFRMPO
Should any bond become insufficient the Contractor shall renew the bond within ten
(10) days after receiving notice from the NFRMPO
Should any surety at any time be unsatisfactory to the NFRMPO notice will be given the
Contractor to that effect No further payments shall be deemed due or will be made
under the contract until a new surety shall qualify and be accepted by the NFRMPO
Changes in the Contract or extensions of time made pursuant to the contract shall in
no way release the Contractor or surety from their obligations Notice of such changes
or extensions shall be waived by the surety
The bond shall be accompanied by the following documents

A) The original or a certified copy of the un-revoked appointment power of
attorney bylaws or other instrument entitling or authorizing the person who
executed the bond to do so
B) A certified copy of the certificate of authority of the insurer
The material and labor bond must remain in effect until the expiration of six months
after termination of the contract
8) Indemnification
Contractor agrees to indemnify and hold harmless the NFRMPO and its officers
insurers volunteers representative agents employees heirs and assigns from and
against all claims liability damages losses expenses and demands including attorney
fees on account of injury loss or damage including without limitation claims arising
from bodily injury personal injury sickness disease death property loss or damage or
any other loss of any kind whatsoever which arise out of or are in any manner
connected with the contract if such injury loss or damage is caused in whole or in part
by the act omission error professional error mistake negligence or other fault of
Contractor any subcontractor of Contractor or any officer employee representative or
agent of Contractor or which arise out of any worker's compensation claim of any
employee of Contractor or of any employee of any subcontractor of Contractor
THE CERTIFICATE SHALL ALSO CONTAIN THE FOLLOWING LANGUAGE
A) 'The NFRMPO the cities of Greeley Loveland and Johnstown and the
Counties of Lanmer and Weld are additional insured `
B) The liability assumed by Contractor under the provisions of the Hold
Harmless and Indemnity clause contained in the Contract is covered by the
terms of this policy
C) The policy will not be canceled or materially changed without thirty (30) days
prior written notice to the NFRMPO
9) Delrvery
Successful proposer will be required to begin transit as per the specifications of this RFP
and the Contract between April 1 2008 and June 1 2008
In case the service shall be necessarily delayed because of strike injunctions
government controls or by reason of any cause or circumstance beyond the control of
the Contractor the time of completion of delivery shall be extended a number of days to
be determined in each instance by mutual agreement between the successful proposer
and the NFRMPO
10) Pavment
The NFRMPO will make payment to Contractor upon receipt of valid invoice based on
the services delivered during the period preceding the billing Payment will be made on
a per revenue vehicle service hour basis

Payments shall be made within thirty (30) days after Contractor submits valid invoices
for services rendered The invoice will reflect the billing for services rendered The
invoice will include as an attachment a copy of the record verifying fares collected and
deposited and also a copy of the monthly ridership report
11) Interest of Employees
No member officer or employee of the NFRMPO during his/her tenure or for one (1)
year thereafter shall have any interest direct or indirect in the contract or the proceeds
thereof To each party's knowledge no Commissioner officer or employee of the
NFRMPO has any interest whether contractual non -contractual financial or otherwise
in this transaction or in the business of the contracting party other than the NFRMPO
and if any such interest comes to the knowledge of either party at any time a full and
complete disclosure of all such information will be made in writing to the other party or
parties
12) Interest Of Members Of Congress
No member of or delegate of the Congress of the United States shall be admitted to any
share or part of the contract or to any benefit arising there from
13) Equal Employment Opportune
A) In connection with the execution of the contract the Contractor shall not discriminate
against any employee or applicant for employment because of age religion color sex
national origin marital status or any handicap not limiting the ability of the person to
perform the lob contemplated The Contractor shall take affirmative action to ensure that
applicants are employed and that employees are treated during their employment
without regard to their race religion color sex sexual orientation national origin marital
status or any disability not limiting the ability of the person to perform the lob
contemplated Such actions shall include but not be limited to the following
Employment up -grading demotion or transfer recruitment or recruitment advertising
layoff or termination rates of pay or other forms of compensation and selection for
training including apprenticeship Such shall be in compliance with Executive Order
11246 amended by Executive Order 11375 and as supplemented in Department of
Labor regulations (41 CFR Part 60)
B) In connection with the execution of the contract the Contractor must comply with all
aspects of the federal Immigration and Naturalization Act of 1986 as amended
14) Insurance
A) LIABILITY INSURANCE Contractor shall at its own cost and expense
procure and maintain during the term of this agreement liability insurance
coverage of the following types and written on an occurrence" form and
with not less than the following limits of liability
GENERAL PUBLIC LIABILITY AND PROPERTY DAMAGE with
coverage extended for the endorsements to the policy as stated below
with a liability limit of not less than $1 000 000 per occurrence

AND PROVIDED TRANSIT COACHES — Replacement Value per
Occurrence
No later than 10 working days prior to the commencement of work
Contractor shall furnish the NFRMPO with a Certificate of Insurance
evidencing the above coverage requirements
The certificate shall also contain the following language*

B) Workers Compensation Insurance
Contractor shall maintain worker's compensation insurance to cover
obligations imposed by applicable law for any employee engaged in the
performance of work under the contract and shall furnish the NFRMPO
with a certificate evidencing such coverage

15) Audit and Inspection
The Contractor shall permit the authorized representatives of the NFRMPO the U S
Department of Transportation the State of Colorado and the Controller General of the
United States to inspect and audit all data and records of the Contractor relating to its
performance under the contract
The Contractor also shall agree to maintain all required records relating to this project for
at least three (3) years after the NFRMPO makes final payment and all other pending
matters are closed
16) Disadvantaged Business Enterprise (DBE) — if applicable
In connection with the performance of the contract the Contractor shall cooperate with
the NFRMPO in meeting commitments and goals with regard to the maximum utilization
of Disadvantaged Business Enterprises and will use its best efforts to ensure that
Disadvantaged Business Enterprises shall have the maximum practicable opportunity to
compete for subcontract work under the contract Contractor shall submit with proposal
certification of the actual percentage of DBE utilization for this project
A DBE is a business owned and controlled by one or more socially and economically
disadvantaged individuals For the purpose of definition DBE means an enterprise with
control by an individual or individuals who is/are Female Black American Hispanic
American Asian Pacific American Asian Indian American or Native American and other

Owned and controlled means a business which is (1) A sole proprietorship legitimately

17) Subcontractor Approval
Unless prior written consent from the NFRMPO is obtained only those Subcontractors
whose names appear in proposer's quotation shall be used in the performance of the
contract Any Subcontractors used should be listed on the form provided in Appendix G
18) Ownership Of Reports And Documents
Originals of all documents pertaining to the work performed under this agreement shall
become the property of the NFRMPO Copies maybe made for the Contractors records
but shall not be furnished to others without prior written authorization from the NFRMPO

19) Maintenance Of Records
The Contractor agrees to keep and maintain records showing actual time devoted and
all costs incurred in the execution of the agreement for a period of three (3) years from
the accepted completion date
20) Assignment
Neither the NFRMPO nor the Contractor shall assign its interest in this agreement
without prior consent of the other party
21) Debarred Proposers
The Contractor including any of its officers or holders of a controlling interest is
obligated to inform the NFRMPO by certificate whether or not it is or has been on any list
maintained by the United States Government as a Contractor who has been debarred
suspended proposed for debarment declared ineligible or voluntarily excluded from
participation in any Federal contracts Should the Contractor be included on such a list
during the performance of this protect it shall so inform the NFRMPO Certificate
pursuant to this provision is included with RFP as Appendix E
22) Title VI Of The Civil Rights Act Of 1964
During the performance of the contract the Contractor for itself its assignees and
successors in interest agrees as follows
A Compliance with Regulations The Contractor shall comply with the
Regulations relative to nondiscrimination in federally assisted programs of
the Department of Transportation (hereinafter DOT ) Title 49 Code of
Federal Regulations Part 21 as they may be amended from time to time
(hereinafter referred to as the Regulations) which are herein incorporated
by reference and made a part of the contract
B Nondiscrimination The Contractor with regard to the work performed
by it during the contract shall not discriminate on the grounds of race
color or national origin in the selection and retention of subcontractors
including procurement of materials and leases of equipment The
Contractor shall not participate either directly or indirectly in the
discrimination prohibited by Section 21 5 of the Regulations including
employment practices when the contract covers a program set forth in the
Regulations The proposal should include a statement by the Contractor
certifying its compliance with the Regulations

and Equipment In all solicitations either by competitive bidding or
negotiation made by the Contractor for work to be performed under a
subcontract including procurement of materials or leases of equipment
each potential subcontractor or supplier shall be notified by the Contractor
of the Contractor's obligations under the contract and the Regulations
relative to non-discrimination on the grounds of race color or national
origin

D Information and Reports The Contractor shall provide all information
and reports required by the Regulations or directives issued pursuant
thereto and shall permit access to its books records accounts other
sources of information and its facilities as may be determined by the
NFRMPO or the Federal Transit Administration to be pertinent to
ascertain compliance with such Regulations orders and instructions
Where any information required of a Contractor is in the exclusive
possession of another who fads or refuses to furnish this information the
Contractor shall so certify to the NFRMPO or the Federal Transit
Administration as appropriate and shall set forth what efforts it has made
to obtain the information
E Sanctions for Noncompliance In the event of the Contractors
noncompliance with nondiscrimination provisions of the contract the
NFRMPO shall impose contract sanctions as it or the Federal Transit
Administration may determine to be appropriate including but not limited
to
1 Withholding of payments to the Contractor under the contract until
the Contractor complies and/or
2 Cancellation termination or suspension of the contract in whole
or in part
F Incorporation of Provisions The Contractor shall include the
provisions of paragraphs "A" through F in every subcontract including
procurement of materials and leases of equipment unless exempt by the
Regulations or directives issued pursuant thereto The Contractor shall
take such action with respect to any subcontract or procurement as the
NFRMPO or the Federal Transit Administration may direct as a means of
enforcing such provisions including sanctions for noncompliance
provided however that in the event a Contractor becomes involved in or
is threatened with litigation with a subcontractor or supplier as a result of
such direction the Contractor may request the NFRMPO and in addition
the Contractor may request the United States to enter into such litigation
to protect the interests of the United States
23) Labor Provisions - Non Construction Contracts
A) Overtime Requirements
No Contractor or subcontractor contracting for any part of the Contract work
which may require or involve the employment of laborers or mechanics shall
require or permit any such laborer or mechanic in any work week in which he or
she is employed on such work to work in excess of forty hours in such work week
unless such laborer or mechanic receives compensation at a rate not less than
that required under the federal Fair Labor Standard regulations
B) Violation. Liability for Unpaid Wanes, Lrgwdated Damages

In the event of any violation of the clause set forth in subparagraph (b)(1) of 29
CFR Section 5 5 the Contractor and any subcontractor responsible therefore
shall be liable for the unpaid wages In addition such Contractor and
subcontractor shall be liable to the United States for liquidated damages Such
liquidated damages shall be computed with respect to each individual laborer or
mechanic including watchmen and guards employed in violation of the clause
set forth in subparagraph (b)(1) of 29 CFR Section 5 5 Contractor shall operate
under the applicable provisions of the federal Fair Labor Standards regulations
C) Withholding for Unpaid Wanes and Liquidated Damages
The USDOT or the NFRMPO shall upon its own action or upon written request of
an authorized representative of the Department of Labor withhold or cause to be
withheld from any monies payable on account of work performed by the
Contractor or subcontractor under any such contract or any other Federal
contract with the same prime Contractor or any other Federally -assisted contract
which is held by the same prime Contractor such sums as may be determined to
be necessary to satisfy any liabilities of such Contractor or subcontractor for
unpaid wages/liquidated damages as provided in the clause set forth in
subparagraph (b)(2) of 29 CFR Section 5 5
D) Nonconstruction Grants
The Contractor or subcontractor shall maintain payrolls and basic payroll records
during the course of the work and shall preserve them for a period of three (3)
years from the completion of the Contract for all laborers and mechanics
including guards and watchmen working on the Contract Such records shall
contain the name and address of each such employee social security number
correct classifications hourly rates of wages paid daily and weekly number of
hours worked deductions made and actual wages paid Further the NFRMPO
shall require the contracting officer to insert in any such contract a clause
providing that the records to be maintained under this paragraph shall be made
available by the Contractor or subcontractor for inspection copying or
transcription by authorized representatives of the USDOT and the Department of
Labor and the Contractor or sub -contractor will permit such representatives to
interview employees during working hours on the job
E) Subcontracts
The Contractor or subcontractor shall insert in any subcontracts the clauses forth
in subparagraph (A) through (E) of this paragraph and also a clause requiring the
subcontractors to include these clauses in any lower tier subcontract The prime
Contractor shall be responsible for compliance by any subcontractor or lower tier
subcontractor with the clauses set forth in subparagraphs (A) through (E) of this
paragraph
24) No Obligation by the Federal Government
(1) The Purchaser and Contractor acknowledge and agree that notwithstanding
any concurrence by the Federal Government in or approval of the solicitation
or award of the underlying contract absent the express written consent by

Purchaser Contractor or any other party (whether or not a party to that
contract) pertaining to any matter resulting from the underlying contract

25) Program Fraud and False or Fraudulent Statements or Related Acts
(1) The Contractor acknowledges that the provisions of the Program Fraud Civil
Remedies Act of 1986 as amended 31 U S C 3801 at sec and U S DOT
regulations Program Fraud Civil Remedies 49 C F R Part 31 apply to its
actions pertaining to this Protect Upon execution of the underlying contract
the Contractor certifies or affirms the truthfulness and accuracy of any
statement it has made it makes it may make or causes to be made
pertaining to the underlying contract or the FTA assisted project for which the
contract work is being performed In addition to other penalties that may be
applicable the Contractor further acknowledges that if it makes or causes to
be made a false fictitious or fraudulent claim statement submission or
certification the Federal Government reserves the right to impose the
penalties of the Program Fraud Civil Remedies Act of 1986 on the Contractor
to the extent the Federal Government deems appropriate
(2) The Contractor also acknowledges that if it makes or causes to be made a
false fictitious or fraudulent claim statement submission or certification to
the Federal Government under a contract connected with a protect that is
financed in whole or in part with Federal assistance originally awarded by
FTA under the authority of 49 U S C 5307 the Government reserves the
right to impose the penalties of 18 U S C 1001 and 49 U S C 5307(n)(1)
on the Contractor to the extent the Federal Government deems appropriate
(3) The Contractor agrees to include the above two clauses in each subcontract
financed in whole or in part with Federal assistance provided by FTA It is
further agreed that the clauses shall not be modified except to identify the
subcontractor who will be subject to the provisions
26) Lobbying
Contractor shall file the certification required by 49 CFR part 20 New Restrictions
on Lobbying Each tier certifies to the tier above that it will not and has not used
Federal appropriated funds to pay any person or organization for influencing or
attempting to influence an officer or employee of any agency a member of
Congress officer or employee of Congress or an employee of a member of
Congress in connection with obtaining any Federal contract grant or any other
award covered by 31 U S C 1352 Each tier shall also disclose the name of any
registrant under the Lobbying Disclosure Act of 1995 who has made lobbying
contacts on its behalf with non -Federal funds with respect to that Federal contract

grant or award covered by 31 U S C 1352 Such disclosures are forwarded from
tier to tier up to the recipient
27) Incorporation Of Federal Transit Administration (FTA) Terms
The provisions in this Section (FTA Requirements) include in part certain Standard
Terms and Conditions required by the U S Department of transportation (DOT)
whether or not expressly set forth in the preceding provisions All contractual
provisions required by DOT as set forth in FTA Circular 4220 1D dated April 15
1996 as it may be amended from time to time are hereby incorporated in the
contract reference Anything to the contrary herein notwithstanding all FTA
mandated terms shall be deemed to control in the event of a conflict with other
provisions contained in the contract The Contractor shall not perform any act fad to
perform any act or refuse to comply with any requests of the City which would
cause the City to be in violation of the FTA terms and conditions
28) Contracts Involving Federal Privacy Act Requirements
The following requirements apply to the Contractor and its employees that
administer any system of records on behalf of the Federal Government under any
contract
(1) The Contractor agrees to comply with and assures the compliance of its
employees with the information restrictions and other applicable requirements of
the Privacy Act of 1974 5 U S C ' 552a Among other things the Contractor agrees
to obtain the express consent of the Federal Government before the Contractor or
its employees operate a system of records on behalf of the Federal Government
The Contractor understands that the requirements of the Privacy Act including the
civil and criminal penalties for violation of that Act apply to those individuals
involved and that failure to comply with the terms of the Privacy Act may result in
termination of the underlying contract
(2) The Contractor also agrees to include these requirements in each subcontract
to administer any system of records on behalf of the Federal Government financed
in whole or in part with Federal assistance provided by FTA
(3) The Contractor agrees to comply with applicable transit employee protective
requirements as follows
(a) General Transit Employee Protective Requirements - To the extent
that FTA determines that transit operations are involved the Contractor
agrees to carry out the transit operations work on the underlying contract
in compliance with terms and conditions determined by the U S
Secretary of Labor to be fair and equitable to protect the interests of
employees employed under the contract and to meet the employee
protective requirements of 49 U S C A 5333(b) and U S DOL guidelines
at 29 C F R Part 215 and any amendments thereto These terms and
conditions are identified in the letter of certification from the U S DOL to
FTA applicable to the FTA Recipients protect from which Federal
assistance is provided to support work on the underlying contract The

Contractor agrees to carry out that work in compliance with the conditions
stated in that U S DOL letter The requirements of this subsection
however do not apply to any contract financed with Federal assistance
provided by FTA either for protects for elderly individuals and individuals
with disabilities authorized by 49 U S C 5310(a)(2) or for protects for
non -urbanized areas authorized by 49 U S C 5311 Alternate provisions
for those protects are set forth in subsections (b) and (c) of this clause
(b)
Disabilities - If the contract involves transit operations financed in whole
or in part with Federal assistance authorized by 49 U S C ' 5310(a)(2)
and if the U S Secretary of Transportation has determined or determines
in the future that the employee protective requirements of 49 U S C
5333(b) are necessary or appropriate for the state and the public body
subrecipient for which work is performed on the underlying contract the
Contractor agrees to carry out the Project in compliance with the terms
and conditions determined by the U S Secretary of Labor to meet the
requirements of 49 U S C' 5333(b) U S DOL guidelines at 29 C F R
Part 215 and any amendments thereto These terms and conditions are
identified in the U S DOL's letter of certification to FTA the date of which
is set forth Grant Agreement or Cooperative Agreement with the state
The Contractor agrees to perform transit operations in connection with the
underlying contract in compliance with the conditions stated in that U S
DOL letter
(c ) Transit Employee Protective Requirements for Proiects Authorized by
49 U S C 5311 in Non -urbanized Areas - If the contract involves transit
operations financed in whole or in part with Federal assistance authorized
by 49 U S C 5311 the Contractor agrees to comply with the terms and
conditions of the Special Warranty for the Non -urbanized Area Program
agreed to by the U S Secretaries of Transportation and Labor dated May
31 1979 and the procedures implemented by U S DOL or any revision
thereto
(4) The Contractor also agrees to include the any applicable requirements in
each subcontract involving transit operations financed in whole or in part with
Federal assistance provided by FTA
29) Business Plan Description
All proposers shall be required to submit a Business Plan Description as part of
their proposal package Failure to submit such Plan description or omission of
any of the items listed below may render the RFP non -responsive and result in
its rejection by the NFRMPO
The Business Plan Description shall describe the policies procedures and
practices to be followed by the Contractor in the provision of services under
contract to the NFRMPO

Additionally the Plan shall provide information sufficient to document compliance
with all requirements stated herein and demonstrate financial and organizational
capacity to satisfactorily perform the specified services The Business Plan shall
include but not be limited to the following
1 Documentation of financial condition including the submission of certified
or audited financial statements for the past three years as well as a
citation of credit references
2 Description of organizational structure and summary of qualifications for
personnel (including the Project Manager) assigned to management of
the project
3 Description of current and past experience in the operation of public and
other types of transportation services
4 Description of procedures for operation monitoring and field supervision
of transportation services
5 Record keeping and reporting procedures
6 Description of hiring and training practices for drivers
7 Description of safety (including passengers personnel and equipment)
programs and procedures
8 Evidence of all insurance coverage required herein
9 Evidence of a Substance Abuse Program for employees performing
sensitive safety functions and assurance of compliance with federal
testing and program requirements
Business Plans shall at a minimum address each of the above items in
sufficient detail to enable the NFRMPO to evaluate the characteristics and
capabilities of proposers
VII CONTRACT PROVISIONS
A Chanaes
It shall be understood and agreed by the Contractor that the NFRMPO may at
any time during the progress of this project increase decrease or modify the
transportation services to be performed by the Contractor Any such change
shall not invalidate the contract governing this project and the Contractor shall
agree to perform the work as altered as if it had been a part of the original
contract
If any of such changes causes an increase or decrease in the number of hours of
transportation service provided by the Contractor for this project the NFRMPO
will make an adjustment to the Contractors compensation based upon its
average hourly operating cost as calculated from the information stated on the
Proposal Cost Form submitted with the proposal package

B Termination
Termination for Convenience of the NFRMPO
The NFRMPO may terminate the contract with or without cause in whole
or in part at any time after award of the contract by provision of sixty (60)
days written notice to the Contractor whenever for any reason the
NFRMPO shall determine that such action is in its best interests The
foregoing not withstanding the NFRMPO may terminate the contract
immediately upon documented evidence that one or more of the
Contractors drivers on the subject route are in violation of Section C 4
Upon the effective date of the written notice of termination the Contractor
shall cease performance of services to the extent specified in the notice
The NFRMPO shall pay the Contractor allowable costs incurred
Termination for Default
Subject to the provisions of Section VII (13)(4) below the NFRMPO may
by written notice of default to the Contractor terminate the contract in
whole or in part if the Contractor fads to perform the transportation
services described herein within the time and in the manner specified in
the contract or any extension thereof or fads to perform any of the other
provisions of the contract The NFRMPO s right to terminate the contract
may be exercised if the Contractor does not cure the condition(s)
constituting default within ten (10) calendar days after receipt of written
notice from the NFRMPO specifying the failure
Contractor Liability for Excess Costs
If the NFRMPO terminates the contract in whole or in part due to the
default of the Contractor as described above it may acquire under terms
and in the manner the NFRMPO considers appropriate services similar
to those terminated and the Contractor shall be liable to the NFRMPO for
any excess costs for those services
4 Contractor Liability for Excess Costs in the Event of Default
due to Circumstances Beyond Its Control
Except for default of subcontractors at any tier the Contractor shall not be
liable for any excess costs if the failure to perform contract services arises
from causes beyond the control and without the fault or negligence of the
Contractor Examples of such causes include acts of God natural
disasters quarantine restrictions or unusually severe weather as they
may effect the direct operation of transit service in the area wherein
Contractor service is proposed In each instance the failure to perform
must be beyond the control and without the negligence of the Contractor
5 Payment for Conforming Services

Upon termination of the contract due to Contractor default as described
herein the NFRMPO shall pay the Contractor for conforming services
actually provided to date of termination less previous payments
6 Termination by the Contractor
The Contractor shall have the right to terminate the contract upon the
provision of one hundred twenty (120) days written notice to the
NFRMPO In the event of such termination by the Contractor the
NFRMPO shall pay the Contractor for conforming services actually
provided to the effective date of termination less previous payments All
finished and unfinished documents records and reports relating to
services provided by the contract shall become NFRMPO property
C Disputes And Claims Procedure
1) General Any and all decisions made on appeal pursuant to this
Subsection shall be in writing Any "decision purportedly made pursuant
to this Subsection which is not in writing shall not be binding upon the
NFRMPO and should not be relied upon by the Contractor
Filing or giving written notice to the NFRMPO within ten (10) calendar
days of the origin of a claim is prerequisite to recovery under a
Contractor's claim for additional compensation nothing in this subsection
shall excuse the Contractor from his duty to file or give the required
notices or from performing other duties required by the contract

2) Administrative Review Prior to seeking judicial relief the
Contractor shall exhaust his administrative remedies by attempting to
resolve the dispute or claim with the NFRMPO s staff in the following
sequence

Should the Contract Manager fail to address a request by the Contractor
for review of a disputed decision within fourteen (14) calendar days after
receiving such request the Contractor may proceed directly to the next
person on the list that is the Executive Director of the NFRMPO

twenty-eight (28) calendar days after receiving such request and all
necessary supporting data The Director's decision on the dispute or
claim shall be the NFRMPO s final decision

NFRMPO/FEDERAL GUIDELINES FOR PROPOSAL PROTEST PROCEDURES
FOR FEDERAL GRANTS-IN-AID AND PROCUREMENTS OVER $25,000
I GENERAL
This policy specifies procedures for the protest by bidders of the following
staff actions
1 A written notice by the Contract Manager or Executive Director
denying a bidders request for a change in specification
requirement
2 A written recommendation to the NFRMPO for decision by the
Contract Manager or the Executive Director to disqualify a
bidder or subcontractor,
3 A written recommendation by the Contract Manager or
Executive Director to the NFRMPO to award a contract to a
particular bidder
a This policy does not govern any NFRMPO staff
decision not listed in Section I or any decision by the
NFRMPO Nothing in this policy shall preclude or
otherwise restrict the challenge procedure
b When a protest has been properly filed prior to contract
award, the NFRMPO shall not award the contract prior
to deciding the protest When a protest has been
properly filed before the opening of bids, bids shall not
be opened prior to the NFRMPO decision on the
protest

11 Fdina of a Protest
A Protests may be filed only by interested parties Interested parties
are defined as prospective bidders on an NFRMPO contract and
subcontractors or suppliers at any tier who have a substantial
economic interest in an award a provision of the specifications or a
bid submitted to the NFRMPO by a prime contractor or in the
interpretation of the provisions of such documents
B Protests to a specification requirement must be filed at least ten (10)
working days prior to bid opening Protests to the staff actions above
must be filed within five (5) working days of receipt by the bidder of
written notice of the staff action from the Executive Director or
Contract Manager
1 Protests must be addressed to NFRMPO, 419 Canyon
Avenue suite 300, Fort Collins CO 80521
2 Protests must be in writing and contain a statement of the
ground(s) for protest At least ten (10) copies of the protest
must be submitted by the protestor in the time and manner
specified in this section
3 The Executive Director shall provide notice by telephone,
telephone facsimile (FAX) or by letter, to all bidders known to
the NFRMPO on the contract which is the subject of the
protest Such notice shall state that a protest has been filed
with the NFRMPO and identify the name of the protestor The
notice shall be given not more than five (5) working days after
receipt of a properly filed protest The notice shall state that
bidders will receive further information relative to the protest
only by submitting a written request for further information to
the Executive Director
A Not more than ten (10) working days after receipt of a properly filed
protest the Executive Director shall prepare and distribute to the
protestor and to all persons specified in Section 11 (B ) (3 )
1 A written preliminary response to the protest This response
shall include a brief explanation of the reasons why the
protested staff action is justified, and
2 The time date and place of the meeting described in Section
III(B) below
B The Executive Director and/or appropriate NFRMPO staff shall meet
with the protester to discuss and attempt to resolve the protest
C After the meeting the protestor shall, within five (5) working days,
give the Executive Director written notice that either the protest is
withdrawn or alternately that the protestor requests further
consideration of the protest In the event that the protestor fads to file
this notice at the office of the Executive Director within five (5)
working days after the meeting, the protest shall be deemed
withdrawn
IV Further Investigation
A If a protest is not withdrawn pursuant to Section III above, the
Executive Director shall further investigate the protest with the
assistance of the NFRMPO staff
B The Executive Director may contract for third -party consulting
services when necessary to investigate a protest The Executive
Director may negotiate with a protestor and other interested parties
the sharing of the cost of such consulting services
C As part of the investigation, the Executive Director shall establish
reasonable ties in which NFRMPO the protestor, and other
interested parties shall exchange all documents and arguments
relevant to the protest
V Intended Decision Comments by Protestor and Other Parties
A Following investigation the Executive Director shall prepare and
distribute to the protestor and all persons specified in Section
II(B )(3 ) above
1 An intended decision recommending actions which the
Executive Director believes the NFRMPO should take to
resolve the protest and specifying the reasons for the
recommended action of the NFRMPO
2 A statement of the date within which the protestor and other
persons must submit written comments with respect to the
intended decision Such date shall allow a reasonable period

Definitions of Fixed -Route
Definitions of terms defined by the Federal Transit Administration National Transit
Database are from the latest NTD Reporting Manual "(APTA)" indicates a term

Fixed -Route (APTA)--Service provided on a repetitive, fixed -schedule basis along

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this day of 200 ,
by and between THE NORTH FRONT RANGE TRANSPORTATION AND AIR
QUALITY PLANNING COUNCIL (the "MPO") and , ("Professional")
In consideration of the mutual covenants and obligations herein expressed, it is
agreed by and between the parties hereto as follows
1 Scope of Services Professional agrees to provide services in accordance
with the scope of services attached hereto as Exhibit A and incorporated herein by this
reference (the "Scope of Services")
2 Time The services to be performed pursuant to this Agreement shall be
initiated as specified on the Scope of Services Time is of the essence Any extensions of
any time limit must be agreed upon in writing by the parties hereto
3 Contract Period This Agreement shall commence on and shall
continue in full force and effect until I ), unless terminated sooner as herein provided
4 Default Each and every term and condition hereof shall be deemed to be a
material element of this Agreement In the event either party should fail or refuse to
perform according to the terms of this agreement, such party may be declared in default,
and this Agreement may be terminated
5 Early Termination by MPO Notwithstanding the time periods contained
herein, the MPO may terminate this Agreement at any time for the MPO's convenience or
because of the failure of Professional to fulfill the contract obligations The MPO shall
terminate by providing at least fifteen (15) days prior written notice of termination by
delivering to Professional a notice of termination specifying the nature, extent, and
effective date of the termination Upon receipt of the notice, Professional shall
immediately discontinue all services affected (unless the notice directs otherwise) and
deliver to the MPO all data, drawings, specifications, reports, estimates, summaries, and
other information and materials accumulated in performing this contract, whether
completed or in process If the termination is for convenience, the MPO shall make an
equitable adjustment in the contract price but shall allow no anticipated profit on
unperformed services If the termination is for failure of Professional to fulfill the contract
obligations the MPO may complete the work and Professional shall be liable for any
additional cost incurred by the MPO If after termination for failure to fulfill contract
obligations, it is determined that Professional was not in default, the rights and obligations
of the parties shall be the same as if the termination had been issued for the convenience of
the MPO
6 Opportunity to Cure In the case of a breach or default, the MPO may, in its
sole discretion, allow Professional a period of time in which to cure the defect In such

case, the notice of termination shall state the time period in which cure is permitted and
other appropriate conditions If Professional fails to remedy to the MPO's satisfaction the
breach or default or any of the terms, covenants, or conditions of this Agreement within ten
(10) days after receipt by Professional of written notice from the MPO setting forth the
nature of said breach or default, the MPO may terminate the Agreement without any
further obligation to Professional and seek damages, may treat the Agreement as
continuing and require specific performance, or may avail itself of any other remedy at law
or equity If the MPO commences legal or equitable actions against Professional,
Professional shall be liable to the MPO for the MPO's reasonable attorney fees and costs
incurred because of the default Any such termination for default shall not in any way
operate to preclude the MPO from also pursuing all available remedies against Professional
and its sureties for said breach or default
7 Waiver of Remedies for any Breach If the MPO elects to waive its
remedies for any breach by Professional of any covenant, term or condition of this
Agreement, such waiver by the MPO shall not limit the MPO's remedies for any
succeeding breach of that or of any other term, covenant, or condition of this Agreement
8 Responsibility Professional shall be responsible for the professional
quality, technical accuracy, timely completion and the coordination of all services rendered
by the Professional, including but not limited to designs, plans, reports, specifications, and
drawings and shall, without additional compensation, promptly remedy and correct any
errors, omissions, or other deficiencies
9 Indemnification Professional shall indemnify, hold harmless and defend
the MPO and its representatives, officers, employees, agents, and contractors from and
against all liabilities, penalties, costs, losses, damages, expenses, causes of action, claims,
demands, or judgments, including, without limitation, reasonable attorney fees, ansing
from or in any way connected with injury to or the death of any person or physical damage
to any property resulting from any act, omission, condition, or other matter related to this
Agreement
10 Insurance Professional shall maintain commercial general liability
insurance in the amount of $500,000 combined single limits, and errors and omissions
insurance in the amount of $1,000,000
11 Compensation In consideration of the services to be performed pursuant to
this Agreement, the MPO agrees to pay Professional on a time and reimbursable direct cost
basis according to the schedule outlined in the Scope of Work — Exhibit A, with maximum
compensation (for both Professional's time and reimbursable direct costs) not to exceed
dollars ($ _) Monthly invoices are required and shall include a description of
services performed, along with number of hours and stated rates per hour Supporting
documentation shall also be submitted for any reimbursable direct costs The amounts of
all such billings shall be based upon the Professional's MPO-venfied progress in
completing the services to be performed pursuant to the Scope of Services and upon
approval of the Professional's direct reimbursable expenses Final payment shall be made
following acceptance of the work by the MPO
12 Records and Reports The MPO and Professional shall maintain all books,
records, and other documentation pertaining to the Scope of Services and necessary to
completely substantiate all costs incurred and billed to the MPO during the term of this
Agreement for a period of three (3) years from the date of final payment under the terms of
this Agreement These records shall be made available for inspection and audit to any state
or federal authority authorized to inspect such records and copies thereof shall be furnished
at the expense of Professional, if so requested
13 Ownership of Work Product Upon final payment, all designs, plans,
reports, specifications, drawings, and other services rendered by Professional shall become
the sole property of the MPO, which shall have the royalty -free, nonexclusive and
irrevocable right to reproduce, publish, or otherwise use and authorize others to use all such
materials for authorized government purposes Other entities that may reproduce, publish,
or otherwise use the designs, plans, reports, specifications, drawings, and other services
rendered by Professional include but are not limited to the Colorado Department of
Transportation ("CDOT"), the Federal Transportation Administration ("FTA"), and the
Federal Highway Administration ("FHWA")
14 MPO Representative The MPO shall designate, prior to commencement of
work, its project representative who shall make, within the scope of his or her authority, all
necessary and proper decisions with reference to the project All requests for contract
interpretations, change orders, and other clarification or instruction shall be directed to the
MPO Representative
15 Project Documents Upon conclusion of the project and before final
payment, the Professional shall provide the MPO with reproducible documents of the
project containing accurate information on the project as designed Documents shall be of
archival quality, and also available in an electronic format, in an agreed upon format
16 Monthly Report Commencing at the end of the calendar month following
the date of execution of this Agreement and every calendar month end thereafter,
Professional shall provide the MPO with a written report of the status of the work Failure
to provide any required monthly report may, at the option of the MPO, suspend the
processing of any partial payment request
17 Independent Contractor The services to be performed by Professional are
those of an independent contractor and not of an employee of the MPO The MPO shall
not be responsible for withholding any portion of Professional's compensation hereunder
for the payment of FICA, Workers' Compensation, other taxes or benefits or for any other
purpose
18 Personal Services It is understood that the MPO enters into this Agreement
based on the special abilities of Professional and that this Agreement shall be considered as
an agreement for personal services Accordingly, Professional shall neither assign any
responsibilities nor delegate any duties, nor create any subcontracts ansmg under this
Agreement without the prior written consent of the MPO
19 Conflict of Interests and Prohibited Interests The MPO and Professional
represent that neither has any interests and shall not acquire any interests, directly or
indirectly, that would conflict in any manner or degree with the performance and services
required to be performed under this Agreement The MPO and Professional further
represent that no member or delegate to the Congress of the United States shall be admitted
to any share or part of this Agreement or to any benefit ansmg therefrom In addition no
employee, officer, or agent of the MPO shall participate in selection or in the award or
administration of this Agreement if a conflict of interest, real or apparent, would be
involved Such conflict would arise when the employee, officer or agent, any member of
his immediate family, his or her partner, or an organization which employs, or is about to
employ any of the foregoing, has a financial or other interest in the firm selected for award
The MPO's officers, employees, or agents shall neither solicit nor accept gratuities, favors
or anything of monetary value from contractors, potential contractors, or parties of
subagreements
20 No Waiver The MPO's approval of drawings, designs, plans,
specifications, reports, and incidental work or materials furnished hereunder shall not in
any way relieve the Professional of responsibility for the quality or technical accuracy of
the work The MPO's approval or acceptance of, or payment for, any of the services shall
not be construed to operate as a waiver of any rights or benefits provided to the MPO under
this Agreement
21 No Government Obligation to Third Parties The MPO and Professional
acknowledge and agree that, notwithstanding any concurrence by the federal government
in or approval of the solicitation or award of the underlying contract, absent the express
written consent by the federal government, the federal government is not a party to this
Agreement and shall not be subject to any obligations or liabilities to the MPO,
Professional, or any other party (whether or not a party to this Agreement) pertaining to
any matter resulting from this Agreement
22 Notices All notices provided under this Agreement shall be effective when
mailed, postage prepaid and sent to the following addresses

23 Incorporation of FTA Terms This Agreement includes certain Standard
Terms and Conditions required by the federal Department of Transportation ("DOT') and
other federal and state authonties, whether or not expressly set forth in this Agreement
All contractual provisions required by DOT, as set forth in FTA Circular 4220 1D, dated
Apnl 15, 1996, are hereby incorporated by reference Anything to the contrary herein
notwithstanding, all FTA mandated terms shall be deemed to control in the event of a
conflict with other provisions contained in this Agreement Professional shall not perform
any act, fail to perform any act, or refuse to comply with any the MPO requests which
would cause the MPO to be in violation of the FTA terns and conditions
24 Grant Assurances and Federal Requirements This Agreement involves the
expenditure of federal funds, which requires the MPO and Professional at all times dunng
the execution of this Agreement to adhere to and comply with all applicable federal laws
and regulations, as they currently exist and may hereafter be amended, which are
incorporated herein by this reference as terms and conditions of this Agreement A non -
exhaustive list of federal laws and regulations that may be applicable is included below
By signing this Agreement, Professional avers that it is his or her responsibility to be
aware of the requirements that may be imposed by the following federal laws and
regulations, and others not listed, that he or she is aware of any such requirements, and
that he or she will comply with all applicable laws and regulations
a Laws and regulations prohibiting false claims and statements from
being made to the federal government, 31 U S C A § 3801, et seg , 49 C F R Part
31 and 18USCA §1001
b Federal pnvacy law, 5 U S C A§ 552,
c Nondiscnmmation and equal employment opportunity laws in
accordance with Title VI of the Civil Rights Act, 42 U S C A § 2000d, § 303 of the
Age Discnmmation Act of 1975, 42 U S C A § 6102, § 202 of the Amencans with
Disabilities Act of 1990, 42 U S C A § 12132 ("ADA"), and Federal transit law, 49
U S C A § 5332,
d Mandatory standards and policies relating to energy efficiency that
are contained in the state energy conservation plan issued in compliance with the
Energy Policy and Conservation Act, 42 U S C A § 6201
25 Binding Effect This Agreement, together with the exhibits hereto,
constitutes the entire agreement between the parties and shall be binding upon said parties,
their officers, employees, agents and assigns and shall inure to the benefit of the respective
survivors, heirs, personal representatives, successors and assigns of said parties
26 Governing Law The laws of the State of Colorado shall govern the
construction, interpretation, execution and enforcement of this Agreement
27 Severability In the event any provision of this Agreement shall be held
invalid or unenforceable by any court of competent jurisdiction, such holding shall not
invalidate or render unenforceable any other provision of this Agreement
28 Prohibition Against Employing Illegal Aliens This paragraph shall apply to
all Contractors whose performance of work under this Agreement does not involve the
delivery of a specific end product other than reports that are merely incidental to the
performance of said work Pursuant to Section 8-17 5-101, C R S , et seq , Contractor
represents and agrees that
a As of the date of this Agreement
1 Contractor does not knowingly employ or contract with an illegal
alien, and
2 Contractor has participated or attempted to participate in the basic
pilot employment verification program created in Public Law 208,
104th Congress, as amended, and expanded in Public Law 156,
108th Congress, as amended, administered by the United States
Department of Homeland Security (the "Basic Pilot Program') in
order to confirm the employment eligibility of all newly hired
employees
b Contractor shall not knowingly employ or contract with an illegal
alien to perform work under this Agreement or knowingly enter into a contract with
a subcontractor that knowingly employs or contracts with an illegal alien to perform
work under this Agreement
c Contractor shall continue to apply to participate in the Basic Pilot
Program and shall in writing verify same every three (3) calendar months thereafter,
until Contractor is accepted or the public contract for services has been completed,
whichever is earlier The requirements of this section shall not be required or
effective if the Basic Pilot Program is discontinued
d Contractor is prohibited from using Basic Pilot Program procedures
to undertake pre -employment screening of job applicants while this Agreement is
being performed
e If Contractor obtains actual knowledge that a subcontractor
performing work under this Agreement knowingly employs or contracts with an
illegal alien, Contractor shall
1 Notify such subcontractor and the City within three days that
Contractor has actual knowledge that the subcontractor is employing or
contracting with an illegal alien, and
2 Terminate the subcontract with the subcontractor if within
three days of receiving the notice required pursuant to this section the
subcontractor does not cease employing or contracting with the illegal alien,
except that Contractor shall not terminate the contract with the subcontractor
if during such three days the subcontractor provides information to establish
that the subcontractor has not knowingly employed or contracted with an
illegal alien
f Contractor shall comply with any reasonable request by the
Colorado Department of Labor and Employment (the' Department ) made in the
course of an investigation that the Department undertakes or is undertaking
pursuant to the authority established in Subsection 8-17 5-102 (5), C R S
g If Contractor violates any provision of this Agreement pertaining to
the duties imposed by Subsection 8-17 5-102, C R S the City may terminate this
Agreement If this Agreement is so terminated, Contractor shall be liable for actual
and consequential damages to the City ansmg out of Contractor's violation of
Subsection 8-17 5-102, C R S
h The City will notify the Office of the Secretary of State if Contractor
violates this provision of this Agreement and the City terminates the Agreement for
such breach
29 Special Provisions Special provisions or conditions relating to federal
patent law and rights in data that are applicable to this Agreement are set forth in Exhibit
B, attached hereto and incorporated herein by this reference

The FTA patent clause is substantially similar to the text of 49 C F R Part 19, Appendix A,
§ 5, but the rights in data clause reflects FTA objectives For patent rights, FTA is
governed by Federal law and regulation For data rights, the text on copyrights is
insufficient to meet FTA's purposes for awarding research grants This model clause, with
larger rights ,as a standard, is proposed with the understanding that this standard could be
modified to FTA's needs
CONTRACTS INVOLVING EXPERIMENTAL DEVELOPMENTAL OR RESEARCH WORK
A Rights in Data
(1) The term "subject data" means recorded information, whether or not copyrighted,
that is delivered or specified to be delivered under this Agreement The term includes
graphic or pictorial delineation in media such as drawings or photographs, text in
specifications or related performance or design -type documents, machine forms such as
punched cards, magnetic tape, or computer memory printouts, and information retained in
computer memory Examples include, but are not limited to computer software,
engineering drawings and associated lists, specifications, standards, process sheets,
manuals, technical reports, catalog item identifications, and related information The term
"subject data" does not include financial reports, cost analyses, and similar mfonnation
incidental to contract administration
(2) The following restrictions apply to all subject data first produced in the
performance of the contract to which this Attachment has been added
(a) Except for its own internal use, Professional may not publish or reproduce subject
data in whole or in part, or in any manner or form, nor may Professional authorize others to
do so, without the written consent of the Federal Government, until such time as the
Federal Government may have either released or approved the release of such data to the
public, this restriction on publication, however, does not apply to any contract with an
academic institution
(b) In accordance with 49 C F R 18 34 and 49 C F R 19 36, the Federal Government
reserves a royalty -free, non-exclusive and irrevocable license to reproduce, publish, or
otherwise use, and to authorize others to use, for "Federal Government purposes," any
subject data or copyright described in subsections (2)(b)1 and (2)(b)2 below As used in the
previous sentence, "for Federal Government purposes," means use only for the direct
purposes of the Federal Government Without the copyright owner's consent, the Federal
Government may not extend its Federal license to any other party
I Any subject data developed under this Agreement, whether or not a copyright has
been obtained, and
2 Any rights of copyright purchased by Professional using Federal assistance in
whole or in part provided by FTA
(c) When FTA awards Federal assistance for experimental, developmental, or research
work, it is FTA's general intention to increase transportation knowledge available to the
public, rather than to restrict the benefits resulting from the work to participants in that
work Therefore, unless FTA determines otherwise, Professional performing experimental,
developmental, or research work required by this Agreement agrees to permit FTA to make
available to the public, either FTA's license in the copyright to any subject data developed
in the course of that contract, or a copy of the subject data first produced under the contract
for which a copyright has not been obtained If the experimental, developmental, or
research work, which is the subject of the underlying contract, is not completed for any
reason whatsoever, all data developed under that contract shall become subject data as
defined in subsection (a) of this clause and shall be delivered as the Federal Government
may direct This subsection (c), however, does not apply to adaptations of automatic data
processing equipment or programs for Professional's use whose costs are financed in whole
or in part with Federal assistance provided by FTA for transportation capital projects
(d) Unless prohibited by state law, upon request by the Federal Government, the MPO
and Professional agree to indemnify, save, and hold harmless the Federal Government, its
officers, agents, and employees acting within the scope of their official duties against any
liability, including costs and expenses, resulting from any willful or intentional violation by
the MPO or Professional of proprietary rights, copyrights, or right of privacy, ansing out of
the publication, translation, reproduction, delivery, use, or disposition of any data furnished
under that contract Neither the MPO nor Professional shall be required to indemnify the
Federal Government for any such liability ansing out of the wrongful act of any employee,
official, or agents of the Federal Government
(e) Nothing contained herein shall imply a license to the Federal Government under
any patent or be construed as affecting the scope of any license or other right otherwise
granted to the Federal Government under any patent
(f) Data developed by Professional and financed entirely without using Federal
assistance provided by the Federal Government that has been incorporated into work
required by the underlying contract to which this Attachment has been added is exempt
from the requirements of subsections (b), (c), and (d) of this clause, provided that
Professional identifies that data in writing at the time of delivery of the contract work
(g) Unless FTA determines otherwise, Professional agrees to include these
requirements in each subcontract for experimental, developmental, or research work
financed in whole or in part with Federal assistance provided by FTA
(3) Unless the Federal Government later makes a contrary determination in writing,
irrespective of Professional's status (i e , a large business, small business, state government
or state instrumentality, local government, nonprofit organization, institution of higher
education, individual, etc ), the MPO and Professional agree to take the necessary actions
to provide, through FTA, those rights in that invention due the Federal Government as
described in U S Department of Commerce regulations, "Rights to Inventions Made by
Nonprofit Organizations and Small Business Firms Under Government Grants, Contracts
and Cooperative Agreements," 37 C F R Part 401
(4) Professional agrees to include these requirements in each subcontract for
experimental, developmental, or research work financed in whole or in part with Federal

B Patent Rights
(1) If any invention, improvement, or discovery is conceived or first actually reduced
to practice in the course of or under this Agreement, and that invention, improvement, or
discovery is patentable under the laws of the United States of America or any foreign
country, Professional agrees to take actions necessary to provide immediate notice and a
detailed report to the party at a higher her until FTA is ultimately notified
(2) Unless the Federal Government later makes a contrary determination in writing,
irrespective of Professional's status (a large business, small business, state government or
state instrumentality, local government, nonprofit organization, institution of higher
education, individual), Professional agrees to take the necessary actions to provide,
