To Professional Services Agreement
THIS AMENDMENT ("Amendment") is made and entered into this 31- day of
"l y 2009 , by and between the CITY OF LOVELAND, COLORADO, a
home rule municipality ("City"), and ABS Aviation Consultancy Inc., DBA Airport Business
Solutions ("Consultant").
WHEREAS, the parties entered into an Agreement for 'Professional Services dated 29th
day of January, 2008 for Scope of services is listed on the attached exhibit A ("Agreement");
and
WHEREAS, the parties wish to complete the project subject to certain additional terns
and conditions.
NOW, THEREFORE, in consideration of the mutual covenants and agreements
contained herein, the parties agree as follows:
1. Paragraph 2 of the Agreement is hereby amended to increase the not to exceed
amount to Forty One Thousand, Three Hundred Dollars ($41,300), as adjusted to reflect the
omission by City of any of the Services set forth in Exhibit A of the Agreement.
2. Paragraph 3 of the Agreement is hereby amended to extend the term to August 1,
2008, unless sooner terminated pursuant to the provisions of the Agreement.
3. Exhibit A is hereby amended to include those services set forth on the attached
form, incorporated herein by reference.
4. Except as modified herein, all terms and conditions of the Agreement shall remain
in full force and effect according to the provisions thereof.

Pursuant to your request for additional information regarding percentage rents at FNL, Airport
Business Solutions (ABS) prepared an analysis of the current industry practices regarding percentage rents,
fees, and charges. As discussed, this work was outside of the original scope of our engagement dated January
29, 2008, and is intended to be invoiced separate from the primary project.
In the preparation of this analysis and report, ABS expended approximately 4.5 hours of Randy
Bisgard's time and 2.0 hours of my time. Per your e-mail of February 26, 2008, it is understood that this
additional work was not to exceed $1,300, and is to be billed separate from the original project.

request additional information or clarification, please advise.
