HomeMy WebLinkAboutXCEL ENERGY - CONTRACT - AGREEMENT MISC - METERING AGREEMENT" Oct 13 190o 11[Atrt X{ i hORI WLLINS No 0229 � 1 joXcelEnergy METERING AGREEMENT 1901 East Horsetooth Road Fort Collura Colondo 80525 This Customer Metering Agreement ( this Agreement ) is entered Into as of the date set forth below (the Effective Date ) by and between Xcel Energy ( Xcel Energy formerly Public Service Company of Colorado ) a Colorado corporation ("Xcel Energy") and Xcel Energy customer named below ( Customer ) WHEREAS Xcel Energy sells natural gas to Customer for Customer's commercial operation and WHEREAS Xcel measures Its supply of gas to Customer using one or more gas meters ('Xccl Energy Meters) and WHEREAS Customer desires more detailed information with more convenient access, concerning Customer's use of gas than is available from the Xcel Energy Meters and WHEREAS, and electronic solid state pulse initiator (a Pulse Initiator ) when installed on a Xcel Energy Meter and attached to Customer's energy totalizer or other measuring equipment ( Customer Measuring Equipment) will provide the gas consumption Information needed by Customer and WHEREAS, Xcel Energy desires to accommodate Customers desire for greater more convenient information concerning Customers consumption of gas while maintaining all appropriate gas safety practices NOW THEREFORE in consideration of the forgoing and of the mutual covenants set for the below the parties agree as follows 1 Installation of Pulse Initiators Upon request of Customer from time to time Xcel Energy shall install a Pulse Initiator on any or all of the Xcel Energy Meters on Customer's premises Xcel Energy shall purchase for such purpose any Pulse Inibator designated by Customer from time to time subject to Xcel Energy approval, not to be unreasonably withheld 2 Payment t Xcel Enerav For each Pulse Initiator purchased and installed by Xcel Energy for Customer Customer promptly shall () reimburse Xcel Energy for the cost of the Pulse Initiator and (li) pay to Xcel Energy a reasonable fee for installation service Xcel Energy s estimate of the combined charge for a Pulse Initiator and its installation as of the Effective Date is set forth below Installation of Customer Ecuipment For each Pulse Initiator Installed by Xcel Energy Customer shall install (a) its own Customer Measuring Equipment and (b) a safety barrier designed to prevent electrical surges and arcing (the Safety Barrier") between the Customer Measuring Equipment and the Pulse Initiator, If an Isolated Input can not be provided All Customer Measuring Equipment and the Safety Barer shall be purchased by Customer The Safety Barrier may be any intrinsically safe Class I III Div I applicable Grade A G hazardous location device, the particular brand of which shall be selected by Customer but shall be subject to Xcel Energy approval not to be unreasonably withheld An approved brand of Safety Barrier as of the date of this Agreement is set forth below Customer shall run conduit and signal cable to the Xcel Energy Meter If the Xcel Energy Meter is enclosed from atmosphere the conduit shall have a sealing Y" inside the enclosed meter room to prevent gas travel through installed conduit Customer shall not attach the Pulse Initiator to the Safety Barrier and the Customer Measuring Equipment until such time as Xcei Energy shall have inspected and approved the configuration and installation of the Safety Bamer provided that 0 Xcel Energy shall fail to inspect the Safety Barrier following ten (10 ) business days notice from Customer that the Safety Barrier is ready for inspection Xcel Energy automatically Oct 13 200o "/ 1 A XCP FORT COLLIN) No 0229 4 Henderson CO 80640 Fax (303)628 2855 If to Customer Customer s address and facsimile number set forth below All notices shall be deemed delivered on the second business day following deposit in the US mails 9 Miscellany a This Agreement sets forth the entire understanding of the parties with respect to its subfect matter and all prior related negotiations and agreements are merged herein This Agreement may not be amended and no provision hereof may be waived absent writing signed by the party against whom enforcement of the amendment or waiver is sought b This Agreement shall be governed by the laws of the State of Colorado c This Agreement shall bind and inure to the benefit of the parbes and their respective heirs successors and assigns Effective Date Estimated Purchase and Installation s 00 coo Charge for Pulse Initiator $ �J Per meter Safety Barrier Required?
