AGREEMENT IY 0 AUTOMATIC VEHICLE LOCATION SYSTEM PURCHASE rywa"a-ff►L NORTH FRONT RANGE TRANSPORTATION & AIR QUALITY PLANNING COUNCIL RADIO SATELLITE INTEGRATORS, INC This Agreement is made and entered into this _20th_ day of March 2008, by and between the NORTH FRONT RANGE TRANSPORTATION & AIR QUALITY PLANNING COUNCIL, dba NORTH FRONT RANGE METROPOLITAN PLANNING COUNCIL, a Colorado municipal agency located at 419 Canyon Avenue, Suite 300 Ft Collins, Colorado 80521 USA (hereinafter "CUSTOMER'), and RADIO SATELLITE INTEGRATORS, INC, a Florida corporation located at 19144 Van Ness Avenue, Torrance, California (hereinafter "RSI") WHEREAS CUSTOMER has determined the need for Automatic Vehicle Location, and WHEREAS, it has been determined that BSI's proposal can best meet CUSTOMER's needs, NOW, THEREFORE RSI and CUSTOMER agree as follows SECTION 1 AGREEMENT DOCUMENTS The document forming the entire Agreement between CUSTOMER and RSI shall consist of this Agreement including EXHIBIT A — Statement of Work EXHIBIT B — Cost Itemization EXHIBIT C — Payment Schedule This Agreement and the Exhibits set forth above, contain all of the agreements, representations and understandings of the parties hereto, and supersede and replace any previous understandings, commitments, or agreements, whether oral or written SECTION 2 TERM The term of this Agreement shall begin on the date of the signing of this document by RSI and the CUSTOMER This Agreement shall continue through the end of the warranty period as described in EXHIBIT A — Statement of Work Delivery of system equipment shall only begin after a notice to EXHIBIT C PAYMENT SCHEDULE The CUSTOMER shall pay RSI for completed installation of an Automatic Vehicle Location System as set forth in Exhibit A, Scope of Work according to the following schedule Conditions of Payment Percent Amount Upon contract execution by CUSTOMER 25% $ 23,957 50 Upon delivery of all system components by RSI 50% $ 47,915 00 Upon system acceptance by CUSTOMER 25% $ 23,957 50 Note Acceptance will be made within 30 days of system and unit delivery & installation Maximum Compensation, excluding Travel $ 95,830 00 Travel and shipping reimbursement will be paid for as incurred any time after the date of selection This amount is not contained in the percentage payments above If the milestones can not be achieved due to any reason outside of the control of Radio Satellite Integrators (such as RF frequency licensing) all subsequent payments will be made within 90 days of completion of the last milestone Dial:3Y8 SCOPE AND DESCRIPTION NFRMPO Mobile AVUQPS Solution 1 7 1 RFP #PI061 � / aiilrs, , February 23, 2W7 Technical Overview GPS Satellites ho 0 AVL/MDT System Overview Ratio Satellite Intearftes AVL System V Traekg An RSI AVL solution consists of in -vehicle equipment and base applications and equipment The In -Vehicle Equipment is centered on the V-Tracks" mobile unit, a self-contained "black box" device integrating GPs location and sensor technologies, as well as wireless communications. RSI agrees to perform the services as set forth in the Statement of Work which is attached as EXHIBIT A hereto and incorporated as though fully set forth herein SECTION 4 COMPENSATION The compensation to be paid to RSI for RSI's services is set forth in EXHIBIT B, entitled "COST ITEMIZATION," according to the schedule outlined in EXHIBIT C - "PAYMENT SCHEDULE," which are attached hereto and incorporated herem SECTION 5 TERMINATION 5 1 Termination for Default The CUSTOMER may, by written notice of default to RSI, temunate the whole or any part of this Agreement if RSI fails to perform services within the time specified herein or any extension thereof, or if RSI fails to perform any ofthe other provisions ofthe Agreement, or so fails to make progress as to endanger performance of this Agreement in accordance with its terms, and in either of these two circumstances does not cure such failure within a period of 60 days (or such longer period as the CUSTOMER may authorize in writing) after receipt in writing of notice from the CUSTOMER specifying such failure 5 2 Termination for Bankruptcy or Insolvency The CUSTOMER may, in its sole discretion, terminate this Agreement immediately, by written notice to RSI, by reason of the bankruptcy of Contractor, the filing of any bankruptcy, or similar action by or against Contractor, any assignment by Contractor for the benefit of its creditors, or any other acts or omissions by Contractor reflecting or manifesting bankruptcy SECTION 6 INDEPENDENT CONTRACTOR It is understood and agreed that RSI, in the performance of the work and services agreed to be performed by RSI, shall act as and be an independent contractor and not an agent or employee of CUSTOMER, and as an independent contractor, RSI shall obtain no rights to retirement benefits or other benefits which accrue to CUSTOMER's employees, and RSI hereby expressly waives any claim it may have to any such rights SECTION 7 INDEMNIFICATION RSI agrees to defend, indemnify and hold harmless the CUSTOMER from any and all losses, claims, actions, costs, expenses, judgments, subrogation or other damages resulting from injury to any person or damage to property (including loss or destruction) of whatsoever nature arising out of performance of work by RSI (including but not limited to its employees, agents, subcontractors and others designated by RSI to perform work or services in, about or attendant to, the work and services under the terms of this Agreement) for the Project(s) described herein RSI shall not be held responsible for any losses, expenses, claims, subrogation, actions, costs, judgments or other damages, directly, solely and proximately caused by negligence of CUSTOMER ((D)Radio NFRMPO Moblle AVL/GPS Solution SAWIfle RFP #P1001 Iffieralopst Inc F.brunry 23, 2DOr Antennas.
