JD Edwards and based on this experience is confident that a mutually acceptable procedure for integrating
data can be developed
231 Poudre School District Requirement
The vendor must demonstrate the ability to provide appropriately formatted data (tab -delimited
text files) Including the ability to extract at a minimum the data fields Date Amount Vendor and
Card Number PSD will not require a system Interface to the existing District financial system
Utilizing Visa Information Management's File Extract Tool allows UMB to provide data to Poudre School
District in a number of formats, including tab delimited, Excel, cii and XML, among others With the File
Extract Tool over 300 fields are available to be downloaded, including Transaction Date, Posting Date,
Transaction Amount, Vendor Name, Cardholder Name, and Cardholder Number If desired, a mutually
acceptable process for interfacing the purchasing card transaction data with the District's financial system
can be developed via existing web based technology The UMB Commercial Card Team, along with UMB's
Information Technology Department will work with the appropriate Poudre School District parties to develop
the processes for interfacing with District's financial system
24 Liability
Proposals shall include details related to the City s liability for charges made on lost or stolen
cards and a description of any proposed liability protection plan and costs associated with it
The City of Fort Collins and cardholders will not be held liable for fraudulent or unauthorized charges on City
purchasing cards Once fraudulent or unauthorized charges have been identified, a call by the cardholder or
department coordinator should be made to UMB immediately Once notified, UMB will credit the fraudulent
transactions and issue a new account within 48 hours Both, UMB's Falcon fraud detection system and the
Visa Liability Waiver Program, outlined below, are offered to the City of Fort Collins at no charge
UMB utilizes the Falcon fraud detection system to help monitor and alert UMB of unreasonable excessive
charges for all credit card programs The Falcon fraud detection system is a neural network model that
monitors transactions to determine if the transaction seems to be fraudulent or a legitimate transaction The
system looks at spending habits of a cardholder, what kind of purchases the cardholder makes to help
monitor for excessive or suspicious activity If there is a suspicious transaction, a call will be made to either
the cardholder or the City program administrator by the fraud protection department or by the commercial
client representative to ensure that the cardholder did make the purchase
For instances of misuse by a City employee on the purchasing card program, the City is protected by the
Visa Liability Waiver Program described below
The Visa® Liability Waiver Prooram is one of the most valuable core benefits of the UMB Visa

This program protects you against eligible losses that might be incurred through card misuse by a
terminated employee While cardholder misuse is rare, Visa has recognized that it does occur That
is why Visa continues to offer this program, which waives certain eligible charges when an

What is the Visa Lability Waiver Prooram7
A City ("City") that has established a Visa Purchasing Card account ("Account") with UMB Bank
("Bank") may request that Bank wave the C►ty's liability for certain charges in accordance with the
Visa Purchasing Card Liability Waiver Program ("Program") Visa has arranged insurance coverage
to provide payment to Bank for covered losses and will administer the Program
The Bank may wave the Cily's liability for walvable charges up to $150,000 per Visa Purchasing
Card Cardholder and be reimbursed by the Program Underwriter ("Program Underwriter") provided
both the Hank and the City have satisfied all Program obligations
1 Bank shall mean the Visa Member which issues Visa Purchasing Card Accounts to the City for
use by designated employees
2 "City" shall mean a corporation, partnership, sole proprietorship, or any other entity, which has
signed a Visa Purchasing Card Account agreement with Bank, and subsequently issues Visa
Purchasing Card Accounts for use by persons designated by the City
3 "Cardholder" means a person designated by the City who is authorized by the City to use the Visa
Purchasing Card Account for City business purposes only
4 "Charges" shall mean all amounts, including cash disbursements, charged to the C►ty's Visa
Purchasing Card Account with Bank
5 "Affidavit of Waiver" shall mean a written request or claim form sent from the City requesting the
Bank to waive the C►ty's charges in accordance with the terms and conditions of the Program
6 'Billed" or "Unb►lled" with respect to any Charge shall be based upon the date of the Bank's
Statement
7 "Notification of Termination" of the Cardholder's employment shall mean the date the Cardholder
gives or receives oral or written notice of immediate, or pending termination, or the date the
Cardholder leaves the C►ty's service, whichever is earlier
What are Wawable CharaesT
"Welvable Charges " shall mean Charges incurred by a Cardholder or other authorized person
which
1 do not benefit the City directly or indirectly, and
2 (1) are Billed within seventy five (75) days preceding Notification of Termination, or
(it) are incurred but Unb►lled as of Notification of Termination, or
(m) are incurred up to fourteen (14) days after Notification of Termination, provided, however, that
Bank has received a request to cancel the Cardholder Account within two (2) business days of
Notification of Termination There will be no coverage after Notification of Termination, as defined,
unless notice to cancel the Cardholder Account is received by the Bank within two (2) business
days, and
3 are the responsibility of the City and/or Cardholder for payment to Bank
What are not Wa►vable Chames?
The following are not Wanable Charges and are not covered by the policy
1 Charges made by partners, owners, or principal shareholders who own more than five
percent (N) of the C►ty's outstanding shares, elected directors, or persons who are not employees
of the City
2 Charges incurred to purchase goods or services for the City or for the persons other than the
Cardholder pursuant to the instructions of the City, in accordance with City policy, if those goods or
services are of the type which are regularly purchased by or for the City
3 Charges incurred by the Cardholder after Notification of Termination unless the Bank receives a
request from the City to cancel the Account within two (2) business days of Notification of
Termination If cancellation of the Account is received by the Bank within two (2) business days,
then coverage will be afforded fourteen (14) days from Notification of Termination, but not beyond

4 Charges incurred by the Cardholder more than fourteen (14) days after Notification of Termination
or billed earlier than seventy five (75) days prior to Notification of Termination

6 (t) Charges in excess of $15,000 for each Cardholder from Companies with five (5) or more valid
Cardholder Accounts
(h) Charges in excess of $5,000 for each Cardholder from Companies with two (2) to four (4) valid
CardholderAccounts
7 Cash advances, after Notification of Termination, shall be limited to $300 per day, or
a maximum of $1,000 whichever is less
8 Charges incurred by a Cardholder after discovery by the City of any fraudulent or dishonest act
on the part of the Cardholder
What are The City of Fort Collins's obligations)
The City may request that Bank waive the City's liability for Warvable Charges only if the City meets
all of the following requirements
1 The Cardholder's employment is terminated, voluntarily or involuntarily
2 The City has one (1) or more Accounts in good standing
3 The City must attempt to retrieve the Visa Purchasing Card from the employee
4 The City must request that the Bank cancel the Account within two (2) business days of
Notification of Termination, as defined Failure to notify within two (2) business days will exclude
coverage for any Charges incurred after Notification of Termination
5 The City must deliver to the Cardholder or send by first class mail or fax, a written notice stating
that the Account has been cancelled, that the Cardholder should immediately discontinue all use of
the Account, and that the Cardholder must immediately return the Visa Purchasing Card to the City
6 The City must send a completed and signed Visa affidavit of Waiver claim form with all required
documentation to Bank within nmety (90) days of Notification of
Termination All claim documents must be filed with the Program Underwriter within one hundred
eighty (180) days from Notification of Termination
7 The City will remit all such amounts to the Bank if the City recovers any amounts for Waived
Charges from any source after the City has filed a Visa Affidavit of Waiver claim form with Bank The
City agrees to assign any rights it may have to collect such amounts from the Cardholder to the
Program Underwriter However the City will not be required to pay Bank any amount that exceeds
the loss sustained by Bank
8 Once a claim has been paid for a given person, no future claims will be considered
When are the Charges waived?
1 Upon receipt of the Affidavit of Waiver claim form and verification that the charges are warvable,
Bank will waive the City's liability for those charges
2 Bank will then file a claim with the Program Underwriter
3 Any monies Bank may receive at any time from the Cardholder or any other source in respect of
Warvable Charges will be used by Bank to reduce the Waivable Charges and/or the amount of any
claim Bank files with the Program Underwriter
Other Insurance
This program does not cover any loss which is insured by or would but for the existence of this policy, be
insured by any other existing policy or policies except in respect of any excess (not exceeding the limits of
this policy) beyond the amount which would have been payable under such other policy or policies including
any deductible applicable thereunder had this program not been in effect
25 Card Design
The Service Provider shall work with the City to develop an acceptable card design The design
shall be approved by the Purchasing Card Administrator and shall contain at a minimum the
following features

1 The phrase TAX EXEMPT and the City s tax exempt number shall be printed on the
face of the card along with the phrase "Commercial Card" or "Purchase Card"
2 The City logo PFA logo or Library District logo provided camera-ready
3 Toll free customer service number shall be printed on the back of the card
4 There shall be no references to ATM s on the card
5 Cards should be available in easily distinguishable colors
A Visa Purchasing Card front appearance will be configured to meet the specifications and needs of the City
of Fort Collins, Colorado
The card front will uniquely identify the card custodian as an official of the City of Fort Collins, Colorado who
is making a purchase for the official business of the City It may also reflect in a single color, the unique
logo, tax exempt status, and name of each issuing Department through which the card is originated UMB's
toll free customer service number will be printed on the back of the card The customization of the
Purchasing Card plastic is accomplished by using four color laser ultra graphic technologies There will be
no references to ATMs on the card The reverse of the card will display the toll free contact information of
UMB Bank
Two lines of embossing allow for the embossing of the name of the card custodian, and other discretionary
data such as position title, department, or functional area Cardholder account numbers can be customized
to reflect numerically a unique City of Fort Collins, Colorado Department number, and some internal
uniqueness for departments or areas within the City of Fort Collins, Colorado Department There is no
charge for creating a customized purchasing card for the City of Fort Collins, Colorado
Currently, various blue, grey, red, yellow, and light blue cards with 13 different graphic/text image colors are
available UMB would consider developing special colors if desired
With new advances in card technology, UMB is able to offer the City of Fort Collins a fully customized Digital
Card face This new technology allows UMB to take a full color image and place it directly on the front of the
City of Fort Collins Purchasing Card Below is an example of a Digital Card face

Poudre School District shall work with the selected vendor in the development of the PSD card
design which must include the individual's name as well as the District name and logo
The same card options will be made available to the Poudre School District as are made available to the City
of Fort Collins, listed above

2 6 Card Controls and Restrictions
The City's Purchasing Card Administrators shall have the ability to set restrictions and controls
when cards are Initially requested and when changes are needed Service Provider's customer
service representatives may not make changes to card limits unless approved by a City
Purchasing Card Administrator
The following controls shall be available
1 Single Transaction Dollar Limitation - Established per individual card not to exceed the
City established individual cardholder maximum dollar limit
A Single Transaction Dollar Limit will be able to be placed on the City of Fort Collins Purchasing Cards
Maximum Dollar Limitation per Month - Set by the Purchasing Card Administrator per
individual cardholder
A Monthly Dollar Limit will be able to be placed on the City of Fort Collins Purchasing Cards
3 Maximum Number of Transactions per Day - Set by a Purchasing Card Administrator
per individual cardholder
A Daily Number of Transactions Limit will be able to be placed on the City of Fort Collins Purchasing Cards
4 Maximum Number of Transactions per Month - Set by a Purchasing Card Administrator
per individual cardholder
A Monthly Number of Transactions Limit will be able to be placed on the City of Fort Collins Purchasing
Cards
Vendor Blocking - Restrictions on the types of vendors by Merchant Category Code
(MCC) authorized to accept the card
Merchant Category Code Blocking will be able to be placed on the City of Fort Collins Purchasing Cards
6 Cash and Gift Cards - Prohibition of cash advances and purchases of gift cards
All Cash and Quasi Cash transactions can be prohibited Gift Cards can be restricted only if the vendor
selling the gift card has an MCC that is not allowed If a cardholder is authorized to make a purchase at a
vendor that sells gift cards we have noway of blocking those purchases UMB suggests that the City of Fort
Collins includes in its Policies and Procedures manual that gift cards are expressly prohibited unless prior
authorization has been obtained
7 Additional Controls - Proposals shall describe any additional controls that are available
Cardholder level controls are flexible so that each cardholder can have an authorization strategy that is
designed specifically for the types of purchasing normally made Controls are changeable on a moments
notice when purchasing needs change, either temporarily or permanently There are no Bank controlled
"maximum" limits, however, care should be taken to enable account cycle limits that match the individual
employee's estimated monthly purchase requirements
Since vendors are required to obtain bankcard authorization approval prior to completing all transactions,
the authorization strategies designed by the City will be verified before approval of the transaction in all
electronic and voice authorized occurrences Prohibited transactions, which are not properly approved at

the point of sale, can be charged back to the vendor at the discretion of the City program administrator if
necessary
UMB Bank will configure a Visa Purchasing Card program with authorization strategies, which will meet the
specific requirements of each of the departments participating in the City of Fort Collins, CO program
according to each cardholder's unique needs Purchase amounts can be controlled by City Department
and/or functional unit billing cycle limit, account billing cycle dollar limit, and/or per transaction dollar limit
All authorization controls can be individual by City Department, cardholder, functional unit, or universal for
all accounts
Purchases on the City Purchasing Card accounts can be restricted at the point of sale to a program
maximum or at the cardholder level for any amount requested by an authorized Program Administrator, via
the following transaction limitations
• Blocking/inclusion by supplier type (merchant category code)
• Single dollar limit per transaction, per day, per month or per vendor code
• Credit limit for total balance by card, by control account, or by the City as a whole
• Number of authorizationstiransactions per statement cycle and per day
• Specific merchant restrictions within each MCC, this can be used to incorporate the City's
vendor file to include or exclude certain vendors
• Restrictions by Zip Code
• Account billing cycle limit amount (refreshes each billing date)
• Authorizations tied to master City of Fort Collins, CO, City Department or functional unit
limits
• Control Accounts by department to establish a maximum credit limit for each department
• Cash Advance / ATM blocking
27 Hierarchy and Cardholder Information
The City Intends to keep the card program hierarchy as simple as possible Too many levels
lead to increased maintenance Other entities using the selected card vendor may elect
different hierarchy structures City would like to establish the following hierarchy
1 The City of Fort Collins
2 Cardholders
UMB can provide the hierarchy structure listed above UMB currently can provide up to rive levels within the
hierarchy for access and reporting requirements UMB understands and agrees that other entities utilizing
this contract may elect a different hierarchy structure, and UMB will work with each entity individually,
including the City of Fort Collins, to determine the best hierarchy structure for that entity
Cardholders will not have access to the card management system Account Managers will
manage only those cards assigned to them by a Purchasing Card Administrator The
processing system must allow for such assignments
Access to Card Management within Visa Information Management can be granted to specific users, i e
Account Managers, but not cardholders With this assignment access can be restricted to a certain group of
cards, as determined by the Purchasing Card Administrator

Fort Collins that will provide the leadership and experience necessary to provide a successful card program
Ron Sager, Senior Vice President and Commercial Card Manager, has been with UMB since 1978 Ron Sager
has successfully implemented purchasing card programs for the State of Kansas, State of Missouri, State of
Wyoming and State of Arkansas Travel Card program as well as many City/County municipalities,
Universities and Public School Districts, along with many private sector entities
Tim Jackson, Vice President and Commercial Bankcard Officer, has been with the card center since 1994
and has been involved with many of the programs partnered by UMB
Matthew Matzen, Commercial Card Account Manager, has been with the card center since 2005 and is the
account manager for many entities, including the majority of OMB's Colorado partners

29 Training and Support
The Service Provider shall provide

reporting lost or stolen cards The toll free customer service number is a direct number to UMB's
Commercial Card Department We have 15 individuals who work solely with Commercial Cards so
knowledgeable representatives will always answer the phone OMB's Commercial Card Department is
staffed from 8 AM to 5 PM Central Time, Monday through Friday UMB will provide the City of Fort Collins's
Program Administrator(s) emergency contact numbers for the City's Account Representative and alternates
for 24-hour service The toll free number for reporting lost or stolen cards is available 24 hours a day, seven
days a week
The name title and telephone number of the main customer account
representative and at least one alternate who would respond to inquiries by a
Purchasing Card Administrator or designee
UMB will provide the City of Fort Collins the name, title, telephone number, and email address of the main
customer account representative and at least one alternate This individual will work closely with the City of
Fort Collins Purchasing Card Program and will have an intimate knowledge of the City's program

responsible to change requests stolen card reports or other inquiries by a

UMB will provide the name, title, telephone number, and email address of the technical support

Because of its' experience in the public sector, UMB has been called upon frequently to provide training
assistance to administrators and cardholders UMB has gained valuable experience through many years of
partnership with large governmental programs UMB recommends a mandatory training for all City
cardholders to cover the cardholder manual that has been put in place by the City of Fort Collins This
training would cover what limits or controls have been placed on the card and what types of purchases are
to be made with the City of Fort Collins Procurement Card Training also covers procedures on what to do if
a card is lost or stolen, procedures to turn in a card if an employee terminates employment with the City,

procedures and who to contact if a card is declined, and how to enroll a card to receive electronic
statements are many other topics that would be covered at the training
UMB recommends conducting a re-training session every two years for cardholders to keep cardholders
updated on proper procedures for the City UMB has helped create and acquired many manuals, handouts,
and training CD's that can be provided to the City program administrators from previous training programs
put in place for many of our large governmental programs UMB will be on site to assist in cardholder
training and any re-training that the City of Fort Collins would choose to implement
UMB will be on site to provide step by step procedures on how to use the three web based tools Visa
Information Management, CommercialCard, and Commercial View During the training, City program
administrators and cardholders can go online and have hands on training to follow the UMB representative
through the steps or they can observe to see each step completed UMB will also provide handouts to each
person attending training with detailed instructions on how to use the web based tools
Training sessions will be held as needed
210 Disputed Items and Fraudulent Charges
Service Provider shall provide a method for handling questions concerning disputed charges
Toll -free service for this process shall be available Proposals should include a description of
dispute procedures and processes including
1 Procedures to follow when contacting Service Provider about disputed transactions
2 When provisional credits will be issued to the City s account pending resolution of the
disputed item
3 How provisional credits will be handled for disputed transactions resolved in the City s
favor and how charges will be reinstated for those resolved in favor of the Merchant
Proposals shall provide a time frame for this process
The City of Fort Collins and cardholders will not be held liable for fraudulent or unauthorized charges on the
City's purchasing cards Once fraudulent or unauthorized charges have been identified, a call by the
cardholder or department administrator should be made to UMB immediately
Disputes of transactions may be faxed to UMB Bank Card Center at 816 843 2485, Attention Commercial
Card Services or emailed to the Commercial Account Services Representative A temporary credit or
chargeback credit will be processed to the cardholder account within 24 hours of notification to the Card
Center Commercial Account Service Team Disputed charges remain credited until conclusion of the
inquiry Since vendors are required to obtain bankcard authorization approval prior to completing all
transactions, the authorization strategies designed by the City of Fort Collins will be verified before approval
of the transaction in all electronic and voice authorized occurrences Prohibited transactions, which are not
properly approved at the point of sale, can be charged back to the vendor at the discretion of the City of Fort
Collins Commercial Account Services Analysts are trained to handle common through complex inquiries
immediately when notified All billing inquiries and disputes should be made in writing and as quickly as
possible following billing The process should be handled according to the following procedure
Circle the charge(s) in question on the billing statement, including a comment (cardholder dispute form
should be filled out) that the cardholder is disputing the charge and would like a copy of the ticket, and fax to
UMB Card Center at 816 843-2485, Attention Commercial Card Services
A temporary credit in the amount of the disputed item will be posted to the cardholder's account within 48
hours of receipt, and a copy of the ticket will be ordered from the merchant The merchant has 30 days to
respond to the request for a copy of the ticket Upon receipt, a copy of the ticket will be forwarded to the

cardholder or designated individual within the City if verification Is needed If no other information is
required and the disputed charge can be processed as a chargeback to the merchant, no other action will be
required of the cardholder and the temporary credit will become permanent
If the charge is determined valid, the cardholder is notified, and the temporary credit will be reversed and the
charge will be re -billed to the cardholder account for payment
Service Provider must have a procedure in place for handling fraudulent charges reported by a
Purchasing Card Administrator or detected by the Service Provider's or card company's own
security processes Proposals shall include a description of fraudulent charge procedures and
processes Including
1 Procedures to follow when contacting Service Provider about fraudulent charges
2 When and if a police report should be made in relation to the fraud
3 When and if provisional credits will be issued to the City s account pending resolution of
the fraud investigation
4 How such provisional credits if any will be handled for charges determined to be
fraudulent and how charges will be reinstated for those transactions which were either
not fraudulent or for which the City after investigation is determined to be liable for
Proposals shall provide a time frame for this process and describe the situations under
which the City would ultimately be responsible for fraudulent charges
The City of Fort Collins and cardholders will not be held liable for fraudulent or unauthorized charges on the
City's purchasing cards Once fraudulent or unauthorized charges have been identified, a call by the
cardholder or department administrator should be made to LIMB immediately Once UMB has been notified,
the account in question will be closed, and a new account will be set up within 48 hours The potentially
fraudulent charges will be noted and a fraud affidavit will be sent to the cardholder to be filled out and
signed The fraud affidavit should be returned to the UMB fraud department so they can continue their
investigation
A police report should be filed any time there is a theft, 19 your physical card was stolen A police report
does not need to be filed if the cardholder still has possession of the card, or if the card was lost
Once UMB is notified of the fraudulent charges, temporary credit will be applied to the account within 48
hours If the charges in question are determined to be fraudulent, the temporary credit becomes permanent
and no further action is required of the City or the cardholder If the charges are deemed to be valid, the
cardholder will be notified and the temporary credit is reversed and the charge will be re billed to the
account for payment
The entire fraudulent charge process can be completed in as little as a few days, or, depending on the
responsiveness of the cardholder and the merchant it can take up to 180 days Typically fraud cases are
resolved within 30 60 days from the time UMB is notified of the fraudulent charge(s) The only situations in
which the City of Fort Collins would be held liable for fraudulent charges is if UMB is not notified of the
fraudulent charges within 60 days of the date of the transaction, or if a fraud affidavit is not returned within
35 days of us being notified of the fraudulent charges In the case of employee misuse the Visa Liability
Waiver, outlined in response to 2 4 would cover the City for any unauthorized charges made by a City
employee

2101 Card Terminations and Changes
The Purchasing Card Administrator or designee may request one or more cards be terminated
or request changes to an individual card a batch of cards or all City cards Such changes may
include changes to card spending limits, purchase restrictions cardholder name etc These
change requests may be made via email or entered directly into the Service Provider's card
management system
UMB will accept all change requests, including termination requests, via email or through our self
maintenance tool, UMB Commercial Card Access to UMB Commercial Card will be given to the Purchasing
Card Administrator(s) for the City to provide access for self maintenance of the City of Fort Collins
Purchasing Card Program
Proposals must offer a time frame preferably one business day or less between receiving a
termination or change request and accomplishing the change Proposals shall detail the
differences in how changes are processed depending on whether entered directly or requested
via email
If the change is input by the Program Administrator into UMB Commercial Card, the changettermination
takes place immediately, as UMB Commercial Card is a real time change tool connected directly to UMB's
Purchasing Card production system If the change request is emailed to the representative for the City the
change will take place quickly, usually within one hour and always within one business day of the receipt of
the request
2 10 2 Lost or Stolen Cards
The cardholder or Purchasing Card Administrator or designee will immediately report lost or
stolen cards to the Service Provider Such reports may be made via telephone or email The
Service Provider shall immediately cancel the lost or stolen card and issue a replacement card
with a new account number Proposals must describe
1 Procedures to be followed in the event a card is lost or stolen
2 Time frame between notification and the cancellation of the effected account
3 How long it will take for a replacement card to be mailed
4 Processes in place to expedite such replacement including the ability to send the new
card directly to a cardholder who may be traveling at the time of the loss or theft
Lost or stolen cards can be reported to UMB Bank Card Center security department toll free number 24
hours a day, seven days a week by the cardholders or the program administrator The account will be
closed immediately and a new account number and card will be issued in less than 48 hours
The City of Fort Collins will not be held liable for compromised, lost or stolen account numbers that are
fraudulently used for any amount
UMB can have an emergency replacement card out to either the cardholder or the City program
administrator From the time the card is reported lost, a new card can be delivered within 48 hours In the
event of a traveling employee, UMB can deliver a card to an alternate address within the United States
typically within 48 hours

211 Card Acceptance
The Service Providers card must be Issued by a major commercial credit card company I
shall be widely accepted by a variety of vendors used by the City both locally and nationally
Proposals shall describe
UMB is an exclusive issuer of Visa Purchasing Cards UMB partners with Visa due to their excellent
commitment to innovation in the credit card Industry and their wide acceptance of over 36 million merchants
worldwide
1 Card s general acceptance both locally and nationally
Currently there are over 6 8 million merchants within the United States that accept Visa Cards, including over
162,000 vendors that have accepted Visa Cards in the last 3 months in the State of Colorado
2 How Service Provider will work in cooperation with the City to ensure vendors accept the
credit card for tax-exempt transactions
UMB will work with the City to ensure its vendors accept the card for tax exempt transactions If the City
encounters a vendor who does not accept the Visa Purchasing Card for a tax exempt transaction, the City
should notify UMB and we will work with the vendor and Visa to ensure that vendor will accept the card for
tax exempt transactions in the future
3 Service Providers program and level of success recruiting new businesses when
notified by the City that the Service Providers card was not accepted by a particular
vendor
UMB is constantly looking for opportunities to widen the acceptance of the UMB Visa Purchasing card If the
vendor is not currently accepting Visa, UMB will attempt to contact the merchant and offer the merchant the
benefits to accepting the Visa branded Purchasing card
212 Billing
Department Account Managers will need real-time access to assigned card accounts and must
be able to generate statements as needed using an online card management system The
Purchasing Card Administrator must have access to a consolidated billing statement via the
same system
Individual cardholder invoices are not required A consolidated invoice covering all PCard
transactions for the month must be sent via email or provided via a link to a download site
Such invoice must meet City requirements including but not limited to the following
1 Cardholder Name
2 Merchant Name
3 Transaction Date
4 Posting Date
5 Transaction Amount itemized to the extent possible
Backup documentation for each purchase shall be available upon request from the Account
Manager or Purchasing Card Administrator Proposals shall identify the time frame required to
provide backup documentation and method required for request (telephone fax email etc )

UMB will submit an Itemized monthly statement for the City The distribution of the statements is defined by
the City and will be customized to meet the City's needs Statements are available in both paper and
electronic formats UMB's statements, at a minimum, include basic Level I data such as Merchant Name,
Transaction Date, Post Date, Reference Number, and Transaction Amount More detailed Level II and Level
III data is available when provided by the merchant UMB offers the City of Fort Collins many different billing
options The billing of accounts can be configured to meet the business needs of the City Individual
accounts can be assigned to cardholders, specific cost centers, projects, or even general ledger accounts
Each individual account is sent a statement listing transactions, and control account statements are a
consolidation of a group of accounts, by department All statements can be directed to any one or more
addresses for review or can be obtained via the Internet Three billing processes can be used in any
combination to meet the needs of the City of Fort Collins
Individual Billina accounts are individually billed and paid
Consolidated Billina accounts are billed individually and consolidated to a master control
account based on unique city defined groupings
Diversion Billing accounts are billed individually or consolidated, and certain charges
based on type of vendor, are diverted to special purpose accounts
Vendor contact information is available either online or by contacting the Commercial Card Services team
The City of Fort Collins cardholder, department coordinator, or program administrator can view contact
information for vendors online through Visa Information Management, or can contact the Commercial Card
Services team by phone call or email and can be provided with contact information, including phone
number If backup documentation is required the quickest way to get the information is for the cardholder or
program administrator to contact the vendor directly If the City is still unable to obtain the documentation a
dispute form can be filled out and faxed to the UMB Card Center and a copy of the ticket will be ordered The
merchant then has 30 days to provide the requested documentation
UMB also has many electronic options for City of Fort Collins cardholders to receive electronic Statements
Through CommercialCard Center and Visa Information Source, UMB can provide electronic statements to
City of Fort Collins cardholders which will allow the cardholders to receive their statement in a more timely
fashion which helps to speed up the accounts payable process
CommercialCard is a web based tool which provides for real time electronic transaction and billing
information to cardholders and program administrators, allows access to 4 months of statement cycles, and
all unbilled transactions for the current cycle CommercialCard also provides electronic statements for
cardholders or administrators with an automated email alert sent to notify the user when the statement is
ready to be viewed or printed

UMB can also send out electronic statements in PDF format to the cardholder's or department reconciler's
City email address through Visa Information Management Visa Information Management allows for the
cardholder's, department reconcilers, or program administrator's email address for the City to be entered
into the system and a statement will automatically be sent to their email within three days after the end of
the billing cycle This allows the cardholder, department reconciler, or program administrator to get the
statement in a more timely fashion which helps speed up the reconciliation process

Company history and experience in providing Purchasing Cards to government
entities as described in this Request for Proposal
UMB Bank has been an issuer of bankcards since 1969 With the experience gamed in that time, UMB Bank
initiated an innovative campaign by offering a new purchasing option in 1995, the Purchasing Card Since
then the UMB Commercial/Purchasing Card department has acquired a very prominent list of partners
throughout the region As the issuer of the State of Kansas, State of Missoun, and State of Wyoming
Purchasing and Travel Card programs along with the State of Arkansas Travel Card Program, UMB
continues to be recognized as an industry leader The combination of card and technology solutions that
UMB has available will allow the City of Fort Collins to enjoy an array of products and services that many
counties, cities, school districts and businesses utilize everyday
In the Commercial/Purchasing Card industry, the UMB Commercial Card department continues to deliver on
our mission With every customer, the UMB Commercial Card representatives invest the necessary time and
energy to develop a relationship that allows us to get to know our customers With this acquired knowledge,
a strategic plan can then be customized in order to provide the appropriate program given the City of Fort
Collins's needs As the relationship grows and needs change, as they always do, UMB is thereto anticipate
those changes and advise through new additions or adjustments to the solution UMB believes that
innovation and service are what continues to separate us from other providers
The following individuals will be part of the UMB implementation team that will be assigned to the City of
Fort Collins that will provide the leadership and experience necessary to provide a successful card program
Ron Sager, Senior Vice President and Commercial Card Manager, has been with UMB since 1978 Ron Sager
has successfully implemented purchasing card programs for the State of Kansas, State of Missouri, State of
Wyoming and State of Arkansas Travel Card program as well as many City/County municipalities,
Universities and Public School Districts, along with many private sector entities
Tim Jackson, Vice President and Commercial Bankcard Officer, has been with the card center since 1994
and has been involved with many of the programs partnered by UMB
Matthew Matzen, Commercial Card Account Manager, has been with the card center since 2005 and is the
account manager for many entities, including the majority of UMB's Colorado partners

2 Account Managers or Administrators must be able to assign default account numbers for
each card as follows
• One default number for all transactions for that card and
• Additional default numbers for certain Merchant Category Codes and
• Additional default numbers for certain vendors
The goal is to minimize reallocations
Visa Information Sources allows for the assignment of default account numbers for cardholder transactions
to be allocated based on any of the criteria such as card account number, billing account number, hierarchy
location, Merchant Category Code, and vendor Cost allocation rules can be created to each segment based
on its own requirements, and a variety of criteria can be in place for any one given cost allocation rule

Default accounting numbers for cardholder accounts can be changed on a real time basis by Administrators
and Account Managers (depending upon the level of access rights granted to the users) Any changes made
to the defaults will be validated against accounting numbers that are loaded into Visa Information Sources,
so as to eliminate the possibility of transactions defaulting to invalid account numbers Below is an example

After cardholders Account Managers are the second line of defense against abuse and
fraud
As a first line of defense, all City of Fort Collins purchasing card accounts will be protected by the Falcon
Fraud Detection system This system is a neural network design to look at the spending habits of
cardholders and notify cardholders and/or Administrators in the event of purchases coming through that do
not fit these habits UMB will work with the City to help make sure cardholders are notified in the event of
any potential account suspensions due to transactions being questioned by the Falcon system
The website for cardholders to use is www commercialcardcenter com This website is self enrolled,
meaning that as long as a cardholder can verify his/her account information, account information can be
accessed anytime 24/7

4 Reallocation of charges
When reallocation of expenses has to be done the transaction record must contain the
three fields listed below -- Account Number Sub Ledger and Sub Type The first two
fields must be formatted with drop -down selection boxes containing alternate account
numbers which can be entered as needed by the Account Manager Reallocation can
then be accomplished In most cases by selecting one of the alternate numbers This
process will eliminate a primary source of data entry errors

UMB will work with the City of Fort Collins to make all valid account numbers available to the Account
Managers so that transactions can be properly allocated within Visa Information Source The websde does
use selection boxes for the account numbers, which will help eliminate the primary source of data entry
errors
The importance of the account number field display and reallocation method cannot be stressed
enough Account Managers must be able to enter alternate numbers in a drop -down list as they
are needed The proposed system must include a method of validating account numbers using
Finance system data as they are entered
Proposals should also include sample Images showing screens to be used by Account Managers
in completing the above tasks Provision for online access to a sample system is encouraged
Users of Visa Information Management will find the layout of the cost allocation screen to be easy to
navigate and clear to use Once logged into Visa Information Management, Account Managers will need to
enter into Visa Information Source

the specific codes segments VIS can also be set so that only certain codes are available to use for certain
users — so as to prevent departments from using other departments accounting codes Below is an example

management capabilities Proposals should include process descriptions sample images and
(if possible) online access to a sample system
UMB will set up City of Fort Collins Administrators with access to any system that is requested UMB will
work with the City of make sure all Administrators have the necessary access rights as well as training
materials to see to the success of the program
Per section 2 3 the proposed PCard system must include the ability to transmit transaction data
into the City's Oracle JD Edwards EnterpinseOne finance application That interface will link the
PCard system to the City s AP module Alternatives will be considered
The file extract tool of Visa Information Source is the best tool to use for integration with finance
applications With this tool, users can fully customize from over 300 data fields to have exactly what
transaction details need to populate into the extract (in order to fit with what is required by the financial
application) The extracts can be run into a variety of formats, including but not limited to Excel (* xis) and
Comma Separated Values (* csv), depending upon what is required for upload into the financial application
UMB has much experience with helping programs find and develop the proper extract format needed for
integration with accounting systems

Proposals should include
1 Description of available methods for transmittal of data and what payment parameters
are associated with each billing format
UMB has many options for transmitting billing data files The files are available in a number of formats and
can be transmitted through secure e-mail, ftp site, secure website access, or an automated distribution can
be created The method of billing and method of payment are separate from each other, so that no matter
what format the City chooses for delivery of data, the City can still choose the most efficient and convenient
method of payment
The billing of accounts can be configured to meet the business needs of the City Individual accounts can be
assigned to cardholders, specific cost centers, projects, or even general ledger accounts Each individual
account is sent a statement listing transactions, and control account statements are a consolidation of a
group of accounts, by department All statements can be directed to any one or more addresses for review
or can be obtained via the Internet Three billing processes can be used in any combination to meet the
needs of the City of Fort Collins
Individual Billina accounts are individually billed and paid
Consolidated Billing accounts are billed individually and consolidated to a master control
account based on unique city defined groupings
Diversion Billina accounts are billed individually or consolidated, and certain charges
based on type of vendor, are diverted to special purpose accounts
2 List of information that can be attached to each card account
A wide range of user specific information can be attached to each account for billing file purposes This
information can range from simple card account number and cardholder name to accounting code
information for reconciliation purposes
There are three levels of transaction data that UMB can make available to the City of Fort Collins The
availability of this data depends upon the ability of the merchants to transmit this data at point of sale
Level 1 data is the primary level of data that a merchant must transmit in order for a card account to be
approved for a transaction This data typically includes supplier name, total purchase amount, date of
transaction, location of transaction processing, and the merchant category code
Level 2 data adds additional information about each purchase, including the sales tax amount and the
customer code
Level 3 data adds full line -item detail to the data This can include quantities ordered, product codes,
product descriptions, ship to zip code, freight amount, duty amount, and even unit amount
As mentioned, the availability of Level 2 and Level 3 data depend upon the capabilities of the City's
merchants supplying the information at the point of sale Level 2 and Level 3 data that is put through by the
City's merchants will be made available to Account Managers and Administrators through Visa Information
Management Through the website, users can log on and view the transaction details that are put through by
the merchant, which could help to ease the transaction reconciliation and re -allocation process for the City

3 Description of technical support available for electronic billing processes
The City of Fort Collins will have access to the Commercial Card Team for all questions or concerns The
Commercial Card Team is well trained and is able to assist on most all technical questions If the issue is
such that the Commercial Card representative for the City is unable to answer it can be escalated to OMB's
Information Technology Department, the Visa Commercial Help Desk, or to the Service Team at First Data —
depending upon the nature of the situation
4 A description of how card Information is kept secure Including the name of encryption
method or software used
As a regional bank, UMB is held to high standards for data security The City of Fort Collin's information will
be kept secure utilizing industry recognized security procedures If the City requires more detailed
information pertaining to data security, upon award, UMB will provide the information requested
5 Describe Service Providers back-up/restore procedures for billing files and for
transaction files related to City accounts
UMB will be able to recreate any file that is corrupted, lost, or destroyed for the City at no additional charge
This is available for up to 25 months of history
6 Indicate the availability of electronic billing file
Electronic billing riles can be made available to the City of Fort Collins upon the request of the City The
method of delivery can be chosen by the City and can include a mail, secure ftp site, or online delivery
through Visa Information Management
7 If billing file (Invoice) does not match transaction data describe the tools available to the
Purchasing Card Administrator can use to resolve the discrepancy
UMB has other reporting resources available to help resolve any billing discrepancies Any time there is a
mismatch between the billing file and transaction data, the Purchasing Card Administrator can contact the
account relationship manager at UMB to help discover the source of the discrepancy
The City of Fort Collins Purchasing Card Administrator can also be granted access to the same reporting
tool as used by UMB to help resolve discrepancies This tool, Commercial View, is a direct method of
downloading large quantities of transaction data direct from First Data, the card processor and producer of
the billing statements Since this comes direct from First Data, this information will always match the billing
statements and will serve as a resource for comparison against other transaction data

In the event an individual Account Manager is not available to allocate/approve
transactions for assigned cards describe the ability of the Purchasing Card
Administrator to either accomplish the necessary tasks directly or assign the cards to
another Account Manager
Visa Information Source allows for an Account Manager to designate when he/she is `but of office" This
function will then push transaction information for allocation and/or approval to a designated backup
Account Manager Visa Information Source is also flexible enough that if the access settings for a user or
Account Manager need to be updated to allow access to a new account or department, any changes that are
made by an Administrator will take effect immediately in real time This will eliminate any possible downtime

9 When an Administrator initiates a change to a card holder via the card management
system how can the Administrator track the progress of that change?
For initiating changes to cardholder accounts, the City program Administrator will be given access to the
UMB Commercial Card self maintenance website This is a web based tool that will give the Administrator

215 Ghost Cards
The City does not now use ghost cards but might in the future Proposals should include
information about the use of ghost card accounts for procurement
UMB proposes to provide ghost or cardless accounts to the City of Fort Collins These accounts are
purchasing card accounts without the plastic being issued All transaction made on ghost accounts are
included in the normal billing and transaction data provided to the City Typically ghost accounts are used
for high dollar transactions such as for computers, office supplies, telecommunications, etc Ghost accounts
are handled by trusted employees with targeted controls by specific MCC groups or vendors Since these
accounts are part of the normal purchasing card program, transaction data is supplied with the entire City's
billing statements and will be a part of the transaction file uploaded into JD Edwards The City can utilize as
many ghost accounts as needed with unique controls built for each
216 Inactive accounts
The proposed system must include a method of removing inactive card accounts from the active
system Card accounts can't be removed until all charges on that card have cleared the system
Accounts may have to remain in the active list until the transactions are no longer needed for
financial purposes but at some point we would like the management system to contain only
active card accounts
Inactive cards stay in the system for historic reporting purposes However, any time a program
administrator or account manager is selecting a group of cards online there is a check box to remove closed
accounts from the list, only displaying the open cards

2 17 Large Purchase Merchant Fees
At some point the City will begin using Purchasing cards to pay large payments especially
recurring charges such as utility bills Proposals should Indicate the vendor's willingness to
reduce merchant fees in order to facilitate large payments
Merchant fees are negotiated between a card accepting company, their merchant processing bank, and the
card brand companies UMB as a card issuer is not involved in the pricing of merchant fees However, if a
City of Fort Collins vendor is Interested in becoming a member of Visa's large ticket reduced interchange
program, UMB will assist that vendor in doing so
218 Sale of Cardholder Information
The Service Provider shall not sell rent or otherwise distribute a list of participating cardholders
their addresses or any other Information to any person firm or other entity for any purpose
without the written consent of the Purchasing Card Administrator
UMB will not sell, rent, or otherwise distribute a list of participating cardholders, their addresses, or any
other information to any person, firm, or other entity for any purpose without the written consent of the
Purchasing Card Administrator
2 19 Hosting Information

All information pertaining to the City of Fort Collins card program is housed either on OMB's or Visa's
servers As a regional bank, UMB is held to high standards in terms of data security The City of Fort

The application matches Visa purchasing card transactions to data contained in the Visa Merchant
Profile Database (VMPD) City program administrators can create customized reports that provide
enhanced transaction information, allowing for quick review of Visa purchasing card transactions by
merchant Visa 1099 reports can be pulled in excel spreadsheet or PDF format UMB can provide
extensive documentation to each City program administrator on Visa Information Management 1099

Annual rebates must be calculated on the total amount of charges made by all entitles operating
under any agreement resulting from this request for proposal Each entity must receive their
rebate Individually Describe your rebate structure and processes related to timing and method

UMB, along with Visa, hosts several annual Public Sector Purchasing Card Forums Arapahoe County has
hosted the past two Colorado conferences At the 2007 UMB Front Range P Card Forum over 30 government
entities were represented by over 50 people in attendance Ron Sager and Matt Matzen from UMB presented
on topics including the UMB/Visa optimization tool kit and travel card opportunities while representatives
from Visa spoke about industry trends and updates and 1O991QPCA
Several UMB customers have also taken part in a Colorado Public Sector P Card user group If the City of
Fort Collins is not aware of this group, and has an interest in becoming part of it, UMB will ensure the City
has contact information for member entities

Responses to Requirements unique to Poudre School District
1 1 Poudre School District Participation
The Poudre School District (PSD) has elected to participate in the card procurement process
Requirements relating to PSD are the same as for the City of Fort Collins except as specified in
section 2 0 Requirements
The School District will complete a separate agreement with the selected vendor and each
agency will receive their own rebates The Poudre School District R-1 will negotiate directly with
the Service Provider with whom the City of Fort Collins contracts
PSD initiated a purchasing card program in July 2006 The first year of the program generated
219 cardholders and resulted in transactions totaling 8 543 The purchase of goods and
services totaled approximately $1 075 750 Continued program growth and development is
anticipated in 2008
UMB understands and accepts that Poudre School District has elected to participate in this card
procurement process
If selected, UMB will complete a separate agreement with the Poudre School District R 1
231 Poudre School District Requirement
The vendor must demonstrate the ability to provide appropriately formatted data (tab -delimited
text files) including the ability to extract at a minimum the data fields Date Amount Vendor and
Card Number PSD will not require a system interface to the existing District financial system
Utilizing Visa Information Management's File Extract Tool allows UMB to provide data to Poudre School
District in a number of formats, including tab delimited, Excel, csv, and XML, among others With the File
Extract Tool over 600 fields are available to be downloaded, including Transaction Date, Posting Date,
Transaction Amount, Vendor Name, Cardholder Name, and Cardholder Number If desired, a mutually
acceptable process for interfacing the purchasing card transaction data with the District's financial system
can be developed via existing web based technology The UMB Commercial Card Team, along with UMB's
Information Technology Department will work with the appropriate Poudre School District parties to develop
the processes for interfacing with District's financial system
2 51 PSD Card Design
Poudre School District shall work with the selected vendor in the development of the PSD card
design which must include the individual s name as well as the District name and logo

This could be integrated into the contract transition to identify ways to improve the City's Card Program

Visa Procure to Pay Pronram Optimization
Visa and UMB have launched a new program designed to identify opportunities for clients to improve
procure to pay operations and increase savings through their card programs The Program Optimization
Review, which requires minimal time and effort, helps organizations benchmark their processes against best
practices, identify opportunities to realize both hard and soft dollar savings from process efficiencies, and
explore Visa Procurement card program expansion tactics
Qualitative Analysis
Procure -to pay and Commercial Card Best Practices are derived from studies conducted by Visa in
association with Deloitte Consulting and cover key activities such as company strategy, organization,
strategic sourcing, technology, purchasing, travel, and procure to pay processes
Quantitative Analysis
The Visa Accounts Payable Analysis Tool assesses the City's spend data by supplier, business unit,
transaction size, and other factors Financial goals are established and then actual results are tracked over
time
Spend Analysis
UMB will analyze the City's spend data or accounts payable data utilizing our Visa Accounts Payable
Analysis Tool After the City submits their accounts payable data, UMB will sort it by transaction size and by
type of payment, such as check, ACH, wire, and procurement card Where appropriate, UMB will further
organize the data by business units and cost centers as well as segregate it by spend category or
commoditytype UMB will then match the suppliers against a database of Visa accepting suppliers to show
how much spend volume and how many transactions are potential opportunities for the Visa card program
Detailed reports and charts will be provided that analyze the City's data by spend type, transaction size,
Visa accepting merchant, and type of data that the Visa merchant provides (Level I, II, III)
Return on Investment or R01 Financial Benefit Analysis
UMB will help the City determine the expense associated with processing purchases and payments within
the organization to come up with a Process Cost Savings statistic This statistic represents all costs from
the point at which an employee needs to buy a good or service through the order process all the way to
payment and accounting for it Then, based upon the target number of transactions to be migrated from
check to the less expensive method of payment by Visa Procurement Card, UMB will estimate for the City

Another feature that UMB believes the City should consider is the Visa Accounts Payable Automation Tool
The pilot implementation of the Visa Account Payable Automation Tool is scheduled for Ist Quarter 2008,
with the full roll out of the tool occurring in the 2nd Quarter of 2008 This tool will allow the City to initiate a
batch payment file to pre -determined vendors The file will create an email alert sent to those vendors with a
purchasing card number attached to it Upon submission of the file, the limit associated with each number
will be increased to match the amount of the payment The increase will be in place for seven days After the
seven day period, the limit will be reduced back to zero After all payments have been made through the card
program, a reconciliation report will be provided back to the City for review showing the amount charged,
invoice number, PO number, etc All transactions made on the card program through this tool will flow
through the normal reporting of the program as well as be eligible for rebate under the same conditions as
all other transactions The pricing of this tool has yet to be determined

Work Plan for Implementation
UMB understands and has provided the following contract implementation plan for the City of Fort Collins
The following individuals will be part of the UMB implementation team that will be assigned to the City of
Fort Collins that will provide the leadership and experience necessary to provide a successful card program
Ron Sager, Senior Vice President and Commercial Card Manager, has been with UMB since 1978 Ron Sager
has successfully implemented purchasing card programs for the State of Kansas, State of Missouri, State of
Wyoming and State of Arkansas Travel Card program as well as many City/County municipalities,
Universities and Public School Districts, along with many private sector entities
Tim Jackson, Vice President and Commercial Bankcard Officer, has been with the card center since 1994
and has been involved with many of the programs partnered by UMB
Matthew Matzen, Commercial Card Account Manager, has been with the card center since 2005 and is the
account manager for many entities, including the majority of OMB's Colorado partners
a UMB will assist the City of Fort Collins with the planning and evaluation of a customized
implementation plan for the City The customized implementation plan for the City will include but is
not limited to the following procedures
Conduct meetings in person or on the telephone to recommend or define features of the programs
in detail and determine implementation tasks
Assist the City in designating the participants and determining activities, which allow for an
effective program for departments of the The City of Fort Collins
Determine expectations of the participants and assist in defining how success will be measured and
reported
Assist with the design and fulfillment of needs for customized forms, letters, card plastics, and
procedures
Assist with the training of program leaders on interpretation of reports, implementation of controls
and cardholder implementations when necessary
Determine vendor support levels and implement conversion where necessary
Assist with the training of cardholders
Continue to evaluate programs with the City of Fort Collins Officials to plan for adjustments and
customization of additional features for new or existing departments
Provide on going program evaluation assistance, procedural evaluation, and technical expertise to
ensure continued success and growth for the City of Fort Collins Card Program
A complete purchasing card implementation plan and training program for management, cardholders, and
vendors will be mutually developed upon award of the contract The City of Fort Collins purchasing card
program should be customized to meet the goals of the City and all training will be developed with those
goals in mind UMB is experienced in providing Purchasing Card programs As the issuer of the State of
Kansas, State of Missouri, and State of Wyoming for both Purchasing and Travel cards, as well as the State
of Arkansas Travel Card program, UMB can provide knowledge and experience in the implementation and
expansion of the City of Fort Collins program UMB will assist the City of Fort Collins in training as much as
needed to make sure the City program staff, City administrators, and cardholders feel comfortable with the
technology and procedures for the card program

10 GENERAL
The City of Fort Collins (City) has utilized a Purchasing Card (PCard) Program since 1999
Currently the City has approximately 630 cardholders and generates about $340 000 in
purchases each month In 2006 City employees purchased a total of $3 600 000 in goods and
services using PCards The City estimates 2007 volume to be in excess of $4 000 000 and
transactions to number over 30 000
Any transition to a new card provider will occur in 2008 with the exact timing to be negotiated
The City of Fort Collins is seeking a Service Provider with the resources and experience to
properly administer a purchasing card system including above -average customer service and a
user-friendly flexible powerful management and reporting system System functionality should
include on-line access to card account and current transaction information for account
maintenance and administration and ability to make real-time updates to accounts
While the PCard Program is an integral part of the City s procurement system the City cannot
guarantee any minimum amount of purchase volume or number of cardholders even though
such numbers are expected to increase over the next few years
Proposals will be accepted from vendors offering a Purchasing Card with either an integrated
card and transaction management system or a third party system for card management
Proposals will also be accepted from vendors offering card management systems alone
Award will be for a period of five years with an additional five year period contingent on approval
by City Council

Pricing City of Fort Collins
UMB Bank is pleased to offer a custom designed Visa Purchasing Card Program to the City of Fort Collins,
CO at no charge
UMB proposes a program with no annual card fees, or per transaction fees or interest charges
A custom Visa Purchasing Card appearance will be configured which will meet the specifications and needs
of the City at no charge
Customized distribution of statements will make it possible for delivery directly to cardholders or a
coordinator, or groups of coordinators at no additional charge
There is no charge for lostlstolen card replacement
Customized evaluation reports will be produced to the extent possible at no additional charge
UMB will provide the choice of any of CommercialView desktop electronic MIS, Visa InfoSpan, Visa
Information Source, or Internet statement producing services and reporting at no charge
UMB will provide a customized interface into Oracle JD Edwards EnterpriseOne at no charge
Late Fees And Other Charges It is not a practice for UMB to add interest, late fees, or other punitive
charges to government issued program accounts unless repeated and unresolved violations of the 30 day
pay in full requirement occur Rebates may be affected by repetitive late payments
UMB Bank is offering a rebate on qualified sales volume (sales, less refunds), payable on a monthly,
quarterly, semi annual, or annual (negotiable) basis without reserves or minimum volume guarantees The
payment of a rebate may be affected by late payments This rebate is effective immediately at the beginning
of the program implementation For all qualified sales volume, the rates of rebate are listed in the table
below There is no minimum level requirement to qualify for a rebate Rebates can be increased by 6 basis
points (06%) if all accounts are paid in full within 20 days of the end of the billing period, and 13 basis points
(13%) if all accounts are paid in full within 10 days of the end of the billing period

At the very core of who we are and what we do, is our relationship with our customers.
You are probably thinking, "Every bank, or service provider, says that!" But at UMB,

As an industry, everyone talks about relationship banking. But by practice, that just
means selling more products. At the end of the day, does the bank really care about
you, and what your needs are? Do they listen to you? Partner with you? Advise
you? On a truly personal level, do they know your business? Your family? When was t
the last time you heard from a friend who banks some place different than you do,
"My banker is more than just my banker."
I believe that banking today has lost its ability to be creative and add true, meaningful,
value to the customer. Most banks know their customers' buying patterns and sell
products accordingly. At UMB, we've built our reputation by always doing what
is best for the customer. We measure our success by the time spent getting to know
our customers and by being sensitive to their needs. I firmly believe that we can do
what's best for the customer, and the bank, and both "win." Our real opportunity lies

Why LIMB
Turning to our operating results, 2006 was a year of continued improvement.
Reported net income totaled $59.8 million or $1.40 per diluted share,
a 6.1 % increase from $56.3 million or $1.30 per diluted share in 2005.
Our improvement in 2006 was primarily driven by margin expansion, loan
growth and higher fee income.
With regard to margin expansion, we are pleased to be one of the few U.S. banks
that posted positive gains in this area despite a challenging yield curve. This is due,
in part, to the actions we took in the past two years to restructure the investment
portfolio, improve the balance sheet mix and focus on loan growth. We extended the
average life of the investment portfolio during 2006 from 30.6 months to 35.3 months,
and reinvested $1.0 billion of securities, other than short-term discount notes, at an
average yield of 5.11 %. We also continue to benefit from our core deposit base.
Noninterest-bearing deposits are a significant part of ourfunding sources, representing
approximately 36% of total deposits. In addition, our margin benefited from the
changes to our balance sheet mix, as loans grew in volume and as a percentage of
earning assets.
Loan growth continues to be a key driver of our success. In 2006, average loans
increased 14%, and end -of -period loans increased 11 %. We ended the year with a
record $3.8 billion in loan balances. In addition to our commercial loan growth, loans
in our consumer segment grew, mostly due to Home Equity Lines of Credit and credit
cards. Our HELOC business grew by 48%, and the portfolio had an average yield of
7.1 %. I am particularly proud of the loan growth we achieved without compromising
our high -quality credit standards. In fact, our credit quality remains strong relative to
our prior performance, as well as compared to the industry. While competition is fierce
for quality loans, you'll find that we'd much rather put on quality over quantity.

Why UMB
Growing our fee -based business, which represented approximately 54% of total
revenue in 2006, is integral to our continued success. Last year, trust and card
services income continued to be a major driver. Our trust fee income benefitted from
strong net -flows into our UMB Scout Funds.' Our Credit Card business significantly
contributed to fee income growth primarily driven by our commercial credit card
program, where cardholder volume increased 24% over the same period last year.
We are pleased with our financial performance in 2006, and remained focused on
managing our capital effectively. During this past year, we implemented a disciplined
combination of investments in organic growth and acquisitions, as well as return of
capital to shareholders in the form of share repurchases and dividend payments.
During 2006, we repurchased 850,997 shares at an average price of $34.78 for a total
cost of $29.6 million. We also increased the quarterly dividend by 4% in April, thefourth
increase in our quarterly dividend since October 2003, for a payout of $22 million or
a 37% payout ratio. Finally, making strategic acquisitions has long been a strategy of
ours, and in the third quarter we announced the acquisition of Denver -based Mountain
States Bank. Mountain States has many similarities to UMB, Including a relationship
based commercial focus, high noninterest-bearing deposits, and deep family roots
in, and commitment to, the community. Its balance sheet, business model and
corporate culture have proven complementary to ours.
You've heard me say numerous times that one of our largest opportunities lies
in our regional footprint. In 2006, we continued to execute against our market
strategies and invest in our retail business. We closed five branches and opened
four, which includes the acquisition of Mountain States Bank. Overall, we do not
see much change in the number of branches in the near term, and will continue to
periodically evaluate branch performance to ensure long-term returns are in line with
market opportunities. Nevertheless, as part of implementing our market strategy, we
will continue to take advantage of strategic opportunities to grow our franchise as
good acquisition candidates arise.
Our continued efforts to re -invigorate our retail franchise are showing results, with total
deposits growing by 7% and primary retail customers growing by 6% year -over -year.
This growth is partly due to the actions we have taken in the last few years such as
offering more competitive products. Also contributing to the customer growth were
our Grab -a -Great -Rate and HELOC campaigns, as well as the addition of Mountain
States Bank customers. The HELOC campaign resulted in almost 1,700 new loan
accounts, and net growth in outstanding balances of more than $56 million In 2006.
In addition, our deposit campaign helped us gain more than 2,800 customers and
more than $240 million in deposits.

Dear Shareholders:
While we are pleased with our improved 2006 operating results, we will continue to
raise the performance bar in 2007. In order to consistently win in the marketplace,
we will work relentlessly to make and act on decisions that are in the best interests of
both the customer and UMB.
In 2006, we continued to execute against our growth and operational strategies.
Critical to our success is growing our diverse fee business. For example, as a
result of our commitment to maintain our leadership position in healthcare services,
we achieved a 234% increase in the number of debit cards in our Health Savings `
Accounts and Flexible Spending Accounts programs. In 2006, we announced 11
new alliances with health care providers, third -party administrators and software
companies. We continue to believe that rapid account acquisition is crucial to
maintaining market leadership. At the end of the year, I am happy to report we had i
more than $64 million in deposits and assets in these accounts.
Our Payments & Technology Solutions business is positioned to be at the forefront
of the transition for our customers as they move from paper -payment methods to
electronic solutions. Finding solutions that meet the customers' need, from paycard,
remote deposit capture and other image and electronic -based services, will continue
to be essential to our success.
Also contributing to our fee business growth were credit card and debit card growth.
Cardholder volume increased in commercial and private label by 24% and 17%,
respectively. The migration away from checks and currency is accelerating and we
recognize the prominence that cards are playing in the marketplace. For that reason,
we intend to maintain a sharp focus on this area and look to expand the business,
both organically and possibly through acquisitions.
Why UMB
Also contributing to our fee income growth was our Investment Banking division.
In 2006 we had a notable increase in the company's municipal bond underwriting
activity. UMB is now ranked as the 17th largest underwriter of bank -qualified municipal
bonds, as reported by Thomson Financial in its 2006 U.S. Municipals Review.
In 2006, we made significant progress toward our goal to strengthen our asset
management business, which was also a large contributor to our fee income
growth. Total assets under management increased 23%, surpassing $10 billion for
the first time since the sale of the Employee Benefits accounts in 2004. Leading this
growth was our proprietary family of mutual funds. During 2006, our UMB Scout
Funds' benefited from net flows of $898 million, including our equity, bond and money
market funds. Additionally, we successfully implemented an integrated wealth
management business model. To improve our sales and relationship management
capabilities, we integrated our wealth management teams, portfolio management
and private banking. After building our private banking team during the first part of
the year, we added $28 million in new credit authorities, $23 million in deposits and
$11 million in new investment business. We also continued to expand our investment
offerings, such as the introduction of our new UMB Managed Architecture and the
launch of the UMB Scout Mid Cap Fund'. And finally, we added depth of experience
to our management team with the hiring of Clyde Wendel. Wendel joined us from
Bank of America, and brings more than 30 years of experience in the commercial and
sly
asset management businesses.
Another area of focus in our business plan, and perhaps the most important for
2007, is our focus on enhancing operating efficiencies. While we recognize
we have opportunities for improvement in this area, during 2006 we continued to
drive productivity improvements at the corporate and branch levels. In 2006, we've
seen improvements in productivity metrics, with average loans per FTE up 13% and
average deposits per FTE up 4%. Moreover, our focus and discipline with respect
to improving operating efficiency have enabled us to reduce the number of average
FTEs by 39 to 3,453 during 2006. This is despite an increase of 57 positions related
to the acquisition of Mountain States Bank in the 3rd quarter.
Finally, another area of continued focus for us is risk management. During 2006, we
implemented a state-of-the-art enterprise -wide risk management platform.
This platform and corresponding set of processes provides UMB with a holistic
way to assess, quantify, prioritize and track accountability and resolution of risk. We
expect it to help us manage our business better by focusing management resources
on the areas that represent the greatest risks.
In 2007, we will continue to focus on our operating results. But, as you know, any
great company that wants to achieve sustainable greatness must consider internal,
as well as external factors. We will be relentless in our pursuit. For our company, there
are four main areas we need to focus on to achieve sustainable greatness.

Why UMB
First, we must leverage our investments in people, technology and process
and translate them into services and sales execution. During 2006, we
completed several key initiatives in technology, including WebExchange, our
payments platform, ClientLink, a customer relationship management system, and
an Improved umb.com. We believe these investments will help us not only continue
our sales momentum but also create a stronger, more unified customer focus across
the company. Through our sales momentum we are making progress on our ultimate
goal of delivering the "One UMB" sales and relationship management approach.
Finally, without the right people in place, none of this would be possible. We've added
talent across our organization and are confident in all of our associates' ability to help
us grow our business.
Second, we must continue to drive efficiency improvements across the organization.
This includes both improved revenue capture and dedicated cost -saving efforts.
Third, we need to be focused on gathering core deposits and further enhancing
our asset yields. As Mariner mentioned in his letter, core deposits are a highly
competitive space for all banks. We are committed to maintaining the competitive
advantage of our core funding structure through both our retail franchise and our
payments business. We will also continue to improve our asset yields by growing
als higher -yielding loans such us credit card, small business and HELOC balances.
And finally, we must deliver the unparalleled customer experience. This Is
our vision and we will not rest until each associate believes it and each customer
receives it. We have made great progress in this area, and the next step In this
journey is mobilizing a "One UMB" culture where every associate in our organization
consistently delivers the unparalleled customer experience. We believe the customer
is at the core of everything we do: our shared mission is to know our customers
and anticipate their needs; advocate and advise; innovate and surprise. In our highly

The strength of
our balance sheet
speaks volumes.
Our balance sheet doesn't look like most of our competitors', and we like it that way.
Our balance sheet is unique in many ways. We have a high quality and low -risk balance sheet,
which gives us plenty of room to grow. Our deposit composition, with more than a third of
noninterest-bearing demand deposits, provides us with an enviable source of core deposits.
Further contributing to our strong balance sheet is our loan portfolio. Our loan mix has a strong
Commercial & Industrial component at 42% of total loans. In addition, we enjoy the benefits of a
diverse consumer loan base, including our credit card portfolio. Our low balance sheet leverage,
with a relatively low loan -to -deposit ratio, has allowed us to grow loans at a healthy pace. We
are proud of achieving solid loan growth without compromising our strong commitment to high -
quality lending. Our capital ratios are stronger than the majority of our peers and significantly
above regulatory levels. Finally, our strong and unique balance sheet contributed to our earnings
growth in 2006 as it played a big role in the margin expansion we experienced. All in all, 2006 was
a good year, and that's just the beginning.
