HomeMy WebLinkAbout398304 LAUREL HILL GIS - CONTRACT - CONTRACT - 27381PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and Laurel Hill GIS, hereinafter referred to as "Professional". WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: 1. Scooe of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit "A", consisting of twelve (12) pages, and incorporated herein by this reference. 2. Contract Period. This Agreement shall commence upon signing and shall continue in full force and effect until October 312006, unless sooner terminated as herein provided. 3. Early Termination by City. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. Such payment shall be the Professional's sole right and remedy for such termination. Standard Professional Services Agreement- revO6/22/06 This is the "Restoration Prescriptions" interface that allows the user to edit or view the properties of the prescription activities in the database. Prescription activities are applications that are applied to each area over a period of time. These can either be proposed (prescribed) or completed. On the brown section of this form there are several fields that identify the site unit which is a portion of a natural area property. The overall site information is listed again along with more specific information about the specific application that was clicked on the previous form. This form contains information on cost estimates and actual costs based on acreage and type of application. Agency — Shows who performed the application Lead Contact - Natural Resources or contractor staff to contact on this application. Activity Detail — More about prescription category. Objective — Why the application is needed. Notes — More specific detail on the application. Labor Cost per Acre, Material cost, total estimated costs — calculated estimated cost value based on tblCatagory fields. Actual costs are currently being tracked in another location. There are questions about how to handle this information and if it belongs in this database or not. Not everyone should have access to do this operation. Currently the categories list needs to be revised. Work Plan for Lead — Enter in a staff name and a year. This is not as useful of a report as some of the others. Work Plan for Natural Area — Enter in a Natural Area name and a year range or unit code. This report lists the applications by unit and year. Monthly Restoration Activity — Enter in a year and a month. This report shows all the incomplete or complete applications by natural area, and unit. This report needs a total completed application calculation. Estimated Costs per Year— This report lists by year and by natural area name the proposed application costs. Estimated Cost per Natural Area — This report lists estimated costs by natural area name and totals it. 3. Justification Natural Resources staff needs to redevelop the interface to the database because they are experiencing some accuracy and stability problems. What has become apparent recently is that if a record is deleted in a particular Access form, associated records are deleted along with linked records in the personal geodatabase. Standard Professional Services Apr"ffant- revo822/06 13 Although the results are not consistent, it demonstrates that the database is behaving unpredictably. Natural Resources staff does know that there is not the appropriate VB code to handle a graceful delete out of this particular form. This is just one example of many other similar problems with the current design of this database. 4. Objectives Natural Resources staff would like to have a Personal Geodatabase designed along with an interface in ArcGIS that would stabilize the database environment. Having the interface and the database reside in ArcGIS is what is needed to simplify the data maintenance process. There are several components that make up the current system. The Resource Management Planning and Tracking system includes a database with a geographic component, reporting functions, an interface that is easy to use to track information and also a data editing interface. All of these features would perform processes together and reside in the same ArcGIS platform. Some customization will be required to perform the reporting functions and an interface needs to be designed for some editing functions. B. Assumptions The help that the City needs from the vendor will include a complete geodatabase design, which is not included in this document. The assumption is that the vendor will have the information that they need in this document and with the copy of the current database configuration that will allow them to provide a database design in geodatabase that will fit the needs of the system. The system includes the geodatabase, the custom interface for editing, and the reporting functionality. This implies that these components work together and a work- flow should incorporate these components together which accomplishes the needs of the City of Fort Collins. C. Historical Information The current database environment consists of a Personal Geodatabase and an Access front-end. The geodatabase is not being managed property by some of the table edits in Access which is creating some stability problems. D. Constraints Because of the unstable environment that was developed, there might be some existing problems with the data that might need to be corrected. Before and after the data is converted, a QA/QC process defined in this document will help to verify that the data is correct and accurate. There is a separate tracking of actual costs that is being done in another location. Natural Resources would like to discuss with the vendor the best way to handle this information. Currently there are questions as to where this information would reside and if it should be located in this particular database. E. WSS a.k.a. Deliverables and Project Acceptance Process Standard Professional Services Agreement. revo8/221o6 14 There will be two phases of this project that will have a review and acceptance process for each element of these phases. Phase 1: Design 1. Interface Design Workshop The vendor will meet with City of Fort Collins staff to design the application user interface. The session will be 2-4 hours on -site. In this session, the current application interface will be reviewed. Whiteboard and paper mock-ups of the new interface will be developed. This session will help leverage the positive aspects of the existing interface, and detail improvements that can be made to unfavorable aspects of the existing interface. A list of improvements to the system can be assembled at this time. The vendor will determine if those improvements can be included in this scope of work or would be considered at an additional cost. 2. Geodatabase Design Once the vendor understands the current system, a geodatabase design document in Visio software will be assembled and the City of Fort Collins staff will review and consider modifications that may be needed. 3. Mock-up Interface and Work -Process review The interface and work -process will be presented to City of Fort Collins staff. This will include a way for City of Fort Collins staff to visually see that the vendor understands the needs and functionality of the system. This will allow the users to understand if the system presented has any flaws that can easily be corrected before the construction phase. Any changes that can be identified should be corrected at this point. 4. Create Geodatabase and Test Geodatabase Design A test geodatabase should be created with the shapefile information that currently exists so that the vendor can prove the concept. City of Fort Collins staff will review the data with the vendor to determine if the design meets the needs of the system. Changes will be identified by City of Fort Collins staff. Milestone #1 — Completion of interface and database design Phase 2: Construction 1. Data Migration Once the test geodatabase is accepted by City of Fort Collins staff, a full data migration should be completed. 2. Data Verification and Testing The vendor will make an effort to verify that the data that went into the conversion is consistent with what went into it. The City of Fort Collins Standard Professional Services Agreement- revo822!06 15 staff will review the dataset to ensure that it is accurate and that the geodatabase design meets the needs of the system. 3. Interface Verification and Testing The vendor will make an effort to verify that the interface operates consistently on the front-end interface and reporting along with the back - end geodatabase. The City of Fort Collins will review the interface and the back -end to ensure that it meets the needs of the system. Changes to the interface will be identified and corrected to meet the needs of the system. These corrections can be an iterative process. Ideally those changes would be identified in the design process, but there will most likely be changes in the construction phase. The City will work with the vendor to identify items that are outside of this scope of work. 4. Report Functionality Testing The vendor will make an effort to review the report results to ensure consistent results. The City of Fort Collins will review the reports for content to see that it meets the needs of the system. 5. Review and Verify Documentation Documentation will be provided by the vendor for the geodatabase and also for work -flow. The City of Fort Collins will review this documentation to ensure that it meets the needs of the system. Milestone #2 - Completion Completed Deliverables 1. Work process and editing work -flow documentation 2. Geodatabase design document 3. Suitable user interface for editing and data entry 4. Report series Scope Management Plan The design phase is critical for the vendor to communicate what is understood about the needs of the system. Changes to the system should be identified in the design phase so that changes do not occur farther along in the process when things have already been established. It is important for this to occur so that the scope of the project does not shift. The City will work with the vendor to identify problems with the scope as early as possible during the process. Standard Professional Services Agreement- rovOB/22/06 16 LaurelH'111GIS Geodatabase Integrity Solutions" Restoration / Resource Management Planning and Tracking Database reorganization and Application Development Proposal Introduction This proposal will outline application development and database reorganization necessary for the Restoration / Resource Management Planning and Tracking Database. The goal is to migrate all application programming and data from the dual geodatabase/MS Access system to a single geodatabase storing the data and application programming with ArcObjects. The target system is ArcView 9.1. Data Migration All data that exists in the MS Access database will need to be migrated into the geodatabase. Additionally we will assess whether the stand alone tables in the geodatabase should be migrated into coded domains. Optionally Laurel Hill will document the database design. Task 1: Data migration and coded domain creation Task 2: Optional database design documentation Interface Design Workshop Laurel Hill will meet with the City of Fort Collins staff to design the application user interface. Task 3: Interface Design Workshop Data Editing Basic editing functions such as polygon splits, merges, modifications, creation and deletion will be accessed through an editing toolbar. All edits to the polygons that effect related tables will cascade to the related tables. For instance, a polygon delete will result in the corresponding related records being deleted Splits and merges will also have similar effects on the related tables. When possible, standard ArcMap functionality will be used for the basic editing functions. The current report format and structure will be used as a guide in creating the new reports. As an optional task, an image of the polygon representing the Natural Area associated with the report will be added to the report. Task 5: Create reports based on existing format and structure Task 6: Optionally add map to reports Application Startup and look and feel The application will start up from the ArcView interface. The user will be presented with the standard tools for zooming, panning and general navigation. The user may customize the ArcView interface in terms of layers, symbology and labeling. An editing toolbar and reporting toolbar will be available at startup. Basic help functions will be written in a word document that will be delivered with the final code. Status, Reporting and Terms This is a fixed price cost estimate. The City of Fort Collins will be invoiced at 2 major milestones, at the completion of the data migration and interface design tasks and at the final delivery of the application. Laurel Hill's standard payment terms for custom programming are 30 days net from the delivery of final code. Changes to Scope Any changes in scope of work will be handled through a change order process. The details of each change will be written and priced appropriately and will be considered addition work. Support Laurel Hill will support the Restoration / Resource Management Planning and Tracking Database Tool for 30 days after delivery. Desion, Proiect Indemnity and Insurance Responsibilfir. The Professional shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all services rendered by the Professional, including but not limited to designs, plans, reports, specifications, and drawings and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold harmless the City, its officers and employees in accordance with Colorado law, from all damages whatsoever claimed by third parties against the City; and for the City's costs and reasonable attorneys fees, arising directly or indirectly out of the Professionals performance of any of the services furnished under this Agreement. The Professional shall maintain commercial general liability insurance in the amount of $500,000 combined single limits and errors and omissions insurance in the amount of $1,000,000. 5. Compensation. In consideration of the services to be performed pursuant to this Agreement, the City agrees to pay Professional a fixed fee in the amount of Sixteen Thousand Seven Hundred Dollars ($16,700). All such fees and costs shall not exceed Sixteen Thousand Seven Hundred Dollars ($16,700). Monthly partial payments based upon the Professional's billings and itemized statements are permissible. The amounts of all such partial payments shall be based upon the Professional's City -verified progress in completing the services to be performed pursuant hereto and upon the City's approval of the Professional's actual reimbursable expenses. Final payment shall be made following acceptance of the work by the City. Upon final payment, all designs, plans, reports, specifications, drawings, and other services rendered by the Professional shall become the sole property of the City. 6. City Representative. The City will designate, prior to commencement of work, its project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. Drawings shall be of archival, prepared on stable mylar base material using a non -fading process to provide for long storage and high quality reproduction. "CD" disc of the as -built drawings shall also be submitted to the owner in and AutoCAD version no older then the established city standard. 8. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City Representative with a written report of the status of the work with respect to the Scope of Services, Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City, suspend the processing of any partial payment request. 9. Independent Contractor. The services to be performed by Professional are those of an independent contractor and not of an employee of the City of Fort Collins. The City shall not be responsible forwithholding any portion of Professional's compensation hereunder forthe payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose. 10. Personal Services. It is understood that the City enters into this Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the City. 11. Acceptance Not Waiver. The City's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's approval or acceptance of, or payment for, any of the services shall not be construed to operate as a waiver of any rights or benefits provided to the City under this Agreement. 12. Default. Each and every term and condition hereof shall be deemed to be a material element of this Agreement. In the event either party should fail or refuse to perform according to Standard Professional Services Agreement- rev0822M 3 the terms of this agreement, such party may be declared in default. 13. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period often (10) days within which to cure said default. In the event the default remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail himself of any other remedy at law or equity. If the non -defaulting party commences legal or equitable actions against the defaulting party, the defaulting party shall be liable to the non -defaulting party for the non -defaulting parry's reasonable attorney fees and costs incurred because of the default. 14. Bindina Effect. This writing, together with the exhibits hereto, constitutes the entire agreement between the parties and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 15. Law/Severability. The laws of the State of Colorado shall govem the construction, interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. 16. Prohibition Aaainst Emolovina Illegal Aliens. [This paragraph shall apply to all Consultants/Contractors whose performance of work under this Agreement does not involve the delivery of a specific end product other than reports that are mercy incidental to the performance of said work.] Pursuant to Section 8-17.5-101, C.R.S., at. seq., Contractor represents and agrees that: A. As of the date of this Agreement: 1. Contractor does not knowingly employ or contract with an illegal alien; and Standard Professional Services Agreement- revOtf/22/05 4 2. Contractor has participated or attempted to participate in the basic pilot employment verification program created in Public Law 208, 104th Congress, as amended, and expanded in Public Law 156, 108th Congress, as amended, administered by the United States Department of Homeland Security (the "Basic Pilot Program' in order to verify that Contractor does not employ any illegal aliens. B. Contractor shall not knowingly employ or contract with an illegal alien to perform works under this Agreement or enter into a contract with a subcontractor that fails to certify to Contractor that the subcontractor shall not knowingly employ or contract with an illegal alien to perform work under this Agreement. C. If Contractor has not been accepted into the Basic Pilot Program prior to entering into this Contract, Contractor shall apply to participate in the Basic Pilot Program and shall verify in writing such application within seven (7) days of the date of this Agreement. Contractor shall continue to apply to participate in the Basic Pilot Program and shall in writing verify same every three (3) calendar months thereafter, until Contractor is accepted or the public contract for services has been completed, whichever is earlier. The requirements of this section shall not be required or effective if the Basic Pilot Program is discontinued. D. Contractor is prohibited from using Basic Pilot Program procedures to undertake pre -employment screening of job applicants while this Agreement is being performed. If Contractor obtains actual knowledge that a subcontractor performing work under this Agreement knowingly employs or contracts with an illegal alien, Contractor shall: 1. Notify such subcontractor and the City within three days that Contractor has actual knowledge that the subcontractor is employing or contracting with an illegal alien; and 2. Terminate the subcontract with the subcontractor if within three days of receiving the notice required pursuant to this section the subcontractor does not cease employing or contracting with the illegal alien; except that Contractor shall not terminate the contract with the subcontractor if during such three days the subcontractor provides information to establish that the subcontractor has not knowingly employed or contracted with an illegal alien. F. Contractor shall comply with any reasonable request by the Colorado Department of Labor and Employment (the °Department's made in the course of an investigation that the Department undertakes or is undertaking pursuant to the authority established in Subsection 8-17.5-102 (5), C.R.S. G. If Contractor violates any provision of this Agreement pertaining to the duties imposed by Subsection 8-17.5-102, C.R.S. the City may terminate this Agreement. If this Agreement is so terminated, Contractor shall be liable for actual and consequential damages to the City arising out of Contractor's violation of Subsection 8-17.5-102, C.R.S. The City will notify the Office of the Secretary of State if Contractor violates this provision of this Agreement and the City terminates the Agreement for such breach. Scope Statement 1. Business Objective The Restoration/Resource Management Planning and Tracking Database has become a highly useful tool for the Natural Areas Program, especially for the Resource Management staff. The database was initially created to serve two functions. Primarily, on day to day basis it is used to plan what needs to be done and track what actually happens in the field. It is also used as a budgeting tool. For budgeting, the estimated costs for restoration projects are used in the natural areas program budget. This budgeting aspect was used to help with some long-range planning. Each restoration unit is prioritized and a year is associated with it. From this a 10 year budget and a comprehensive restoration plan was developed. Natural Resources staff expects to use the estimated costs to do more short-term budgeting and planning, however, at this time it is mostly used for the planning, tracking and reporting functionality of the database. This database information helps keep the resource management staff more organized and coordinated. Each step in a restoration project is planned out for a season and staff and equipment can be assigned to the project. When these activities are completed, they are checked off as complete and the next steps are determined. Ideally, this allows Natural Resources staff to track what has been done, what worked and what has not worked and why. The reports allow Natural Resources staff to view work plans by person, by natural area or by month. This provides staff with information to plan ahead and track what has been done. There are about 6 staff members who use the database regularly. It is a part of each of our work plans and the expectation is to keep the database updated and accurate. Natural Resources staff needs a simple design, so a single -use database would be the environment they would work in. 2. Project Components Summary The following description goes over each of the current interface components that exist in Access. This functionality and similar look and feel will need to be re -built in ArcGIS.
