Vogel Concrete Incorporated, a Colorado corporation ("Vogel Concrete"), as Seller, and VGL, Inc., a
Colorado corporation ("VGL"), as Purchaser, are parties to that certain Asset Purchase Agreement dated
January 17, 2006, for the sale and the purchase of certain business assets ("Asset Purchase Agreement'). Vogel
Concrete and the City of Fort Collins, Colorado are parties to those certain contracts including deposits,
including but not limited to the Specification and Contract Documents for Concrete Project Phase II, Bid NO.
5847 with City of Fort Collins, Purchasing Division, Bid Opening: March 31, 2004— 3:00 p.m. (hereinafter the
"Contract').
Assignment
Vogel Concrete, as Assignor, hereby assigns, transfers, and conveys unto to VGL, as Assignee, all
rights, title and interest of the Assignor in and to the Contracts, pursuant to the terns of the Asset Purchase
Agreement dated January 17, 2006, between Vogel Concrete and VGL.
Assignee hereby accepts the Contract assignment, subject to all obligations, duties, responsibilities, and
liabilities thereunder effective January 17, 2006.
Facsimile signatures are binding on the parties. This Assignment may be signed in counterparts.
IN WITNESS WHEREOF, the parties hereto have executed this Assignment as of the day and year first
above below.

CONSENT
The undersigned hereby consents to the assignment of the Contract set forth in this Assignment of
Contract.
