HomeMy WebLinkAbout370664 CONSERVATION IMPACT - CONTRACT - CONTRACT - 5508112PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and Conservation Impact, hereinafter referred to as "Professional'. WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: Scope of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit "A", consisting of four (4) pages, and incorporated herein by this reference. 2. The Work Schedule. The services to be performed pursuant to this Agreement shall be performed in accordance with the Work Schedule attached hereto as Exhibit "A", consisting of four (4) pages, and incorporated herein by this reference. 3. Time of Commencement and Completion of Services. The services to be performed pursuant to this Agreement shall be initiated within five (5) days following execution of this Agreement. Services shall be completed no later than January 31, 2006. Time is of the essence. Any extensions of the time limit set forth above must be agreed upon in writing by the parties hereto. 4. Early Termination by Citv. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. All notices provided under this Agreement shall be effective when mailed, postage prepaid and sent to the following addresses: Standard Professional Services Agreement- January, 2005 reimbursable expenses. Final payment shall be made following acceptance of the work by the City. Upon final payment, all designs, plans, reports, specifications, drawings, and other services rendered by the Professional shall become the sole property of the City. 7. City Representative. The City will designate, prior to commencement of work, its project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. All requests for contract interpretations, change orders, and other clarification or instruction shall be directed to the City Representative. 8. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City Representative with a written report of the status of the work with respect to the Scope of Services, Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City, suspend the processing of any partial payment request. 9. Independent Contractor. The services to be performed by Professional are those of an independent contractor and not of an employee of the City of Fort Collins. The City shall not be responsible for withholding any portion of Professional's compensation hereunder for the payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose. 10. Personal Services. It is understood that the City enters into this Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the City. 11. Acceptance Not Waiver. The City's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's approval or acceptance of, or payment for, any of the services shall not be construed to operate as a waiver of any rights or benefits provided to the City under this Agreement. We also integrate a constituent -centered approach, which is particularly important for public agencies. Constituents are those people that are integral to the success of a program. Without engaged, supportive constituents, the program would not exist. Creating a constituent -centered organization however, is more than just public relations It is about everything an organization does and how the systems, strategies, structures and culture facilitate a constituent -centered approach. In the case of the Natural Areas Program, it is about shifting from an "acres and projects" organization to a "community and outreach" program. Process We will complete a brief organizational analysis through interviews with staff and internal stakeholders and a review of relevant reports, marketing materials and other documents. We will review the Program's procedures, decision -making and communication processes, structure and leadership. We will pay particular attention to functions that interface with the public. The analysis is not evaluative. It does not assess individual performance or skills. It also focuses on organizational issues, rather than program content. This is not a financial audit of any sort. The organizational analysis will be presented to senior management in presentation format and brief report format. The analysis will address obstacles and opportunities to creating a stronger, well -regarded organization. It also provides the basis for specific recommendations regarding structure, culture, strategies and functions to enhance the Program's position in the community and the City. We will work with the management team to create a practical action plan to create a constituent -centered organization. We will also provide a training session to the entire staff that is similar to the one provided to senior management on strategic positioning and creating a constituent -centered organization. This will enhance staff understanding and awareness of the need for organizational development. P , 4"M Ft. Collins Natural Areas Program © Conservation Impact Organizational Development November 28, 2005 m 2 Conservation Impact has experience with similarly large, multi -faceted organizations and natural area related programs, including The City of Boulder's Open Space Department, The Nature Conservancy and NatureServe. Conservation Impact has worked with Natural Heritage Programs in 35 states, including Colorado and the Colorado Natural Areas Program as well as several small land trusts including the Larimer Land Trust. Shelli Bischoff -Turner, Conservation Impact founder and partner, has 25+ years experience in nonprofit management and organizational development. She has specific experience with federal, state and local parks, recreation and open space programs, including the Recreation, Trails and Conservation Assistance Program of the National Park Service and Bandelier National Monument. She has developed and delivered training programs and consultations to hundreds of similar client organizations. Her expertise is in organizational development, management and marketing. Shelli is also an adjunct faculty at Regis University in the Master's of Nonprofit Management program. She holds a master's degree in Public Administration. Will Murray, founding partner has 20 years experience in nonprofits with positions that range from teaching environmental education to high-level management positions in one of the nation's largest nonprofits. Will was The Nature Conservancy's national director of stewardship and has authored and implemented dozens of land management plans. He has a biology background and strong practical background in volunteer management, program development and evaluation and planning. Will has a degree in biology. He is on the board of the Watershed School in Boulder, CO and has served on the boards of the Natural Areas Association, Colorado Natural Areas Program and the Volunteer Connection. Leni Wilsmann has 25 years of experience in organizational management and conservation. She has held academic and international nonprofit management positions. She has significant experience in program development and management, fundraising, government relations, and planning. Leni has a bachelor's degree in zoology from the University of California Berkeley and a Ph.D. in aquatic ecology from Michigan State. Jennifer Burstein, project manager, has nonprofit program management and development experience. Jennifer holds undergraduate degrees in Psychology and Biology from the University of Colorado in Boulder.
