WITiNESSETH:
WHERE AS. on October 25, 2005, the City and Retailer entered into an agreement to

"Agreement" ), as set forth therein; and
WHEREAS. the Residential Lighting Program is a pilot offering for 2(X)5; and
WHEREAS, the customer response has been higher than expected in both the CFI, Promotion
ad turchiere turn -in events, and the parties wish to increase the reimbursement limits of the
Agreement 9ccordinniy.
TO ACCOMPLISH' THE FORPGO1NG, the parties hereto, for good and valuable
GMII F(lc)'ation, agroe as follows:
1. Exhibit "°A" to the Agreement is hereby replaced with the attached Exhibit "A -I".
Mulched hereto and incorporated herein by this reference, the terms of which shall become the
