Background
Arborworks Tree Care, Inc., a Colorado corporation ("Arborworks"), as Seller, and Swingle, Inc., a
Colorado corporation ("Swingle"), as Purchaser, are parties to that certain Asset Purchase Agreement dated June
9, 2005, for the sale and the purchase of certain business assets ("Asset Purchase Agreement'). Arborworks and
the City of Fort Collins, Colorado are parties to those certain contracts known as bid #5766 (annual street tree
pruning) and bid #5669 (stump grinding) (hereinafter collectively the "Contracts").
Assi nment
Arborworks, as Assignor, hereby assigns, transfers, and conveys unto to Swingle, as Assignee, all rights,
title and interest of the Assignor in and to the Contracts, pursuant to the terms of the Asset Purchase Agreement
dated June 9, 2005, between Arborworks and Swingle.
Assignee hereby accepts the Contract assignment, subject to all obligations, duties, responsibilities, and
liabilities thereunder.
Facsimile signatures are binding on the parties. This Assignment may be signed in counterparts.
IN WITNESS WHEREOF, the parties hereto have executed this Assignment as of the day and year first
above below.

CONSENT
The undersigned hereby consents to the assignment of the Contract set forth in this Assignment of
Contract.
