1 Company History, Use of Estimates and Significant Accounting Policies.
Company History and Activity. The Company was incorporated on September
1, 1993, under the laws of the State of Colorado, with authorized capital stock of
20,000 shares, 10,000 voting and 10,000 non -voting shares, at $.01 par value. The
Company is a general contractor operating primarily in the State of Colorado.
Use of Estimates. The preparation of financial statements in conformity with
accounting principles generally accepted in the United States of America requires
management to make estimates and assumptions that affect the reported amounts
of assets and liabilities and disclosure of contingent assets and liabilities at the date
of the financial statements and the reported amounts of revenues and expenses
during the reporting period. Actual results could differ from those estimates.
Concentration of Credit Risk. Financial instruments that potentially subject the
Company to credit risk consist primarily of the following:
Cash. From time to time, the Company may maintain cash balances in a
financial institution in excess of the FDIC insured limit.
Accounts Receivable. The Companys receivables are due from various
developers, property managers, business owners, governmental agencies, and
other business entities under contractual agreements for providing construction
services.
Revenue and Cost Recognition. Revenues from long-term contracts are
recognized on the percentage -of -completion method for individual contracts,
commencing when progress reaches a point where experience is sufficient to
estimate final results with reasonable accuracy. Revenues are recognized in the
ratio that costs incurred bear to total estimated costs. Changes in job performance,
estimated profitability and final contract settlements may result in revisions to costs
and income, and are recognized in the period in which the revisions are determined.
Contract costs include all direct materials, subcontracts, labor costs and those
indirect costs related to contract performance. General and administrative costs are
charged to expenses as incurred.
Revenues from time and material contracts are recognized currently as the work
is performed.
At the time a loss on a contract becomes known, the entire amount of the
estimated ultimate loss on both short and long-term contracts is accrued.

The aggregate of costs incurred and income recognized on uncompleted
contracts in excess of related billings is shown as a current asset, and the aggregate
of billings on uncompleted contracts in excess of related costs incurred and income
recognized is shown as a current liability.
Accounts Receivable. Trade receivables are recorded when invoices are
issued. Receivables are written off when they are determined to be uncollectible.
The allowance for doubtful accounts is estimated based on the Company's historical
losses, the existing economic conditions in the construction industry and the
financial stability of Its customers. At December 31, 2004 and 2003, allowance for
doubtful accounts was recorded at $10,000.
Depreciation. Depreciation is provided principally on the straight-line and
declining -balance methods over the estimated useful lives of the assets.
Income Taxes. The Company's income tax returns are prepared on the
percentage -of -completion method of accounting. The Company also uses the
accelerated method of depreciation for income tax purposes and the straight-line
method for financial statement purposes.
Cash Equivalents. For the purposes of the Statement of Cash Flows, the
Company considers all highly liquid debt instruments purchased with a maturity of
three months or less to be cash equivalents.
Marketable Securities. These investments are comprised of individual
securities and mutual funds, and are carried at fair market value, in accordance with
Statement of Financial Accounting Standards No. 115 "Accounting for Certain
Investments in Debt and Equity Securities." The Company's investments are
classified as "available for sale," and accordingly, any unrealized gains and losses
are included as a separate item in the Stockholders' Equity section of the Balance
Sheet.
Realized gains and losses are computed based on specific identification using
the first -in, first -out method.
Comprehensive Income. The Company has adopted FASB Statement 130
"Reporting Comprehensive Income." This statement requires the reporting of
comprehensive income in addition to net income. Comprehensive income is a more
inclusive financial reporting methodology that includes disclosure of certain financial
information that historically has not been recognized in the calculation of net income.

7 Income Taxes.
The Company has elected, under the Internal Revenue Code, to be taxed as an
S-Corporation. As an S-Corporation, the Company passes through items of income
and deductions to the shareholders each year as earned, and thus pays no federal
corporate income tax itself. Due to various timing differences, income is recognized
in different periods for tax reporting purposes than for financial statement purposes.

The anticipated current taxable income to be reported by the shareholders on
their December 31, 2004 income tax return is $1,907,371. During the year ended
December 31, 2004, the Company distributed $2,030,000 to its stockholders. Of this
amount, $120,000 was for 2003 taxes, $1,150,000 was for 2004 tax estimates, and
$760,000 was for other purposes. The Company distributed $280,000 for the fourth
quarter estimates and may not need to distribute anything on April 15, 2005, to pay
the tax due on the stockholders' personal income tax returns. The anticipated
deferred taxable income to be reported by the shareholders in future years is
$161,160. The anticipated deferred federal tax liability on timing differences at
December 31, 2004, is approximately $66,000.
