HomeMy WebLinkAbout109160 ROSENBAUER GENERAL SAFETY - CONTRACT - RFP - P977 AERIAL LADDER TRUCK 23482 (2)Firefighting Technningg CONTRACT This agreement made by and between ROSENBAUER/GENERAL SAFETY EQUIPMENT, Wyoming, Minnesota, hereinafter called the COMPANY and MAX FIRE APPARATUS, hereinafter called the DEALER, Parties of the First Part, and POUDRE FIRE AUTHORITY, hereinafter called the BUYER, Party of the Second Part. Witnessed that the Company agrees to sell upon the conditions which are written below, the apparatus and equipment per the Rosenbauer/General Proposal, all of which are to be in accordance with the proposal specifications and guarantees and which are made a part of this agreement and contract. Delivery: The estimated delivery time for the completed apparatus is to be made 300 calendar days after receipt of and approval of this contract duly executed, subject to causes beyond the Company's control. The quoted delivery time is based upon Company's receipt of the specified materials required to produce the apparatus in a timely manner. The Company can not be held responsible for delays due to Acts of God, Labor Strikes, or Changes in Governmental Regulations that result in delayed delivery to our manufacturing facilities of these specified materials. This delivery estimate is based on the Company receiving complete and accurate paperwork from the Buyer and that no changes take place during pre -construction, mid point inspections or final inspections. Changes required or requested by the Buyer during the construction process may be cause for an increase in the number of days required to build said apparatus. Payment Terms: The Buyer agrees to purchase and pay for the aforesaid property, delivered as aforesaid, for the Sum of Three hundred eighty-eight thousand three hundred ten and 00/100 ($388,310.00) upon delivery of apparatus to Buyer. See Appendix A for Payment Options. Insurance: When the Company has the Buyer's truck or chassis in its care, custody and control, the Company will be responsible for the liability and physical damage of that truck or chassis on a primary basis, regardless of what other insurance is available. Upon delivery of the apparatus by the Company, or upon pick up of the apparatus at the factory of the Company by a representative of the Buyer, Buyer agrees to provide all liability and physical damage insurance. Guarantee: The Company hereby agrees that the material and workmanship shall be of the best grade and the Company, at its own expense, will replace such parts as may fail, if such failure is attributed to defective material or inferior workmanship within the terms of the warranty period. It is further agreed that if, on delivery and test, any defects should develop, the Company shall be given a reasonable amount of time to correct same. Guarantee of the chassis is subject to the guarantee of the chassis manufacturer. Subsequent Orders: Subsequent orders for fire engines shall be accepted at the previous sales price plus real increases for material and labor costs, not to exceed 3% per year for a five year time period. Price increases due to unforeseen material or regulatory costs or equipment changes requested by Poudre Fire Authority exceeding 3 % per year shall be negotiated and approved by both parties. Actual sales price of additional engines shall be negotiated at time of such subsequent orders. After company receipt of this document signed by the buyer, the document will be reviewed and upon approval, countersigned by the company, putting the document in force. Payment in the amount of Thirty-seven thousand two and 87/100 ($37,002.87) is due upon delivery and acceptance of apparatus by Poudre Fire Authority. Option B: Payment for Chassis upon Completion -- $381,651.00 Payment in the amount of One hundred seventy-three thousand five hundred sixty-six and 00/100 ($173,566.00) is due 15 days after invoice date upon completion of the chassis. Payment in the amount of One hundred eighty-seven thousand two hundred seventy-seven and 00/100 ($187,277.00) will become due upon delivery of the apparatus to the buyer. Payment in the amount of Twenty thousand eight hundred eight and 00/100 ($20,808.00) will become due upon acceptance of the apparatus by Poudre Fire Authority. Option C: Payment for Apparatus upon Completion -- $388,310.00 Payment in the amount of Three hundred forty-nine thousand nine hundred seventy-nine and 00/100 ($349,979.00) will become due upon delivery of the completed apparatus to Poudre Fire Authority. Payment in the amount of Thirty-eight thousand three hundred thirty-one and 00/100 ($38,331.00) will become due upon acceptance of the apparatus by Poudre Fire Authority. Poudre Fire Authority accepts the following payment option: x Option A: Contract price $375,028.70 Option B: Contract price $381,651.00 Option C: Contract price $388,310.00 POUDRE FIRE AUTHORITY (Buyer) (signature) k I ype or pr [rn name 05/24/2005 TUE 11:52 FAX 4-+4 PURCHASING Q 002/002 Resolution 05-10 Authorizing the Chairman to Execute a Contract for the Purchase of a 2005 Engine from Rosenbauer/General Safety Equipment The Poudre Fire Authority Board of Directors hereby authorizes the Board Chairman to enter into a contract with Rosenbauer/General Safety Equipment to purchase an engine, as speedled in the attached document, outfitted with a 1500 GPM pump, a 650 gallon water tank, and incorporated improvements in engine design in the amount of $375,028.70, and approve a contingency fund of 10% for changes or additions that may be identified during the preoonstruction conference and assembly process. .
