representation of the management of Advanced Concrete Construction, Inc.
A review consists principally of inquiries of company personnel and analytical
procedures applied to financial data. it is substantially less in scope than an
examination in accordance with auditing standards generally accepted in the United
States of America, the objective of which is the expression of an opinion regarding the
financial statement taken as a whole. Accordingly, we do not express such an opinion.

1 Company History, Use of Estimates and Significant Accounting Policies.
Company's Activities and History. The Company was incorporated under the
laws of Oe State of Colorado on February 23, 1971. The Company is engaged
primarily as a concrete contractor within the commercial construction market in the
State of Colorado.
Use of Estimates. The preparation of financial statements in conformity with
accounting principles generally accepted in the United States of America requires
management to make estimates and assumptions that affect the reported amounts of
assets and liabilities and disclosure of contingent assets and liabilities at the date of
the financial statements and the reported amounts of revenues and expenses during
the reporting period. Actual results could differ from those estimates.
Concentration of Credit Risk. Financial instruments that potentially subject the
Company to credit risk, consist primarily of the following:
Cash. From time to time, the Company maintains cash balances in a single
financial institution in excess of the FDIC insured limit.
Cash Equivalents. For the purposes of the Statement of Cash Flows, the
Company considers all highly liquid debt instruments purchased with a maturity
f:3 of three months or less to be cash equivalents.
(j Accounts Receivable. The Company's receivables are due from various
"1 general contractors and governmental entities under contractual agreements, as
well as from individuals for providing construction services.
Revenue and Cost Recognition. Revenues from long-term contracts are
recognized on the percentage -of -completion method for individual contracts,
commencing when progress reaches a point where experience is sufficient to
estimate final results with reasonable accuracy. Revenues are recognized in the
ratio that costs incurred bear to total estimated costs. Changes in job performance,
estimated profitability and final contract settlements may result in revisions to costs
and income, and are recognized in the period in which the revisions are determined.
f7 Contract costs include all direct materials, subcontracts, labor costs and those
indirect costs related to contract performance. General and administrative costs are
charged to expenses as incurred.
Profits on short-term contracts are recorded on the substantial completion of
each contract. Revenues from time and material contracts are recognized currently

At the time a loss on a contract becomes known, the entire amount of the
testimated ultimate loss on both short and long-term contracts is accrued.
The aggregate of costs incurred and income recognized on uncompleted
in
contracts in excess of related billings is shown as a current asset, and the
aggregate of billings on uncompleted contracts in excess of related costs incurred
and income recognized is shown as a current liability.
Depreciation. Depreciation is provided principally on the straight-line method
over the estimated useful lives of the assets.
Income Taxes. Effective January 1, 2000, the Company elected under the
Internal Revenue Code to be taxed as a Subchapter "S" Corporation, the Company
passes through items of income and deductions to the shareholders each year as
earned, and thus pays no federal corporate income tax itself. Due to various timing
differences, income is recognized in different periods for tax reporting purposes than
for financial statement purposes.
Accounts Receivable. Trade receivables are recorded when invoices are
r issued. Receivables are written off when they are determined to be uncollectible:
The allowance for doubtful accounts is estimated based on the Company'shistorical
losses, the existing economic conditions in the construction industry and the

3 Related Party Transactions.

The Company leases its office, shop and yard space from a stockholder on an
informal basis. The Company is responsible for all costs associated with the
building. For the years ended December 31, 2003 and 2002, $58,000 and $72,000
was included in rent expense for this lease.
The Company has loaned money to a company affiliated through common
r I ownership. The balance due from this affiliate at December 31, 2003 and 2002 was
$7,675 and $34,879, respectively.
During the year ended December 31, 2002, the majority stockholder loaned the
Company money for working capital purposes. The loan was done on an informal
basis and was unsecured. The outstanding balance on this note as of December
31, 2003 and 2002, is $-0- and $185,000, respectively. Included in interest
expense for this loan for the years ended December 31, 2003 and 2002 is $7,017
and $5,488, respectively.
As of December 31 2003, the Company owed the majority shareholder $30,000
in deferred compensation. This amount is included in long-term liabilities.

*The Company negotiated a $550,000 line -of -credit with B nk One. The line is
secured by all business assets. The line bears interest at the Bank's index rate, and
matures on April 25, 2004. The outstanding balance at December 31, 2003 and
2002 was $24,393 and $361,000, respectively.

6 Income Taxes.
The anticipated current taxable income to be reported by the shareholders on
their December 31, 2003 income tax returns is approximately $301,000. The
Company may distribute approximately $20,000 by April 15, 2004 to its shareholders
for the balance of the current tax liability. The anticipated deferred taxable income to
be reported by the shareholders in future years is $355,000. The anticipated
deferred tax liability on timing differences at December 31, 2003 is approximately
$147,000.
7 Claim Settlement.
During the year ended December 31, 2002 the Company paid $82,500 to settle a
claim involving an auto accident with a Company vehicle that occurred in 2000. The
claim has been fully settled and no further liability exists.

GENERAL CLARIFICATION
1. The 24" CMP culvert w/Riprap outfall is not shown on the plans. The intent of this items is
to extend an existing 24 CMP to the north approximately 501f. The location of the existing
24" culvert is approximately at trail center line station 29+88.
2. The riprap outfall for the 24" CMP culvert should be as follows: 5' long by 5' wide by 3' deep
of 12" graded riprap.

event, exceed the penal amount of this obligation as herein stated.
