Confirmation to which this Instant Mcntoting license is attached (ilia "Order Confirmation"), MindLeadcrs.com, Inc., ("Mindt,.caders"),
Rnmturly known as UPE(', tnO., grants to Customer a non-exclusive non -transferable license (the "License") to use MindLeaders' instant
Mentoring Services in conjunction with the MindLeaders' Courseware licensed by Customer under the Order Confirmation,
2 MindLCtldetp' I11Sta71t Mcntoring Services (the "Services") consist of certain online support provided to authorized end -users who
access MindLeaders' Courses through the Internet via a Mindl.cadcri web site using Customer supplied web browser software. Online support
will be provided through dcwgnated classrooms and message boards established for one or more series of Mindt.eadeTs' Courses, AuthoriLOd
end usurp will be presented a classroom window when accessing a MindLeaders' Course through the intemel. Subject to the limitations set forth
below, classrouins generally will be monitored by an online mentor. Each classroom window will allow authorized end users to communicate
with the online incntor tnd other end users parlfcipaung in the designated classroom. Authorized end users may submit subject matter questions
to the online mentor through the chosroom window or by posting such questions directly to the classroom mcssuge board. Online mentors will
use commercially reasonable good Guth efforts to re sportd to appropriatc subject matter questions submitted by arid -users. Generally, responses
In questions will either be in the form 01'an answer to the question, irknown by the mentor, or acknowledgorncnt of the question if the mentor is
unable to resolve the queSli011 online. Qucstiong that cannot be resolved online, or that are submitted through the message board, will be
referred to subject maircr experts for resolution offline, Answers Lo qucstions resolved offline will be posted to the appropriate classroom
mcSsa,o board. Mindl,caders will Lice its commercially rcas enable good faith el%rts to post, on the appropriate message board, responses To all
questions that cannot be resolvedl online or that arc submitted through a message board, Wine resolution titres will generally range from
twenty-four (24) to forty-eic-lit (48) hours or the receipt of the question.
3. Subject to the litnitalions provided herein, the Services gmtrally will be available 24 hours per day, seven days per week. Except for
scheduled down Ifmc, classrooms will be tivmlable 24 hours per day to permir communication between end users participating in rho classrooms,
Online mentors will not be available during certain tittles or under- the roliowing circumstances: (i) during one or more shifts on recognized
public holidays in the United Shoes, the United Kingdom, and Singctpom; (it) during the holiday period commencing on December 24 and
ending vie the first business day in January; (iii), during non -business hours in the United States with respect to certain Icss popular courses; (iv)
with respect to certain courses where providing substantive responses may constitute the unauthori;,ed practice of law, medicine or other
profession which is regulated by a bLtte or stoles; and (v) with respect to selected older versions of some Courses.
4. The Services shall only he provided in English.
5. The Scrvices arc beutg provided by MindLeaders through a contract with a lhiid party provider and are provided by MindLeaders and
er MindLeaders nor its third party provider shall have any liability whatsoever To

6. Addilional classrooms may be added as MTridLeadurs relcases future technical and end user courses. If Customer is entitled to
relcases of fulure courses under The turns of The Order Cnnfirmotion, Customer shall be entitled to any Services provided by MindLeaders with
respect to such future courses at no additional chorge for the IM Tenn.
