In the event of any such early termination by the City, the Professional shall be paid for services
rendered prior to the date of termination, subject only to the satisfactory performance of the
Professional's obligations under this Agreement. Such payment shall be the Professional's sole right
and remedy for such termination.
5. Design, Project Indemnity and Insurance Responsibility. The Professional shall be
responsible for the professional quality, technical accuracy, timely completion and the coordination of
all services rendered by the Professional, including but not limited to designs, plans, reports,
specifications, and drawings and shall, without additional compensation, promptly remedy and correct
any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold
harmless the City, its officers and employees in accordance with Colorado law, from all damages
whatsoever claimed by third parties against the City; and for the City's costs and reasonable
attorneys fees, arising directly or indirectly out of the Professional's negligent performance of any of
the services furnished under this Agreement. The Professional shall maintain commercial general
liability insurance in the amount of $500,000 combined single limits, and errors and omissions
insurance in the amount of

services to be performed pursuant to this Agreement, the City agrees to pay Professional a fixed fee

payment shall be made following acceptance of the work by the City. Upon final payment, all
designs, plans, reports, specifications, drawings, and other services rendered by the Professional
shall become the sole property of the City.
6. Compensation. [Option 1] In consideration of the services to be performed pursuant
to this Agreement, the City agrees to pay Professional on a time and reimbursable direct cost basis
according to the following schedule:

payment, all designs, plans, reports, specifications, drawings and other services rendered by the

7. City Representative. The City will designate, prior to commencement of work, its
project representative who shall make, within the scope of his or her authority, all necessary and
proper decisions with reference to the project. All requests for contract interpretations, change
orders, and other clarification or instruction shall be directed to the City Representative.
8. Project Drawings. [Optional] Upon conclusion of the project and before final payment,
the Professional shall provide the City with reproducible drawings of the project containing accurate
information on the project as constructed. Drawings shall be of archival quality, prepared on stable

mylar base material using a non -fading process to prove for long storage and high quality
reproduction.
9. Monthly Report. Commencing thirty (30) days after the date of execution of this
Agreement and every thirty (30) days thereafter, Professional is required to provide the City
Representative with a written report of the status of the work with respect to the Scope of Services,
Work Schedule, and other material information. Failure to provide any required monthly report may,
at the option of the City, suspend the processing of any partial payment request.
10. Independent Contractor. The services to be performed by Professional are those of an
independent contractor and not of an employee of the City of Fort Collins. The City shall not be
responsible for withholding any portion of Professional's compensation hereunder for the payment of
FICA, Workers' Compensation, other taxes or benefits or for any other purpose.
11. Personal Services. It is understood that the City enters into this Agreement based on
the special abilities of the Professional and that this Agreement shall be considered as an agreement
for personal services. Accordingly, the Professional shall neither assign any responsibilities nor
delegate any duties arising under this Agreement without the prior written consent of the City.
12. Acceptance Not Waiver. The City's approval of drawings, designs, plans,
specifications, reports, and incidental work or materials furnished hereunder shall not in any way
relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's
approval or acceptance of, or payment for, any of the services shall not be construed to operate as a
waiver of any rights or benefits provided to the City under this Agreement.
13. Default. Each and every term and condition hereof shall be deemed to be a material
element of this Agreement. In the event either party should fail or refuse to perform according to the
terms of this agreement, such party may be declared in default.
14. Remedies. In the event a party has been declared in default, such defaulting party
shall be allowed a period of ten (10) days within which to cure said default. In the event the default

remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and
seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail
himself of any other remedy at law or equity. If the non -defaulting party commences legal or
equitable actions against the defaulting party, the defaulting party shall be liable to the non -defaulting
party for the non -defaulting party's reasonable attorney fees and costs incurred because of the
default.
15. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire
agreement between the parties and shall be binding upon said parties, their officers, employees,
agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal
representatives, successors and assigns of said parties.
16. Law/Severability. The laws of the State of Colorado shall govern the construction,
interpretation, execution and enforcement of this Agreement. In the event any provision of this
Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding
shall not invalidate or render unenforceable any other provision of this Agreement.
17. Special Provisions. [Optional] Special provisions or conditions relating to the services

NORTHSIDE NEIGHBORHOODS PLAN
The City of Fort Collins is seeking proposals from qualified Consulting firms or teams (Contractor) to
provide consulting services to help implement City Plan by tailoring general, citywide policies to the
specific geographical area surrounding four (4) existing neighborhoods within the north quadrant of
the City. The successful Consulting team is asked to prepare the Northside Neighborhoods Plan,
generally bounded by the Buckingham, Alta Vista and Andersonville and San Cristo neighborhoods.
The successful firm or team will possess the necessary skills to address all of the tasks, issues, and
products required by the scope of services, and be motivated to work with staff, citizens, and elected
officials on a multi -disciplinary planning effort.
Written proposals, five (5) will be received at the City of Fort Collins' Purchasing Division, 215 North
Mason St., 2nd floor, Fort Collins, Colorado 80524. Proposals will be received before 3:00 p.m. (our
clock), August 18, 2003. Proposal No. P-900. If delivered, they are to be sent to 215 North Mason

NORTHSIDE NEIGHBORHOODS PLAN
Background
Brief Project History
The Buckingham, Alta Vista, Andersonville and San Cristo neighborhoods are located in the
northeast part of Fort Collins, just north of the downtown area. The four communities were developed
as "company towns," to provide housing for workers at the nearby Great Western Sugar Company
factory, built in 1902. To attract and retain experienced laborers, the company built two housing
developments, Buckingham and Andersonville. These communities were soon filled with field
workers originating from the German dominated Volga region of Russia.
Buckingham, which consists of approximately eighty properties, is the oldest of the three ethnic
neighborhoods, dating to 1902. Located immediately northeast of Buckingham, Andersonville was
created in 1903 and consists of approximately thirty-six properties. With the European labor supply
cut off during World War I, the beet growers looked toward the Hispanic population from the south to
supply the necessary labor. Alta Vista, first named "Spanish Colony," was built in 1923 for the sugar
beet workers who migrated from southern Colorado, New Mexico and Mexico. Many of the company -
built dwellings in Alta Vista were constructed of adobe. Located just north of the old sugar beet
factory site, Alta Vista contains about thirty-five homes. Since the 1930's all three neighborhoods
have been the center of Fort Collins' Hispanic culture.
The San Cristo neighborhood was
developed beginning in 1998 through
2000 including an area bounded by the
Andersonville neighborhood on the west,
the Burlington Northern Railroad and
East Vine Drive to the north, and the
future Lemay Avenue by-pass alignment
to the east and south. This subdivision
includes approximately 40 single-family
manufactured dwelling units on 5 acres.
Geographic Area
The project study area is generally
bounded on the north by Conifer Street,
on the east by Lemay Avenue (and
future by-pass alignment), on the south
by Lincoln Avenue and the west by
Linden Street and Redwood Street (see
study area map).

Purpose of Neighborhoods Plan
In 1997, the City of Fort Collins City Plan identified this area's need for detailed planning as a priority.
During the development of the North Fort Collins Truck Mobility Project, City Council in response to
issues raised by residents, identified the Northside Neighborhoods Plan for a future study. As a result,
City Council included the Northside Neighborhoods Plan in the 2003-2004 work program. The
primary plan objective of developing this Neighborhoods Plan is to implement City Plan's citywide
perspective to the specific circumstances within the study area.
The Neighborhoods Plan will provide a more specific vision and policy framework for the
neighborhoods mentioned, including surrounding commercial, industrial and undeveloped open lands.
The Plan will also become an element of City Plan, the city's Comprehensive Plan, and will help
stabilize and preserve the character of the neighborhoods. In doing so, an opportunity exists to more
directly address a number of critical issues facing this area of the City.
The Buckingham, Alta Vista, Andersonville and San Cristo neighborhoods have been of special
interest to the City for a long time. The neighborhoods have supplied affordable housing
opportunities for lower income families. The neighborhoods were identified as Neighborhood
Strategy Areas for the City's CDBG Program as far back as 1975. The City has allocated financial
resources into infrastructure improvements, provision of public facilities, housing rehabilitation and
construction to help stabilize and improve the quality of life of the residents of the neighborhoods.
The Plan will help protect those improvements from incompatible development.
Approach:
This project will explore and respond to a selected number of particular issues within the framework
of City Plan. Individual property owners, business owners and tenants are expected to figure
prominently in project guidance and input throughout the planning process. Advance Planning will
lead a technical team with staff from key departments and representatives from key organizations. A
team of consultants will be hired to provide objective, specialized expertise on particular issues.
This project does not need to "start from scratch" or "reinvent the wheel" — City Plan already contains
a foundation of an existing community vision, goals, structure plan and policies to guide
implementation.
However, since City Plan was adopted in 1997, a number of questions and issues have been
emerging over the years, which now need more specific attention. The following examples give a
general sense of some of the critical issues:

• Bicycle and pedestrian access and safety
• Street infrastructure improvements

• Neighborhood facilities and services
• Edge treatments (to adjoining existing uses) and the Poudre River
• Industrial redevelopment opportunities
Implementation Strategies
• Historic designation of neighborhood districts
• Historic and cultural preservation
• Maintaining affordable housing
• Preserving existing housing stock
• Crime and safety
Scope of Services
This outline is a general, preliminary proposal. Specific tasks, methodology, assignments, duration of
each task, and products of each task will be further defined in the Request For Proposals. The
Contractor shall describe its proposed methodology in the proposal, indicating the steps, methods,
and time frame for completion of the Neighborhoods Plan. The Contractor is encouraged to suggest
creative approaches as to how each task will be completed, along with project schedule and related
costs. A final detailed work plan will then be defined when a consulting team is hired.
Phase I — Project Start -Up
• Confirm work program, schedule and public outreach program. Identify stakeholders within the
study area, gain agreement of proposal and commitments to participate.

lands
• Assess transportation needs including future street network, transit options, bicycle and

Phase IV — Plan Document
• Provide final draft chapters for Plan Document as each section is completed
• Coordinate with staff in developing required graphics and GIS mapping

• Assist in preparation and facilitation of all public meetings
• Assist in final adoption hearings
Public Process:
Consultant team should include expertise in public participation. A representative should be retained
that speaks fluent Spanish to assist in on -going discussions between the neighborhoods involved.
The citizen participation process will be an important component in achieving a successful plan.
The consultant team should include expertise in land use planning and design, transportation, citizen
participation, GIS, affordable housing and plan implementation.
Proposed Schedule:
The City of Fort Collins intends to hold interviews on August 28, 2003 notifying vendors selected for
interviews on August 22, 2003.

REVIEW AND ASSESSMENT
Professional firms will be evaluated on the following criteria. These criteria will be the basis for review
of the written proposals and interview session. The City of Fort Collins intends to hold interviews on
August 28, 2003 notifying vendors selected for interviews on August 22, 2003.
The rating scale shall be from 1 to 5, with 1 being a poor rating, 3 being an average rating, and 5
being an outstanding rating.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT made and entered into the day and year set forth below, by and between
THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the

In consideration of the mutual covenants and obligations herein expressed, it is agreed by and

1. Scope of Services. The Professional agrees to provide services in accordance with
