Pembroke's agrees to furnish and Customer agrees to rent the services of equipment as follows:
VidarTruScan 800 Large Format Document Scanner
to be installed at the address listed below, subject to the terms and conditions contained herein, on
the second page.
Rental Terms:
The City of Fort Collins. Colorado agrees to rent Vidar 800 Large Format Scanner for the price of
$295 00 per Month On -Site Maintenance is to be provided for $1900 00 per year
The rental payments specified herein are fixed for the term of this rental. However, meter charges, if
any, are subject to change on eachm mniversary date, but in no event will they be larger than the
increase in the cost of living as published by the United States Department of Labor.
Minimum Monthly Charge: $295.00/month

THIS AGREEMENT MAY BE TERMINATED BY EITHER PARTY SUBJECT TO ITS TERMS AND
CONDITIONS UPON WRITTEN NOTICE OF
THIRTY (30) DAYS AFTER THE EQUIPMENT HAS BEEN IN PLACE FOR ( 60 ) DAYS.
CUSTOMER ACKNOWLEDGES THE RESPONSIBILITIES OF PROVIDING SUITABLE ELECTRICAL
SERVICE AND THE PAYMENT OF CHARGES FOR THE PLACEMENT, REMOVAL, AND ANY RIGGING
EXPENSE FOR THE EQUIPMENT AND ACCESSORIES ORDERED HEREIN.

This Rental Agreement and Pembroke's currently published Price Lists as revised from time to time by
Pembroke's, shall constitute the entire Agreement between Customer and Pembroke's for reproduction Services,
irrespective or additional terms and conditions in Customer's purchase orders or other documents submitted by
Customer to Pembroke's.
Equipment remains the property of Pembroke's and is subject to its possession and co}3trol. Pembroke's nia3,
supply either new or reconditioned equipment at its sole option. 'Oo I/ - � /gip c_,�w
Customer shall pay Equipment placement and removal charges and Pembroke's or Customer shall pay shipping
charges in accordance with terms and conditions set forth in Pembroke's published Price List in effect as of date
of placement or removal, as applicable. !1__
This agreement shall terminate in the event that Customer makes an assignment fort the benefit of creditors, or
a voluntary or involuntary petition is filed by or against Customer under any law having for its purpose the
adjudication of Customer a bankrupt or the reorganization of Customer.
This Agreement is not assignable. Any attempt to transfer by any means any of the rights, duties or obligations
of this Agreement is void.
It is agreed that Pembroke's
-Will train customer personnel in the use of the equipment.
-Will provide machine service during regular service hours: 8:30 A.M. to 5:00 P.M. Monday through
Friday (except holidays)
-Will retain title to equipment and shall have the right to enter on the premises of the user and take
immediate possession of said equipment upon any breach or termination of this agreement.
-Liability with respect to property damage or personal injury arising out of or connected with service
performed under this agreement, is limited strictly to that imposed by common law, and that there is no contract
imposing any greater degree of liability on Pembroke's.
-Shall take investment tax credit accrued on the machine.
and that the customer:
-Will provide at his own expenses suitable space, facilities, and utilities for proper installation and
operation of the equipment.
-Will make no alteration to the equipment and will not remove, cover, or deface name plate.
-Will obtain written authorization of Pembroke's prior to any movement of the equipment.
-Will pay according to Pembroke's established service policy for service requested outside of regular
service hours.
-Will pay any and all taxes and assessments levied against the equipment or the use thereof during the
term of the rental period, unless otherwise specified under the rental terms.
-Will assume complete responsibility for any and all risks of physical loss or damage to the equipment
from any cause whatsoever during this rental period, reasonable wear and tear excepted.
