(PEI) offers and Customer (signed below) accepts the services of Performance Enhancements, Inc.'s employees and/or subcontractors as noted at the hourly rates referenced (plus expenses). The Overtime rate is applicable for services performed after-hours (5:00pm to 8:00am), weekends, and holidays. Billed time shall include travel time one-way to the Customer's facilities. Description of Services. PEI will only provide services that you have specifically requested. The rate that applies to your service request will be discussed with you in advance of services rendered. See the attached Services & Rates Exhibit for a schedule of consulting rates. If required, PEI will provide a Scope of Work document to specifically identify the project engagement. For services rendered at your site, you will be asked to sign off on a Work Order that reflects a service description, billable time, and rate once services have been performed for that day or engagement. For services provided remotely, the consultant will review the services with you verbally and may confirm via fax or email, should you require it. PEI will.be all services on quarter- hour increments. � �1 Payment Terms. PEI shall provide Customer with an invoice listing the hours worked, a description of the tasks performed, and a copy of all receipts for expenses billed to the Customer. Payment for consulting services and expenses is due on receipt of invoice. Unpaid balances will accrue interest charges of 1.5% per month, commencing as of the date of the invoice. Customer agrees to pay all reasonable expenses, including attorneys' fees, incurred by PEI in enforcing any of its rights under this Agreement. Limitation on Liability. Customer assumes all responsibility and risk associated with the suitability and marketability of the products and services produced or provided tinder this Agreement. Except as expressly stated herein, PEI makes no representations or warranties with respect to services to be provided by PEI under this Agreement. Any equipment including replacement or spare parts supplied under this Agreement shall come with the manufacturer's warranty, if any, as it applies to the equipment or parts. THE LIMITED WARRANTY SET FORTH HEREIN IS EXCLUSIVE. PEI DISCLAIMS ANY AND ALL OTHER EXPRESS OR IMPLIED WARRANTIES INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL PEI BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR THIRD PARTY CLAIMS INCLUDING LOST PROFITS, LOST GOODWILL, LOSS OF DATA, LOSS OF USE OR OTHER INJURY IN CONNECTION WITH OR ARISING UNDER THIS AGREEMENT, HOWEVER BASED. WITHOI IT LIMITING THE FOREGOING, PEI'S MAXIMUM LIABILITY AND CUSTOMER'S EXCLUSIVE REMEDY UNDER THIS AGREEMENT SHALL BE LIMITED TO A REFUND OF THE MONIES PAID BY CUSTOMER TO PEI UNDER THIS AGREEMENT DURING THE CALENDAR YEAR IN WHICH THE ALLEGED INJURY OCCURRED. L General. 1 Customer shall indemnify and hold harmless PEI, its ern oyees, and subcontractors for�any and ATE all damages, claims, costs, expenses, attorneys' fees, demands, and causes of action of any nature asserted by any person on account of loss, injury, or damage to any person, entity, or property allegedly caused by the use of the products or services provided under this Agreement. This Agreement is governed by the laws of the State of Colorado and disputes will be finally resolved by arbitration in Boulder, Colorado under the rules of the American Arbitration Association then in effect. This Agreement is the entire agreement between the parties PROCESS & TIMELINE The following assumptions and timelines apply to the work performed during this engagement • PEI will provide the appropriate engineering resources for each phase • Access to IT management and staff will be required ■ The entire process should be completed over 2 consecutive weeks. Total for Business Consultation $ 7,900 Hours that exceed the 44 hours and any agreed upon out of scope work will be billed at our normal $225/hour rate unless otherwise discussed. Time allotted for this project will be reviewed as a normal part of this process so as to avoid any "surprises". Travel Time-- $135/hr one way. Billed separately Expenses - Billed as actual (none expected on this project) Performance Enhancements Inc. prides itself on complete and total customer satisfaction. Per our discussions, Performance Enhancements Inc. will address the needs at City of Fort Collins to perform an Active Directory Design and Implementation Planning Workshop to assist in budding a Strategy & Budget for the implementation of Windows 2003 & Active Directory. Our proposal, in the following document, summarizes our offer and cost estimates for this work. The goal of the planning workshop would be to work thm the business impacts, benefits, risks, implementation costs, operational changes, and project plans to implement Windows 2003 & Active Directory. CLIENT EXPECTATIONS This workshop process is meant to be interactive and collaborative. We expect that City of Fort Collins will imroh,e the appropriate team members and requested information to make this workshop successful. The expectation is that the City of Fort Collins team will put in 1 to 2 hours of research and review for every hour that they interact with PHI on this project. WORKSHOP OVERVIEW This process is setup in 6 different phases: Phase I — Project Planning Phase 2 — Active Directory Design & Implementation Planning Phase 3 — Training & Pilot Testing Plan Phase 4 — Workstation & End User Impacts Phase 5 — Documentation Phase 6 — Delivery & Review PHASE 1— PROJECT PLANNING This phase will focus on identifying goals & requirements, reviewing the existing environment, discussing topics and issues, in order to start building the project plan. Identifying any and all potential costs will occur at this phase. • Identify goals, requirements, expectations ■ Review current IT Infrastructure ■ Identify critical path items ■ Identify & discuss operational changes • Identify & discuss end user impacts ■ Identify & discuss supporting applications • Identify & discuss impacts to the environment ■ Review licensing requirements ■ Build basic project plans ■ Identify & discuss costs — hardware, licensing, capital, labor, operational IMPLEMENTATION WORKSHOP SCOPE OF WORK COPYRIGHT 2003, PERFORMANCE ENHANCEMENTS, INC. CONFIDENTIAL -NOT TO BE VIEWED, COPIED, OR DISTRIBUTED WITHOUT WRITTEN CONSENT PAGE 2 PHASE 2— ACTIVE DIRECTORY DEIGN & IMPLEMENTATION PLANNING This phase will focus on designing the Active Directory and then determining potential implementation paths. • Determine optimal Windows 2003 & Active Directory configuration • Design Active Directory domains, area, foreses • Determine possible implementation paths • Evaluate upgrade decision points • List of possible hardware/software conflicts that need to be researched • Outline strategy which will include the phases of implementation, timeframe, and critical paths • Review tools and other support applications • Discuss coexistence issues (timeframe, requirements, application issues, overhead) PHASE 3 —TRAINING & PILOT TETING PLAN This phase will focus on identifying the current technical knowledge of the IT staff, and building a plan to train them to perform the implementation and operate the environment This phase will develop a pilot testing plan to train the IT staff, identify issues, and test the implementation plan to validate any assumptions made during the design process. • Review the training requirements for the IT Staff • Build a pilot testing plan ■ Identify critical components & features to test • Review server issues • Review workstation issues • Research & review supporting applications PHASE 4 — WORKSTATION& END USER IMPACTS This phase will focus on the implementation plan for workstations in the new environment This phase will also focus on the critical step of identifying the end user impacts, and steps required to prepare the user community for the application changes. • Review the current workstation configurations • Build workstation implementation plans • Identify & document end users impacts PHASES — DOCUMENTATION The following deliverable will be developed with the City of Fort Collins team • Summarize notes from each phase • Build detailed project plans, timeline and budgets PHASE 6 — DELIVERY & REVIEW A formal delivery and review of the finalized plans and budgets will be performed. • Deliver the completed project plan • Review the plan, assumptions, issues, and budgets IMPLEMENTATION WORKSHOP SCOPE OF WORK COPYRIGHT 2003, PERFORMANCE ENHANCEMENTS, INC.
