CONCESSION AGREEMENT
THIS ADDENDUM is made and entered into this 29th day of October, 2002, by and
between THE CITY OF FORT COLLINS, COLORADO, a municipal corporation, whose
principal offices are at 300 LaPorte Ave., Fort Collins, Colorado, ("City) and WILCOX
INCORPORATED, a Colorado corporation, doing business as "Collindale Caddy Shack"
('Concessionaire').
WITNESSETH:
WHEREAS, Concessionaire and the City have previously entered into that certain
Concession Agreement dated February 8, 2002 (hereinafter referred to as "the Agreement'); and
WHEREAS, the City is nearing completion of a new Clubhouse building and concession
space at Collindale Golf Course; and
WHEREAS, the City and Concessionaire intend for Concessionaire to apply for a new
class of liquor license for use in the Collindale Clubhouse building
WHEREAS, the parties therefore desire to amend the Agreement as necessary to reflect
the resulting changes in the rights and responsibilities of the parties in the new Collindale
Clubhouse building.
NOW, THEREFORE, in consideration of mutual promises and covenants contained
herein, and other good and valuable consideration, the receipt and adequacy of which are hereby
acknowledged, the parties hereto agree to amend the terms and conditions of the Agreement as
follows:
1. The Agreement shall hereafter be titled "Collindale Golf Course Restaurant/Snack Bar
Concession Agreement."
2. Article 1. of the Agreement is amended to read as follows:
ARTICLE 1
Concession Space
1.1 Definition of Concession Space. For the purposes of this Agreement, the
"Concession Space" shall mean the following area at the Collindale Golf Course, 1441 E.
Horsetooth Road, Fort Collins, Colorado 80525:
1.1.1 The kitchen, restaurant/snack bar and adjacent storage areas, office, bar, clubroom,
dining room, restrooms, common hallways, and adjacent outdoor patio on the main floor
of the Collindale Clubhouse building, and assigned storage areas in the lower level of the
building.
1.2 Use of Concession Space. The Concessionaire shall have the use of the
Concession Space for the purpose of offering food, non-alcoholic beverages, licensed
alcoholic beverages, and related services primarily to golfers using the Collindale Golf
Course and, incidentally, to the public.
3. Section 4.3 of the Agreement is amended to read as follows:
4.3 Special Events Option. Concessionaire shall have the first option, upon request
by the City or the Collindale Golf Professional, but shall not be obligated, to provide
luncheons or other meals for special occasions, including but not limited to association
meetings and tournaments. In the event such a request is made and Concessionaire
elects not to provide such services, the City or the Collindale Golf Professional may
provide food and beverage services through other means. Such services shall not make
use of the Concession Space, except for the clubroom, dining room, restrooms, common
hallways, and adjacent outdoor patio on the main floor of the Collindale Clubhouse
building, which may be used for this purpose.
4. Section 4.7 of the Agreement is amended by adding the words "possessory interest" after
"personal property" in the first sentence.
5. Section 4.8 of the Agreement is be amended to change the words "a three-point two percent
(3.2%) on/off premises beer license", to "a Hotel -Restaurant liquor license with Optional
Premises".
6. Section 4.8.3 of the Agreement is amended to read as follows:
4.8.3 For the purposes of the Hotel -Restaurant liquor license with Optional
Premises, the "premises" shall be defined to include the Collindale Clubhouse
building and adjacent outdoor patio, and the entire golf course grounds of
Collindale Golf Course.
7. Section 5.1 of the Agreement is amended to change the expiration date of the Agreement
from February 28, 2003 to December 31, 2003.
8. Section 6.1.1 of the Agreement is amended to read as follows:
6.1.1 During the term of the Agreement, Concessionaire shall provide two (2)
beverage/food carts in order to provide food and beverage service on the grounds
of Collindale Golf Course for the months of April, May, June, July, August, and
September, and at least one (1) beverage/food cart during the months of January,
February, March, October, November, and December. Concessionaire shall lease
said food/beverage carts with the amount of the Concessionaire's lease payments
to be deducted from the Concession Fee payment for the purpose of this Article 6.
9. Section 6.2 of the Agreement is amended to change the date "February 28, 2003" to
"December 31, 2003".
10. Section 7.3.1 of the Agreement is amended to change the date "February 28, 2003" to
December 31, 2003".
11. Exhibit D is deleted in its entirety and replaced with Exhibit D-1, attached hereto.
12. All other terms and conditions of the Agreement shall remain unchanged and in full force
and effect, except as expressly provided in this First Addendum.
IN WITNESS WHEREOF, the parties hereto have caused this First Addendum to the
Collindale Golf Course Snack House Concession Agreement to be executed as of the day and
year first above written.
