THIS AGREEMENT made and entered into the day and year set forth below, by and
between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter
referred to as the "City" and LIDSTONE & ANDERSON, INC., a corporation, hereinafter referred
to as "Professional'.
WITNESSETH:
In consideration of the mutual covenants and obligations herein expressed, it is agreed by
and between the parties hereto as follows:
Scone of Services. The Professional agrees to provide services in accordance with
the scope of services attached hereto as Exhibit "A", consisting of seven (7) pages, and
incorporated herein by this reference.
2. The Work Schedule. The services to be performed pursuant to this Agreement shall
be performed in accordance with the Work Schedule attached hereto as Exhibit "B", consisting of
one (1) page, and incorporated herein by this reference.
3. Time of Commencement and Completion of Services. The services to be performed
pursuant to this Agreement shall be initiated within five (5) days following execution of this
Agreement. Services shall be completed no later than June 1, 1999. Time is of the essence. Any
extensions of the time limit set forth above must be agreed upon in writing by the parties hereto.
4. Early Termination by City. Notwithstanding the time periods contained herein, the
City may terminate this Agreement at any time without cause by providing written notice of
termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the
termination date contained in said notice unless otherwise agreed in writing by the parties. All
notices provided under this Agreement shall be effective when mailed, postage prepaid and sent

I. 7 - Railroad Permit Application: This task includes preparing and submitting the initial
permit application requesting review by the railroad. Based on our meeting with the railroad,
the design will require a short term, temporary closure of the railroad line and pre -cast box
culverts will be used.
I. S - Geotechnical Investigations: Geotechnical investigations will be completed by
Terracon and will include engineering data to complete the design of the improvements. Work
completed by Terracon will be contracted separately with the City.
I. 9 - Preliminary Design Submittal: When the design is at about the 60% complete phase,
we will hold a Preliminary Design Submittal meeting wherein we will present to the City the
results of our work to date. In essence, this meeting will be a formalized progress meeting at
which representatives from the various City departments, utility owners, and City staff will be
given a detailed "tour" of the future project. This will be a good opportunity to conduct value
engineering analysis, and to gain the insight of others that are not in day to day contact with the
project. Primary work items to be covered as a part of this task include:
• Summarize final hydrology
• Discuss any potential altematives
• Provide costs
• Present plan of improvements
• Discuss residual floodplain
• Discuss construction issues
• Discuss phasing options
• Obtain design review comments from the City
In order to facilitate the review, we will provide ten sets of the drawings in advance of the
meeting. We will also provide one set of mylars so the City can make additional copies as
needed.
II. FINAL DESIGN
II. 1 - Coordination and Project Meetings: During the Final Design Phase, we will attend
three additional coordinationlprogress meetings.
II. 2 - Detailed Construction Drawings: After obtaining comments and gaining approval of
the preliminary design, the construction drawings will be prepared. For purposes of this
proposal, it is anticipated that all improvements will be built in a single phase with a
competitively bid contract
Final Design Drawings will be prepared in accordance with City Standards and include all
items necessary to complete the construction of the proposed improvements such as plan and

profile drawings of the culvert, street improvment profiles and details, utility relocation designs
and water quality improvment pond details. The plans will also delineate the existing and
proposed right-of-way lines with the names of the property owners, existing and proposed
easements, existing and proposed utility improvements and relocations, existing and proposed
structures including fences, culverts, and buildings, existing and proposed property access
configurations and improvements, construction disturbance limits, and proposed revegetation
limits. The proposed structures will be designed in accordance with the latest edition of CDOT
Construction Standards or individually designed by our structural subconsultant. The plan and
profile will depict the vertical design elements of the project and include the existing and
proposed centerline grades, limits of construction and elevations of tie-in points to existing
improvements, existing and proposed underground utilities and drainage improvements, as
applicable.
Structural engineering will be finalized to include structure dimensions, required reinforcement,
and miscellaneous structural details.
Traffic control plans will be prepared for construction of the project. Plans will be required for
several different areas in order to facilitate construction access of other City projects.
Erosion control plans will be required for the project. Since most of this construction is not
within an active stream channel, most of the erosion control structures will be in the lower
portion of the reach near the water quality pond and the Poudre river.
Following review by the City of the final design, we will incorporate review comments and
prepare a final layout sheet. We will provide final mylar drawings to the City. All drawings
will be prepared utilizing AutoCAD v. 13. Both hard copies and electronic files will be given to
the City. It is understood that the final construction drawings and documents will be reviewed
by the appropriate City Departments prior to bidding.
II. 3 - Right -of -Way Analysis: Property ownership and property lines will be determined
along the route of the selected improvements. The City will provide Title Reports as required
for writing legal descriptions. The project team's survey manager will prepare property
descriptions along with exhibits defining the boundaries and area of property to be acquired.
We will prepare up to five permanent easements and five construction easements for the
project. This information will also be shown on the design drawings.
II. 4 - Contract Documents: We will provide mylar drawings of the final construction plans
and originals of the specifications for reproduction. We will provide 50 sets of the
specifications and drawings and transmit them to the City for distribution to bidders. The City
will advertise the project. Specifications will be prepared using Microsoft Word for Windows
95. Both hard copy and electronic copies will be provided to the City. The City will provide the
standard "Boiler Plate" contract documents to complete the specification package. Technical
specifications will be prepared to cover all construction items using CSI format. The Technical
Specifications will be designed to stand alone, i.e. not require separate reference documents. It is

understood that although they are specifically for this one project, the Technical Specifications
will be utilized as standard specifications on other City projects. This will require that the
specifications be written in a generic manner with respect to location of installation such that they
will be useful on other similar applications.
The Technical Specifications will be reviewed by the City for use in future projects.
Consequently, our proposal includes conducting two meetings (not included in other tasks) with
appropriate City staff to gain feedback and general agreement with the intent and format of the
specifications.
I1.5 - Final Floodplain Analysis: Following the final design of all project improvements, the
preliminary floodplain analysis will be revised to reflect all changes/modifications to the
preliminary design drawings. For the purposes of this scope of work, it is anticipated that
minor changes/modifications to the preliminary analysis and mapping will be completed.
11. 6 - 404 and Other Environmental Permits: We will prepare and obtain the
environmental perrnits necessary prior to construction of the project. This work includes
preparation/submittal of the Section 404 permit application. The City has already completed
the "Rare and Endangered Species" surveys whilch will be used for the application. The
contractor will be responsible for preparing and obtaining the 401 permit.
H. 7 - Finalize Railroad Permit: This task will include refining the permit submitted during
the preliminary phase, obtaining railroad comments, addressing the comments and obtaining
the final permit. Specifically not included are any fees payable to the railroad for the review
and/or granting of the permit. If the railroad does require fees, they will be payable directly by
the City.
11. 8 - Quantity and Cost Estimate: Included in this task will be an updated quantity
tabulation, along with an Engineer's estimate of probable construction costs. We will tabulate
individual quantities of such items as earthwork, concrete quantities, curb, gutter and sidewalk,
storm sewer pipe, riprap, grouted riprap, landscaping features, and asphalt. Estimate costs of
these items will be based on City, County, and other project cost data.
11. 9 - Final Design Report: Four copies of a Final Design Report and Addendum will be
prepared by the project team. This report will document major changes or revisions from the
decisions made during the Conceptual Design phase. Documentation and text related to the
hydraulic evaluation/floodplain analysis will be provided for the final design report. This work
includes preparation of floodplain mapping within the study area.

III. ENGINEERING SERVICES DURING BIDDING
We will assist the City during the bidding and contract award period and will provide contract
administration services including printing contract documents, attending the pre -bid meeting,
answering contractor questions during bidding, preparing addendums, attending the bid
opening, and making contract award recommendations.
III. 1 - Drawing and Contract Document Printing: Included in our proposal is the printing
of 50 copies of full-size blueline sets of drawings and the same number of bound Contract
Documents. The sets will be turned over to the City for distribution. The City will be
responsible for advertising for the project. Along with the hard copies, we will transfer to the
City electronic copies of both drawings and the Contract Documents. Additionally, original
mylars of the drawings and one set of original, unbound Contract Documents will be provided.
III. 2 - Pre -Bid Conference: Our Project Manger will prepare for and attend one pre -bid
conference. We will run the meeting and our role will be to answer questions related to the
intent of the drawings and specifications. We will complete the documentation of the meeting.
III. 3 - Contractor Questions: During the Bidding Phase, our staff will be available to
answer questions that the contractors may have with respect to the intent of the drawings and
specifications. We will document all questions and relay these to the City.
III. 4 - Addendum: If during the Pre -Bid Conference and/or the Bid Phase questions are
raised that require further explanation or modification to the drawings and/or Contract
Documents, we will prepare for distribution by Purchasing an Addendum(s), as required.
III. 5 - Bid Analysis/Recommendation: We will attend the bid opening, review submittals
for completeness, prepare a unit price bid tabulation and determine the apparent low bidder.
We will conduct a general review of the qualifications of the low bidder and make a contract
award recommendation.
Design Team: Brad Anderson, P.E., of Lidstone & Anderson will be responsible for the
hydrology/hydraulics and floodplain work identified in the Scope of Services. Doug Williams,
P.E. of ICON Engineering Inc. will be responsible for the civil design. He will be assisted by
Penn Gildersleeve, P.E.. Kent Barringer, P.E., will be.the Senior Professional Design Engineer
and will be assisted by Rick Rome, Engineer II. Bob Bates, P.E., of Bates Engineering will be
in charge of structural design elements, and Jim Sell of Jim Sell Design will be responsible for
landscape planning and design.

YEAR 2000 COMPLIANCE CERTIFICATION AND INDEMNITY
Section 1. Contractor hereby certifies that all information resources or systems to be
provided or used in connection with the performance of this Agreement are "Year 2000
Compliant", except as otherwise expressly described in Section 2, below. "Year 2000
Compliant" shall mean that information resources meet the following criteria:
a. Data structures (e.g., databases, data files) provide 4-digit date century
recognition. For example, "1996" provides date century recognition; "96" does not.
b. Stored data contains date century recognition, including (but not limited to)
data stored in databases and hardware/device internal system dates.
C. Calculations and programs logic accommodate both same century and multi -
century formulas and date values. Calculations and logic include (but are not limited to)
sort algorithms, calendar generation, event recognition, and all processing actions that use
or produce date values.
d. Interfaces (to and from other systems or organizations) prevent non-
compliant dates and data from entering any state system.
e. User interfaces (i.e., screens; reports; etc.) accurately show 4 digit years.
f. Year 2000 is correctly treated as a leap year within all calculation and
calendar logic.
Section 2. Contractor has identified the following information resources or systems that
will be provided or used in connection with the performance of this Agreement that are not,
or will not by December 1, 1998, be Year 2000 Compliant:

a. Contractor hereby certifies that the instances of information resources or
systems not Year 2000 Compliant identified in Section 2, above, will be Year 2000
Compliant no later than December 1, 1998, and that Contractor shall notify the City of the
status of Year 2000 Compliance for such resources or systems upon the earlier of the date
Year 2000 Compliance is achieved or on June 30, 1999.
b. Contractor hereby certifies that the instances of information resources or
systems identified in Section 2, above, as not Year 2000 Compliant, and for which Year
2000 Compliance is or will not be achieved by December 1, 1998, are not related to and
do not impair the performance by Contractor of the terms of this Agreement, and do not
produce new non -compliant information resources or systems.
Section 4. Contractor agrees to notify the City immediately of any information resources
or systems that are not Year 2000 Compliant upon encountering the same in connection
with the performance of the Agreement, including without limitation any information
resources or systems in use by Contractor in the performance of the Agreement or
information resources or systems of the City regarding which Contractor obtains information
in the course of its performance of the Agreement.
Section 5. Contractor agrees to permit examination, by the City or agents thereof, of any
and all information resources and systems in use in connection with this Agreement, and
related Year 2000 Compliance implementation plans, in order to evaluate Year 2000
Compliance and potential implications of the same for the City and for performance of the
Agreement.
Section 6 The Contractor shall indemnify and hold harmless the City, and its officers,
agents and employees, from and against all claims, damages, losses, and expenses,
including attorneys fees, arising out of or resulting from the Contractor's failure to disclose
instances of information resources or systems that are not Year 2000 Compliant, or failure
to comply with the terms of this Exhibit D.

In the event of any such early termination by the City, the Professional shall be paid for services
rendered prior to the date of termination, subject only to the satisfactory performance of the
Professional's obligations under this Agreement. Such payment shall be the Professional's sole
right and remedy for such termination.
5. Design Project Indemnity nd Insurance Responsibility. The Professional shall be
responsible for the professional quality, technical accuracy, timely completion and the coordination
of all services rendered by the Professional, including but not limited to designs, plans, reports,
specifications, and drawings and shall, without additional compensation, promptly remedy and
correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and
hold harmless the City, its officers and employees in accordance with Colorado law, from all
damages whatsoever claimed by third parties against the City; and for the City's costs and
reasonable attorneys fees, arising directly or indirectly out of the Professional's performance of any
of the services furnished under this Agreement. The Professional shall maintain commercial
general liability insurance in the amount of $500,000 combined single limits, and errors and
omissions insurance in the amount of $500,000.

6. Compensation. in consideration of the services to be performed pursuant to this
Agreement, the City agrees to pay Professional a fixed fee in the amount of Two Hundred Seven
Thousand Seven Hundred Twenty Dollars ($207,720.00) including reimbursable direct costs. The
parties acknowledge that ICON Engineering, Inc., Bates Engineering and Jim Sell Design
are not parties to this agreement. However, the rates listed for services to be provided by
these subcontractors shall be the rate paid by the City to the Professional for these
services. If the amount charged by these subcontractors exceed the rates listed in Exhibit
"C" the excess amount shall not be paid or owed by the City. Monthly partial payments based
upon the Professional's billings and itemized statements are permissible. The amounts of all such
partial payments shall be based upon the Professional's City -verified progress in completing the
services to be performed pursuant hereto and upon the City's approval of the Professional's actual
reimbursable expenses. Final payment shall be made following acceptance of the work by the City.
Upon final payment, all designs, plans, reports, specifications, drawings, and other services
rendered by the Professional shall become the sole property of the City.
7. City Representative. The City will designate, prior to commencement of work, its
project representative who shall make, within the scope of his or her authority, all necessary and
proper decisions with reference to the project. All requests for contract interpretations, change
orders, and other clarification or instruction shall be directed to the City Representative.
8. Project Drawing. Upon conclusion of the project and before final payment, the
Professional shall provide the City with reproducible drawings of the project containing accurate
information on the project as constructed. Drawings shall be of archival quality, prepared on stable
mylar base material using a non -fading process to prove for long storage and high quality
reproduction.
9. Monthly Report. Commencing thirty (30) days after the date of execution of this

Agreement and every thirty (30) days thereafter, Professional is required to provide the City
Representative with a written report of the status of the work with respect to the Scope of Services,
Work Schedule, and other material information. Failure to provide any required monthly report may,
at the option of the City, suspend the processing of any partial payment request.
10. Independent Contractor. The services to be performed by Professional are those
of an independent contractor and not of an employee of the City of Fort Collins. The City shall not
be responsible for withholding any portion of Professional's compensation hereunder for the
payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose.
11. Personal Services. It is understood that the City enters into this Agreement based
on the special abilities of the Professional and that this Agreement shall be considered as an
agreement for personal services. Accordingly, the Professional shall neither assign any
responsibilities nor delegate any duties arising under this Agreement without the prior written
consent of the City.
12. Acceptance Not Waiver. The City's approval of drawings, designs, plans,
specifications, reports, and incidental work or materials furnished hereunder shall not in any way
relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's
approval or acceptance of, or payment for, any of the services shall not be construed to operate as
a waiver of any rights or benefits provided to the City under this Agreement,
13. Default. Each and every term and condition hereof shall be deemed to be a material
element of this Agreement. In the event either party should fail or refuse to perform according to
the terms of this agreement, such party may be declared in default.
14. Remedies. In the event a party has been declared in default, such defaulting party
shall be allowed a period of ten (10) days within which to cure said default. In the event the default
remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek

damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail
himself of any other remedy at law or equity. If the non -defaulting party commences legal or
equitable actions against the defaulting party, the defaulting party shall be liable to the
non -defaulting party for the non -defaulting party's reasonable attorney fees and costs incurred
because of the default.
15. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire
agreement between the parties and shall be binding upon said parties, their officers, employees,
agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal
representatives, successors and assigns of said parties.
16. Law/Severability. The laws of the State of Colorado shall govern the construction,
interpretation, execution and enforcement of this Agreement. In the event any provision of this
Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such
holding shall not invalidate or render unenforceable any other provision of this Agreement.
17. Special Provisions. Special provisions or conditions relating to the services to be
performed pursuant to this Agreement are set forth in Exhibit "D", consisting of two (2) pages,
attached hereto and incorporated herein by this reference,

SCOPE OF SERVICES
PRELIMINARY AND FINAL DESIGN
CIVIC CENTER OUTFALL (HOWES STREET)
I. PRELIMINARY DESIGN
I. 1 - Coordination and Project Meetings: The project team will be responsible for
coordination of the design review process with the City and other interested entities such as
utility owners and adjacent property development and will be responsible for submittal of the
design products to each entity. Direct communication with representatives of each entity will
be established by the City's assigned project manager and schedules established for the timely
review of the work products.
Members of the project team will participate in several meetings associated with the proposed
project. We will coordinate with the City's project manger to establish an agenda for each
meeting and prepare the necessary handouts and exhibits to ensure that an effective meeting is
conducted. We will identify those key personnel necessary for attendance at each meeting. A
summary of the meetings is described below.
A. Initial Kickoff Meetino: This meeting represents the culmination of the
Conceptual Design process. This initial effort will result in an effective meeting which
will include discussions of: (a) project goals and objectives; (b) project scope and
budget; (c) project schedule and identification of milestones; and, (d) contact person(s)
for each department/agency. Work assigned to each subconsultant will also be
discussed at this meeting.
B. Progress Meetings: Progress meetings will be scheduled as required during the
completion of the design. Our fees assume five project meetings during this phase.
The project team's project manager, along with key members of the project team, will
attend depending on the topics for discussion at each meeting.
C. Coordination Meetings: Three meetings are included to coordinate with affected
utility companies and adjacent property development. Initial coordination efforts will
be completed by the City's project manager to inform the entities of the proposed design
elements and to set meeting times. Meetings will be held to discuss requirements of the
project and to obtain input from utility owners, City departments, and adjacent
developments to help formulate the design. Additional comments from the utilities will
be solicited by the project team through the City's existing utility coordination process.

I. 2 - Detailed Project Mapping: Initial survey control and preliminary mapping was
previously developed for the general project site. Now that the conceptual route study has been
completed, detailed mapping will need to be completed. The new mapping will utilize the
previous mapping to the extent possible, but will include strip mapping along the project
alignment and additional details of existing improvements. Mapping previously developed in
the lower reach near the Poudre River will be used for the design supplemented by field
elevations.
I. 3 - Finalize Hydrology Flow Split: This work involves the detailed investigation of flow
splits at several intersections which convey flow to the outfall. Survey data at each
intersection has been collected and will be followed by completion of a hydraulic
evaluation of the flows which will be integrated into the hydrologic model. This
information will be used to determine actual flows which will get to each intersection.
The hydrology work for this task will be completed under a separate contract with the
Utility. Coordination and review effort as it pertains to Howes Street is included in this
scope.
I.4 - Hydraulic Analysis:
A. Complete Preliminary Hydraulic Evaluation/Floodnlain Delineation: Following
the preliminary design of the outfall channel, a floodplain analysis will be completed to
determine the limits of the floodplain adjacent to the proposed improvements. This
floodplain will be based on 100-year flows for developed conditions with proposed
master plan facilities, meaning diversion of 300 cfs at the Canyon Street/Magnolia
Street intersection upstream of the Civic Center Outfall (Howes Street). Mapping of the
floodplain will be limited to the corridor encompassed by LaPorte Avenue to Cherry
Street, Maple Street to Mason Street, and from Cherry Street to the Cache la Poudre
River.
The floodplain will be delineated using HEC-2/HECRAS. Since no floodway is
required for this basin, no floodway will be delineated. Drawings will be prepared
which will incorporate the floodplain delineation on the detailed contour mapping
developed during the project. The location and orientation of all cross sections used in
the hydraulic computations will be provided on the mapping and specific cross sections
of crossing structures will be generated. Typical cross sections illustrating 100-year
flows and velocities will be included along with a 100-year flood profile along the
alignment of the outfall improvements.
A tabulation of flood hazard information will be prepared for each cross section. This
information will include cross section number, reference line stationing, 100-year
discharge water surface elevation, thalweg elevation (where applicable), energy grade
line elevation, top width of floodplain, and both mean and segmented velocity data
(where applicable).

B. Inlets and Box Culvert: Hydraulic gradeline for the design flows will be evaluated
as well as inlet/street capacity. Inlets will be sized using an agreed upon depth of
inundation and an assumed partial blockage of the openings. Final hydraulic analysis
will be completed for sizing the box culvert assuming final flow splits and considering
pressure versus open channel flow as well as a super critical flow regime in the box.
I. 5 - Utility Relocations:
A. Pothole Information/Surveys: We will assist the City in obtaining utility locates
including surveying critical utilities that will be exposed during potholing excavations.
It is assumed that the services of the survey crew will be minimal and will include
shooting benchmarks established for the potholing and establish elevations based on
measurements to the utilities A total of 16 hours of survey crew time is assumed.
B. Utility Relocation Design: This task is inclusive of the design of modifications to
existing water, sewer, and storm sewer pipes (both main lines and service lines) that
may be required to facilitate the completion of the outfall system based on the
Conceptual Design Plan. Lowering the City's fiber optics line is also included.
Additional utility design modifications would require an adjustment in fees.
Specifically not included in our scope are costs to design gas, phone, cable TV, and
electrical system modifications which are assumed to be completed by the utility
owners.
I. 6 - Refine Conceptual Design:
A. Plan and Profiles. Plan and profile drawings will be completed to include the new
mapping details, potholed utility modifications, updated sizes for facilities, inlet and
street modifications, general notes, and grading.
B. Details: Structural investigations/design will be conducted under a subconsulting
agreement with Bates Engineering, Inc. During preliminary design, structural
engineering involvement will be limited to assisting in estimating cast -in -place wall
thicknesses and other physical dimensions such that preliminary quantities can be
determined, and it can be confirmed that there is physical room for the planned
improvements. Landscaping details will be provided under a subconsulting agreement
with Jim Sell Designs. Landscaping opportunities along the upper portion of the project
are very limited and only include providing a sodded area along the north side of
Laporte Avenue. Along the lower portion of the project, through Martinez Park, in the
water quality pond and the river floodplain area, landscaping and revegetation plans and
details will be required.
C. Preliminary Cost Estimate: Based upon the refined conceptual design, we will
prepare a construction quantity take -off and unit price estimate. Costs will be based
upon quotes supplied by major materials suppliers (particularly for pre -cast pipe/box)
and recent bid costs for similar work items.
