HomeMy WebLinkAbout150670 THE SEAR BROWN GROUP - CONTRACT - RFP - P816 PROSPECT ROAD IMPROVEMENTSPROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City" and SEAR -BROWN, a corporation, hereinafter referred to as "Professional'. WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: Scope of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit "A", consisting of fifteen (15) pages, and incorporated herein by this reference. 2. Time of Commencement and Completion of Services. The services to be performed pursuant to this Agreement shall be initiated within five (5) days following execution of this Agreement. Services shall be completed no later than September 30, 2002. Time is of the essence. Any extensions of the time limit set forth above must be agreed upon in writing by the parties hereto. 3. Early Termination by City. Notwithstanding the time periods contained herein, the City may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least fifteen (15) days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. All notices provided under this Agreement shall be effective when mailed, postage prepaid and sent to the following addresses: PSA 05/01 bridge structure is able to handle a modified arterial cross section. The intersection at Summit View Drive is currently at a 38-degree skew angle and will be evaluated for potential improvements within the project budget restraints. Through the Conceptual Design Phase we anticipate providing three roadway alignment alternatives for evaluation by the City. The roadway between Summit View Drive and the 1-25 interchange is a two-lane section with a distinct restriction at the Box Elder structure. The ROW width through the corridor various somewhat but is generally 60 ft. Traffic Studv The traffic study will serve as a design basis for recommending proposed lane configurations, intersection geometrics, and establishing a plan for access within the corridor. This report will evaluate and address the ultimate configuration of Prospect Road in the corridor from Prospect Parkway to the western Frontage Road at 1-25. The study will assemble available existing traffic and accident data. The existing data will be supplemented with weekday am/pm peak hour traffic turning movement counts at all intersections within the study corridor (there are four intersections in the corridor, traffic counts for one intersection are already available. Counts will be completed at the other three intersections). Twenty year traffic forecasts will be then be developed for this segment of Prospect Road. The traffic projections will be developed from the existing traffic numbers and supplemented with traffic modeling information gathered from City planning and traffic staff as well as the MPO. No MINUTP or TRANSCAD modeling will be completed. Both existing and future traffic volume analysis will be completed using either Highway Capacity Software or Synchro. All intersections will be analyzed for ultimate configuration with Summit View and Prospect Parkway analyzed as signalized intersections. Intersection geometry will be provided detailing required lane configurations and auxiliary lane lengths. Corridor traffic volumes and access control will also be discussed. The access control will provide guidance to define roadway and driveway (residential, business, and natural areas) points of access for the corridor for both construction and as a consolidated plan to accommodate the master street plan and development in the future. A Traffic Report summarizing the traffic study will be completed and submitted to the City for review, comment and approval. Necessary revisions for approval are included in the attached cost. Environmental Overview During the Conceptual Phase a "planning level" Environmental Overview will be prepared by Cedar Creek Associates. Site -specific and regional published information, including existing aerial photos will be reviewed by Cedar Creek Associates to characterize the vegetation, wetland, and wildlife resources within the roadway improvement corridor and to assess the potential for occurrence of threatened, endangered, and other sensitive species. Aerial photos will be used to assess existing wetland mapping available in the City of Fort Collins' "Natural Areas Policy Plan," make preliminary determinations regarding the potential locations of additional wetlands and Waters of the U. S., and determine the types of vegetation communities present within the project area. The existing information review also will include unpublished reports, maps, and other file information available from the City of Fort Collins, Colorado Division of Wildlife, and the Natural Heritage Program. Once the review of existing information is completed, a field reconnaissance of the roadway improvement corridor will be conducted to verify general habitat and wetlands information collected during the review of existing information, assess current habitat conditions, and verify wetland boundaries on aerial photography. PSA 05/01 el 'Delineation of wetlands at this point will be based primarily on the presence of a predominance of wetland associated vegetation species. Although the City of Fort Collins will complete the actual threatened and endangered species work later in the project, it is important to identify the potential for this issue early in the project. Therefore, existing habitats will be evaluated by Cedar Creek regarding their ability to support populations of threatened, endangered, and other sensitive plant and wildlife species (in particular, the threatened Preble's meadow jumping mouse and Ute ladies' -tresses orchid). Information, exhibits and mapping on the existing condition of vegetation, wetlands, and wildlife resources along the roadway improvement corridor as well as wetland mapping will be provided in the appropriate section of the Conceptual Design Report. In addition, a generalized description of all river corridor communities will be provided. The approximate extent and location of existing wetlands will be used to assist future planning and design efforts. Wetlands will also be evaluated with respect to potential Corps of Engineers 404 permit requirements if project alternatives require wetland disturbance. Natural resources and wetland information will be provided in sufficient detail to satisfy the requirements of an Ecological Characterization Report as required by Section 3.4.1 of the City of Fort Collins Land Use Code. Geotechnicai Studv The geotechnical engineering services will evaluate the subsurface soil, bedrock and groundwater conditions, and to determine geotechnical engineering criteria for the design and development of the project. We propose to explore the subsurface conditions on the site with a maximum of 21 test borings drilled to approximate depth of 10 to 25 feet. Terracon will clarify and provide a more specific scope of services when the project and site plans are better defined. During the drilling operations, a geotechnical engineer or engineering geologist will log the borings, record the results of penetration tests, and will obtain representative samples for further laboratory evaluation. Groundwater measurements will be made in each boring during exploration and a minimum of 24-hours after drilling. All drilling and sampling will be conducted in general accordance with applicable ASTM or local standards. Due to the project being in close proximity to the previous sand and gravel mining operation facilities, Terracon, upon request, will provide a photo -ionization device (PID) to monitor the subsurface soils/auger cuttings during the exploration phases to ascertain the necessity of any environmental related concerns. At the completion of drilling operations, all samples will be returned to our laboratory where the project geotechnical engineer will examine them. At that time, the field descriptions will be confirmed or modified, an applicable laboratory -testing program will be formulated and final -boring logs prepared. All laboratory testing will be conducted in accordance with applicable ASTM or other locally recognized standards. The information obtained from the field exploration and laboratory -testing program will be used to evaluate the soil and subsurface conditions at the project site. From these determinations, engineering analyses will be undertaken in order to formulate specific design criteria for the project. Based upon our analyses, a geotechnical engineering report will be prepared and submitted to the project team and City of Fort Collins for approval. It will include: • A brief review of our field and laboratory procedures, and the results of all testing conducted; • A discussion of the general subsurface conditions including soil, bedrock and groundwater conditions; • A general evaluation and recommendation of foundation systems and related design criteria including proposed ultimate "R" values for subsurface soils. • Recommended construction procedures and quality control measures related to foundations and earthwork; • Hot Mix Asphalt (HMA) and Portland Cement Concrete Pavement (PCCP) alternative pavement thickness designs and recommended specifications for planned pavement areas in accordance with the City of Fort Collins — Engineering Department Design criteria. • During the construction phase of the project samples of the completed roadway embankment will be taken and tested to determine in situ "R" value. This "R" value results will be evaluated against the original PSA 05/01 5 assumptions made in the determination of the pavement sections. Adjustments to the pavement section, if necessary, will be made at that time. The cost of sampling and evaluation during the construction phase is not included with this scope. Conceptual Drainage The conceptual drainage effort will include developing alternative routing for conveyance of stormwater flows off of the roadway. It is anticipated that storm flows from the roadway will not be detained prior to release, however we will look at alternatives to provide "Water Quality" features into the stormwater design. The conceptual drainage portion of the project will develop two routing alternatives for carriage of the stormwater flows from the roadway. The two routing alternatives are expected to consider curb and gutter with a low -flow storm sewer and/or a borrow ditch for a rural roadway section. The project team will utilize the floodplain analysis models being prepared by Anderson Consulting as a starting point for the tailwater analysis. Downstream of Prospect Road, the storm drainage outfalls will transition southward to utilize the existing channels. A qualitative stream stability analysis, addressing energy dissipation needs, will be performed 100 feet upstream and downstream of the two proposed new drainage structures at the Poudre River "L" Path and the Box Elder Creek. The result of these efforts will be a brief conceptual drainage report that will detail the assumptions, constraints, calculations, analysis, alternatives, and conceptual recommendations for the roadway drainage and structure types. This scope of work for drainage effort assumes that the City of Fort Collins will provide, through Anderson Consulting, all effort necessary to determine floodplain elevations for both the Poudre River "L Path" and the Box Elder Creek crossing. It is our understanding that Anderson Consulting will provide critical stormwater elevations and required opening sizes at these locations. Sear -Brown will make recommendations as to the structure type, and will work with the City and Anderson to finalize the exact location of the structures and the final roadway profile needed to satisfy storm water criteria. Landscape / Streetscape Most visitors to the City of Fort Collins enter the community from the east on one of three main arterial streets: Harmony Road, Prospect Road, or Mulberry Street. Each of the three arterial gateways has developed an individual character based on the types of land uses and landscapes that exist along their boundaries. While Harmony Road has become the 'high-tech business' gateway, and Mulberry Street has become the gateway to downtown, Prospect Road can clearly be described as the city's 'natural areas' gateway. It includes several public and private natural areas, crosses a large and scenic portion of the Cache la Poudre drainage basin including abundant natural vegetation and wildlife habitat, and offers spectacular views of the foothills west of the City. It is clear that because of this natural character, the Larimer County Urban standard four -lane arterial cross- section may not be appropriate for the Prospect Road design. The project team will need to work with the City to determine the appropriate cross-section(s) for the road design. The City's Prospect Road Streetscape Program published in 1993 describes possible streetscape themes for different sections of the road length. These streetscape designs differ from the standard arterial cross -sections of the Urban Area Street Standards. We suggest partnering with the various city departments (Engineering, Traffic, Transportation Planning, Natural Resources, and Parks) to determine the needs from each department during the conceptual phase. Alternative street designs can then be developed and evaluated based on these needs. Landscape concepts for the Prospect Road corridor will relate directly to the design of the road cross-section. A Streetscape alternative for the ultimate roadway cross-section will be developed during the conceptual phase and will be evaluated by the City. Landscape and streetscape alternatives will incorporate design issues such PSA 05/01 'as: preservation and enhancement of views, development of a visual gateway for the City of Fort Collins, management of storm drainage runoff and water quality Best Management Practices, integration and enhancement of natural areas features and wildlife habitat areas, and integration of pedestrian and bicycle circulation connections along the corridor and to adjacent trails. Conceptual Roadway Design The conceptual design of the ultimate roadway templates would take into account the above information to develop a recommended plan and centerline profile for the length of the project (Prospect Parkway to West Frontage Road at 1-25). This task would involve the collaborative efforts of all the project team members to review and quantify project parameters. The conceptual roadway portion of the project will develop alternatives that illustrate the proposed roadway cross section horizontally and vertically within the project corridor. These concepts will be evaluated and compared to arrive at a recommended roadway alternative to be further developed in the Preliminary Phase of the project. Three viable roadway alignments will be proposed and evaluated using criteria including but not limited to: conformance with engineering and City standards; feasibility of drainage design and other utility locations; property owner impacts and associated costs; environmental impacts; constructability; overall cost; and operation with existing and proposed intersections. It is anticipated that this effort will include transitions to the project, approximately 300' length, required to facilitate smooth approaches to the project. Transitions to the project will be required north of the intersection at Summit View and west of the West Frontage Road intersection. As a basis for this scope it is assumed that the existing structure at the Poudre River will not be modified and that modifications west of Sharp Point Drive will consist of mainly signing and striping modifications. It is anticipated that the roadway may need to be widened to the south from Sharpe Point east to the Poudre River Structure, and that the roadway will be reconstructed from the Poudre River Bridge to the West Frontage Road at Interstate 25. The design effort will include a proposed intersection layout plan, for all intersections from Prospect Parkway to the West Frontage Road, that will include lane modifications or additions consistent with the Traffic Study completed in this phase. It is anticipated that two intersection alternatives for the Summit View Drive and Prospect Road intersection will be investigated through the Conceptual Phase. One design alternative will look what modification would be necessary to construct the intersection to meet strict Larimer County Urban Street Standards. The other design alternative will investigate ways to improve the intersection while minimizing impacts to existing adjacent properties. Other tasks in this phase will include a conceptual grading plan, roadway drainage plan, establishing locations and structure types for storm crossings at the Poudre River "L Path" conveyance and the Box Elder Creek crossings, conceptual structural layouts for bridge and box alternatives, pedestrian alternatives, wetland impacts, potential access locations, conceptual landscape plans and a detailed cost estimates for both the interim and ultimate roadway construction. Design Report The Design Report composites the various project issues, opportunities, requirements as well as the various design alternatives for the ultimate design. It will detail the assumptions used, City direction given, process to analyze and compare the effectiveness and efficiency at achieving the project's objectives. It will provide a conceptual design recommendation for the corridor between the Prospect Parkway and the West Frontage Road at 1-25, including the existing intersections between these limits. The deliverable at this point is a Conceptual Design Report and correspondingly brief and less technical Executive Summary. The design report will include conceptual design drawings representing the major design features of the project component for the "Ultimate" four -lane arterial roadway. In addition the Design Report will include a summary of required land acquisition by way of a ROW take line drawing. Construction costs will be summarized within the Opinion of Probable Construction Cost. It is our understanding that Sear -Brown will provide approximate PSA 05/01 areas for additional ROW, construction and slope easements, and the City will provide estimated unit costs for the necessary ROW acquisitions. It is anticipated that a single complete and accurate iteration of the Opinion of Probable Cost using unit costs and quantities to the available level of detail will be submitted to the City at the Conceptual Phase to establish a reliable construction estimate for both the interim and ultimate road configuration. Initial Open House This is the first of two scheduled open houses and will introduce the project to the public. The general level of effort for the open house is intended to be somewhat more simplified than those open houses completed during the Taft Hill project. This open house is intended to identify the project, outline the objectives, present preliminary engineering issues, detail the preferred alternative, and solicit public input to project design concepts. The open house will be advertised in the following ways: • A project World Wide Web site will be established within the City's web site as part of overall advertisement for the open house. The consultant team will create the web site materials while City staff will do the update and posting of material. • An invitation / flyer / mailer will be created by the consultant team and provided to the City for review, comment, and approval. The mailing list will be generated by City staff. The flyer will be produced, folded, addressed and mailed by the consultant team. • City Staff will complete any press release information. The open house exhibit materials will be created by the consultant team and will be in an easily understood graphical form Appropriate consultant team members (not to exceed four) will attend the open house. Following the open house, the project team will summarize the public feedback and coordinate a team debrief meeting with the City. Deliverables for Conceptual Phase • Conceptual Roadway Alignment exhibits (five full size copies) • Conceptual Design Report (five copies)including: ➢ Traffic Study Report ➢ Environmental Overview Report ➢ Conceptual Drainage Report ➢ Existing land ownership and Right -of -Way map ➢ Conceptual Structural Recommendation ➢ Conceptual Roadway Alignments ➢ Conceptual Landscape Plan ➢ Ultimate and Interim section Opinion of Probable Construction Cost • Geotechnical Report • Coordination meeting minutes • Web Site materials • Progress meeting minutes • Open House Flyer and exhibits • Meeting summary for Open House 1 PSA 05/O1 3000 Preliminary Phase (75% Complete) Jurisdictional Wetland Delineation A jurisdictional wetland delineation will be completed within a 100-foot corridor on each side of the existing Prospect Road corridor using the methodology outlined in the publication Corps of Engineers Wetlands Delineation Manual (1987). Intensity of mapping will conform to the "routine on -site determination" method. Delineation of wetlands will be based on the presence of vegetation, soils, and hydrologic wetland indicators as required by the 1987 manual. Sear -Brown will provide the services to complete a survey of the site and produce a project map showing wetland boundaries delineated in the field by Cedar Creek Associates, Inc. The wetland map and report prepared for this task will be suitable for review and approval by the Corps of Engineers (COE). The report will compute the area of disturbance and discuss impacts of cuts and fills in wetland areas. Once the wetland survey effort is approved by the COE for defining baseline conditions, the wetland mapping will be used to assist in design efforts, alternative development, and determination of COE 404 permitting requirements. The City will prepare the COE 404 permit in the Preliminary phase of the project using the project map and report prepared by the consultant. Survey and Base maopinq During the Pre -Design and Conceptual phases of the project the project team will rely on contour and topographic information furnished by the City of Fort Collins from their current GIS database. It is assumed that the City surveyor will supply to the project team section corner, section line, and vertical datum information to enable the project team to properly align information input into the base mapping. It is also assumed that all boundary surveys needed to identify actual property boundaries, legal descriptions, exhibits for ROW will be done by the City. As an option, the Sear Brown has included cost for the following: Prior to the Preliminary phase of the project Sear -Brown will conduct a field topographic survey of the corridor and furnish base mapping of the project corridor. The base mapping is anticipated to be approximately 200' in width and extend from Prospect Parkway to the West Frontage Road. Base mapping information will also be collected on Summit View Drive and extend 300' from the Prospect Road intersection. This base mapping will be utilized for the Preliminary Engineering phase of the project. The project team will participate in the field survey as appropriate to establish a clear understanding of the data collection process. Once the field data is made available Sear -Brown will reduce the information into a detailed AutoCAD® Release2000 base map and surface model. Sear Brown along with the project team will review the completed mapping to ensure that the processing appropriately represents the field data. The project team will utilize the basemapping to conduct a field edit of existing natural features potentially significant to the anticipated designs. Any major items noted in the field that were excluded from the basemapping will be summarized in a request for supplemental field survey. The project team will conduct miscellaneous supplemental field measurements on an as needed basis throughout the design phase of the project. The project team will augment the basemapping with supplemental utility information from record maps and Utility Potholing operations. PSA 05/01 91 'Utility Potholing Sear -Brown will schedule and coordinate all potholing required to establish horizontal and vertical locations of existing utilities in the project corridor. Special attention will be paid to the anticipated locations of crossing between proposed storm and utility piping with existing utilities. Sear -Brown has obtained preliminary information from various utility entities and we anticipate approximately 30 potholes will be needed to verify locates. Potholing will be done utilizing a water jet/vacuum truck assembly to minimize disturbance to the existing roadbed. Use of equipment beyond what is shown above, such as a backhoe or excavator, to locate utilities is not included within this scope of work. Results of this work will be added to the project base mapping. Traffic control for Utility Potholing will be provided by the City. Preliminary Design - Roadway & Drainage The preliminary design effort assumes that a roadway alignment and profile alternative acceptable to the City of Fort Collins was identified in the conceptual stage. Refinements to the conceptual design in terms of slight alignment and profiles changes are expected and part of this work. However, significant variances from the conceptual plan agreed upon initiated by the City of Fort Collins, or new roadway alignments or profiles, are not assumed in the cost proposal provided. The preliminary design of the roadway will include refinements to the plan view, centerline profile and detailed typical sections for the proposed roadway identified in the conceptual stage. The preliminary design will include the overall drainage plan with inlet locations, preliminary storm pipe design and water quality considerations for the ultimate outfall locations. The plan will also include locations of proposes easements and ROW take lines. The preliminary design of the roadway would develop a detailed horizontal plan and vertical profiles for the length of the project plus an anticipated 300' along Summit View Drive. The product of this phase will be a refined preliminary plan set, and Opinion of Probable Costs for an "Ultimate" four -lane configuration from Prospect Parkway to the West Frontage Road and "Interim" two-lane configuration from the Poudre River Bridge to Summit View. The Preliminary package will include roadway horizontal and vertical alignment, preliminary structural design details for two structures, roadway drainage features, roadway grading, grading at the structures to transition to natural channels, depiction of ROW and easements sufficient to begin acquisition process, wetlands mitigation, landscaping/streetscaping, sidewalk and identification of utility relocation. With this design, the ROW take lines will be established in order to initiate detailed ROW and easement procurement negotiations and to set the stage for final acquisition documents. Included with this scope we anticipate that the project team, to assist the City with meeting with property owners, will draw six base mitigation plans. These base drawing will show existing topography and approximate ROW take lines. Detailing of these mitigation plans, including new improvements and landscape modifications, is not included with this scope. This stage of the project will also include identification of potential horizontal and vertical utility conflicts. It is our intent to meet individually with the utility entities on the project. We also anticipate holding a utility coordination meeting to assign utility corridors within and adjacent to the proposed ROW as well as identify potential horizontal and vertical conflicts. An additional utility coordination meeting is expected to be required later in the Final Design stage and is not include with the cost of this work. PSA 05/01 10 -in addition, the preliminary design effort will include refinement of the structure recommendations for both the proposed Box Elder Creek and the Poudre River "L Path". This effort includes establishing final type, size, grade and location of the structures. Final structural detailing will be completed in the Final Phase and is not included with this scope. Preliminary Plan Set A Preliminary plan set will be completed for the entire project limits. The west limits are defined as Prospect Parkway west of the existing Poudre River Bridge. The east limits are defined as the tie-in at the Interstate 25 West Frontage Road. The plan set will be prepared at predominately 20 scale on 22"x34" title blocks to facilitate easy "half -sizing" to 11 "xl7" 40 scale drawings. The set is estimated to be at approximately 75% and anticipated to include: • Roadway and median horizontal an vertical alignment • Trail or sidewalk horizontal alignment • Design geometry and preliminary structural detailing of box culverts at the Poudre River "L Path" conveyance and at the Box Elder Creek • Roadway storm drainage alignments and profiles • Establishment of R.O.W. and easement take lines • Wetland Mitigation Plan • Identification of utility conflicts and modifications • Preliminary Landscape /Streetscape Plans • Grading of roadway slopes • Preliminary Details Plan Set (Prospect Parkway to West 1-25 Frontage Road) (generally 20 scale 22"x34" to produce 40 scale 11 "x17" half size) As a basis for this scope we anticipate delivering to the City of Fort Collins five (5) full size plan (22" x 34") sets and eight (8) half size (11" x 17") plan sets. This scope and cost proposal assumes that Sear -Brown will respond acceptably to all reasonable city comments once comprehensive comments are received from the City following the original submittal. However, no costs are assumed to address additional new comments from the City that arise while the City is reviewing Sear -Brown's responses to the initial comments received. Utility Plans 4 — Structural Layout Plans 4 - General Detail Sheets PSA 05/01 11 16- Cross Sections (100' intervals) 72 total sheets _Preliminary Opinion of Probable Construction Costs Sear -Brown at the end of the preliminary phase will prepare a detailed Opinion of Probable Construction Costs utilizing unit costs for specific construction items. During this design task special attention will be paid to ensuring that the Opinion of Probable cost is as accurate as possible given the detail available. This effort will help to ensure that the project will not need to be re -designed at a later date due to budget restraints. Sear -Brown with assistance from sub -consultants bha, Terracon and Cedar Creek will prepare an Opinion of Probable Cost for the construction for the ultimate alternative. Sear -Brown will utilize the most current cost data information in compiling Opinion of Probable costs. Data available to Sear -Brown includes tabulations from various construction projects we are currently associated with, City construction project data, and CDOT cost data information. Sear Brown will also prepare a detailed Opinion of Probable Costs for the Interim road section between the Poudre River Bridge and Summit View including transitions. The Ultimate road section Opinion of Probable Cost will be split up in the following segments: Prospect Parkway to the Poudre River Bridge Poudre River Bridge to Summit View Dr. Summit View Dr. to the West Frontage Road Second Open House Near the end of the preliminary design phase, a second open house will be held. This effort will follow the template and division of responsibility of the first open house. The materials presented will be created to represent less of a conceptual alternative and more of a greater level of design detail. Subsequent to the Second Open House the input from attendees of the Open House will be documented and summarized by Sear -Brown. The public input from the Open House will then be a discussion item at the final progress meeting for the Preliminary Phase of the project. It is assumed that any design changes that occur, as a result of this Open House will be address with the Final Phase of the project. Sear -Brown will assist through the City decision process subsequent to the Final Open House to the extent of time shown in the fee estimate. This assistance may include attendance at City meetings or preparation of exhibit materials. Reimbursable Expenses Reimbursable expenses are the actual expenses incurred directly in connection with the Project for: reproduction of documents, phone calls, services of suppliers or contractors (such as utility potholing), photographic film and processing, and transportation incidental to the Project. Reimbursable expenses will be invoiced at the incurred cost and will be invoiced with supporting documentation. The total cost for all work under this scope including labor and expenses shall not exceed, without written authorization from the City of Fort Collins, the total amount shown on the Engineering Fee Estimate. Such payment shall be the Professional's sole right and remedy for such termination. 4. Design Project Indemnity and Insurance Responsibility. The Professional shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all services rendered by the Professional, including but not limited to designs, plans, reports, specifications, and drawings and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold harmless the City, its officers and employees in accordance with Colorado law, from all damages whatsoever claimed by third parties against the City; and for the City's costs and reasonable attorneys fees, arising directly or indirectly out of the Professional's negligent performance of any of the services furnished under this Agreement. The Professional shall maintain commercial general liability insurance in the amount of $500,000 combined single limits, and errors and omissions insurance in the amount of $1,000,000. 5. The parties acknowledge that BHA Design, Cedar Creek Associates, Van Thuyne Downs, Inc. and Terracon are not parties to this agreement. However, the rates listed for services to be provided by these subcontractors shall be the rate paid by the City to the Professional for these services. If the amount charged by these subcontractors exceed the rates listed in Exhibit "B" the excess amount shall not be paid or owed by the City. Monthly partial payments based upon the Professional's billings and itemized statements of reimbursable direct costs are permissible. The amounts of all such partial payments shall be based upon the Professional's City -verified progress in completing the services to be performed pursuant hereto and upon the City's approval of the Professional's reimbursable direct costs. Final payment shall be made following acceptance of the work by the City. Upon final payment, all designs, plans, reports, specifications, drawings and other services rendered by the Professional shall become the sole property of the City. 6. City Representative. The City will designate, prior to commencement of work, its project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. All requests for contract interpretations, change orders, and other clarification or instruction shall be directed to the City Representative. 7. Project Drawings. Upon conclusion of the project and before final payment, the Professional shall provide the City with reproducible drawings of the project containing accurate information on the project as constructed. Drawings shall be of archival quality, prepared on stable mylar base material using a non -fading process to prove for long storage and high quality reproduction. 8. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City Representative with a written report of the status of the work with respect to the Scope of Services, PSA 05/01 3 Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City, suspend the processing of any partial payment request. 9. Independent Contractor. The services to be performed by Professional are those of an independent contractor and not of an employee of the City of Fort Collins. The City shall not be responsible for withholding any portion of Professional's compensation hereunder for the payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose. 10. Personal Services. It is understood that the City enters into this Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under this Agreement without the prior written consent of the City. 11. Acceptance Not Waiver. The City's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way relieve the Professional of responsibility for the quality or technical accuracy of the work. The City's approval or acceptance of, or payment for, any of the services shall not be construed to operate as a waiver of any rights or benefits provided to the City under this Agreement. 12. Default. Each and every term and condition hereof shall be deemed to be a material element of this Agreement. In the event either party should fail or refuse to perform according to the terms of this agreement, such party may be declared in default. 13. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period often (10) days within which to cure said default. In the event the default remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek damages; (b) treat the Agreement as continuing and require specific performance; or (c) avail himself of any other remedy at law or equity. If the non -defaulting party commences legal or equitable actions against the defaulting party, the defaulting party shall be liable to the PSA 05/01 0 non -defaulting party for the non -defaulting parry's reasonable attorney fees and costs incurred because of the default. 14. Binding Effect. This writing, together with the exhibits hereto, constitutes the entire agreement between the parties and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. 15. Law/Severability. The laws of the State of Colorado shall govern the construction, interpretation, execution and enforcement of this Agreement. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. This scope is intended to accompany the project Engineering Fee Estimate. The project Engineering Fee Estimate is a spreadsheet representing an overview of the project with individual work tasks represented in rows and anticipated professional staff effort represented in columns. A target project Schedule has been prepared concurrently with this scope and the corresponding work plan. General The remainder of this document describes our understanding of the scope of work. As a matter of clarification, several assumptions were made in developing the scope, schedule and work plan: The limits of the project will generally be from Prospect Parkway to the West Frontage Road at Interstate 25 along the Prospect Road corridor. The project includes the Conceptual and Preliminary design of the future ultimate roadway section through the limits stated above to a 75% "Preliminary" level. It is expected that the Preliminary design will include roadway widening or reconstruction, earthwork, identification of utility relocations, identification of right-of-way, new bridge or box culverts at two locations, pavement, sidewalks, wetland mitigation, landscaping and detailed cost estimates for both ultimate and interim sections at both Conceptual and Preliminary stages. The overall project design will be completed in distinct engineering phases including pre -Design, Conceptual Design, Preliminary Design, Final Design and Construction Engineering. Final Design Engineering and Construction Engineering Services will follow under a separate agreement. As a basis of this proposal the Conceptual Plans will be considered an approximate 30% level of completion, and the Preliminary Plan set will be considered to be a 75% level of project completion. • The Sear -Brown Team (also referred to as the "project team" in this scope of services) for this project includes the following subconsultants: BHA design, Cedar Creek Associates Inc, and Terracon Consulting Engineers & Scientists. • All project deliverables will be made available to the City in electronic as well as hard copy format. Electronic files will be prepared and formatted in current industry standard software including AutoCAD 2000, Microsoft Word 97, and Microsoft Excel 97 or mutually acceptable higher versions. Basic Scope of Services 1000 Pre -Design, Start -Up and Coordination Project Kick-off. Pre-Deslon and Coordination A project kick-off meeting will be held with City staff, Sear -Brown, sub -consultants and Anderson Consulting to review project team member roles, review project scope, establish project objectives and set schedule goals and milestones. Pre -design services include gathering available information to accurately define existing conditions. Data collection will include obtaining applicable City and County mapping, base mapping from adjacent City projects or adjoining developments, public and private utility record maps. As a basis for this scope it is anticipated that there will be approximately fourteen (14) progress meeting to be held bi-weekly through the end of the Preliminary Phase. PSA 05/01 Contact List During this phase we will also create a project contact sheet and organizational chart that details the immediate project team from both the consultant (Sear -Brown team and Anderson) and City, as well as a broader based coordination list for other City departments, County and CDOT personnel, utility companies etc. Data Collection A systematic data collection would take place that includes research of • available City, County and CDOT mapping, • general right-of-way information including area neighbors, • available traffic and planning information including accident reports, • master plans, and corridor plans • utility information, • existing information from adjacent municipal or private developments, • Anderson Consulting drainage study currently underway in the project area, • existing developments along the corridor. This information would be reviewed by Sear -Brown and enhanced with a series of discussions with the City staff to measure the corridor's current performance and issues against staff's collective expectations of the future. The City of Fort Collins shall be responsible to provide to Sear -Brown all existing right-of-way (ROW) base information from the West Frontage Road at 1-25 to Prospect Parkway. This ROW base information will be used as the initial basis for any required ROW acquisitions. Agency Coordination and Standards Determination There are a number of departments and agencies who may be stakeholders in this project, but not directly a part of the project team. Coordination with City of Fort Collins Stormwater and Natural Resources staff is important. A discussion with the Water Quality staff in Utilities may identify any storm drain quality issues. Sear -Brown will oversee coordination efforts with Anderson Consulting for drainage modeling and iterative design between road and proposed culverts at the Poudre River "L Path" conveyance and at Box Elder. There are a few potential conflicts between various standards that may or may not be applied to this corridor. The project team will address discrepancies between the land use code, the new Larimer County Urban Area Street Standards, and the 1993 Prospect Road Streetscape Program. Determining early on the hierarchy of applicability for standards will provide firm guidance for the road and streetscape design during the rest of the project. As a basis for this scope it is assumed that five meetings, in addition to progress meetings, will need to take place to facilitate agency coordination issues. 2000 Conceptual Design The conceptual design is anticipated to include the entire project corridor from Prospect Parkway across the Poudre River Bridge, past the intersection at Summit View Drive and to the West Frontage Road at the 1-25 interchange. This portion of East Prospect is Master Planned by the City of Fort Collins as a four Lane Arterial Street. However, the ballot language for the Building Community Choices projects through which this project is funded currently only allows for a two-lane (plus a reversible turn lane) arterial from the Poudre River Bridge to the Summit View Intersection. Currently, the roadway section west of the Poudre River Bridge varies from two to four through lanes and the PSA 05/01
