Hi Keith -
I spoke with you yesterday about utilizing an computer outsourcing company to help me catch up on some
work in my dept. I spoke with the President of the company, Dave Herzfeld, and we came to the following
agreement:
Strictly an hourly basis for billing. The hourly rate agreed to was $85/hr. We agreed that we needed to
have a meeting to establish a work plan. This meeting would include 2 support people and himself. He
agreed to provide 2 people to do the work to ensure that someone was always available in case
something else happened. He agreed not to charge anything other then a single hourly rate when we
meet to discuss the work plan (he'll have the 2 techs and himself present). We agreed to a schedule of
support based on 3 days a week. The projected completion time would be around 30 days; with working
only 3 days a week, it will take approximately 10 weeks to accomplish the job. This isn't an absolute time
frame but one that we will be shooting to accomplish. I currently have a PO encumbered with funds that
will pay for this - the vendor needs to be changed. We've tentatively set a date to meet for a work plan on
April 18th. Hopefully that will allow enough time to get whatever paperwork in place that we need.
I've sent via fax a brochure from the company and a resume of the individual who will be assigned the
work. It's possible we may want to use them again in the future after the completion of this assignment,
so I wonder if it's a good idea to do a Not to Exceed service contract? I wonder if it wouldn't be better to
put a generic service agreement into place in case later this year I might need to bring them in again to
help - it would prevent us from having to do another agreement.

RE: Sole Source Vendor — C3 Technology, Inc.
In an effort to catch up on an extensive backlog of end user computer needs, the
Engineering Department has elected to hire an outside agency to come in and
perform the necessary tasks to catch up. The project scope includes but is not
limited to: building and deploying new computers, implementing a coordinated
roll out of a major upgrade to the department's main computer software —
AutoCAD, deploy software upgrades throughout the department, as well as
troubleshoot and make recommendations on other miscellaneous computer
issues.
C3 Technology Inc. was interviewed and selected because of the technical
expertise that they can provide related to the identified needs. C3 has agreed to
provide two excellently qualified technicians to immediately address the scope of
work identified. Both technicians are Network Engineer's with backgrounds in
Novell and NT networks, Microsoft Office products, Novell GroupWise, customer
service, and AutoCAD installations. It is felt that these technician's can "hit the
ground running" with little or no direction and supervision to accomplish the
tasks, which will free the department's System Specialist to address other
pressing technology issues within the department. The IT Department was not
selected to assist in this project because they could not exclusively dedicate
personnel to Engineering on a full time basis for the duration of the project.
