THIS AGREEMENT made and entered into the day and year set forth below, by and
between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter
referred to as the "City" and ALLER-LINGLE ARCHITECTS, P C , a corporation, hereinafter
referred to as "Professional'
WITNESSETH
in consideration of the mutual covenants and obligations herein expressed, it is agreed by
and between the parties hereto as follows
1 Scope of Services The Professional agrees to provide services in accordance with
the scope of services attached hereto as Exhibit "A", consisting of six (6) pages, and incorporated
herein by this reference
2 The Work Schedule The services to be performed pursuant to this Agreement
shall be performed in accordance with the Work Schedule attached hereto as Exhibit "B", consisting
of one (1) page, and incorporated herein by this reference
3 Time of Commencement and Completion of Services The services to be performed
pursuant to this Agreement shall be initiated within five (5) days following execution of this
Agreement Services shall be completed no later than December 31, 1999 Time is of the essence
Any extensions of the time limit set forth above must be agreed upon in writing by the parties
hereto
4 Early Termination by City Notwithstanding the time periods contained herein, the
City may terminate this Agreement at any time without cause by providing written notice of
termination to the Professional Such notice shall be delivered at least fifteen (15) days prior to the
termination date contained in said notice unless otherwise agreed in writing by the parties

Attend meetings with the City's protect manager and other City departments
as needed during the Preliminary Design phase, as related to specific issues
for this discipline
Prepare a construction cost estimate at the completion of the Preliminary
Design phase
H COST CONSULTANT, B&C PROJECT SERVICES
1 Provide a detailed cost estimate of all proposed improvements at the completion of
the Preliminary Design phase, incorporating the estimates prepared by the
Mechanical and Electrical Engineering consultant
Estimate shall be based upon Davis -Bacon wage rates
REIMBURSABLE EXPENSES
1 Architect and Consultants shall bill for reimbursable expenses in accordance with the
City's standard procedure
• Assume 4 City review sets of Preliminary Design drawings
• Submittal and resubmittal drawings to the City for P U D approval
• Submittal drawings for Landmark Preservation Commission review
2 In addition to the normal, protect -related expenses, the following will also be
reimbursable expenses
• A P O of Colorado list of adjacent property owners
• Application fees for Planning and Zoning submittals for the P U D
• Presentation renderings for Planning and Zoning hearings
OWNERSHIP OF DESIGN CONCEPT AND DOCUMENTS
1 All architectural design concepts, drawings, mylars and other original documents,
disks and other electronic media, prepared by the Architect as a part of this protect
are considered instruments of service and shall remain the property of the Architect
The Architect shall, however, make these materials available for the Owner's use
by providing blueprints and/or copies as requested by the Owner
2 Aller•Lingle Architects P C's design of this protect shall be in response to the
Owner's specific functional and aesthetic desires The design shall not be
reproduced, modified or used for any other protect by the Owner or any other
individual or design firm, except by the express, written consent of Aller•Lingle
Architects P C , and then only after the Architect has been properly compensated for
any such reuse
Unauthorized reuse of the design or drawings shall be at the sole risk of the Owner
The Owner agrees to defend, indemnify and hold harmless Aller•Lingle Architects
P C from all claims, damages and expenses, including attorney's fees arising out of
any such unauthorized reuse of the documents
K DELIVERY OF CAD FILES
1 At the conclusion of the Protect, the Architect shall deliver to the Owner copies of all
final construction documents on computer disks in AutoCAD, Version 14 format It
is agreed that all such drawings and data are instruments of service of the Architect,
who shall be named the author, and who shall retain all common law, statutory and
other rights, including copyrights The Owner agrees not to use these drawings and
data, or permit any reuse or modification to be made to them, without the prior written
consent of the Architect, and then only after the Architect has been properly
compensated for any such reuse The Owner further agrees to waive all claims
against the Architect and its Consultants resulting in any way from any unauthorized
changes or reuse of the drawings and data for any other project by anyone other than
the Architect and its Consultants The transfer of the CAD files for use by the Owner

shall not be deemed a sale and the Architect makes no warranty, either express or
implied, of merchantability or fitness for any particular purpose
2 The electronic files provided by the Architect to the Owner are submitted for an
acceptance period of 30 days Any defects the Owner discovers during this period
will be reported to the Architect and shall be corrected as part of the Basic Scope of
Services Correction of defects detected and reported after the acceptance period
will be compensated for as Additional Services
COST ESTIMATES
1 Since the Architect and Engineers have no control over the cost of labor, materials,
equipment or services furnished by others, the quality or level of finishes selected,
the Contractor's methods of determining prices, or competitive bidding or market
conditions, any estimate of project costs is made on the basis of the Architect's and
Engineers' experience and qualifications and represent our best judgment as
experienced and qualified professionals familiar with the construction industry The
Architect and Engineers cannot and do not guarantee that proposals, bids or actual
construction costs will not vary from the estimate of probable cost The selection of
either the method of construction or a particular Contractor shall not affect this
limitation
M HAZARDOUS MATERIALS
1 The Architect and Consultants shall have no responsibility for the discovery,
presence, handling, removal or disposal of, or exposure of persons to hazardous
materials in any form at the project site, including but not limited to, asbestos,
asbestos products, polychlonnated biphenyl (PCB) or other toxic substances
Work Not Included
1 Construction Documents through Construction Administration phase services for the
renovation/remodeling of the C&S Freight Depot and related site improvement for Block 22 This will
be provided by separate Proposal at the time the project proceeds
2 Civil design and engineering related to reconfiguration of the Burlington Northern railroad tracks in
Mason Street, or related street median improvements
3 Civil design and engineering for any off -site drainage improvements We are assuming that
stormwater runoff from the Transit Center site will be detained on -site and released into the adjacent
streets or existing stormwater piping systems without additional improvements
4 Civil design and engineering to prepare a striping plan for the public streets adjacent to the site We
are assuming that this will be provided by the City of Fort Collins
5 Architectural and engineering design for a building addition It is assumed that the building design
will involve only renovation/remodeling of the existing structure
6 Landscape architecture design for full construction documents of site design features, including
decorative paving, lighting, tree grates, etc
7 Preparation of an Energy Analysis, including detailed comparisons of different mechanical and
lighting systems
8 Further involvement of the Traffic Engmeenng.,Histoncal or Daylighting Consultants, utilized in earlier
phases of the project
9 Interior design for fabrics, upholstery, wallcovenngs, artwork and other interior finishes, beyond the
specifications for carpeting and other hard surfaces included in the Scope of Work
10 Renderings, models or other professional presentation materials
11 Reimbursable expenses related to the site visits to other Transit Centers
Owner -Provided Information or Work
1 Soils Investigation Report and other appropriate information for the foundation design of the
proposed site structures and pavement designs
2 Asbestos or other hazardous material testing and abatement

Copies of all applicable standard documents, forms, specifications or other information from the City
of Fort Collins to be a part of the construction documents
Copies of all applicable City of Fort Collins space standards to be used in programming the Transit
Center building
Copies of all standard specifications for materials, equipment, fixtures and systems to be
incorporated into the project design used by the City of Fort Collins, including material cut sheets and
sources for sales and technical representatives, if available
Environmental assessment, or other technical studies as may be required by the City of Fort Collins
Traffic impact study prepared by an independent traffic consultant It is our understanding that a
comprehensive traffic study has been completed for the future development of the Transit Center
on Block 22, the future City of Fort Collins Administration Facility on Block 32, the new Larimer
County Courthouse on Block 31 and the Downtown Parking Structure on Block 21
Street striping plan for LaPorte Avenue, Mason and/or Maple Street

Additional Services

Collins and the Architect and the fees adjusted accordingly per the current hourly rates listed in Exhibit C,

YEAR 2000 COMPLIANCE CERTIFICATION AND INDEMNITY
Section 1 Contractor hereby certifies that all information resources or systems to be
provided or used in connection with the performance of this Agreement are Ye a r 2000
Compliant , except as otherwise expressly described in Section 2, below Year 2000
Compliant shall mean that information resources meet the following criteria
a Data structures (e g , databases, data files) provide 4-digit date century
recognition For example, 1996" provides date century recognition, 96" does not
b Stored data contains date century recognition, including (but not limited to) data
stored in databases and hardware/device internal system dates
c Calculations and programs logic accommodate both same century and multi -
century formulas and date values Calculations and logic include (but are not limited to) sort
algorithms, calendar generation, event recognition, and all processing actions that use or
produce date values
d Interfaces (to and from other systems or organizations) prevent non -compliant
dates and data from entering any state system
User interfaces (i e , screens, reports, etc ) accurately show 4 digit years
Year 2000 is correctly treated as a leap year within all calculation and calendar
logic
Section 2 Contractor has identified the following information resources or systems that will
be provided or used in connection with the performance of this Agreement that are not, or will
not by July 1, 1999, be Year 2000 Compliant

a Contractor hereby certifies that the instances of information resources or
systems not Year 2000 Compliant identified in Section 2, above, will be Year 2000 Compliant
no later than October 1, 1999
b Contractor hereby certifies that the instances of information resources or systems
identified in Section 2, above, as not Year 2000 Compliant, and for which Year 2000
Compliance is or will not be achieved by October 1, 1999, are not related to and do not impair
the performance by Contractor of the terms of this Agreement, and do not produce new non-
compliant information resources or systems
Section 4 Contractor agrees to notify the City immediately of any information resources or
systems that are not Year 2000 Compliant upon encountering the same in connection with the
performance of the Agreement, including without limitation any information resources or
systems in use by Contractor in the performance of the Agreement or information resources or
systems of the City regarding which Contractor obtains information in the course of its
performance of the Agreement
Section 5 Contractor agrees to permit examination, by the City or agents thereof, of any
and all information resources and systems in use in connection with this Agreement, and related
Year 2000 Compliance implementation plans, in order to evaluate Year 2000 Compliance and
potential implications of the same for the City and for performance of the Agreement
Section 6 The Contractor shall indemnify and hold harmless the City, and its officers,
agents and employees, from and against all claims, damages, losses, and expenses, including
attorneys fees, arising out of or resulting from the Contractors failure to disclose instances of
information resources or systems that are not Year 2000 Compliant, or failure to comply with the
terms of this Exhibit D

In the event of any such early termination by the City, the Professional shall be paid for services
rendered prior to the date of termination, subject only to the satisfactory performance of the
Professional's obligations under this Agreement Such payment shall be the Professional's sole
right and remedy for such termination
5 Design. Project. Indemnity and Insurance Responsibility The Professional shall be
responsible for the professional quality, technical accuracy, timely completion and the coordination
of all services rendered by the Professional, including but not limited to designs, plans, reports,
specifications, and drawings and shall, without additional compensation, promptly remedy and
correct any errors, omissions, or other deficiencies The Professional shall indemnify, save and
hold harmless the City, its officers and employees in accordance with Colorado law, from all
damages whatsoever claimed by third parties against the City, and for the City's costs and
reasonable attorneys fees, arising directly or indirectly out of the Professional's negligent
performance of any of the services furnished under this Agreement The Professional shall
maintain commercial general liability insurance in the amount of $500,000 combined single limits,
and errors and omissions insurance in the amount of $500,000

6 Compensation in consideration of the, services to be performed pursuant to this
Agreement, the City agrees to pay Professional a fixed fee in the amount of Ninety-nine thousand
Seven Hundred fifty Dollars ($99,750 00) plus reimbursable direct costs All such fees and costs
shall not exceed One Hundred Sixteen Thousand Four Hundred dollars ($116,400 00) The
parties acknowledge that BHA Design, Nolte Associates, KL&A Structural Engineers,
McFall Konkel & Kimball and B & C Project Services are not parties to this agreement
However, the rates listed for services to be provided by these subcontractors shall be the
rate paid by the City to the Professional for these services If the amount charged by these
subcontractors exceed the rates listed in Exhibit "C", the excess amount shall not be paid
or owed by the City Monthly partial payments based upon the Professional's billings and
itemized statements are permissible The amounts of all such partial payments shall be based
upon the Professional's City -verified progress in completing the services to be performed pursuant
hereto and upon the City's approval of the Professional's actual reimbursable expenses Final
payment shall be made following acceptance of the work by the City Upon final payment, all
designs, plans, reports, specifications, drawings, and other services rendered by the Professional
shall become the sole property of the City
7 City Representative The City will designate, prior to commencement of work, its
project representative who shall make, within the scope of his or her authority, all necessary and
proper decisions with reference to the project All requests for contract interpretations, change
orders, and other clarification or instruction shall be directed to the City Representative
8 Project Drawings Upon conclusion of the protect and before final payment, the
Professional shall provide the City with reproducible drawings of the project containing accurate
information on the project as constructed Drawings shall be of archival quality, prepared on stable

mylar base material using a non -fading process to prove for long storage and high quality
reproduction
9 Monthly Report Commencing thirty (30) days after the date of execution of this
Agreement and every thirty (30) days thereafter, Professional is required to provide the City
Representative with a written report of the status of the work with respect to the Scope of Services,
Work Schedule, and other material information Failure to provide any required monthly report may,
at the option of the City, suspend the processing of any partial payment request
10 Independent Contractor The services to be performed by Professional are those
of an independent contractor and not of an employee of the City of Fort Collins The City shall not
be responsible for withholding any portion of Professional's compensation hereunder for the
payment of FICA, Workers' Compensation, other taxes or benefits or for any other purpose
11 Personal Services It is understood that the City enters into this Agreement based
on the special abilities of the Professional and that this Agreement shall be considered as an
agreement for personal services Accordingly, the Professional shall neither assign any
responsibilities nor delegate any duties arising under this Agreement without the prior written
consent of the City
12 Acceptance Not Waiver The City's approval of drawings, designs, plans,
specifications, reports, and incidental work or materials furnished hereunder shall not in any way
relieve the Professional of responsibility for the quality or technical accuracy of the work The City's
approval or acceptance of, or payment for, any of the services shall not be construed to operate as
a waiver of any rights or benefits provided to the City under this Agreement
13 Default Each and every term and condition hereof shall be deemed to be a material
element of this Agreement In the event either party should fail or refuse to perform according to
the terms of this agreement, such party may be declared in default

14 Remedies In the event a party has been declared in default, such defaulting party
shall be allowed a period often (10) days within which to cure said default In the event the default
remains uncorrected, the party declaring default may elect to (a) terminate the Agreement and seek
damages, (b) treat the Agreement as continuing and require specific performance, or (c) avail
himself of any other remedy at law or equity If the non -defaulting party commences legal or
equitable actions against the defaulting party, the defaulting party shall be liable to the
non -defaulting party for the non -defaulting parry's reasonable attorney fees and costs incurred
because of the default
15 Binding Effect This writing, together with the exhibits hereto, constitutes the entire
agreement between the parties and shall be binding upon said parties, their officers, employees,
agents and assigns and shall inure to the benefit of the respective survivors, heirs, personal
representatives, successors and assigns of said parties
16 Law/Severability The laws of the State of Colorado shall govern the construction,
interpretation, execution and enforcement of this Agreement In the event any provision of this
Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such
holding shall not invalidate or render unenforceable any other provision of this Agreement
17 Special Provisions Special provisions or conditions relating to the services to be
performed pursuant to this Agreement are set forth in Exhibit "D", consisting of two (2) pages,
attached hereto and incorporated herein by this reference

EXHIBIT A
Project Description
Architectural, planning and engineering design services as itemized below for Phase 2 Preliminary Design
of the C&S Freight Depot Transit Center, to be built on Block 22 in downtown Fort Collins, Colorado The
site is bounded by Mason Street on the west, LaPorte Avenue on the south, Maple Street on the north and
the new north -south alley on the east
The building renovation will provide ticketing, waiting and vending space for both Transforl and the TNM&O
Bus Line, as well as office space for the City's Transportation Planning Division No new construction of an
addition or a basement under the existing building is anticipated Site improvements will accommodate the
multi -modal aspect of the project, including Transfort and TMN&O buses, taxi/commuter "kiss and drop",
bicycles and pedestrians Services shall also include taking the project through the City of Fort Collins'
Planned Unit Development (P U D ) process, including Project Development Plan and Final Compliance Plan
submittals
The historic C&S Freight Depot will be retained and renovated for use as a multi -tenant Transit Center
facility, utilizing the approved site plan developed by Aller•Lingle Architects P C during the Multi -Modal
Transit Center Study completed in 1998 A separate Proposal will be developed for Phase 3 Construction
Documents when the City is ready to proceed
Scope of Basic Services
For purposes of this Proposal, Preliminary Design shall be defined as approx 40% completion of the full

shall be approx 95% complete as a part of the Project Development Plan process
A GENERAL Scope of work for Phase 2 development of the C&S Freight Depot Transit Center
project shall consist of Preliminary Design phase services, including planning services for
taking the project through the City of Fort Collins Planned Unit Development (P U D )
process, assuming a Type 2 review, boundary and topographic survey work, and
coordination with outside agencies such as the City's Landmark Preservation Commission,
Art in Public Places program and the Colorado Historical Society
For purposes of this Proposal, the project design will be based upon the approval Conceptual
Site Plan and Floor Plan for the facility, dated September, 1998, prepared as supporting
documents for the City's federal grant Minor revisions to the Scope of Work, however a
budding addition (if determined to be necessary) will be considered Additional Services

1 Develop a conceptual design of the proposed Transit Center facility, including a site
plan, floor plan, and architectural elevations, for the City's review and approval
2 Field measure the existing depot and prepare measured drawings
3 Programming of the facility with the City's Transportation Planning and Transfort
Divisions, and coordinated with the City's project manager, Facilities Division and
other affected City departments
4 Provide full architectural design services for the Transit Center facility, including new
site construction and the proposed renovation of the existing C&S Freight Depot,
through the Preliminary Design phase Specialized services shall include
• Inventory existing furnishings to be relocated to this project, prepare a furnishings
plan and specify a furnishings package to assist the City in bidding this part of the
work
• Coordinate budding/site design with the City's Art in Public Places Committee and
selected artist, provided separate from this Agreement, incorporating historical
constraints or requirements
• Prepare alternative color/finish schemes for review and selection by the City,
including preparation of color boards
Interior and exterior signage systems, including the City's standard permanent,
monument -type building identification signage
Provide architectural design services in support of the planning required for taking
the protect through the City's Protect Development Plan and Final Compliance Plan
process
Participate with the City in visiting other Transit Center protects, up to three (3) full
days
Attend meetings with the City's protect manager and other City departments as
needed during the Preliminary Design phase
C LANDSCAPE ARCHITECTURE AND PLANNING BHA DESIGN
1 Provide full landscape architecture and site irrigation design and engineering services
for the Transit Center site, through the Preliminary Design phase Specialized
services shall include
Design of two (2) crosswalks, one at the intersection of Mason Street and
LaPorte Avenue and one at the intersection of Mason Street and Maple Street
Water quality features for filtering stormwater runoff
2 Provide planning and landscape architecture design and documentation as required
for taking the Transit Center facility through the City's Protect,Development Plan and
Final Compliance Plan process
3 Attend meetings with the City's protect manager and other City departments as
needed during the Preliminary Design phase, as related to specific issues for this
discipline
4 Assistance to the Cost Consultant as necessary in preparing construction cost
estimates
D CIVIL ENGINEERING NOLTE ASSOCIATES
1 Provide full civil design and engineering services, including on -site grading and
drainage, drives and parking lots, sidewalks, utilities, and associated site features,
through the Preliminary Design phase Utility services shall include

6 Assistance to the Cost Consultant as necessary in preparing construction cost

E SURVEYING AND PLAT WORK NOLTE ASSOCIATES
1 Provide a complete boundary survey and set permanent survey monuments

Research all easements of record, and include unrecorded easements, 1 e gas lines,
in new easements as a part of the platting process
Provide surveying services for a complete topographic and improvement survey of
the full half -block site, including adjacent rights -of -way, structures and curb cuts
within 100' of the property boundary along Mason, LaPorte and Maple Streets and
the north -south alley to the east of the C&S Freight Depot Topographic information
shall be based upon City datum and shall be provided in AutoCAD Version 14 format
Develop a Preliminary Plat of the site, replatting the existing 27 lots into 2 or 3 new
lots and/or tracts, and including vacation of existing easements or right-of-ways and
dedication of new easements or right-of-ways required by the final site design

1 Provide full structural design and engineering services for the Transit Center facility,
including new site structures and the proposed renovation of the existing Freight

a Provide full plumbing and mechanical design and engineering services for the

b Provide mechanical/plumbing design and engineering services for a snow
melt system for the bus loading and drive areas
c Prepare an estimate of utility charges for the first year of operation
d Attend meetings with the City's project manager and other City departments
as needed during the Preliminary Design phase, as related to specific issues
for this discipline
e Prepare a construction cost estimate at the completion of the Preliminary
Design phase
2 Electrical Engineering
a Provide full electrical design and engineering services for the Transit Center
facility, including new construction and the proposed renovation of the
existing Freight Depot, through the Preliminary Design phase, including the

• Paging system to be coordinated with the City's telephone department
• Security system to the extent required to secure the building at night (key-
pad access, all doors secure before system can be activated, infrared
motion detectors, etc )
• Local Area Network (LAN), to be coordinated with the City's telephone

vendor

• Fire alarm system subject to the approval of the Poudre Fire Authority
