Second Addendum to the Rolland Moore Racquet Center Tennis Agreement
This addendum is made and entered into this 1s` day of September, 1999, by and between
LEWIS TENNIS, Inc, a corporation with its principal place of business at 764 Vanderbilt Beach
Rd , Naples, Florida (hereinafter referred to as the "Concessionaire"), and the CITY OF FORT
COLLINS, COLORADO, a municipal corporation, whose principle offices are at 300 LaPorte
Avenue, Fort Collins, Colorado (hereinafter referred to as the "City")
Witnesseth;
WHEREAS, the Concessionaire and the City have previously entered into an agreement dated
March 15, 1999 (hereinafter referred to as the "Agreement'), and
WHEREAS, under the agreement, the Concessionaire provides Pro Shop and tennis -related
services to the City at Rolland Moore Park, and
WHEREAS, the Concessionaire has provided satisfactory services to date and met all the
requirements of this Agreement, and
WHEREAS, the parties desire to amend the Agreement to change the length of the agreement
term, change the concession fee structure, and alter the Scope of Work
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
and other good and valuable consideration, the receipt and adequacy of which are hereby
acknowledged, the parties agree to amend the terms and conditions of the Agreement as
follows
Paragraph 5 1, Period, change the paragraph to read
J The term of this agreement shall commence on March 15, 1999 and, unless terminated sooner,
expire on March 14, 2000 In addition, at the option of the City, the Agreement may be
extended for additional annual periods, not to exceed four (4) such renewal periods Changes
in the Concession Agreement shall be negotiated by and agreed to by both parties
Paragraph 6 1, Concession Fee, change the first sentence to read
For the privilege of conducting the concession operations hereunder, the Concessionaire shall
pay to the City an amount equal to five percent (5%) of gross pro shop sales and service
proceeds, private and semi -private lesson fees, tournament and other court rental fees, and
fees charged for any other Concessionaire -organized events and programs held on City tennis
courts or at other City facilities

Exhibit A, Scope of Work, revise as follows
Section 31, change item h to read Registration services and updated accounting
records for all activities conducted as part of this Agreement
Section 3 3, change item b to read Providing marketing assistance for new activities
offered by the Concessionaire, space for general tennis information in each issue of the
recreation program brochures, assistance in targeting new tennis audiences in the community,
and assistance with solicitation of interns from area universities
Section 3 3, change item f to read Scheduling of courts and collection of fees for
_/Pou&e School District (PSD) events The Concessionaire will not share in fees for these
events
/ Section 3 4, change c to read Priority use of all City -owned tennis courts
The Concession Agreement, modified by this addendum, remains in full force and effect
IN WITNESS WHEREOF, the parties have caused this Second Addendum to the Rolland
Moore Racquet Tennis Agreement to be executed as of the day and year first above written

This addendum is made and entered into this 1s' day of June, 1999, by and between LEWIS
TENNIS, Inc , a corporation with its principal place of business at 764 Vanderbilt Beach Rd,
Naples, Florida (hereinafter referred to as the "Concessionaire"), and the CITY OF FORT
COLLINS, COLORADO, a municipal corporation, whose principal offices are at 300 LaPorte
Ave, Fort Collins, Colorado (hereinafter referred to as the "City")
Witnesseth:
WHEREAS, the Concessionaire and the City have previously entered into an agreement dated
March 15, 1999 (hereinafter referred to as the "Agreement"), and
WHEREAS, under the agreement, the Concessionaire provides Pro Shop and tennis -related
services to the City at Rolland Moore Park, and
WHEREAS, Concessionaire expenses for insurance coverage has proved to be higher than
planned, and
WHEREAS, the parties desire to amend the Agreement to require Concessionaire to pay a
smaller concession fee to the City in order to offset these expenses
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
and other good and valuable consideration, the receipt and adequacy of which are hereby
acknowledged, the parties agree to amend the terms and conditions of the Agreement as
follows
Paragraph 6 1, Concession Fee, change the last sentence to read
The City shall retain an amount equal to twenty percent (20%) of such lesson fees
Paragraph 6 2, Time of Payment, change the second sentence to read
f The City shall pay the Concessionaire, not later than the twentieth day of the month, eighty
percent (80%) of USA Youth and Adult group lesson fees collected by the City in the previous
month and five percent (5%) of fees collected for tournaments specified in Scope of Work, 3 2,
(a)
The Concession Agreement, modified by this addendum, remains in full force and effect
IN WITNESS WHEREOF, the parties have caused this First Addendum to the Rolland Moore
Racquet Center Tennis Agreement to be executed as of the day and year first above written
