The above referenced professional services agreement (origi ally signed by
Walsh Environmental Scientists & Engineers) expired on July 8, 2007 The
North Front Range MPO wishes to extend the agreement term, er the existing
terms and conditions The term will be extended for one (1) additional year,
July 9, 2007 through July 8, 2008
If the renewal is acceptable to your firm, please sign this lettr in the space
provided and return it to North Front Range MPO, Financial Manager, 419
Canyon Ave, Suite #300, Fort Collins, CO 80524, within the n xt fifteen days.
Also please include (if applicable) a revised hourly billing ate sheet, by
position, for this contract year Please ensure that any rate in reases, which
are negotiated by and agreed to by both parties, do not exceed the Denver -
Boulder CPI-U as published by the Colorado State Planning and Budget Office
If this extension is not agreeable with your firm, we ask that �ou send us a
written notice stating that you do not wish to renew the contrac and state the
reason for non -renewal

Dear Mr. Fodge-
I am writing to clarify the relationship between Walsh Environmental Scientists & Engineers
(Walsh) and Ecology and Environment, Inc (E & E), as well as both organizations relation hip
with the North Front Range Metropolitan Planning Organization (NFRMPO) with respect tc the
subject Professional Services Agreement. This is in response to concerns by the NFRINIPO
regarding the perceived change in relationship between these organizations during the renew 11 of
the subject Agreement, and the possibility that further services under the existing agireen tent,
from a procedural standpoint, need to be subjected to a new Request For Proposal (RFP).
E & E and Walsh are corporate partners, in which E & E is also the majority stockhold r of
Walsh This relationship was in place prior to the RFP for the subject contract and continues
today. In response to the initial RFP for this work, Walsh responded with a proposal that was
based on E & E 's expertise in this area and was ultimately awarded PSA 940, dated 7/9/04. Yvith
Agreement PSA 940 in hand, Walsh proceeded to give the development work to E & E
personnel through the use of Intercompany Task Orders This was done because E & E was the
developer of the OreenRide ridesharing software and had the necessary resources to perfon a the
work. This contractual arrangement continued through NFRMPO Purchase Order Number 70,
dated 4/4/2006, which provided Greenride Carpool Matching —Hosting & Maintenance from
4/4/06 through 9/30/06.
During this same overall period of performance, E & E developed its marketing of Gree ide
and established it as a separate product line within E & E . As a result of these ongoing efforts, E
& E now has approximately 30 additional GreenRide Clients that are a combination of
Municipal, University and Employer users Consistent with this transition, E & E subirrii ted a
proposal directly to NRPMPO on October 18, 2006 for Greenride Carpool Matching Hosting
and Maintenance for Fiscal Year 2007, which included a tailored version of E & E 's stir dard
GreenRlde Contract Agreement, limiting the scope of work to the continuance of hostm Y and
maintenance activities Under this proposal, the work would be performed by the same & E
personnel as the previous efforts, without any Walsh administrative support
recycled paper
In November 2006, a GreenRide Contract Agreement was executed between E & E
NFRMPO, based upon acceptance of E & E 's October 2006 proposal. This contract pro`
the NFRMPO with E & E 's loyalty discount pricing for the annual hosting and maintenan
subscription years 3, 4, and 5 of the GreenRide program, consistent with our offering to
existing E & E GreenRide clients. Under this contract the cost for the period of perforn
from 11/2/06 through 10/31/07 (annual subscription year 3) was priced at $8,550.
subscription period was exercised by NFRMPO on 11/2/06 when it provided E & E
Purchase Order Number 100 in the stated amount Under this arrangement, NFRMPO
continue to receive the specified hosting and maintenance services through 10/31/07.
