(hereinafter referred to as the "Trainer") and PC Goy (hereinafter referred to as the 'Company"); WITNESSETH: 1. BASIC INFORMATION a. Title of Training Class: Discoverer for Administrators ' b. Location of Training: Pt Collins, CO C. Date(s): Sept 17 —18, 2007 9:00 a.m. — 12:00 p.m., 1:00 p.m. — 4:00 p.m. each day d. Yes: )OO(-_ No: If "No," name of Oustomels Computer Lab Contact: f. Number of Students: 5 for the Admin Class (max is 15 per course) 2. STANDARD PROVISIONS DeDosr Feces. Course Fee Is $1,500/day for Admin day or $3,000 total forthe above -listed courses. A _0 percent (_0_ %) deposit is required to obtain a booking, and must be submitted with signed contract. Company will be billed for the balance of charges Incurred. Cancellation/Rescheduling. Cancellation notice Is required a minimum of forteen_ (-14—) days prior to the scheduled Training Class; otherwise, the Company will forfeit all prepaid deposers, and/or be invoiced _$100_ + expenses incurred (including arty non-refundable air travel booked and training materials). In the event that this course needs to be rescheduled, a notice Is required a minimum of seven_ (_7_) days prior to the scheduled Training Class; otherwise, an additional _0 fee + any expenses Incurred in the change (including airline travel change fees) will be added to the final invoice. All rescheduling is subject to the availability of the Trainer. Deposits may be used for subsequent training classes. Trainer shall not be liable for nonperfomharice of this contract when such nonperformance Is attributable to national emergencies, ads of God, and any other causes, which are beyond the reasonable control of the Trainer, and which prevent or interfere with the scheduled performance. In such event, the Trainer shall not be Gable to the customer for any damages, whether actual or consequential, which may result from such nonperformance, but shall be liable only for refunding to Company any deposits being held, less actual out-of-pocket expenses Incurred. Trainina Manuals Certificates, Name Cards. The Trainer will provide training manuals at a cost of $150 per administ aWr manual, certificates of completion, and name cards for all classes. Travel Expenses. Company shall be responsible for all out-of-pocket travel expenses Incurred by Trainer for travel outside a fifty (50) mile radius of Des Moines, Iowa, unless otherwise stated. Mileage will be calculated are the rate of $.46_ per mile. All travel expenses In excess of 550.00 must be approved by the Company. SEP 06 2007 12:30PM HP LHSERJET 3200 P- Payment Information. Full payment Is due within 30 days of the invoice date. A 2% discount will be extended for payments postmarked within 10 days of the Invoice date. A 1.5% surcharge will be added to the Invoice for each 30-day period past the Invoice date. Limitation on liability. In no event shall the Trainer be liable to the Client for any damages whatsoever in excess of the amount of fees paid to or payable under this Agreement. 3. BINDING EFFECT This Agreement shall be binding up and Inure to the benefit of the parties hereto and their respective heirs, successors, and assigns, and shall be governed by and construed under the laws of the State of Iowa. Reference from one client to a prospective client (Fall 2003): As Coordinator of Human Resources Development, I oversee training and development for all of our employees (approximately 1400 employees).
