Box 580, 215 North Mason, Fort Collins, CO 80522-0580, hereinafter called "Department," and Dr. F.C. Luna and Carol L. Miller of the Rocky Mountain Intercultural Institute, 704 Greenbriar Drive, Fort Collins, CO 80524, hereinafter called "Trainers." 1. Scope of Services: The Department is contracting with the Trainers to facilitate a 12-hour Building Cultural Capacity Seminar designed specifically for the Fort Collins Parks and Recreation Department as described in the attached Curriculum outline, during the month of April, 2007. 2. Terms of Agreement: A. Dates and Times of Seminar: The Building Cultural Capacity Seminar will be held in three 4-hour sessions to be held during consecutive weeks in the month of April, 2007. The Department and Trainers will determine together the exact dates and times. B. Location of Seminar and Equipment: The seminar will be held at a site secured by the Department and will meet the following facility criteria: a room large enough to comfortably house tables and chairs for up to 20 participants, arranged in a U-shape format. The facility will have a large screen, television, VCR/DVD player, 4 flipchart stands and paper, two tables for trainers' equipment and materials, and electrical outlets for equipment. C. Copying and Refreshments: Trainers will provide the Department with a master copy of the participant training manual at least two weeks prior to the first session of the seminar. The Department will make copies of the manual for all seminar participants. The Department will provide refreshments during each seminar session. D. Notification of Participants: The Department will notify participants of the exact dates and times of each 4-hour seminar session. Terms of Payment: The City of Fort Collins agrees to pay Rocky Mountain Intercultural Institute a fee of $100 per participant for designing and facilitating the 12-hour Building Cultural Capacity seminar. The Trainers will submit an invoice with the dates, times, and description of the services provided to the Department. The Department will pay the Trainers' invoice within two weeks of receiving same. 4. Taxes and Fringe Benefits: Neither federal, state, nor local income tax or payroll taxes of any kind shall be withheld or paid by the Department on behalf of Trainers. Trainers understand that Trainers are responsible to pay, according to law, their state and federal income and employee taxes. Trainers are not eligible for and shall not participate in any Department employee pension, health or other fringe benefit plan. 5. Termination: Either party may terminate this agreement with or without cause after giving 30-days written notice to the other of its intent to terminate. The Department shall compensate Trainers for any training that was provided to the Department through the date of termination and was within the scope of services on a pro-rata basis. 6. Non -Waiver: The failure of either party to exercise any of its rights under this agreement for a breach thereof shall not be deemed to be a waiver of such rights or a waiver of any subsequent breach. 7. No Authority to Bind Department: Trainers have no authority to enter into contracts or agreements on behalf of the Department. This agreement does not create a partnership or joint venture between the parties. 8. Declaration by Trainers: Trainers declare that they have complied with all federal, state, and local laws as regarding business permits, certificates, and licenses that may be required to carry out the work to be performed under this agreement. 9. How Notice Shall Be Given: Any notice given in connection with this agreement shall be given in writing and shall be delivered by hand or by certified mail, return receipt requested, to the party at the party's address stated herein. Any party may change its address stated herein by giving notice of the change in accordance with this paragraph. 10. Assignability: Trainers may not assign this agreement in whole or in part. 11. Choice of Law and Venue: Any dispute under this agreement or related to this agreement shall be decided in the appropriate court for the Eighth Judicial District, State of Colorado, in accordance with the laws of the State of Colorado. 12. Entire Agreement: This is the entire agreement of the parties. 13. Severability: If any part of this agreement shall be held unenforceable, the rest of this agreement will nevertheless remain in full force and effect. 14.
