Please define “pricing” as it relates to the “Public Viewing Copy” section of the RFP.  This states that pricing cannot be redacted under CORA; however, we are not charging Connexion for anything; instead, we would be paying Connexion a monthly share of advertising revenue we generate on your behalf, and the revenue share would be an agreed upon business term.  Would revenue share be considered pricing in the case of an advertising sales representation agreement? a. The City will accept “FOR PUBLIC VIEWING” versions of the proposals with the revenue share percentage redacted. This information may be exempt for the Colorado Open Records Act, C.R.S. §§ 24-72-200.1 et seq. (“CORA”) if it can be substantiated to be a trade secrets, privileged information, or other confidential commercial or financial data, the disclosure of which could cause irrevocable harm. In the event a “FOR PUBLIC VIEWING” version of the proposal is provided with the revenue share redacted and the City receives a request under CORA to disclose the revenue share percentage, the City would provide notification to your firm to have a reasonable opportunity, within the time periods for disclosure required by CORA, to seek a protective order or other appropriate remedy to prevent disclosure of the information 2. Under Section II (A) - Scope of Work , please clarify what information you are looking for when you say “specifying dollar amounts for each ad insertion.”  Are you looking for the revenue for interconnect versus zone?  a. Connexion understands that we would be paid a percentage of advertising revenue. To better understand the potential total value and calculation of the revenue share, please provide one or more examples of how the revenue share would be calculated with the proposed revenue share percentage. A suggested example could be in the form of: estimated total # of ads per month * estimated avg revenue per ad * proposed revenue share percentage = estimated monthly revenue share paid to Connexion. 3. Under Section III (D) 2 – please clarify what you mean by professionals/technical persons assigned to this project – do you mean the sales team who will be selling inventory? The affiliate partnership team who will be managing the agreement?  The technical operations team who will coordinate with Mobi?  We do not use subconsultants or subcontractors for our ad sales, so need a better understanding of expectations around resumes since this could require a substantial lift on our end to coordinate across teams.     a. Yes, this refers to the sales team who will be selling the ad insertions. Please note that resumes do NOT need to be provided. 4. Under Section III (D) 3 – we have confidentiality clauses as part of each of our agreements and are prohibited from sharing negotiated business terms (i.e. revenue share).  How do you suggest we approach this? a. Fort Collins Connexion will comply with confidentiality clauses to the extent that they are in compliance with the State of Colorado laws governing municipalities (such as CORA, the Colorado Open Records Act). Under Section III (F) – is there flexibility here to use our standard Ad Sales Representation Agreement template instead?  I read through the example provided, and my concern is this agreement is a vendor agreement that doesn’t necessarily translate to ad sales and there would be a large amount of revisions necessary.  For example, we would need to include all necessary advertising definitions (i.e. broadcast months or how to define subscribers), requirements around providing sub counts/FCC political filings, technical requirements for IP integration, Service Level Agreements around ad serving, listing out networks of insertion/sys codes, and more.  Our template would be open to your review and for you to propose revisions but would give a more comprehensive starting place for these conversations.  a. Fort Collins Connexion is open to reviewing a standard Ad Sales Representation template, subject to redline and review by the City of Fort Collins’ legal team.
