AGREEMENT BETWEEN THE CITY OF FORT COLLINS
AND VANIR CONSTRUCTION MANAGEMENT, INC.
This Second Amendment (Amendment #02) is entered into by and between the CITY OF FORT
COLLINS (the “City”) and VANIR CONSTRUCTION MANAGEMENT, INC. (the “Professional”).
WHEREAS, the Professional and the City entered into an Agreement effective December 4, 2019
(the “Agreement”); and
WHEREAS, Professional and the City desire to amend the Agreement to reflect the change in
Vanir's Project Management team and overall compensation.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein
contained, the parties agree as follows:
1. Vanir’s current Project Director, Mike Zagorski, will be replaced with Vanir’s local Project
Director, Codi Newsom, who will be billed at an hourly rate of $175.00, effective October
26, 2020.
2. Andrew Amato, Project Manager, will continued to be billed at an hourly rate of $137.00.
3. Due to the extended project schedule, the approved contract amount for labor is being
increased by $133,000.00. With this increase, the total not to exceed contract amount is
$283,000.00 which includes $280,000.00 for labor and $3,000.00 for reimbursable
expenses.
4. If the revised contract amount is met prior to the completion of the project, the city has the
option to increase the total compensation by a not to exceed $25,000.00 per month, at its
sole discretion. The optional monthly extension is noncumulative and shall be considered
a maximum monthly fee to be authorized in writing if the city opts to utilize the increase in
fee.
5. All other terms and conditions remain unchanged.
Except as expressly amended by Amendment #01 executed April 8, 2020, and this Amendment
#02, all other terms and conditions of the Agreement shall remain unchanged and in full force and
effect. In the event of a conflict between the terms of the Agreement, previous Amendments and
this Amendment #02, this Amendment #02 shall prevail.
IN WITNESS WHEREOF, the parties have executed this Second Amendment the day and year
shown.
