HomeMy WebLinkAboutAMENDMENT 1 - CONTRACT - RFP - 9736 CONTRACTED FIXED ROUTE AND ON-CALL TRANSIT SERVICESOfficial Purchasing Document Last updated 3/2018 Page 1 of 2 AMENDMENT #01 AGREEMENT BETWEEN THE CITY OF FORT COLLINS AND WHC FTC, LLC DBA ZTRIP This First Amendment (Amendment #01) is entered into by and between the CITY OF FORT COLLINS (the “City”) and WHC FTC, LLC DBA ZTRIP (the “Service Provider”). WHEREAS, the Service Provider and the City entered into an Agreement under solicitation 9736 Contracted Fixed Route Transit Services commending June 15, 2023 (the “Agreement”); and WHEREAS, Service Provider and the City desire to amend the Agreement to incorporate a new provision for the issuance, use, and management of access FOBs provided by the City for Multi- Factor Authentication (MFA) NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein contained, the parties agree as follows: The Agreement is amended to incorporate the following new provision: “25. Access FOBs. The City will provide the Service Provider with access FOBs for Multi- Factor Authentication (MFA) for Service Provider’s authorized staff who choose not to use their mobile device for MFA. The Service Provider’s obligations for the issuance, use, and management of the access FOBs follows: a) Issuance and Cost: Service Provider shall bear the cost for the initial issuance of the access FOBs. The unit price for each FOB is $20. b) Loss or Replacement: In the event of loss or damage to an issued FOB, Service Provider shall be responsible for the replacement cost, priced at $20 per FOB. c) Notification: Service Provider must immediately notify the City, Information Technology in the event of a lost or compromised FOB by phone at 970-221-6791 or online at https://support.fcgov.com/support/catalog/items/259. d) Non-Sharing Policy: FOBs are strictly individualized and cannot be shared among users. Each user from Service Provider requiring access must be issued their own unique FOB. e) Protection: Users from Service Provider must treat their FOBs with the same level of confidentiality and protection as they would any other password or sensitive authentication method. f) Termination: The Service Provider acknowledges the City shall have the right to revoke access and demand return of any or all FOBs at any time with one (1) business day notice.” Except as expressly amended by this Amendment #01, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event of a conflict between the terms of the Agreement and this Amendment #01, this Amendment #01 shall prevail.
