HomeMy WebLinkAboutCONTRACT - RFP - 9735 PENSION CONSULTANT & CO-FIDUCIARY FOR PFAOfficial Purchasing Document Last updated 1/2023 Professional Services Agreement - PFA RFP 9735 Pension Consultant & Co-fiduciary for PFA Page 1 of 15 PROFESSIONAL SERVICES AGREEMENT THIS PROFESSIONAL SERVICES AGREEMENT (“Agreement”) made and entered into the day and year set forth below, by and between THE CITY OF FORT COLLINS, COLORADO, a Municipal Corporation, hereinafter referred to as the "City", as agent, on behalf of the POUDRE FIRE AUTHORITY, hereinafter referred to as the “PFA”, and INNOVEST PORTFOLIO SOLUTIONS, LLC, a(n) Colorado limited liability company, hereinafter referred to as the "Professional". WITNESSETH: In consideration of the mutual covenants and obligations herein expressed, it is agreed by and between the parties hereto as follows: 1. Scope of Services. The Professional agrees to provide services in accordance with the scope of services attached hereto as Exhibit A, consisting of four (4) page(s), and incorporated herein by this reference. Irrespective of references in Exhibit A to certain named third parties, the Professional shall be solely responsible for performance of all duties hereunder. 2. Contract Period. This Agreement shall commence May 1, 2023, and shall continue in full force and effect until April 30, 2024, unless sooner terminated as herein provided. In addition, at the option of the City/PFA, the Agreement may be extended for additional one year periods not to exceed four (4) additional one year periods. Renewals and pricing changes shall be negotiated by and agreed to by the parties only at the time of renewal. Written notice of renewal shall be provided to the Professional and mailed no later than thirty (30) days prior to contract end. 3. Early Termination by City. Notwithstanding the time periods contained herein, the City/PFA may terminate this Agreement at any time without cause by providing written notice of termination to the Professional. Such notice shall be delivered at least ten (10) calendar days prior to the termination date contained in said notice unless otherwise agreed in writing by the parties. In the event of early termination by the City/PFA, the Professional shall be paid for Services rendered to the date of termination, subject only to the satisfactory performance of the Professional's obligations under this Agreement. The Professional shall submit a final invoice within ten (10) days of the effective date of termination. Undisputed invoices shall be paid Net 30 days of the date of the invoice. Such payment shall be the Professional's sole right and remedy for such termination. 4. Notices. The Professional shall be responsible for the professional quality, technical accuracy, timely completion and the coordination of all Services rendered by the Professional, and shall, without additional compensation, promptly remedy and correct any errors, omissions, or other deficiencies. The Professional shall indemnify, save and hold harmless the City, PFA, their councilmembers, directors, officers, and employees in accordance with Colorado law, from all damages whatsoever claimed by third parties against the City/PFA; and for the City/PFA's costs and reasonable attorney’s fees to the extend caused by the Professional's negligent performance of any of the services furnished under this Agreement. The Professional shall maintain insurance, which by endorsement or otherwise shall state that it is primary and the City/PFA’s insurance is non- contributory, and further, shall include the City and PFA as additional insureds in accordance with Exhibit C, consisting of one (1) page, attached hereto and incorporated herein by this reference. 6. Compensation. In consideration of the Services to be performed pursuant to this Agreement, the City/PFA agrees to pay the Professional a fixed fee in accordance with Exhibit B, consisting of one (1) page, attached hereto and incorporated herein. Monthly partial payments based upon the Professional's billings and itemized statements are permissible. The amounts of all such partial payments shall be based upon the Professional's City/PFA-verified progress in completing the Services to be performed pursuant hereto and upon the City/PFA’s approval of the Professional’s actual reimbursable expenses. Final payment shall be made following acceptance of the Work by the City/PFA. Upon final payment, all designs, plans, reports, specifications, drawings, and other services rendered by the Professional shall become the sole property of the City/PFA, without further action required by any of the parties. Invoices shall be emailed to invoices@fcgov.com with a copy to the Project Manager. The cost of undisputed Services satisfactorily completed shall be paid to the Service Provider following the submittal of a correct itemized invoice by the Service Provider. The City is exempt from sales and use tax. The City’s Certificate of Exemption license number is 09804502. A copy of the license is available upon written request. The City pays invoices on Net 30 days from the date of the undisputed invoice. 7. Appropriation. To the extent this Agreement or any provision in it constitutes a multiple fiscal year debt or financial obligation of the City/PFA, it shall be subject to annual appropriation by City Council or PFA’s Board of Directors, as applicable, as required in Article V, Section 8(b) of the City Charter, City Code Section 8-186, and Article X, Section 20 of the Colorado DocuSign Envelope ID: 568B4F78-0B7A-4689-B6FE-E6703B5C0A2D Official Purchasing Document Last updated 1/2023 Professional Services Agreement - PFA RFP 9735 Pension Consultant & Co-fiduciary for PFA Page 3 of 15 Constitution. The City/PFA shall have no obligation to continue this Agreement in any fiscal year for which no such supporting appropriation has been made. 8. License. Upon execution of this Agreement, the Professional grants to the City/PFA an irrevocable license to use any and all sketches, drawings, specifications, designs, blueprints, data files, calculations, studies, analysis, renderings, models and other Work Order deliverables (the “Instruments of Service”), in any form whatsoever and in any medium expressed, for purposes of constructing, using, maintaining, altering and adding to the project, provided that the City/PFA substantially performs its obligations under this Agreement. The license granted hereunder permits the City/PFA and third parties reasonably authorized by the City/PFA to reproduce applicable portions of the Instruments of Service for use in performing services or construction for the project. In addition, the license granted hereunder shall permit the City/PFA and third parties reasonably authorized by the City/PFA to reproduce and utilize the Instruments of Service for similar projects, provided however, in such event the Professional shall not be held responsible or liable for the design to the extent the City/PFA deviates from the Instruments of Service. This license shall survive termination of this Agreement by default or otherwise. 9. City/PFA Representative. The City/PFA will designate, prior to commencement of work, its project representative who shall make, within the scope of his or her authority, all necessary and proper decisions with reference to the project. All requests for contract interpretations, change orders, and other clarification or instruction shall be directed to the City/PFA Representative. 10. Project Drawings. Upon request and before final payment, the Professional shall provide the City/PFA with reproducible drawings of the project containing accurate information on the project as constructed. Drawings shall be of archival quality, prepared on stable mylar base material using a non-fading process to provide for long storage and high quality reproduction. A "CD" disc (or such other media as to which the parties may agree) of the as-built drawings shall also be submitted to the owner in and AutoCAD version no older then the established City/PFA standard. The Professional acknowledges the City/PFA is a governmental entity subject to the Colorado Open Records Act, C.R.S. §§ 24-72-200.1, et seq. (“CORA”), and documents in the City/PFA’s possession may be considered public records subject to disclosure under CORA. 11. Monthly Report. Commencing thirty (30) days after the date of execution of this Agreement and every thirty (30) days thereafter, Professional is required to provide the City/PFA Representative with a written report of the status of the Services with respect to the Scope of Services, Work Schedule, and other material information. Failure to provide any required monthly report may, at the option of the City/PFA, suspend the processing of any partial payment request. 12. Independent Contractor. The Services to be performed by Professional are those of an independent contractor and not of an employee of the City of Fort Collins or Poudre Fire Authority. Subcontractor/Subconsultants. The Professional may not subcontract any of the Services set forth in the Exhibit A without the prior written consent of the City/PFA, which shall not be unreasonably withheld. If any of the Services are subcontracted hereunder (with the consent of the City/PFA), then the following provisions shall apply: (a) the subcontractor/subconsultant must be a reputable, qualified firm with an established record of successful performance in its respective trade performing identical or substantially similar work, (b) the subcontractor/subconsultant will be required to comply with all applicable terms of this Agreement, (c) the subcontract will not create any contractual relationship between any such subcontractor/subconsultant and the City/PFA, nor will it obligate the City/PFA to pay or see to the payment of any subcontractor/subconsultant, and (d) the Services of the subcontractor/subconsultant will be subject to inspection by the City/PFA to the same extent as the Services of the Professional. The Professional shall require all subcontractor/subconsultants performing Services hereunder to maintain insurance coverage that states that the subcontractor/consultant’s insurance is primary and non-contributory and, further, that includes the City and PFA as additional insureds under ththe subcontractor/consultant’s contract with the Professional of the type and with the limits specified within Exhibit “C”, consisting of one (1) page attached hereto and incorporated herein by this reference. The Professional shall maintain a copy of each subcontract’s certificate or endorsement evidencing the required insurance. Upon request, the Professional shall promptly provide the City and PFA with a copy of such certificate(s) or endorsement(s). 14. Personal Services. It is understood that the City and PFA enter into the Agreement based on the special abilities of the Professional and that this Agreement shall be considered as an agreement for personal services. Accordingly, the Professional shall neither assign any responsibilities nor delegate any duties arising under the Agreement without the prior written consent of the City/PFA. 15. Acceptance Not Waiver. The City/PFA's approval of drawings, designs, plans, specifications, reports, and incidental work or materials furnished hereunder shall not in any way relieve the Professional of responsibility for the quality or technical accuracy of the Services. The City/PFA's approval or acceptance of, or payment for, any of the Services shall not be construed to operate as a waiver of any rights or benefits provided to the City/PFA under this Agreement. 16. Default. Each and every term and condition hereof shall be deemed to be a material element of this Agreement. In the event a party should fail or refuse to perform according to the terms of this Agreement, such party may be declared in default. 17. Remedies. In the event a party has been declared in default, such defaulting party shall be allowed a period of ten (10) business days within which to cure said default. Entire Agreement; Binding Effect; Order of Precedence; Authority to Execute. This Agreement, along with all Exhibits and other documents incorporated herein, shall constitute the entire agreement of the parties regarding the subject matter and shall be binding upon said parties, their councilmembers, directors, officers, employees, agents and permitted assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. Covenants or representations not contained in this Agreement shall not be binding on the parties. In the event of a conflict between terms of this Agreement and any Exhibit or Attachment, the terms of this Agreement shall prevail. Each person executing this Agreement affirms that they have the necessary authority to sign on behalf of their respective party and to bind such party to the terms of this Agreement. 19. Law, Jurisdiction, and Venue; Severability. The laws of the State of Colorado shall govern the construction, interpretation, execution, and enforcement of this Agreement. The parties further agree that jurisdiction and venue shall lie exclusively in the Larimer County District Court. If the City/PFA subsequently agrees in writing that the matter may be heard in federal court, jurisdiction and venue will lie exclusively in the United States District Court for the District of Colorado. In the event any provision of this Agreement shall be held invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision of this Agreement. 20. Utilization by Other Agencies. The City/PFA reserves the right to allow other state and local governmental agencies, political subdivisions, and/or school districts to utilize the resulting award under all terms and conditions specified and upon agreement by all parties. Usage by any other entity shall not have a negative impact on the City/PFA in the current term or in any future terms. Nothing herein shall be deemed to authorize or empower the Agency to act as an agent for the City/PFA in connection with the exercise of any rights hereunder, and neither party shall have any right or authority to assume or create any obligation or responsibility on behalf of the other. The other Agency shall be solely responsible for any debts, liabilities, damages, claims or expenses incurred in connection with any agreement established between them and the Professional. The City/PFA’s concurrence hereunder is subject to the Professional’s commitment that this authorization shall not have a negative impact on the work to be completed for the City/PFA. 21. Attorney’s Fees, Costs, and Expenses. In any civil action or proceeding arising from or relating to this Agreement or any Services, the prevailing party(ies) shall be awarded its/their reasonable attorneys’ fees, costs, and expenses, including reasonable attorneys’ fees, costs, and expenses incurred in any appellate action and in collecting or executing upon any judgment, order, or award. Prohibition Against Unlawful Discrimination. The City/PFA, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (78 Stat. 252, 42 US.C. §§ 2000d to 2000d-4) and the Regulations, hereby notifies all bidders that it will affirmatively ensure that any contract entered into pursuant to this advertisement, disadvantaged business enterprises will be afforded full and fair opportunity to submit bids in response to this invitation and will not be discriminated against on the grounds of race, color, or national origin in consideration for an award. The City/PFA strictly prohibits unlawful discrimination based on an individual’s gender (regardless of gender identity or gender expression), race, color, religion, creed, national origin, ancestry, age 40 years or older, marital status, disability, sexual orientation, genetic information, or other characteristics protected by law. For the purpose of this policy “sexual orientation” means a person’s actual or perceived orientation toward heterosexuality, homosexuality, and bisexuality. The City/PFA also strictly prohibits unlawful harassment in the workplace, including sexual harassment. Further, the City/PFA strictly prohibits unlawful retaliation against a person who engages in protected activity. Protected activity includes an employee complaining that he or she has been discriminated against in violation of the above policy or participating in an employment discrimination proceeding. The City/PFA requires its vendors to comply with the City/PFA’s policy for equal employment opportunity and to prohibit unlawful discrimination, harassment and retaliation. This requirement applies to all third-party vendors and subcontractors/subconsultants at every tier. 23. Governmental Immunity Act. No term or condition of this Agreement shall be construed or interpreted as a waiver, express or implied, of any of the notices, requirements, immunities, rights, benefits, protections, limitations of liability, and other provisions of the Colorado Governmental Immunity Act, C.R.S. § 24-10-101 et seq. and under any other applicable law. 24. Colorado Open Records Act. The City/PFA is subject to Sec. 24-72-201 et seq. of the Colorado Revised Statute (CORA). This Agreement is subject to public disclosure in whole pursuant to CORA. 25. Force Majeure. No party hereto shall be considered in default in the performance of an obligation hereunder to the extent that performance of such obligation is delayed, hindered, or prevented by force majeure. Force majeure shall be any cause beyond the control of the defaulting party that could not reasonably have been foreseen and guarded against. Force majeure includes, but is not limited to, acts of God, fires, riots, pandemics, incendiarism, interference by civil or military authorities, compliance with regulations or orders of military authorities, and acts of war (declared or undeclared), provided such cause could not have been reasonably foreseen and guarded against by the party whose performance is delayed, hindered or prevented. Force majeure shall not include increases in labor, commodity, utility, material, supply, fuel, or energy costs, or compliance with regulations or orders of civil authorities. Standard of Care. In providing Services under this Agreement and any Work Order, the Professional shall perform in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances at the same time in the front range area extending from the Denver metropolitan area to Fort Collins. The Professional makes no other representations or warranties, whether express or implied, with respect to the Services rendered pursuant to this Agreement. The Professional shall comply with all applicable codes, regulations, laws, rules, ordinances, and such other requirements in effect as of the date any Services are performed pursuant to this Agreement. 27. Special Provisions. Special provisions or conditions relating to the services to be performed pursuant to this Agreement are set forth in Exhibit D - Confidentiality, consisting of one (1) page, attached hereto and incorporated herein by this reference. BACKGROUND & OBJECTIVE / OVERVIEW A. Objective The City of Fort Collins, on behalf of the Poudre Fire Authority (PFA), is engaging the Professional to provide expert pension advice for investment choices, including acting as a Co-fiduciary of the plan. B. Background The Poudre Fire Authority Pension Board of Trustees (the “Board”) strive to provide plan participants with low-cost, high-quality investment options, and plan administration. Therefore, the City of Fort Collins, on behalf of the Board, has issued this Request for Proposals for a highly qualified, independent Professional to provide expert Pension advice for investment choices, including acting as a Co-fiduciary of the plan. Nationwide is the current administrator and holds the investment assets. This relationship will continue, and PFA intends to continue to utilize Nationwide during the term of the awarded contract. II. SCOPE OF Services A. Scope of Work The Professional will provide the following services:  Plan Benchmarking  Analyze and benchmark recordkeeping and investment fees to the marketplace. Total plan costs are determined and compared to similar sized plans. Potential areas of cost savings or opportunities for enhanced services will be identified.  Scrutinize structure of the investment menu for overlap of style, gaps in style, and the need for Lifestyle/Target Date products. Evaluate investment products, comparing them to an appropriate benchmark and to a universe of similarly managed investments.  Review vendor contracts including cost reconciliation, terms, and flexibility surrounding notice requirements, investment products and service standards.  Review vendor service levels including responsiveness to plan sponsor and participants, accuracy of transactions and education levels.  Investment Product Searches  Professional will review investments on an ongoing basis and perform investment searches that meet the criteria as needed.  Our extensive qualitative analysis includes an examination of each manager's organization, the people responsible for managing the product, philosophy and DocuSign Envelope ID: 568B4F78-0B7A-4689-B6FE-E6703B5C0A2D Official Purchasing Document Last updated 1/2023 Professional Services Agreement - PFA RFP 9735 Pension Consultant & Co-fiduciary for PFA Page 10 of 15 process, the consistency of their investing style and the impact of the asset base being managed in that style.  Professional will help evaluate ESG investment for inclusion in the plan, if appropriate.  Monitoring of Investment Products  Monitor the plan's investment products on an ongoing basis.  Quarterly Meetings  Meet with the Board quarterly and provide customized, quarterly performance reports.  Monitoring Plan Fees and Expenses  Provide an annual plan fee review to help you better understand fees and determine the fairness of the fees. As vendor searches are completed for other clients, fees are reviewed to see if the fees remain consistent with the market.  Provide fees for both recordkeeping services and investments against appropriate benchmarks and peers.  Vendor Management Services  Coordinate issues between recordkeeping, money management, accountants, auditors, and any other pertinent vendors.  Assist with fund changes and vendor service issues.  Plan Governance  Develop or update the Investment Policy Statement. Review and modify the Investment Policy Statement at least annually, as necessary.  Assist in adhering to effective plan governance, complying with the various regulations and responsibilities that dictate the plan’s ongoing operation as well as fiduciary behavior.  Assist with drafting a Board charter, if desired.  Vendor Search and Conversion (RFP)  The aspects of a vendor are to analyze and provide expert guidance including customer service, recordkeeping, administration, participant communication, investment options, plan compliance, and service costs.  As the conversion of a retirement plan to a new vendor is just as crucial as the selection of that vendor, Professional will help manage the conversion process.  Request for Information (RFI)  Professional will conduct a Request for Information (RFI) for the plan every three years to confirm that vendor pricing remains competitive in the marketplace.
