HomeMy WebLinkAboutCORRESPONDENCE - RFP - 8037 PFA EMS SERVICE PROVIDER - DISPATCH AGREEMENT Amendment #4 – Agreement for Use of Opticom System Page 1 of 2 Amendment #04 to the Agreement For Use of Opticom System between Poudre Fire Authority and Poudre Valley Health Care, Inc. d/b/a Poudre Valley Hospital This Fourth Amendment is entered into by and between Poudre Fire Authority (“PFA”) and Poudre Valley Health Care, Inc. d/b/a Poudre Valley Hospital (the “Service Provider”). WHEREAS, PFA and Service Provider mutually entered into a Services Agreement for Emergency Medical Services (the “EMS Agreement”) on June 1, 2015; and WHEREAS, PFA and the Service Provider also mutually entered into an Agreement for Use of Opticom System on May 5, 2015 (the “Opticom Agreement”), which is Exhibit C to the EMS Agreement; and WHEREAS, on May 29, 2018 the parties executed the First Amendment to the Opticom Agreement to update Schedule 1 to the Opticom Agreement and renew the Opticom Agreement for one (1) additional year for the period June 1, 2018 to May 31, 2019; and WHEREAS, the parties renewed the Opticom Agreement on May 7, 2019 to extend the Opticom Agreement for one (1) additional year for the period June 1, 2019 to May 31, 2020; and WHEREAS, the parties executed a Second Amendment to the Opticom Agreement on May 29, 2020 to extend the term for one (1) additional year for the period June 1, 2020 to May 31, 2021; and WHEREAS, the parties executed the Third Amendment to the Opticom Agreement on April 20, 2021 to remove Schedule 1 and to extend the term for one (1) additional year for the period June 1, 2021 to May 31, 2022; and WHEREAS, the parties wish to extend the Opticom Agreement for three (3) additional years and make other minor updates. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein contained, the parties agree as follows: 1. Term of the Agreement. Pursuant to Section 1 of the Opticom Agreement, the term of the Opticom Agreement is hereby extended for three (3) additional years, commencing June 1, 2022 and extending to May 31, 2025. 2. Compensation. Section 3 is deleted in its entirety and replaced with the following: “The Service Provider hereby agrees to pay, on an annual basis and upon invoice from PFA, one- half the cost of maintaining the entire System. Such maintenance cost shall be subject to change on an annual basis by mutual written agreement of the parties. For 2022, the Service Provider’s share of the maintenance cost is $15,648.00. The Service Provider’s portion of the maintenance is based on the total annual maintenance cost per intersection of $192.00 and the total number of intersections which is 163.” “The Service Provider shall also pay one-half the cost of installation for new intersections added to the System as may be mutually agreed from time to time. No Other Amendments. The parties agree that all other terms and conditions of the Opticom Agreement, as previously amended by the First, Second, and Third Amendments, shall remain unchanged and in full force. In the event of a conflict between the Opticom Agreement as amended and the Fourth Amendment, the Fourth Amendment shall take precedence.
