This Second Amendment (Amendment #2) is entered into by and between the CITY OF FORT COLLINS (the “City”) and PARKHELP TECHNOLOGIES INC. (the “Service Provider). WHEREAS, the Service Provider and the City entered into Agreement to provide Parking Structure Sensors at Civic Center Parking Structure effective July 26, 2018 (the “Agreement”); and WHEREAS, the parties wish to renew the Agreement for the final period July 26, 2022 through July 25, 2023. and WHEREAS, Service Provider and the City desire to amend the Agreement to replace Schedule 2 - Charges and Payments to incorporate Service Provider’s latest pricing increase of 3.2%. NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein contained, the parties agree as follows: 1.Schedule 2 - Charges and Payments, is hereby removed and replaced in its’ entirety with the Section 2 – Charges and Payments attached hereto. Except as expressly amended by this Amendment #2, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event of a conflict between the terms of the Agreement and this Amendment #2, this Amendment #2 shall prevail.
