CORRESPONDENCE - RFP - 8709 BROADBAND PREMISE INSTALLATION
Fifth Amendment to the Agreement between the City of Fort Collins and On Trac, Incorporated. This Fifth Amendment (“Fifth Amendment”) is entered into by and between the City of Fort Collins, Colorado (the “CLIENT”) and On Trac, Inc. (“OTI”). WHEREAS, the Parties entered into the Broadband Services Installation & Maintenance Agreement for installation and maintenance of broadband services for the City’s Fiber -to-the- Premises (FTTP) Broadband Network dated May 5, 2019 (the “Agreement”); and WHEREAS, the parties executed the first amendment on March 10, 2020 to add two (2) new tasks for additional labor/time required when frozen conditions are encountered (the “First Amendment”); and WHEREAS, the parties executed the second amendment on March 31, 2020 to add one (1) new task for additional labor/time required when performing construction under 500 ft. are encountered (the “Second Amendment”); and WHEREAS, the parties executed the third amendment on March 22, 2021 to revise Appendix B, Exhibit 2 (Outside Plant), Section A (Underground Drops) to further define approved methodologies for Driveway Boring (the “Third Amendment”); and WHEREAS, the parties executed the fourth amendment on May 10, 2021 to add a new Appendix C to address the Contractor’s obligations of confidentiality (the “Fourth Amendment”). WHEREAS, the parties now wish to renew the Agreement, revise pricing and make other changes to the Agreement. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows: 1. Paragraph 1, Change On Trac’s principal office address to: 800 S Gay Street, Suite 2350, Knoxville, TN 37929 2. Services and Compensation. Add the following new paragraph. The pricing stated in Appendix A and B shall be effective December 29, 2022. The pricing shall be subject to adjustment effective December 29, 2023 by mutual agreement of the parties. The Contractor shall notify the CLIENT in writing of any proposed changes to pricing at least forty-five (45) days prior to December 29, 2023. The basis for any changes in pricing shall be the Denver-Aurora-Lakewood Consumer Price Index (CPI) (https://cdola.colorado.gov/inflation-denver-aurora- lakewood-consumer-price-index not to exceed five (5%). The term of the Agreement shall be extended for the period May 5, 2022 through May 4, 2024, unless earlier terminated as provided in the Agreement. 4. Illegal Alien. Delete this provision in its entirety as Section 8-17.5-101 C.R.S. has been repealed effective July 1, 2022. 5. Notices.
