AMENDMENT #1
AGREEMENT BETWEEN THE CITY OF FORT COLLINS
AND PARKHELP TECHONOLOGIES INC.
This First Amendment (Amendment #1) is entered into by and between the CITY OF FORT
COLLINS (the “City”) and PARKHELP TECHNOLOGIES INC. (the “Service Provider).
WHEREAS, the Service Provider and the City entered into Agreement to provide Parking
Structure Sensors at Civic Center Parking Structure effective July 26, 2018 (the “Agreement”);
and
WHEREAS, the parties wish to renew the Agreement for the period July 26, 2021 through July
25, 2022. and
WHEREAS, Service Provider and the City desire to amend the Agreement to replace Schedule 2
- Charges and Payments to incorporate Service Provider’s latest models of comparable products.
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual promises herein
contained, the parties agree as follows:
1. Parties wish to reaffirm Schedule 1 Part F: Term – End Date of contract is July 25,
2022. At the City’s option and mutual agreement of the parties the agreement can be
extended for one additional year.
2. Schedule 2 - Charges and Payments, is hereby removed and replaced in its’ entirety
with the Section 2 – Charges and Payments attached hereto.
3. Part H: Escalation and Response Contacts, in regards to Customer Contacts are
hereby replaced with the Part H: Escalation and Response Contacts attached hereto.
Except as expressly amended by this Amendment #1, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect. In the event of a conflict between
the terms of the Agreement and this Amendment #1, this Amendment #1 shall prevail.
IN WITNESS WHEREOF, the parties have executed this first Amendment the day and year
shown.
