Re: Landscaping of 4700 Boardwalk, Fort Collins, Colorado
A landscape plan ("Landscape Plan") was submitted in connection with the
development and platting of the following subdivision:
Harmony Market P.U.D. First Filing, a tract of
land located in the Northeast quarter of Section
1, Township 6 North, Range 69 West of the 6th
P.M., City of Fort Collins, County of Larimer,
State of Colorado
PACE Membership Warehouse, Inc. ("PACE") is constructing a warehouse facility at
the referenced address which is located on a portion of said Harmony Market P.U.D. First
Filing, and has entered into an agreement for installation of landscaping, including a
sprinkler system, in accordance with the Landscape Plan.
The landscaping described in the Landscape Plan shall not be completed prior to the
date PACE anticipates opening the warehouse facility located at the referenced address.
The City of Fort Collins has agreed to permit PACE to complete the landscaping required
by the Landscape Plan subsequent to the opening of said warehouse, but prior to May 1,
1990, and has further agreed that the completion of the landscaping shall not prevent the
issuance of a temporary or final certificate of occupancy, except that no final certificate
of occupancy can be issued until all other requirements of The City of Fort Collins have
been completed. In consideration for deferral by The City of Fort Collins of the obligation
of PACE to complete the landscaping described in the Landscape Plan and its agreement
not to require completion of said landscaping as a condition of issuance of a temporary or
final certificate of occupancy, PACE has, contemporaneously with the execution of this
letter agreement, deposited a letter of credit with The City of Fort Collins in the amount
of $180,733.75, in form and substance like the copy of that letter of credit attached hereto
as Exhibit A ("Letter of Credit").
In the event that PACE fails to complete the landscaping in accordance with the
Landscape Plan on or before May 1, 1990, The City of Fort Collins shall be entitled to
draw upon the Letter of Credit. In the event PACE completes the landscaping in
accordance with the Landscape Plan on or before May 1, 1990, The City of Fort Collins
shall return the Letter of Credit to PACE.
