Prospect Road, Fot-E Collins; CO 80525, h�reinafter the "G�•�n.tee." ]. Grantor's Property and Grante�'s 5ystem. Grantor is the owner af the praperty legally described on Exhibit "A" attached hereto and by this reference incorporated herein (the "Grantor's Property"}. Grantee �s the aperator af a canal or dEtch known as The New Mercer Ditc1-►IMa�il Creek (hereinafter callecE the "�7itch"). The Ditcl� tra��spor-ts wa.ter and a portio�� of fhe Ditch exists and travels over Grantor's Property. 2. Grant of Ease�nent. For and in consideratio�l of the �nutual promis�s and covenants hereir� contained and orher good and valuable consideration, the receipt and adequacy of whicl� is hereby confessed and acknow-led�ed, #he Grantor has grant�d and conveyed and by these pr-esen#s dQes grant and convey unto the Grant�e, its successors and assigns, a per�nanent easement and right-of-way {tlie "Easement") for the Ditch, incluclin� sufficie�lt lands an each side of the Ditch far its maintenan�e, repair, operation, imprav��ne�Yt, replacement reconstructioE�, enlargement, access (including, withaut liinitation, vehicular a�1cE pedestrian), and ta aliow Grantee to do whatever is reasonably necessary for Grantee to fulIy utilize and enjoy the Easement, limited to the areas depicted on Exhibit "B" attached hereto and by this reference incorporated ��erein (the "Easemen# Area"). The Easement Area sha11 include the cEitch cha��nel, its bed, bank, slope, roadway, head gates, diversian boxes, flumes, spillways, and eros�on and structural support systems, v��hether presently existing or constructed in the future. 3. In�ress and E�. In addition to tl�e foregoing grant of Ease�nent by the Grantor to the Grantee, the Grantor further grants and con�eys to the Grantee tlte ri�ht of ingress and egress to and firorn the Easeme��tArea by means of existing roads {whether public ar private) ].ocated on the Grantor's Property, if any, or in the absence of such roads, by such other routes as the Graf�tee shall d�te��nine ta be reasoE�ably t3ecessary taking into consideration the minimization of damage ia the Grantor's Property. 4. No Per�nanent Structures. Exc�pt as otherwise provided herein, the Grantor, its successors and assigns, s1iall not er��t or place any permanent building, structure �r abstructive impro�ement on the EaseEnent, and permanent structures shall be set 6ack five fee# from the access easement. These Restrictians are nat intended to prevent Grantor from utilizing its correlative rights in the Easement or to prevent the instatlation of improv�ments which to not interfeee with Grantee's use of the �asement, in the event of the placennent of such ob�tacles on the Easem�nt contrary ta the provisions of this Agreeinent, the Grantee shall have the right ta require Grantor to remave such obstacles ii�om the Easement and, in the event the Grantor fails to do so upon request, the Grantee may remove such obstacles without any liability for repair or replacement thereaf, and Grantor shall reimburse Grantee for s�ach remaval. No such Plantin�s installeci by the Grantor shall unreasonably interfere with access of the Grantee to the Ease�net�t for maintenance and repair. Tlle Grantee shall have ��a ]iability for dama�e or destruciion of such Plantings in connection with its maintenance and repair of the Easement. Warrant,y af Title and Insuranc�. The Grantor does cov�nant and agree to and with ihe Grantee that the Grantor is lawfully seized of the Easement and Yhe Grantor's Property, at�d that the Grantor has a good and lawfu) rigllt to conv�y the Easement ta the Grantee and that the Grantor warrat�ts the title thereto, subject to existing ease��nents and rights-o#=way in place or of rec:ord. Grantor s��all arrange anc! pay for title insurance to b� provided for the Grantee for coverage of the �asement. b. Miscellaneous. It is mutually agreed between the parties hereto that: 6.1 Grantor's Use. Except to the extent that such rights may be inconsistent with or i�lterfere with the ri�hts and privileges herein granted to the Grantee, the Grantor shal[ retain the ribi�t to use and �njoy the Easement. 6.2 Construction. Whenever used herein, the singular shal] include #he plural and the plural the singular and the use of aray gender shall apply to all �enders. This Agreement shall be �overned by and its terins construed under the law of the State of Colorado. 6.3 Headin�s. Paragraph headings used herein are for the canvenience of refere�ice and shall in na way de�ne, limit or prescribe the scope ar intent of any provisian under this Agreeinent. 6.4 Severability. The pz-ovisions af this A�reement shall be deemed ind�pendent and severable, and the i��validity or partial invalidity or unenforceability of any one provisian or portion thereof shall not affect the validity or enforceability of any other pro�ision hereof. 6.5 Attorney's Fees. In any action brought to enforce tlle pa-ovisions hereof, whether le�al ar equitable, the prevailir�g paE�ty shal] recover its reasanable attorney`s fe�s as fixed by the Court_ Venue far all actions shall be in Larimer County, Colorado, District Court. &.b Bindit��greement.
