HomeMy WebLinkAboutWATERGLEN SOLAR ARRAY - PDP190010 - SUBMITTAL DOCUMENTS - ROUND 1 - LETTER OF INTENTLetter of Intent This letter of intent is made on July 30, 2019, and represents the preliminary understanding by and between Trailhead Community Association, hereinafter ("Grantor"), and Sandbox Solar of 430 N College Ave, Suite# 435, Fort Collins, Colorado, 80524 hereinafter ("Grantee"). A. The Grantor is the owner of certain real property commonly known as Parcel #8704324003, A Parcel of land located in Tract C, Trail Head, being a part of the South One-Half of section 4, Township 7 North, Range 68 West of the Sixth Principal Meridian, City of Fort Collins, County of Larimer, State of Colorado (the “Property”). B. The Grantee desires to acquire temporary construction rights in the Property. Temporary construction will be defined as 6 months, beginning on the first day a permit to construct is issued by the City of Fort Collins. Time being of the essence. The Grantee will need 6 months to conduct construction, primarily widen and improve the existing access road to meet Poudre Fire Authority and City of Fort Collins Emergency Access Requirements (Fire Code 2015, Resolution 2017- 01, Appendix D, Section D102). All other construction will be located on Waterglen PUD property. C. The Grantee desires to acquire an access easement to the existing access road for the purpose of occasional operation and maintenance. Occasional is defined as once a quarter or once every four months for 30 years. A Sandbox Solar work truck with 2 laborers will drive on the access road to the hammerhead turnoff on the solar array site. D. The Grantor will sign an Emergency Access Easement with City of Fort Collins. The City’s template agreement is attached. E. This Letter of Intent does not create a binding agreement between the Grantor and the Grantee and will not be enforceable. Only the future easement agreement, duly executed by the Grantor and the Grantee, will be enforceable and binding on the parties. The terms and conditions of any future easement agreement will supersede any terms and conditions contained in this Letter of Intent. Neither party is obligated to enter into any future easement agreement and either party may refuse to do so in its sole discretion. The parties have executed this Letter of Intent on the above-mentioned date.
