ERO performed this Phase I ESA according to the “Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process” (ASTM International E 1527-13 2013) (ASTM 2013). This Phase I ESA consists of a review of historical information and federal, state, and local records; interviews with persons knowledgeable of the property; a site reconnaissance; and preparation of this report. The property consists of an 850-acre parcel of land. Historically, the property has been residential and agricultural and the surrounding area has been residential, agricultural, and used for a large-scale brewery. Federal, state, and local records indicate no sites or incidents on or near the property are associated with recognized environmental conditions (RECs). During the site reconnaissance, ERO inspected the property by walking the perimeter and traversing the interior. The majority of the property consists of farmland or fallow land, with 21 buildings, dirt roads, numerous irrigation wells, and at least two domestic wells throughout. Ten fuel ASTs, three which are in use, numerous plastic farm tanks, drums and containers , and several areas of solid waste disposal were observed in farm operations areas of the property. De minimis areas of soil staining around some of these features were observed. Pools of motor oil and oil-stained concrete were observed inside a storage/garage building on Parcel 5. ERO performed this Phase I ESA in conformance with the scope and limitations of ASTM Practice E 1527. Any exceptions to, or deletions from, this practice are described in the Introduction section of this report. This assessment has revealed no evidence of RECs in connection with the property except for the following: • Historical silage pits and depressions with unknown fill on several parcels; • The unknown disposition of building debris at the historical farmyards; • The aggregate volume of hazardous substances and petroleum products as well as unknown products stored across the property, both inside and outside of structures, in tanks, containers, and drums and in need of proper management and/or disposal; • Above ground storage tanks with no secondary containment and stored on the ground surface; • Historical rail use, disturbed ground, and likely beet storage in northeast corner; and • Motor oil spills in the storage/garage building on Parcel 5. The lack of owner interview and User interview regarding the property are both identified as significant data gaps associated with this Phase I ESA. In addition, although not considered a REC associated with the property, the historical use of several locations across the property have the potential to have adversely impacted groundwater quality from operations prior to regulations. In accordance with the ASTM standard, this Phase I ESA is valid if completed less than 180 days prior to property acquisition or intended transaction. 1 ERO Resources Corporation Phase I Environmental Site Assessment Anheuser-Busch Foundation Property Mountain Vista Drive and Giddings Road Fort Collins, Colorado September 21, 2017 1.0 Introduction Chase Merritt retained ERO Resources Corporation (ERO) to conduct a Phase I Environmental Site Assessment (Phase I ESA) for the Anheuser- Busch Foundation property located at the intersection of Mountain Vista Drive and Giddings Road in Fort Collins, Colorado (the property). The area surrounding the property is shown on Figure 1. This report presents the findings, opinions, and conclusions of this Phase I ESA. This Phase I ESA was performed to satisfy the Work Scope and contract between Chase Merritt and ERO dated August 7, 2017 (Appendix D). The conclusions in this report are based on limited observations and investigations described herein at the time this Phase I ESA was conducted; future events may alter these findings. 1.1 Location and Legal Description The property is in the NE ¼ and SE ¼ of Section 32 and the NW ¼ and SW ¼ of Section 33, Township 8 North, Range 68 West; and the NW ¼ and NE ¼ of Section 4, Township 7 North; Range 68 West of the 6th Principal Meridian in Larimer County, Colorado. ERO was not provided with a legal description, however the parcels included within the property are described by their corresponding county parcel numbers below. According to the Larimer County Assessor’s Office, the property consists of 12 parcels (Table 1). According to the City of Fort Collins, the property is zoned Low-Density Mixed-Use Neighborhood District (southwest portion of Section 32); Employment District (remainder of Section 32, south portion of Section 33, and all of Section 4); and Industrial District (north portion of Section 33) (City of Fort Collins 2017). The property is bounded by an irrigation canal and agricultural land on the west, a railroad and undeveloped land along I-25 on the east, Mountain Vista Drive and Richards Lake Road on the north, and Mountain Vista Drive, the Larimer and Weld Canal, and undeveloped land on the south. Giddings Road divides the north portion of the property and a railroad divides the south portion. An agricultural research facility operated by Anheuser-Busch is adjacent to the northeast corner of the property and an electrical substation is adjacent to the northeast portion. The Anheuser-Bush brewery and I-25 are adjacent to the east, a residential development is adjacent to the west, a residential development and undeveloped agricultural fields are adjacent to the south, and agricultural land and a residence/farmyard are adjacent to the north of the property. 1.3 Purpose ERO conducted this Phase I ESA to identify recognized environmental conditions (RECs) associated with the property. The term REC means the presence or likely presence of any hazardous substances or petroleum products in, on, or at a property due to a release to the environment, under conditions indicative of a release to the environment, or under conditions that pose a material threat of a future release to the environment1. The term includes hazardous substances or petroleum products even under conditions in compliance with laws. Three additional conditions indicative of releases of hazardous substances or petroleum products on a property may be identified. These consist of the following: Controlled recognized environmental condition (CREC) – when a past release of hazardous substances or petroleum products has occurred and has been addressed to the satisfaction of the applicable regulatory authority, with hazardous substances or petroleum products allowed to remain in place subject to the implementation of required controls (for example, property use restrictions, activity and use limitations, institutional controls, or engineering controls). This designation does not imply any evaluation or confirmation of the adequacy, implementation, or effectiveness of the controls has been conducted by ERO. 1 ASTM 2013. De minimis conditions – those conditions that generally do not present a threat to human health or the environment and that generally would not be the subject of an enforcement action if brought to the attention of appropriate governmental agencies. Conditions determined to be de minimis are not RECs. While no Phase I ESA can wholly eliminate uncertainty regarding the potential for RECs in connection with a property, the environmental conditions of the property have been investigated in accordance with ASTM Standard E1527-13, developed to define commercial and customary practices for Phase I ESAs. The Phase I ESA process is not an exhaustive assessment of a property, but is intended to reduce but not eliminate uncertainty regarding the potential for RECs in connection with the property, recognizing the limits of time and cost. In addition, this Phase I ESA was performed to permit the user to satisfy one of the requirements to qualify for the innocent landowner, contiguous property owner, or bona fide prospective purchaser limitations on Comprehensive Environmental Response, Compensation and Liability Act (CERCLA) liability: that is, the practice that constitutes “all appropriate inquiry into the previous ownership and uses of the property consistent with good commercial or customary practice” as defined in 42 U.S.C. Section 9601(35)(B). 1.5 Scope of Work This Phase I ESA was conducted in accordance with ASTM E1527-13, “Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process.” Deviations from this practice, if any, are listed in Section 1.7. ERO’s Work Scope is included in Appendix D. This Phase I ESA generally consists of four components: • A review of reasonably ascertainable historical and regulatory database records to help identify RECs in connection with the property. • A site reconnaissance to visually and physically observe the property, the adjoining properties, and the surrounding area. • Interviews with the user of the Phase I ESA, the property owner representative, property tenant, and local government officials to help identify RECs associated with the property. • A report and evaluation of the information collected as part of this Phase I ESA that presents ERO’s findings, opinions, and conclusions. 1.6 Limitations, Exceptions, and Assumptions This Phase I ESA was performed in a professional manner using the degree of skill and care exercised for similar projects under similar conditions by reputable and competent environmental professionals. A lack of evidence of the presence of hazardous substances or petroleum products during this Phase I ESA does not guarantee the absence of such materials; it merely indicates that none were identified within the contracted scope of this Phase I ESA. Unforeseen conditions may significantly affect the ability to make conclusions based solely on the level of effort mutually agreed upon to conduct this Phase I ESA, Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 6 ERO Resources Corporation which may ultimately affect the level of risk. ERO shall not be held responsible for any conditions or consequences arising from relevant facts that were concealed, withheld, or not fully disclosed. The opinions and conclusions in this report are based on commonly known, reasonably ascertainable, publicly available information and site reconnaissance observations described herein at the time this Phase I ESA was conducted. Future events or changes in publicly available information may alter the findings, opinions, and conclusions of this report. No other warranty, expressed or implied, is made as to the professional opinions included in this report. The following issues are specifically excluded from this Phase I ESA—wetlands, migratory birds, asbestos-containing materials, radon, lead-based paint, lead in drinking water, mold, and ownership of subsurface mineral rights or leases. Aside from those stated in the Work Scope in Appendix D and those listed above, no significant assumptions apply to this Phase I ESA. 1.7 Deviations This Phase I ESA was conducted with no known deviations from the ASTM Standard Practice for Environmental Site Assessments (ASTM 2013). 1.8 Special Terms and Conditions No special terms or conditions apply to this Phase I ESA. 1.9 User Reliance This report is for the use and benefit of Chase Merritt and is not to be used by others without the prior written consent of ERO. No other party shall rely on the information contained herein without the prior written consent of Chase Merritt or ERO. 2.0 User Provided Information Chase Merritt, the user of this Phase I ESA, was provided a User Questionnaire regarding its knowledge of the property. ERO had not received the Questionnaire at the time this report was completed. 3.0 Records Review 3.1 Physical Setting The property’s elevation ranges from 4,980 to 5,040 feet above sea level. Surface geology in the area is characterized by windblown deposits of sand and silt underlain by the Cretaceous-age Pierre Shale (Colton 1978). According to the U.S. Geological Survey (USGS), depth to the uppermost groundwater beneath the property and vicinity is general 10 to 20 feet below ground surface (Hillier and Schneider 1979). According to topographic information from the USGS 7.5-minute quadrangle map, surface water on the property flows to the southeast (USGS 2016). Based on the topography and field observations, the expected flow direction of the uppermost groundwater is to the southeast. Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 7 ERO Resources Corporation 3.2 Current and Future Use of the Property The property is currently a working farm, with fields of corn, sugar beets, alfalfa, and barley. Twenty- one structures are on the property, including two vacant residences, two occupied residences, barns, sheds, a stable, and a former weather station. According to Chase Merritt, the property is proposed for mixed use development. 3.3 Structures, Roads, or Other Improvements on the Property Twenty-one structures on the property are described in Table 2, identified by the ERO Parcel ID listed in Table 1. Dirt roads cross the property for access to the structures, center-pivot irrigation systems, and fields. A concrete storm drain channel crosses Parcel 12 from Mountain Vista Drive to the Larimer and Weld Canal and a concrete overflow diversion structure is on the canal in the south-central portion of Parcel 12. The fields are irrigated from numerous wells throughout the property. Natural gas to the two occupied residences is supplied by exterior propane tanks. Electricity is supplied by Fort Collins Utilities. 3.4 Historical Use Information for the Property and Adjoining Properties ERO used the following standard historical sources to evaluate current and past uses of the property and adjoining properties: • Aerial photographs from 1937 to 2016 • Historical topographic maps from 1906 to 2016 Other standard historical sources for the site, such as fire insurance maps, street directories, property tax files, recorded land title records, building department records, or zoning/land use records were not reasonably ascertainable, were not available or, based on ERO’s professional experience, the records are unlikely to be sufficiently useful, accurate, or complete and are unlikely to provide significant additional historical information with regard to the property. 3.4.1 Historical Aerial Photographs Historical aerial photographs from 1937 to 2016 showing the property and surrounding area were Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 9 ERO Resources Corporation Parcel 5. Photographs from 1937 through 2016 show the parcel to be used for a residence and agricultural support structures for a dairy or cattle operation in the west-central portion of the parcel, with the remainder of the parcel used for cultivated agriculture. Photographs from 1937 and 1953 show a residence and several outbuildings and barns within the operations area with two livestock feeding pens to the southeast of the operations area. Photographs from 1969 show three to five additional structures within the main operations area, a central, vertical storage tank, a silage area west of the livestock feeding pens and six livestock pens, extending southeast from the operations area. No significant changes to the parcel are visible in the 1971 photographs aside from the addition of three additional livestock pens to the southeast of the existing pens. Based on vegetation growth, discharge from the livestock operations appears to flow to the south out of the feeding operations. Livestock operations appear to have significantly decreased by 1988 as the feeding pens are shown to be vegetated and the parcel is gradually converted to the current center-pivot irrigation agriculture. The residence appears to be removed by 1993, replaced by a trailer home visible in photographs through 2009. Photographs from 1993 to 2016 show three structures remaining in the central area of the former operations area of the property and the foundation of the former silage area. Scattered solid waste, irrigation equipment, and storage trailers are visible in photographs from 2009 to 2016. The area adjacent to the north and east of Parcel 5 are shown to be undeveloped agricultural land in photographs from 1937 to 1979. Photographs from 1988 show the adjacent brewery under construction with the rail lines and substation installed. Subsequent photographs show the brewery expansions and growth to the current extent. The area adjacent to the north of Parcel 5 is shown in all aerial photographs to be undeveloped or used for agricultural and farmstead purposes. Photographs from 1993 show the adjacent research center adjacent to the north of the parcel, fronting on Richards Lake Road. Parcel 6. Photographs from 1937 show the parcel to be undeveloped and cleared of vegetation. Photographs from 1953 through 2016 show the parcel to be developed with a residential structure on the parcel. The structure increases in size across the photographs and is often obscured by vegetation growth on the parcel. Parcel 7. Photographs from 1937 show a single residential structure fronting on Giddings Road. Photographs from 1953 through 2016 show the parcel to be developed with the residence and agricultural or landscaped areas to the north and east. Photographs from 2009 to 2016 show an increase in equipment and vehicles stored or parked in the rear/east side of the residence. Parcel 8. Photographs from 1937 show the parcel to be used for cultivated agriculture, with a farmstead in the east-central portion of the parcel, fronting on Giddings Road and a small structure north of the farmstead, also fronting on Giddings Road. The farmstead is shown to have one residence and at least five small outbuildings with a fenced livestock area south of the residence. Photographs from 1978 and 1988 only show the residence and one to two of the outbuildings north of the residence with the additional structure north of the farmstead shown to be gone by 1978. Photographs from 1993 to 2004 show the parcel to be irrigated with gravity-irrigation system with the former farmstead in the eastern Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 10 ERO Resources Corporation portion of the parcel removed and the area converted to irrigated land. Photographs from 2005 to the present show the parcel to be converted to center-pivot irrigation. The area adjacent to the north of Parcel 8 is shown in all aerial photographs to be undeveloped or used for agricultural and farmstead purposes. Residential development adjacent to the west of the parcel is first visible in photographs from 2006. Parcel 9. Photographs from 1937 show the property to be used for cultivated agriculture with an operations and residential area in the center of the parcel. Photographs from 1969 and 1970 show a second operations area adjacent to Giddings Road consisting of two outbuilding structures and a silage pit storage area. The central operations area is shown to consist of two livestock pens, a barn, residence, and two to three small outbuildings with an irrigation well house located in the western portion of the parcel. A soil disturbance scar is visible extending to the northwest from the barn in the central portion of the parcel and two constructed depressions are visible in the 1969 photographs along the southern property boundary, extending north into the parcel. Photographs from 1971 and 1978 show an enlargement of the feeding operations east of the barn in the central portion of the parcel, with a large structure shown to be constructed in the eastern area, south of the silage storage area. Photographs from 1979 show a pipeline excavation scar crossing the southern portion of the parcel, originating from the Larimer and Weld Canal southeast of the parcel. Photographs from 1993 show a second silage storage west to northwest of the barn structure in the eastern portion of the parcel. This second area is oriented north-south, compared to the historical silage pit located about 100 feet northeast, which was oriented east-west. Faint indications of the former silage pit are visible in the photographs from 2009 and 2012. The depressions along the southern parcel boundary appear to be filled and converted to cultivated farmland in photographs from 1999. Photographs from 1993 through 2016 show the conversion from the livestock pens to vacant land with the eastern operations area used for increased vehicle and agricultural equipment storage. Among the equipment storage, three to five above ground storage tanks are visible adjacent to the west of the northern structure of the eastern operations area on this parcel. The area adjacent to the west and south of Parcel 9 is shown to be undeveloped or used for cultivated agriculture in all historical aerial photographs. Parcel 10. Aerial photographs from 1937 through 2016 show most of the parcel to be used for cultivated agriculture, switching from the original gravity irrigation system to the current center-pivot irrigation only recently (circa 2016). Photographs from 1937 through 1978 show a livestock operation in the west-central portion of the property, fronting on Giddings Road. The operations included a residence in the northern portion, three to four outbuildings or barns in the central portion, four confined animal feeding pens, and a southern barn or small residential structure. Aerial photographs from 1988 show the livestock feeding areas to be overgrown with fences and pens removed by 1993. Photographs from 1999 through 2016 show the former operations area to be used for equipment and vehicle storage for agricultural support, with numerous above-ground storage tanks visible adjacent to the barns on the parcel. Aerial photographs from 1937 through 2016 show most of the parcel to be used for cultivated agriculture, crisscrossed by several irrigation canals and laterals prior to the conversion to the current center-pivot irrigation system between 1999 and 2002. Photographs from 1937 through 2016 show a farmstead in the northeast corner – originally consisting of a residence fronting on Mountain View Drive with several outbuilding to the south, replaced by a larger structure by 1978 visible in photographs through 2016. The residence and additional outbuildings visible in the earlier photographs are shown to have been removed from the property in photographs from 1993. Photographs from 1979 show a pipeline excavation scar crossing the parcel, originating from the Larimer and Weld Canal adjacent to the southeast corner of the parcel. The scar cuts across cultivated land, extending northwest toward Parcel 9. Photographs from 1953 through 1988 show one to two silage pits in the northwest corner of the parcel, eventually filled and converted to agricultural land in the early 2000s. A rail line is visible adjacent to the east of Parcel 11 in all historical aerial photographs, however no spurs are shown to extend onto the parcel. The area adjacent to the south of Parcel 11 is also shown to be undeveloped or used for cultivated agriculture in all the historical aerial photographs. Parcel 12. Photographs from 1937 to 2016 show the parcel to be used for cultivated agriculture. The Larimer and Weld Canal is visible adjacent to the south of the parcel in all the photographs and I-25 is visible adjacent to the east of the property in photographs from 1969 to 2016. Photographs from 1979 through 1993 show a soil disturbance in the northwest corner of the parcel that is vegetated in subsequent photographs. A trailer in the northwest corner and a clearing across the northern portion of the parcel are visible in photographs from 1971 and 1978. The purpose of the clearing could not be determined from the aerial photographs. Photographs from 1988 to 2016 show a small structure (weather station) in the south-central portion of the parcel, accessed from the north. 3.4.2 Historical Topographic Maps Historical USGS topographic maps from 1906 to 2016 showing the property and surrounding area were reviewed and are discussed below. 1906 and 1908 USGS 15-Minute Series, Fort Collins, CO; Scale: 1:62,500 The USGS topographic maps from 1906 and 1908 show the majority of the property to be undeveloped, with structures shown on the north-central, central, and southeast portions of the property. Two ponds are shown in the central portion of the property, with a ditch connecting the south pond to an irrigation canal along the southeast property boundary. The Colorado and Southern Railroad is along the east boundary of the north portion and divides the south portion of the property, an irrigation ditch is along the west boundary of the north portion, and dirt roads cross the north and south portions. The surrounding area is undeveloped or has scattered structures, ponds, and ditches. 1960 and 1969 USGS 7.5-Minute Series, Fort Collins, CO; Scale: 1:24,000 Significant changes to the property and surrounding area shown in the USGS topographic maps from 1960 and 1969 compared to the previous maps consist of the following: • Eleven structures and a dirt road are shown in the north-central portion of the property; • Six structures and a dirt road are shown in the central portion of the property; Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 12 ERO Resources Corporation • Six structures are shown in the south portion of the property on Mountain Vista Drive; • A railroad spur is in the northeast corner of the property, with a structure labeled “Giddings”; • The Larimer and Weld Canal is along the southeast property boundary. 1984 USGS 7.5-Minute Series, Fort Collins, CO; Scale: 1:24,000 Significant changes to the property and surrounding area shown in the USGS topographic map from 1984 compared to the previous maps consist of the following: • Only three structures are shown in the south portion of the property; • A new structure is shown in the central portion of the property on Parcel 9; • The La Porte Wildlife Area is shown in the northwest portion of the property; and • A small area of fill is shown in the central portion of the property near the residence on Parcel 9. 2010, 2013, and 2016 USGS 7.5-Minute Series, Brighton, CO; Scale: 1:24,000 The USGS topographic map from 2010, with an aerial photographic base from 2009; the map from 2013, with an aerial photographic base from 2011; and the map from 2016, with an aerial photographic base from 2013 show the property as described in the aerials from similar years in Section 3.4.1. 3.5 Previous Environmental Reports ERO did not identify nor made aware of any previous environmental reports for the property. 3.6 Standard Environmental Records Sources ERO contracted with a commercial database search company, EDR, to conduct a search of publicly available database records (ERIS 2017). All ASTM search distance sites are measured from the property boundary. ERO reviewed initial search results for inaccuracies using both field and mapping data sources. In addition, ERO attempted to locate orphan sites, those that lack adequate location information to map, using zip code, city name, site name, or other information. The property was not identified in the search of publicly available database records and no sites were found to be within the approximate ASTM search distances. The Fort Collins Utilities Richards Lake Substation site adjacent to the northeast portion of the property was identified in non-ASTM federal databases. A summary is included in Table 3 and copies of records reviewed are in Appendix B. According to the COGCC, no producing oil and gas wells are located on or near the property. A dry oil and gas well (Lind Farms #1) was drilled and abandoned in the NE ¼ NE ¼ of Section 32 in the northwest portion of the property in 1973 and an abandoned location for a well (Chandler #1) that was never drilled is in the NW ¼ of Section 33 in the northeast portion of the property (COGCC 2017). 3.7.2 Colorado Department of Public Health and Environment ERO reviewed the CDPHE Hazardous Materials and Waste Management Division on-line database for any records for the property that may indicate RECs on or near the property. No records for the property addresses were identified in a search of the online database records (CDPHE 2017a). ERO searched the CDPHE list of environmental covenants and use restrictions and found no listings for the property (CDPHE 2017b). 3.7.3 Colorado Division of Water Resources ERO reviewed records maintained by Colorado Division of Water Resources (CDWR) for the property. The CDWR has records for 24 wells permitted or constructed on the property (CDWR 2017). Eighteen of the wells are noted for use as irrigation wells, one well is for domestic and stock uses, and five wells are for groundwater monitoring. The monitoring wells were constructed for Anheuser-Busch Agri Resources Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 14 ERO Resources Corporation in the NW ¼ NW ¼ of Section 33. ERO did not observe the monitoring wells during the site reconnaissance. A summary of the wells is included in Appendix B. 3.8 Vapor Encroachment Evaluation ERO evaluated the results of the environmental records searches detailed in Section 3.6 and 3.7 with respect to potential vapor encroachment in accordance with ASTM E 2600-15, the “Standard Guide for Vapor Encroachment Screening on Property Involved in Real Estate Transactions” (ASTM 2015). No sites were identified in the search of publicly available records within the applicable search distance criteria denoting the Area of Concern for vapor encroachment. For these reasons, it is ERO’s professional opinion that a vapor encroachment condition does not exist at the property. 4.0 Site Reconnaissance 4.1 Methodology and Limiting Conditions Craig Sovka, an Environmental Professional with ERO, conducted the site reconnaissance on September 7, 2017. He investigated the entire property by walking and driving the perimeter, traversing the interior, and inspecting the interiors of accessible buildings. Representative photographs taken during the site reconnaissance are presented in Appendix A. 4.2 General Site Setting The majority of the property consists of fields of corn, sugar beets, alfalfa, and barley or fallow land. The topography in the vicinity of the property slopes gently to the south. Twenty-one structures on the property are described in Table 2 in Section 3.3. Dirt roads cross the property for access to the structures, center-pivot irrigation systems, and fields. A concrete storm drain channel crosses Parcel 12 from Mountain Vista Drive to the Larimer and Weld Canal and a concrete overflow diversion structure is on the canal in the south-central portion of Parcel 12. 4.2.1 Storage Tanks No vent pipes, fill ports, tank pits, or other indications of underground storage tanks were observed on the property. Ten aboveground petroleum storage tanks (ASTs) were observed in the central portion of the property (Figure 2). None of the ASTs had secondary containment around them and two of them were on a trailer in the main farmyard on Parcel 9. One 10,000-gallon diesel AST in the main farmyard and two 500-gallon diesel ASTs in the middle of the center-pivot irrigated field on Parcel 10 are currently in use for fueling equipment. The remaining petroleum ASTs appeared to be empty and not in use. Areas of stained soil were observed beneath the loading piping in the main farmyard AST (5-foot diameter) and beneath one of the ASTs in the field (3-foot diameter). The occupied residences on Parcel 9 and 10 each had a 1,000-gallon propane tank nearby. Numerous plastic farm tanks of various sizes were observed in the main farmyard, near the center-pivots, and near some of the irrigation wells. These tanks are typically used for storing fertilizer mixes or herbicides for spraying on the crops. Three metal grain silos were observed in the main farmyard. Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 15 ERO Resources Corporation 4.2.2 Odors No strong, pungent, or noxious odors were noted during the site reconnaissance except in a storage/garage building on Parcel 5 where motor oil had been poured all over the concrete floor by vandals. 4.2.3 Pools of Liquid A storage/garage building on Parcel 5 had been vandalized and pools of motor oil and large areas of oil- stained concrete were observed inside. No other pools of liquid were observed on the property except irrigation water in several fields. 4.2.4 Drums/Containers Numerous drums and containers were observed around the property, mainly in or around the farm buildings. Many of the drums had unknown contents or were empty, but most of the drums and containers were labeled as farm products (herbicides and fertilizer), or equipment maintenance products (hydraulic oil, motor oil, drip oil, diesel exhaust fluid, lubricants, etc.). Areas of de minimis staining were observed around some of the drums and containers, but generally good housekeeping of the drums and containers was observed. 4.2.5 Hazardous Substance and Petroleum Products Materials/Waste Use or Storage As described above, hazardous substances and petroleum products were observed to be used and stored on the property as part of farming operations. 4.2.6 Transformers/PCBs Numerous pad-mounted and pole-mounted transformers were observed around the property. The transformers were in good condition with no evidence of leaks on or beneath them. 4.3 Exterior Observations 4.3.1 Pits, Ponds, and Lagoons A water storage pond was observed in the south-central portion of Parcel 8 in the northeast portion of the property. ERO did not identify or observe any pits or lagoons on or adjacent to the property. 4.3.2 Stained Soil or Pavement Areas of stained soils were observed in the operations areas of the property resulting from leaks and drips of de minimis quantities of automotive fluids and diesel. A storage/garage building on Parcel 5 had been vandalized and pools of motor oil and large areas of oil staining were observed inside on the cracked concrete floor. 4.3.3 Stressed Vegetation No areas of stressed vegetation were observed on the property. Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 16 ERO Resources Corporation 4.3.4 Solid Waste Disposal Several areas of solid waste disposal were observed on the property. The items observed generally included inert materials including concrete, scrap wood and metal, tree branches, used tires, household trash, and furniture. No indications of petroleum or hazardous materials were observed within the material disposed. ERO was not able to assess the soil conditions beneath the solid waste disposal sites. The main farmyard had several storage areas containing old equipment, irrigation piping, scrap wood and metal, and empty rusty drums. The two vacant residences on Parcels 6 and 7and a storage/garage building on Parcel 5 had been vandalized and were filled with trash and damaged household objects and building materials. 4.3.5 Wastewater Discharge ERO observed no sumps, floor drains, trenches, streams, or underground injection systems into which wastewater and liquids on and adjacent to the property discharge. 4.3.6 Wells Two underground vaults for domestic water wells were observed near the residences on Parcels 7 and 10 and numerous irrigation wells with pad-mounted pumps were observed around the property. Several open boreholes from recent geotechnical investigations were observed around the property, some of which had PVC well casing sticking out of them for measuring the depth to water. ERO did not observe any other monitoring, domestic, irrigation, injection, abandoned, or other wells on the property. No evidence of the drilled and abandoned oil and gas well from 1973 was observed in the northwest portion of the property. 4.3.7 Process Equipment No manufacturing, remediation, or other chemical process equipment was observed on the property. 4.3.8 On-site Septic Systems ERO observed indications of on-site septic systems at the residences on Parcels 7, 9, and 10. 4.4 Interior Observations The two vacant residences on Parcels 6 and 7and a storage/garage building on Parcel 8 had been vandalized and were filled with trash and damaged household objects and building materials. The two occupied residences were not inspected. The remaining buildings were either empty or contained farm equipment and supplies, vehicles, or miscellaneous household objects. 4.4.1 Heating and Cooling The two vacant residences on Parcels 6 and 7are not currently heated or cooled. ERO was unable to determine the heating and cooling systems for the two occupied residences on Parcels 9 and 10 and the remaining buildings did not have heating or cooling systems. Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 17 ERO Resources Corporation 4.4.2 Drains and Sumps No drains or sumps were observed in the buildings that were inspected. 4.4.3 Stains or Corrosion No stains or corrosion were observed on floors, walls, or ceilings of the structures except those caused by water. 5.0 Interviews 5.1 Interview with Owner ERO was not provided contact information for an owner representative with the Anheuser-Busch Foundation and so could not complete an owner interview. 5.2 Interview with Tenant ERO interviewed Mr. Tim Kerbs, the tenant farmer on the property, during the site reconnaissance on September 7, 2017. Mr. Kerbs stated that his family has farmed on the property since the 1950s. Currently he has planted portions of the property with corn, sugar beets, and alfalfa and Anheuser-Bush plants portions of the property with barley. There are several fuel ASTs in the central portion of the property, most of which are empty and unused. Mr. Kerbs was not aware of any environmental problems on the property. 5.3 Interviews with Local Government Officials 5.3.1 Interview with Local Health Department ERO contacted the Larimer County Health Department (LCHD) for information that may indicate RECs on or near the property. ERO had not received a response from LCHD at the time this report was completed. 5.3.2 Interview with Local Fire Department ERO contacted the Poudre Fire Authority for information that may indicate RECs on or near the property. According to Mr. Justin Moinester, Assistant Fire Marshal – Investigation Services with the Authority, there are no records for incidents involving hazardous materials releases, USTs/ASTs, any inspection notices, landfills, or solid waste disposal (Moinester pers. comm. 2017). 6.0 Evaluation 6.1 Findings The property consists of an 850-acre parcel of land. Historically, the property has been residential and agricultural and the surrounding area has been residential, agricultural, and used for a large-scale brewery. Historical aerial photographs indicate several areas where farmsteads were formerly located on the property (Parcels 8 and 11) as well as several areas of soil disturbances (northeast corner of Parcels 1 through 4 and northwest corner of Parcel 11) and areas of identified or suspected silage pits or Phase I Environmental Site Assessment Anheuser-Busch Foundation Property, Mountain Vista Drive and Giddings Road Fort Collins, Colorado 18 ERO Resources Corporation depressions that have since been filled with unknown fill (Parcels 9 and 11). In addition several areas of the property were historically used for animal feeding operations (Parcels 5, 9, and 10) with livestock pens visible in historical aerial photographs. Federal, state, and local records indicate no RECs associated with the property or in the surrounding area. A dry oil and gas well was drilled and abandoned in the northwest portion of the property in 1973. Three areas on the property that historically had silage pits were filled and are now used as farmland and a historical farmyard in the northwest portion is also now farmland. The majority of the property consists of farmland or fallow land, with 21 buildings, dirt roads, numerous irrigation wells, and at least two domestic wells throughout. Ten fuel ASTs, three which are in use, numerous plastic farm tanks, drums and containers, and several areas of solid waste disposal were observed in farm operations areas of the property. De minimis areas of soil staining around some of these features were observed. Pools of motor oil and oil-stained concrete were observed inside a storage/garage building on Parcel 5. 6.2 Opinion A summary of identified findings and ERO’s determination if the findings constitute RECs associated with the property is presented in Table 4. Based ERO’s vapor encroachment analysis, it is ERO’s professional opinion that a vapor encroachment condition does not exist on the property. 6.3 Data Gap Summary Summary of Historical Data. Historical data sources are listed below in Table 5 with gaps of greater than five years between sources identified as data gaps. ERO was able to document land use on the property back to 1937. Because of the consistent land use of the property as agricultural and residential land with adjoining agricultural and residential land, it is ERO’s professional opinion that the data gaps identified in Table 5 do not constitute significant data gaps with respect to this Phase I ESA. It is ERO’s professional opinion that no significant historical data gaps are associated with this Phase I ESA. Table 5. Historical data gap analysis. ERO was able to access the entire property, interviewed the property tenant and received a records request response from the SMFR. ERO reviewed online databases for the CDPHE, TCHD, COGCC, and CDWR. As of the date of this report, ERO has yet to receive response from LCHD, which is a data gap. However, based on the information from other sources, it is ERO’s professional opinion that the local health department is not likely to identify additional information that would result in a REC on the property. As of the date of this report, ERO has not received a User Questionnaire or interviewed an owner representative, which are significant data gaps. Based on information reviewed as part of this Phase I ESA, it is ERO’s professional opinion that no other significant data gaps are associated with this Phase I ESA with respect to ERO’s ability to identify RECs associated with the property. 6.4 Conclusions ERO performed this Phase I ESA in conformance with the scope and limitations of ASTM Practice E 1527 for the Anheuser- Busch Foundation property located at the intersection of East County Road 50 and North Giddings Road in Fort Collins, Colorado. Any exceptions to, or deletions from, this practice are described in the Introduction section of this report. This assessment has revealed no evidence of RECs in connection with the property except for the following: • Historical silage pits and depressions with unknown fill on several parcels; • The unknown disposition of building debris at the historical farmyards; • The aggregate volume of hazardous substances and petroleum products as well as unknown products stored across the property, both inside and outside of structures, in tanks, containers, and drums and in need of proper management and/or disposal; • Above ground storage tanks with no secondary containment and stored on the ground surface; • Historical rail use, disturbed ground, and likely beet storage in northeast corner; and • Motor oil spills in the storage/garage building on Parcel 5. In addition, although not considered a REC associated with the property, the historical use of several locations across the property have the potential to have adversely impacted groundwater quality from operations prior to regulations. In accordance with the ASTM standard, this Phase I ESA is presumed to be valid if completed less than 180 days prior to property acquisition or intended transaction. ERO will conduct a visual site reconnaissance of the subject property. The purpose of the inspection is to document recognized environmental conditions. Photographs will be taken as appropriate. ERO will not take any samples during the site reconnaissance. Assumptions and Conditions It is important to emphasize that considerable uncertainty is inherent in conducting this type of investigation. The ESA will be completed by qualified environmental professionals using that degree of care and skill ordinarily exercised under similar circumstances by other environmental professionals practicing in this field. ERO assumes the subject property will not present conditions that may be hazardous to the health and safety of ERO personnel. The presence of visible hazards or contamination may be sufficient cause for ERO to halt work immediately and request a meeting with the Client to discuss to the problem. 2. All work will be conducted according to the provisions given in this Work Scope and in the accompanying Terms and Conditions. No other specifications or guidelines have been agreed to, nor will any such specifications or guidelines be addressed except as will otherwise be according to this Work Scope. 3. Adequate and timely access to the subject property to conduct the ESA is assumed. Written authorization or other arrangements as may be necessary to ensure access by ERO personnel will be provided by the Client. 4. Any conditions, known or suspected to the Client, that may have bearing on these investigations, or to the findings or recommendations made pursuant to this Work Scope, will be disclosed to ERO before initiation of the Work Scope. The Client will make available to ERO any appraisal reports, title histories, engineering reports or other technical reports or information that may pertain to this investigation. 5. All references, statements or recommendations in this Work Scope or in any subsequent written reports to substances being either hazardous or not hazardous are made solely in accordance with or in reference to such official designations made by government agencies or other authorities under applicable laws, regulations, or guidelines. ERO itself makes no claim, warranty or implication as to whether any substance may or may not be hazardous. 6. This Work Scope does not include an assessment of the potential for any particular condition adversely to affect public health. 7. Any laboratory analytical work will be conducted by a laboratory or laboratories under separate contract or subcontract. While ERO will endeavor to select qualified laboratories for sample analysis, ERO will accept no responsibility or liability for laboratory results, quality control or analytical turnaround time. 8. Deviations from these assumptions may result in cost increases or changes in schedule. 9. All site boundaries shown or discussed in the report are approximations based on information supplied by the Client. Windrow piles of likely sugar beets are visible on the parcels in photographs from 1969. Ground disturbance is visible on the parcels, between the rail sidings in photographs from 1971 through 1979. Photographs from 1988 show the area to be revegetated with subsequent photographs through 2016 showing the area to be brought into agricultural production.
