My Commission expires: Notary Public day of , _ as EASEMENT The undersigned Grantor for and in consideration of DOLLARS and other good and valuable consideration, the receipt whereof is hereby acknowledged, does hereby grant and convey unto Wonderland Hill Development Company whose address is 745 Poplar Avenue Boulder, Colorado 80304 (the Grantee) its successors, assigns, lessees, licensees and agents a non exclusive, perpetual easement for storm drainage flows across all of the hereinafter described real property fully described on Exhibit "A" attached hereto and by this reference made a part hereof. Grantee shall be responsible for all damages caused to Grantor or Grantor's property arising from the Grantee's exercise of the rights herein granted. Grantee agrees to indemnify and hold Grantor harmless from any claim, loss or damage, including reasonable attorney's fees, arising out of or in any way associated with Grantee's use of the easement. In addition, the Grantee shall not exercise any rights herein granted that shall interfere, hinder or in any way disrupt the Grantor's use of Grantor's property. In addition, the both parties agree to the stipulations stated in the attached agreement (Exhibit "B") attached hereto and by this reference made a part hereof. The Grantor reserves the right to occupy and use said easement for all purposes not inconsistent with the rights herein granted. The rights, conditions and provisions of this easement shall inure to the benefit of and be binding upon the heirs, executors, administrators, successors and assigns of the respective parties hereto. The parties agree to prohibit the installation of any concrete pans as part of the swale to be constructed on the park property. 7. The City will be responsible for maintenance of the swale and the storm sewer on the park property. The City will not be responsible for maintenance of the storm sewer on private property. 8. The parties agree that upon completion of the offsite grading, the disturbed area shall be stabilized to prevent erosion and when the weather allows the area shall be reseeded as required by the City of Fort Collins Parks and Recreation Department. 9. The parties agree that any future work in the easement area other than maintenance work by City employees shall not be done without the written approval from the City. It is mutually agreed that all covenants and agreements herein contained shall be binding upon all parties, their heirs, personal representatives and assigns. IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and year first above written WONDERLAND HILL DEVELOPMENT COMPANY Attest CITY OF FORT COLLINS Mayor Attest EXHIBIT "B„ AGREEMENT THIS AGREEMENT, made and entered into this day of , 1997, by and among WONDERLAND HILL DEVELOPMENT COMPANY, hereinafter referred to as Wonderland and the CITY OF FORT COLLINS, COLORADO, hereinafter referred to as the "City," WITNESSETH: Whereas, Wonderland represents to be the owner of a property adjacent to the southern boundary of Lee Martinez Park; and Whereas, Wonderland proposes to develop the property as a combined residential / commercial project as described on the Plat titled " A Plat of Martinez P.U.D." Construction drawings entitled "Final Utility Plans for Martinez P.U.D. are incorporated herein by reference. All construction to be done in accordance with the plans as approved by the City; and Whereas, the historical surface drainage from the property owned by Wonderland have naturally and ultimately flowed into Lee Martinez Park if not obstructed; and Whereas, the City is the owner of Lee Martinez Park, a recreation facility, adjoining the proposed development; and Whereas, the parties desire to provide adequate storm drainage conveyance facilities on the Lee Martinez Park property to convey the surface flows from Martinez P.U.D. safely through and around Lee Martinez P.U.D. NOW THEREFORE, in consideration of the foregoing, parties agree to the following 1. The parties agree to the dedication of a drainage easement on the Lee Martinez Park property. Said easement as described in attached Exhibit A is incorporated herein by reference. 2. The parties agree to construction of a grass lined swale to be constructed as shown on Sheet 11 of the Final Utility Plans for Martinez P.U.D. and incorporated herein by reference. Said swale to be constructed in accordance with Section X-X as shown on the Final Utility Plans for Martinez P.U.D. A copy of Section X-X is attached as Exhibit B. Said swale to be constructed within said drainage easement as described in attached Exhibit A 3. The parties agree to construction of two storm sewers to be constructed as shown on Sheets 11 and 16 of the Final Utility Plans for Martinez P.U.D. and incorporated herein by reference. 4. The parties agree to installation of buried riprap at at the outfall of the storm sewers as shown on Sheet 16 of the Final Utility Plans for Martinez P.U.D. and incorporated herein by reference. Said riprap to be buried in accordance with the detail shown on the referenced construction drawings. 5. The parties agree to prohibit the installation of any future drainage infrastructure which would create a point discharge of water onto the park property.
