VEHICULAR AND PEDESTRIAN ACCESS
EASEMENT AGREEMENT
GYPRO PROPERTIES LIMITED LIABILITY COMPANY AKA GYPRO
PROPERTIES, LLC, a Wyoming limited liability company ("Gypro") owns Lot 3, Centerpoint
Plaza, City of Fort Collins, County of Larimer, State of Colorado (the "Gypro Lot") and hereby
grants to KEVIN W. FRAZIER ("Frazier"), for use by Frazier, his successors, assigns, tenants,
invitees, employees, customers, agents, licensees, and guests (the "Frazier Lot Beneficiaries"), a
private, nonexclusive, appurtenant easement, right-of-way, license, right and privilege of access,
passage and use for the purposes of vehicular and pedestrian ingress and egress across and over the
property described on the first page of attached Exhibit A and depicted on the second page thereof
(the "Easement Area").
NO DEDICATION. The easement granted in this Agreement is not intended, nor will it
create any prescriptive rights in the public to the easement conveyed and granted in this Agreement.
Both Gypro and Frazier shall have the right from time to time to temporarily close the Easement
Area for a reasonable period of time if necessary to avoid granting by prescription, any absolute
rights in the Easement Area to third parties.
COVENANTS RUN WITH THE LAND. This Easement and the covenants and conditions
contained within this Easement will inure to the benefit of Frazier, his successors, assigns and
transferees. The easement and benefits of this Easement shall run with and benefit the property
owned by Frazier within the Centerpoint Plaza.

The following is included with this letter with what I think are the actions for each that I
need your help with.
• Three mylar copies of the Centerpoint Plaza final plat for your certification with
following supporting documentation:
o A copy of the title binder for purposes of final plat certification
• Deed of Dedication for Easement for your certification with the following
supporting documentation:
o Gypro statement of authority
o Gypro operating agreement
o E&Os for the two lots containing the easement
o Plat map for the two lots
After you've certified these documents, please deliver to Susan Joy, the city of Fort
Collins engineer for the Centerpoint Plaza project. Her office is located at 281 North
College.
Please call if you have any questions. Please be aware that I am out of the office on
vacation April 24 through May 1.
