OF THE COUNCIL OF THE CITY OF FORT COLLINS
ACCEPTING RESIGNATION OF PAYING AGENT, REGISTRAR, AND TRANSFER
AGENT AND THE APPOINTMENT OF A SUCCESSOR PAYING AGENT,
REGISTRAR, AND TRANSFER AGENT FOR THE CITY OF FORT COLLINS,
COLORADO, OAKRIDGE BUSINESS PARK SPECIAL IMPROVEMENT
DISTRICT NO. 91, SPECIAL ASSESSMENT BONDS, DATED
MARCH 1, 1988, IN THE PRINCIPAL AMOUNT OF $2,245,000, AND
THE CITY OF FORT COLLINS, COLORADO, CENTRE FOR ADVANCED
TECHNOLOGY SPECIAL IMPROVEMENT DISTRICT NO. 90, SPECIAL
ASSESSMENT BONDS, DATED DECEMBER 1, 1987, IN THE PRINCIPAL
AMOUNT OF $2,250,000.
WHEREAS, the City Council (the "Council ") of the City of Fort Collins,
Colorado (the "City") has heretofore authorized, issued, and sold its
Oakridge Business Park Special Improvement District No. 91 , Special
Assessment Bonds, dated March 1, 1988, in the principal amount of
$2,245,000 (the "SID No. 91 Bonds") , and its Centre for Advanced Technology
Special Improvement District No. 90, Special Assessment Bonds, dated
December 1 , 1987, in the principal amount of $2,250,000 (the "SID No. 90
Bonds") ; and
WHEREAS, United Bank of Fort Collins National Association, Fort
Collins, Colorado ("UBFC") , was named Paying Agent, Registrar, and Transfer
Agent for the SID No. 90 Bonds and the SID No. 91 Bonds upon certain terms
and conditions contained in the agreement between the City and UBFC
entitled Paying Agent, Transfer Agent and Registrar Agreement dated
December 8, 1987 (SID 90) and in the agreement between the City and UBFC
entitled Paying Agent, Transfer Agent and Registrar Agreement dated March
7, 1988 (SID 91) (The "Agreements") ; and
WHEREAS, UBFC desires to resign as Paying Agent, Registrar, and
Transfer Agent and the Council desires to appoint United Bank of Denver
National Association ("UBD") , a bank in good standing and qualified to
exercise trust powers, as successor Paying Agent, Registrar, and Transfer
Agent for the SID No. 90 Bonds and the SID No. 91 Bonds.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF FORT
COLLINS as follows:
Section 1. UBFC's resignation as Paying Agent, Registrar, and
Transfer Agent for the SID No. 90 Bonds and the SID No. 91 Bonds is hereby
accepted. Such resignation shall be effective upon UBD's written
acceptance of all obligations of UBFC under the Agreements, as provided in
Section 2 below.
Section 2. United Bank of Denver National Association is hereby
appointed successor Paying Agent, Registrar, and Transfer Agent for the SID
No. 90 Bonds and the SID No. 91 Bonds. Such appointment shall be effective
upon UBO's execution of a written acceptance of such appointment upon the
same terms and conditions as contained in the Agreements.
Section 3. The City Clerk is hereby directed to cause notice of
resignation and appointment of successor Paying Agent, Registrar, and
Transfer Agent to be mailed to the registered owners of the SID No 90 Bonds
and the SID No. 91 Bonds, in accordance with Section 3 of Ordinance No 176,
1987 and Section 3 of Ordinance No. 16, 1988.
Section 4. If any section, paragraph, clause, or provision of this
Resolution shall for any reason be held to be invalid or unenforceable, the
invalidity or unenforceability of such section, paragraph, clause, or
provision shall not affect any other remaining provisions of this
Resolution.
Section 5. This Resolution shall be in full force and effect upon its
passage and adoption.
Passed and adopted at a regular meeting of the Council of the City of
Fort Collins held this 20th day of December, A.D. 1988.
