HomeMy WebLinkAbout105 - 10/18/2022 - AUTHORIZING THE CONDITIONAL CONVEYANCE OF CERTAIN CITY-OWNED PROPERTY RIGHTS TO CHRIS VANDEMOER ANDORDINANCENO.105,2022OFTHECOUNCILOFTHECITYOFFORTCOLLINSAUTHORIZINGTHECONDITIONALCONVEYANCEOFCERTAINCITY-OWNEDPROPERTYRIGHTSTOCHRISVANDEMOERANDGEO.A.HENDERSONCO.WHEREAS,bytheadoptionofResolution2003-121.CityCouncilauthorizedtheCityManagertoproceedwithinvestigation,planning.regulaton’reviewprocesses.siteacquisition,design,andconstructionoftheHalliganReservoirEnlargementProject,nowreferredtoastheHalliganWaterSupplyProject(the“Project”):andWHEREAS,theCityisproceedingwithPhase1ofthreephasesoftheProject,whichwillincludesitevisitsanddatacollectionrelatedtothepermittinganddesignworkforthereservoirenlargementandreplacementormodificationofthedamanddiversionstructures;andWHEREAS,toaccomplishtheworkofPhaseI,theCityneedsaccesstoHalliganReservoir;andWHEREAS.ChrisVandemoerandGeo.A.HendersonCo.(collectively,“Vandemoer”)jointlyownpropertyadjacenttothereservoirandwhichisencumberedbyconservationeasementsownedbyTheNatureConservancy(“TNC’):andWHEREAS,theprimaryaccesstothereservoirandtheHalligandamisbyaprivateroadthatcrossesVandemoer’sproperty;andWHEREAS,pursuanttotheauthorizationbyCityCouncilinOrdinanceNo.013,2020,theCityisengagedineminentdomainlitigationwithVandemoer,TNC.andotherpartiestoacquireaccessrightsalongtheexistingroadforPhaseIoftheProject:andWHEREAS,negotiationswithVandemoerandTNChaveledtothepossiblesettlementofaccessrightsandrealpropertyacquisitionsforallthreephasesoftheProject;andWHEREAS,partoftheproposedsettlementwithrespecttoVandemoerwouldincludeacashpaymentbytheCitytoVandemoerascompensationforcertainpropertyrightstheCitywouldunconditionallyacquirefromVandemoer,includinglandinfee,temporaryandpermanentaccesseasements,andapermanentinundationeasement;andWHEREAS,theCityownsrealpropertyatthereservoirbywayofaHalliganReservoiragreementwiththeNorthPoudreIrrigationCompanyrNPIC).datedNovember8,1993,pursuanttowhichNPICconveyedpropertytotheCityandretainedtherighttothereturnofthatpropertyintheeventtheCityterminatestheprojecttoenlargeHalliganReservoir;andWHEREAS,asadditionalconsiderationforsaidsettlement,theCitywouldconveycertainpropertyrightstoVandemoer.conditionedupontheCitycompletingconstructionoftheProjectandNPIC’srighttoreacquirepropertyeitherirrevocablylapsingorbeingexpresslyreleasedinwritingbyNPIC:and WHEREAS,thepropertyrightstheCitywouldconditionallyconveytoVandemoeraredescribedonExhibits“A”and-‘B”.attachedheretoandincorporatedhereinbythisreference(the“CityPropertyRights”);andWHEREAS,morespecifically,theCitywouldconditionallyconveytoVandemoerfeeinterestincertainrealproperty,subjecttoarestrictivecovenantthatwouldlimitVandemoer’suseofthepropertyandsubjecttoafloodeasementtoallowtheCitytoinundatethepropertyduringhighwaterevents;andWHEREAS,theCitywouldalsoconditionallyconveytoVandemoerapermanentshorelineaccesseasementthatwouldallowVandemoertheuseofotherCitypropertytoaccessthereservoir;andWHEREAS,ifCityCouncilapprovestheconditionalconveyance,CitystaffhasdeterminedtheCitywillreceivesufficientvaluefortheCityPropertyRightsbywayofthevalueofthepropertyrightsitwouldobtainfromVandemoerintheproposedsettlementcombinedwiththevalueofavoidingtheriskandexpenseofeminentdomainlitigationtoobtainpropertyrightsforallthreephasesoftheProject:andWHEREAS,thepartiesareengagedinongoingnegotiationswiththeintentofexecutingasettlementagreementinadvanceofthePhase1eminentdomaintrialsettobeginOctober31,2022;andWHEREAS,theproposedsettlementofallthreephaseswouldincludetheCity’sacquisitionofpropertyrightsthataredesirableandnecessaryforthedesign,permitting,construction,long-termmaintenanceandoperationoftheProject,isintheCity’sbestinterest,andenhancespublichealth,safety,andwelfarebecauseitisinfurtheranceoftheProject,whichwillmeetthedemandsoffutureFortCollinsUtilitiescustomersandprovideaddedreliabilityforallUtilitiescustomers;andWHEREAS,Section23-111(a)oftheCityCodeauthorizestheCityCounciltosell,convey,orotherwisedisposeofanyandallinterestsinrealpropertyownedinthenameoftheCity.providedthattheCityCouncilfirstfinds,byordinance,thatsuchsaleorotherdispositionisinthebestinterestsoftheCity;andWHEREAS,Section23-111(b)oftheCityCodefurtherrequiresthat,fortheconveyanceofrealpropertythatispartoftheCity’swaterorutilitysystems,theCityCouncilmustalsofindthatthedispositionwillnotmateriallyimpairtheviabilityoftheparticularutilitysystemasawholeandthatitwillbeforthebenefitofthecitizensoftheCity.NOW,THEREFORE.BEITORDAINEDBYTHECOUNCILOFTHECITYOFFORTCOLLINSasfollows:Section1.ThattheCityCouncilherebymakesandadoptsthedeterminationandfindingscontainedintherecitalssetforthabove. Section2.ThattheCityCouncilherebyfindsanddetermines,pursuanttoSection23-111(a)oftheCityCode,thatitisnecessaryinthepublicinterestandinthebestinterestsoftheCitytoconditionallyconveytheCityPropertyRightsasdescribedhereinforthepurposeofsettlingtheeminentdomainlitigationwithVandemoerandINCsothattheCityacquiresallpropertyinterestsitneedsfromVandemoerandINCforallthreephasesoftheProject.Section3.ThattheCityCouncilherebyfindsanddetermines,pursuanttoSection23-111(b)oftheCityCode,thattheconveyanceoftheCityPropertyRightswillnotmateriallyimpairtheviabilityoftheCity’swaterutilitysystemasawholeandwillbeforthebenefitofthecitizensandresidentsoftheCity:Section4.ThattheCityCouncilfindsanddetermines,pursuanttoSection23-114oftheCityCode,thatthedispositionofthesubjectrealpropertyinterestsdescribedinthisOrdinancewillresultintheCityreceivingvalueinanamountequaltoorgreaterthanthefairmarketvalueofsuchland.Section5.ThattheCityCouncilherebyauthorizestheMayortoexecutedeedsandotherinstrumentsofconveyancetoconditionallyconveytheCityPropertyRightstoVandemoer,andtheCityManagerisauthorizedtoexecutesuchotherdocumentsrelatedtothepropertyconveyancesasmaybenecessary,allontermsandconditionsconsistentwiththisOrdinance,togetherwithsuchadditionaltermsandconditionsastheCityManager.inconsultationwiththeCityAttorney,determinesarenecessaryorappropriatetoprotecttheinterestsoftheCity,including,butnotlimitedto,anynecessarychangestothelegaldescriptionofsuchpropertyinterest,aslongassuchchangesdonotmateriallyincreasethesizeorchangethecharacteroftheintereststobeconveyed.Introduced,consideredfavorablyonfirstreading,andorderedpublishedthis4thdayofOctober,AD.2022,andtobepresentedforfinalpassageonthe18thdayctober,A.D.2022.ATTEST:CityClerk
