THERESOLUTION2022-105OFTHECOUNCILOFTHECITYOFFORTCOLLINSAUTHORIZINGTHEEXECUTIONOFANINTERGOVERNMENTALAGREEMENTBETWEENTHECITYOFFORTCOLLINSANDTHELARIMERCOUNTYBOARDOFHEALTHFORPURCHASEANDUSEOFANOPTICALGASIMAGING(OGI)CAMERAWHEREAS,inApril2022,theFortCollinsCityCouncilandtheLarimerCountyCommissionersmetjointly,anddirectedstafftoestablishagreementstoshareairqualitymonitoringandcomplianceresources;andWHEREAS.oneidentifiedCitypriorityisgainingtheabilitytodetectemissionsfromoilandgasoperationswithinCitylimitsinnortheastFortCollinsandtheCounty,asemissionsfromthesefacilitiesareinvisibleandsometimeodorless,andopticalgasimaging(001)camerascanbeusedtorespondtocomplaints,identifyleaksandhelpensureregulatorycompliancewithStateandCountyrulesthatprohibituncontrolledemissions:andWHEREAS,bothinactiveandactiveoilandgasoperationshavethepotentialtoreleaseharmfulemissionsintotheairsurroundingourcommunitiesimpactingairquality,healthandclimatechange;andWHEREAS,uncontrolledleaksfromoilandgasoperationsareprohibitedbybothSlateandCountyregulations;andWHEREAS,airpollutionisamatterofregionalconcernandtheCityandLarimerCountyBoardofHealthhaveinterestinidentiingandcontrollingemissionswithinandoutsideoftheirrespectivejurisdictionalboundaries;andWHEREAS,inSeptember2021,LarimerCountyadoptednewoilandgasregulations,andin2022hirednewairqualitystafftosupportsiteinspectionsandleakdetectionsatoilandgasfacilities;andWHEREAS,theCityandLarimerCountyBoardofHealthwishtoenterintoanintergovernmentalagreement(“IGA”)tojointlyfundthepurchaseanduseofanOGIcameraasamonitoringtooltohelptheBoardofHealthidentifycomplianceissuessuchasleakinghydrocarbonemissionsatoilandgasoperationsandothersourcesofhydrocarbonemissions;andWHEREAS,theCityfundsneededtosupportthepurchaseofthe001cameraasdescribedintheIGAwereappropriatedintheGeneralFundfor2022.tosupportregionalpriorities;andWHEREAS.ArticleII,Section16oftheCityCharterempowerstheCityCouncil.byordinanceandresolution,toenterintocontractswithgovernmentalbodiestoifirnishgovernmentalservicesandmakechargesforsuchservices,orenterintocooperativeorjointactivitieswithothergovernmentalbodies;andWHEREAS,Section29-1-203oftheColoradoRevisedStatutesandArticleXIV,Section18oftheColoradoConstitutionprovidesthatgovenmientsmaycooperateorcontractwithone anothertoprovidecertainservicesorfacilitieswhensuchcooperationorcontractsareauthorizedbyeachpartytheretowiththeapprovalofitsLegislativebodyorotherauthorityhavingthepowertosoapprove;andWHEREAS,underSection1-22oftheCityCode,intergovernmentalagreementsandothercooperativearrangementsbetweentheCityandothergovernmentalentitiesaretobesubmittedtotheCityCouncilforreview,unlesstheyfitwithinoneoftheexceptionsthatpermitexecutionbytheCityManager;andWHEREAS,theCityCouncilhasdeterminedthattheIGAisinthebestinterestsoftheCityanditsresidents,andtheCityManagershouldbeauthorizedtoexecutetheIGA.NOW.THEREFORE,BEITRESOLVEDBYTHECOUNCILOFTHECITYOFFORTCOLLINSasfollows:Section1.ThattheCityCouncilherebymakesanyandalldeterminationsandfindingscontainedintherecitalssetforthabove.Section2.ThattheCityManagerisherebyauthorizedtoexecutetheIGAsubstantiallyintheformattachedheretoasExhibit“A,”withsuchmodificationsandadditionsastheCityManager,inconsultationwiththeCityAttorney,determinestobenecessaryandappropriatetoprotecttheinterestsoftheCityoreffectuatethepurposessetforthhereinandnototherwiseinconsistentwiththisResolution.PassedandadoptedataregularmeetingofthedayofOctober,AD.2022.ATTEST:ChiefDeputyCityClerktheCitythis18th EXHIBITAINTERGOVERNMENTALAGREEMENTBETWEENTHECITYOFFORTCOLLINSANDLARIMERCOUNTYBOARDOFHEALTHFORPURCHASEANDUSEOFANOPTICALGASIMAGING(OGI)CAMERATHISAGREEMENTmadeandenteredintothis______dayof_____________,2022byandbetweentheCITYOFFORTCOLLINS,aColoradohomerulemunicipality(hereinafterreferredtoas“theCity”)andLARIMERCOUNTYBOARDOFHEALTH,Colorado(hereinafterreferredtoas“theHealthDepartment”)(collectivelythe“Parties”).WHEREAS,Oilandgasoperations,includingallpreproduction,production,surfaceoperations,andtransportactivities,existwithintheincorporatedCityofFortCollins,theFortCollinsGrowthManagementArea(GMA),andthroughoutLarimerCounty;andWHEREAS,bothinactiveandactiveoilandgasoperationshavethepotentialtoreleaseharmfulemissionsintotheairsurroundingourcommunitiesimpactingairquality,healthandclimatechange;andWHEREAS,uncontrolledleaksfromoilandgasoperationsareprohibitedbybothStateandCountyregulations;andWHEREAS,theLarimerCountyDepartmentofHealthandEnvironmentservesasdulydelegatedrepresentativesoftheColoradoAirPollutionControlDivisionoftheColoradoDepartmentofPublicHealthandEnvironment,includingauthoritytosupportinspection,investigationofcomplaints,andreportingresultsofinvestigationstotheAPCDrelatedtooilandgasoperations;andWHEREAS,opticalgasimaging(061)camerasaremonitoringtoolsthatcanhelpidentifycomplianceissuessuchasleakinghydrocarbonemissionsatoilandgasoperations;andWHEREAS,061camerascanalsosupporteducation/outreacheffortsforimprovingairqualityinrelationtoothersourcesofhydrocarbonemissionsliketransportationandlawnandgardenequipment;andWHEREAS,airpollutionisamatterofregionalconcernandtheCityandHealthDepartmenthaveinterestinidentifyingandcontrollingemissionswithinandoutsideoftheirrespectivejurisdictionalboundaries;andWHEREAS,theCityCouncilhasappropriatedthesumof$100,000inCityfundsfortheCity’sAirQualityPrograms,whichincludefurtheringleakdetectionandenforcementofemissionsfromoilandgasoperations;and EXHIBITAWHEREAS,theagreementsandunderstandingssetforthbelowwillpromoteincreasedcoordinationbetweentheCityandHealthDepartmentandresultinbettermanagement,controlandenforcementofoilandgasoperationsrelatedemissions;andWHEREAS,thePartiesareauthorizedunderCR5.§29-1-201,etseq.,asamended,tocooperateandcontractwithoneanotherwithrespecttofunctionslawfullyauthorizedtoeachoftheParties,andthepeopleoftheStateofColoradohaveencouragedsuchcooperationandcontractingthroughtheadoptionofArticleXIV,§18(2)oftheColoradoConstitution;andWHEREAS,undertheCityCharterandCityCodeSection1-22,andC.R.S.29-20-101,thisintergovernmentalagreementissubjecttotheCityCouncil’sapproval;andWHEREAS,itisinthebestinterestoftheParties,theirresidentsandpublichealthandsafetytocooperateinenhancingcapacitytoidentifyandcontrolemissionsfromoilandgasoperationsassetforthinthisAgreement.NOW,THEREFORE,inconsiderationofmutualrightsandobligationsassetforthbelow,theCityandCountyagreeasfollows:1.Procurement,OperationandMaintenanceofOGICamera1.1.TheCitywillcontributeupto$100,000totheHealthDepartmenttobeappliedtowardthepurchasepriceofone(1)061camera.TheCityshallissueapurchaseordertotheHealthDepartmentintheamountof$100,000nolaterthanDecember31,2022.TheHealthDepartmentwillinvoicetheCityforpaymentuponreceiptofthe061cameraandpaymentshallbemadeNet30daysfromthedateoftheinvoice.TheHealthDepartment’sinvoiceshallincludeacopyoftheinvoiceforthe061cameraassupportingdocumentation.1.2.TheHealthDepartmentwillpurchasethe061cameraandprovideanyfundsnecessaryinexcessof$100,000tocompletesuchpurchase;procurementwillbeginnolaterthanMarch31,2023,andwilladheretoLarimerCountyProcurement’scompetitivebidandotherpurchasingrequirements.1.3.TheHealthDepartmentwillhavetheexclusiverighttoownandoperatetheOGIcamera;thisAgreementisnotintendedtocreateajointownershiporjointventure.1.4.TheHealthDepartmentwillprovidetrainedandcertifiedstafftooperatethe061camerathroughouttheTermoftheAgreement.1.5.TheHealthDepartmentwillberesponsibleforanyandallrequiredcalibrationandroutinemaintenanceofthecamerathroughouttheTermoftheAgreement.2.ComplaintResponse,InspectionsandReporting2.1.TheHealthDepartmentwillutilizethe061cameraaccordingtoapplicablestateorlocalstandardsasappropriatetoassistinidentificationanddocumentationofhydrocarbon EXHIBITAleaksbothaspartofacomplaintresponseandforroutineinspectionslocatedintheCityinadditiontothoselocatedintheirjurisdictionthroughouttheTermoftheAgreement.2.2.TheCitywillnotifytheHealthDepartmentofanyleakorodorcomplaintswithinCitylimits.2,3.TheHealthDepartmentwillusethecameratorespondtocomplaints,including,butnotlimitedto,thosethatarecoveredbythecontractwiththeCDPHLforairqualitymonitoring,aswellascomplaintswithintheCity,theFortCollinsGMA,andtheremainderoftheCountythroughouttheTermoftheAgreement.2.4.ThroughouttheTermoftheAgreement,theHealthDepartmentwillprovideanannualreporttotheCityregardingthecomplaintsandtheresponsestothosecomplaints.2.5.TheHealthDepartmentandtheCitywillworkwiththeAirPollutionControlDivisionandtheColoradoOilandGasConservationCommission(COGCC),orotherentitywithregulatoryauthoritywhenaleakorotherpotentialcomplianceissueisdetectedwithintheCityortheFortCollinsGMAtoensureappropriatecompliancemeasuresaretaken,suchasanynecessaryrepairspertheapplicableregulations.3.TermofAgreement.TheHealthDepartmentwillmaintainandoperatetheOGIcamerafortheusefullifeofthecamera(“UsefulLife”),oraperiodofatleast10years,whichevercomesfirst(the“Term”).TheUsefulLifeofthecamerashallbedefinedassuchperiodthecameraremainsfunctionalforitsintendeduseandanyrepairsnecessarytomaintainthefunctionalityofthecameraarelessthantwenty(20)percentoftheoriginalcostofthecamera.4.Default.EachandeverytermandconditionhereofshallbedeemedtobeamaterialelementofthisAgreement.Intheeventeitherpartyshouldfailorrefusetoperformaccordingtothetermsofthisagreement,suchpartymaybedeclaredindefaultthereof.5.Remedies.Intheeventapartyhasbeendeclaredindefault,suchdefaultingpartyshallbeallowedaperiodoften(10)dayswithinwhichtocuresaiddefault.Intheeventthedefaultremainsuncorrected,thepartydeclaringdefaultmayelectto(a)terminatetheAgreementandseekdamages;(b)iftheOGICameraremainsfunctional,treattheAgreementascontinuingandrequirespecificperformance;or(c)availhimselfofanyotherremedyatlaworequity.6.MISCELLANEOUSA.Notice.Anynoticeshallbesenttothepartieslistedbelow.1.IftoHealthDepartment:DirectorofEnvironmentalHealth1525BlueSpruceDriveFortCollinsCO805242.IftoFortCollins:CityManager’sOfficeP0Box580300LaPorteAve EXHIBITAFt.Collins,CO80521Copiedto:CityAttorney’sOfficeP0Box580300LaPorteAveFtCollinsCO80521B.AnnualAppropriations.AnyfinancialobligationsofthePartiesarisingunderthisAgreementarecontingentuponfundsforthatpurposebeingappropriated,budgetedandotherwisemadeavailablebytherespectivegoverningbodiesofthePartiesintheirsolediscretion.NotermorconditionofthisAgreementisintendednorshallbeinterpretedtocreateamulti-fiscalyearobligationordebtoftheParties.C.EntireAgreement.ThisAgreementistobeconstruedaccordingtoitsfairmeaningandasifpreparedbyallPartiesheretoandisdeemedtobeandcontaintheentireunderstandingandagreementbetweenthePartieshereto.Thereshallbedeemedtobenootherterms,conditions,promises,understandings,statements,orrepresentations,expressedorimplied,concerningthisAgreementunlesssetforthinwritingandsignedbythePartieshereto.D.GoverningLaw.ThisAgreementshallbegovernedbyanditstermsconstruedunderthelawsoftheStateofColoradoandvenueforanyactionhereundershallbeinLarimerCountyDistrictCourt.E.NatureofRelationship.TheprovisionsofthisAgreementshallnotbeconstruedascreatingapartnership,jointventure,orotherrelationshipbetweentheParties.Unlessspecificallyprovided,thisAgreementshallnotallowanyPartytoactastheagentoftheotherParty,norpermitanyPartytohaveanyauthoritytoactfor,ortoassumeanyobligationsorresponsibilitiesonbehalfoftheotherParty,norinanymannerlimitthePartiesincarryingouttheirrespectiveseparatebusinessesoractivities.Employees,agents,consultants,andattorneysofonePartyarenot,andshallnotbedeemedtobe,employees,agents,consultants,andattorneysoftheotherParty.F.NoPersonalLiability.Noelectedofficial,director,officer,agentoremployeeofanyofthePartiesshallbechargedpersonallyby,orheldcontractuallyliableto,anyPartyunderthetermsandconditionsofthisAgreementoranybreachthereof,orbecauseofitsortheirexecution,approvalorattemptedexecutionofthisAgreement.G.ThirdPartyBeneficiaries.ThisAgreementismadeforthesoleandexclusivebenefitoftheParties,andtheirsuccessorsandassigns,anditisnotmadeforthe EXHIBITAbenefitofanythirdparty.TheenforcementofthetermsandconditionsinthisAgreementandallrightsofactionrelatingtosuchenforcementshallbestrictlyreservedtotheParties.Nothird-partybeneficiaryrightsshallbecreatedbythisAgreementinfavorofanypersonnotapartytothisAgreement,unlessthePartiesmutuallyagreeotherwiseinwriting.H.Counterparts.ThisAgreementmaybesignedbytheParties,electronicallyorotherwise,incounterparts.GovernmentalImmunity.NotermorconditionofthisAgreementisintendednorshallbeconstruedasawaiver,eitherexpressorimplied,ofthemonetarylimits,noticerequirements,immunities,rights,benefits,defenses,limitationsandprotectionsavailabletothePartiesunderanyapplicablelaw,includingbutnotlimitedtotheColoradoGovernmentalImmunityAct,C.B.S.24-10-101,et.seq.,ascurrentlywrittenorhereafteramendedorimplemented.J.Assignment.NoPartymayassignitsinterestinthisAgreementwithoutthewrittenconsentoftheotherParties,whichconsentmaybewithheldatthesolediscretionofeachParty.K.Amendment.ThisAgreementmaybemodifiedoramendedfromtimetotimetoreflectthemutualagreementsandunderstandingsofthePartiesregardingthesubjectmatterhereof.However,nomodificationoramendmentofthetermsandconditionsinthisAgreementshallbevalidorbindingunlesssuchmodificationoramendmentisinwritingandsignedbyallofthePartiesortheirrespectivesuccessorsininterest.Thetermsandconditionsofanysuchmodificationoramendmentshallbeconstruedaccordingtotheirfairmeaning.1.Waiver.AwaiverofanytermorconditionofthisAgreementmustbeinwritingandexecutedbyalltheParties.NowaiverofanybreachofanytermorconditionofthisAgreementbyanyPartyshallbedeemedtoimplyorconstituteawaiverofanyothertermorconditionofthisAgreement.ThefailureofanyPartytoinsistonstrictperformanceofanytermorconditionofthisAgreementshallnotconstituteorbeconstruedasawaiverofthatParty’soranyotherParty’srightsincluding,withoutlimitation,therightthereaftertoenforceanyotherdefaultofsuchtermorcondition;neithershallsuchfailuretoinsistuponstrictperformancebedeemedsufficientgroundstoenableanyPartytoforegoorsubvertorotherwisedisregardanyothertermorconditionofthisAgreement.M.ForceMaieure.NoPartyheretoshallbeconsideredindefaultintheperformanceofanobligationhereundertotheextentthatperformanceofsuchobligationisdelayed,hindered,orpreventedbyforcemajeure.Forcemajeureshallbe EXHIBITAanycausebeyondthecontrolofthedefaultingPartywhichcouldnotreasonablyhavebeenforeseenandguardedagainst.Forcemajeureincludes,butisnotlimitedto,actsofGod,fires,riots,pandemics,incendiarism,interferencebycivilormilitaryauthorities,compliancewithregulationsorordersofmilitaryauthorities,andactsofwar(declaredorundeclared),providedsuchcausecouldnothavebeenreasonablyforeseenandguardedagainstbythedefaultingParty.Forcemajeureshallnotincludeincreasesinlabor,commodity,utHity,material,supply,fuel,orenergycosts,orcompliancewithregulationsorordersofcivilauthorities.N.BindingEffect.ThisAgreementshallbebindinguponandinuretothebenefitofthePartiesheretoandtotheirrespectiveheirs,legalrepresentatives,successors,executors,andpermittedassigns.0.Construction.ThroughoutthisAgreement,thesingularshallincludetheplural,thepluralshallincludethesingular,andallgendersshallbedeemedtoincludeothergenders,whereverthecontextsorequires.Theterms“including,”“include”orderivativesthereof,unlessotherwisespecified,shallbeinterpretedinasbroadasenseaspossibletomean“including,butnotlimitedto,”or“including,bywayofexampleandnotlimitation.”P.Authority.EachofthePartiesrepresentstotheotherPartiesthatsuchPartyhasfullpowerandauthoritytoexecute,deliver,andperformthisAgreement,thatsuchPartyhastakenthenecessarystepsthatarelawfullyrequiredtoexecute,deliver,andperformthisAgreement,andthattheindividual(s)executingthisAgreementonbehalfofsuchPartyarefullyempoweredandauthorizedtodoso.Q.Severability.IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceabletoanyextent,thePartiesshallmeet,confer,andagreeonappropriatemodificationstothisAgreementtoensurethattheoriginalintent,obligations,goals,andpurposesofthisAgreementaresatisfied.INWITNESSWHEREOF,thePartieshavecausedthisAgreementtoberatifiedbytheirgoverningBoardsorCouncilsordulyauthorizedofficersasofthedatefirstwritten.
