MEMORANDUM OF SITE LEASE AGREEMENT
This Memorandum of Site Lease Agreement is made this day of
2011, between Nor•thstar Investments, LLLP, a Colorado limited liability limited partnership,
f/k/a Northstar hlvestments, Ltd., a.Colorado limited partnership, with a mailing address. of 3500
John F. Kennedy Parkway, Suite 220, Fort Collins, Colorado 80525, hereinafter collectively
referred to as "Lessor", and Verizon Wireless (VAW) LLC d/b/a Verizon Wireless, with offices
located at 180 Washington Valley Road, Bedminster, New Jersey 07921, hereinafter referred to
as "Lessee". Lessor and I..essee are at times collectively referred to hereinafter as the "Parties"
or individually as a "Party".
Lessor and Lessee are the current parties to a Site Lease Agreement (the
"Agreement") dated April 2, 1997, as modified by that certain Addendum to Site
Lease Agreement dated September 15, 1997, as further modified by the First
Amendment to Site Lease Agreement of even date herewith (collectively hereafter
referred to as the "Agreement"). The current term of tine Lease is scheduled to
expire May 31, 2016. Thereafter, the Agreement shall automatically be extended
for four (4) additional five (5) year terms unless the Lessee terminates it at tine end
of the then current term by giving the Lessor written notice of the intent to
terminate at least six (6) months prior to the end of the then current term.
Lessor leased to Lessee a portion of that certain real property which is legally
described in Exhibit A attached hereto and made part hereof, located at 3500 John
F. Kennedy Parkway, Fort Collins, Colorado (such real property is hereinafter
sometimes referred to as the "Property"). The "Site" shall be: (1) That certain
airspace above (exclusive use) and below (non-exclusive use) the existing I-beam
platform structure on the roof containing approximately 330.17 square feet (14.0'
x 23'7") as depicted on Exhibit B (the equipment room); (2) that certain area on
the ground adjacent to the cast wall of the building containing approximately
182.00 square feet (13.50' x 13.50') as depicted on Exhibit B (the generator
enclosure); and (3) the right to install, maintain, replace and repair wires, cables,
conduits and pipes under a five foot (5') wide non-exclusive utility easement as

depicted on Exhibit B. The term Site shall also be deemed to include all antenna
locations as depicted on Exhibit B, and any appurtenances to the Communications
Facilities, including electrical meters, panel boxes, and access and utility
connections thereto.
3. 'file terms, covenants and provisions of the Agreement, the terms of which are
hereby incorporated by reference into this Memorandum, shall extend to and be
binding upon the respective executors, administrators, heirs, successors and
assigns of Lessor and Lessee.
