MEMORANDUM OF LEASE
This Memorandum of Lease is entered into on this day of Oc -e he�' , 20011
by and between Cedarwood Plaza, LLC No.1, a Colorado limited liability company, having a
mailing address of 6500 South Quebec Street, Englewood, Colorado 80111 (hereinafter referred
to as "Landlord") and Verizon Wireless (VAW) LLC d/b/a Verizon Wireless, a Delaware
limited liability company, having an office at One Verizon Way, Mail Stop 4AW 100, Basking
Ridge, New Jersey 07920 (hereinafter referred to as "Tenant").
Landlord and Tenant entered into a certain Option and Lease Agreement
("Agreement") on the &Ll day of eohoheir 200-�[, pursuant to which
Tenant lease a portion of Landlord's property ("Property") for the purpose of
installing, operating and maintaining a communications facility and other
improvements as more fully set forth in the Agreement. The Property is more
specifically described in Exhibit 1 annexed hereto.
2. The term of the Agreement is for an Initial Term of five (5) years commencing on the
effective date specified in Tenant's written notice to Landlord of Tenant's exercise of
the Option ("the Commencement Date") and ending on the last day of the month in
which the fifth (5th) anniversary of the Commencement Date occurs, with three (3)
successive five (5) year options to renew.
3. The portion of the land being leased to Tenant (the "Premises") is described in
Exhibit 2 annexed hereto.
4. The Agreement shall be binding upon and inure to the benefit of the parties and their
respective heirs, successors, and assigns, subject to the provisions of the Agreement.
