CITY OF FORT COLLINS’S RESPONSE TO OPEN’S NOTICE OF SUPPLEMENTAL
SUBMISSION OF SORTABLE/FILTERABLE LOGS
The City of Fort Collins (the “City”), by and through its undersigned counsel, respectfully
submits its Response to Open’s Supplemental Submission of Sortable/Filterable Logs.
On June 30, 2022, the Court ordered the City to submit privilege logs for documents
implicated by pending motions related to third parties TMG Consulting, Inc. and Vanir
Construction Management, Inc. [Dkt. 73]. The Court did not state that Open was permitted to file
any additional pleadings with respect to the privilege logs requested by the Court. On July 12,
2022, the City submitted notices of two privilege logs [Dkts. 82-83]. On July 15, 2022, Defendants
Open International, LLC and Open Investments, LLC (collectively “Open”) submitted an
unsolicited Response to City’s Notices Regarding Privilege Logs and Notice of Supplemental
Submission of Sortable/Filterable Logs (the “Response Regarding Privilege Logs”) [Dkt. 86],

without conferring with the City or seeking leave to file the same, giving a misleading portrayal
of the City’s privilege logs and privilege claims, especially when Open’s privilege log (Exhibit 1)
is considered.
First, Open makes much of the fact that the City’s privilege log includes TMG-related
documents which were not authored by an attorney or sent to or from an attorney. See Response
Regarding Privilege Logs at 2. However, that analysis ignores that withholding attachments to a
fully privileged email is common and appropriate practice because information communicated to
an attorney for the purpose of obtaining or rendering legal advice is considered privileged. See
GE v. United States, No. 3:14-cv-00190 (JAM), 2015 U.S. Dist. LEXIS 122562, at *2-5, (D. Conn.
Sep. 15, 2015) (privilege applies to attachments that alone would not be privileged because
information communicated to an attorney in connection with obtaining or rendering legal advice
is properly subject to a claim of privilege); United States v. Davita, Inc., 301 F.R.D. 676, 683 (N.D.
Ga. 2014) (drafts of documents included within or attached to attorney-client communications
discussing the contents of those drafts are subject to a claim of privilege); Hilton-Rorar v. State &
Fed. Communs., Inc., No. 5:09-CV-01004, 2010 U.S. Dist. LEXIS 36121, at *18-19 (N.D. Ohio
Apr. 13, 2010) (attachments may be privileged where they are attached for purpose of obtaining
legal advice, because the very fact that the non-privileged information was communicated to an
attorney may be privileged).
Open’s “Supplement” makes it appear that the City is asserting privilege without attorneys
on the document much more than it actually is. When considering the privileged email and its
attachment as a single document, then 307 of 699 of the TMG documents include an attorney, not
55 out of 699. Additionally, of the documents that do not have an attorney listed, the log provides

a description for why the document is still privileged. See, e.g., Priv000038 (“Email chain with
attachment(s) reflecting information gathered or prepared at the direction of counsel regarding
evaluation of Open’s software platform prepared in anticipation of litigation); Priv000040 (“Email
chain forwarding & commenting upon legal advice provided by John Duval (CAO) regarding
evaluation of Open’s platform). These descriptions show why there is a requirement that privilege
determinations be made on a document-by-document basis, not by filtering and sorting logs to
make categorical determinations. Menapace v. Alaska Nat’l Ins. Co., 2020 U.S. Dist. LEXIS
191695, at *32-33 (D. Colo. Oct. 15, 2020).
Second, Open takes issue with the City’s descriptions. See Response Regarding Privilege
Logs at 3. A comparison of the City’s privilege logs to Open’s privilege log reveals that the City
has provided more complete and detailed explanations for its privilege claims than Open. For
instance, in its log, Open provided “additional notes” or narratives for just 9 documents, all of
which are generic in nature and one of which simply stated that the document had been produced
with redactions. See, e.g., Ex. 1 at RELOIF0000022126. In contrast, the City has provided detailed
and specific descriptions for all privileged parent documents (see, e.g., description for Priv00294:
“Email chain with attachment(s) reflecting information gathered or prepared at the direction of
counsel regarding evaluation of deliverables by Open, including configurations and
implementations per MPSA and SOW prepared in anticipation of litigation”) and has noted where
an attachment is being withheld due to it being an attachment to a privileged and withheld
document (see, e.g., description for Priv00295 “Attachment to privileged parent”).
Third, review of Open’s privilege log also contradicts its claims in various motions that
the City could not possibly have anticipated litigation in late-2020 or early 2021. See Open’s

Motion to Compel Production of TMG Documents [Dkt. 43] at 9-10 (arguing that work product
protection could not apply in late 2020 or early 2021); see also Open’s Reply in Support of Motion
to Compel TMG Documents [Dkt. 63] at 2-4 (arguing that “the work-product doctrine does not
cover documents unless litigation was the ‘but for’ cause of their creation” and therefore
documents created in early 2021 could not be covered by the doctrine). Open itself asserts work
product protection to documents as early as August 3, 2018. See Ex. 1 at pg. 5
(RELOIF0000056199). This assertion—which inherently shows that Open was anticipating
litigation as early as August 2018—contradicts Open’s prior positions.
